Addendum to 52.212-2 -- Evaluation -- Commercial Items (Oct 2014)

FAR 52.212-2 is amended in its entirety as follows:

1. Proposal Evaluation:

a. This acquisition will be conducted as Lowest Price Technically Acceptable (LPTA) source selection in accordance with FAR 15.101-2 and USTRANSCOM source selection procedures. The objective of the source selection will be to select an offeror that represents the best value to the Government, price and other factors considered. The Government intends to evaluate proposals and award a contract without conducting discussions.

The Government reserves the right, however, to conduct discussions, written and/or oral, with offerors if it is determined to be in the Government’s best interest.

b. In addition to meeting all terms and conditions of the solicitation, offeror's proposal will be evaluated against the following evaluation criteria:

Basic Eligibility (Attachment 1): Prior to the technical and/or past performance evaluations being conducted, all proposals will first be evaluated to determine if they meet the basic eligibility requirements for award.

i. For question #1, if the offeror provides a “Yes” response for being the entity that will operate the aircraft, the Government will ensure the offerors response is consistent with other documents submitted with their proposal.

ii. For question #2, if the offeror provides a “Yes” response for being listed on the CARB approved DOD air carrier listing, the Government will verify with the AMC/A3B office that the offeror is indeed on the listing. In the event of a discrepancy between the response provided by the offeror and the listing, the listing maintained by the AMC/A3B office will take precedence.

iii. For question #3, if the offeror provides a “Yes” response for having 12-months of prior equivalent service, the Government may obtain a determination from the Commercial Airlift Review Board (CARB) regarding the offerors status. In the event of a discrepancy between the response provided by the offeror and the CARB, the CARB’s determination will take precedence.

If an offeror provides a “No” response to any of the three questions then the offeror will not be eligible for award and will not be further evaluated. If an offeror provides a “Yes” response to any of the three questions that the Government determines to be incorrect, then the offeror will not be eligible for award and will not be further evaluated.

US Flag Preference: All proposals that meet the basic eligibility requirements above will be assigned to one of the two categories listed below:

i. Category 1: Consists of US Flag carriers.

ii. Category 2: Consists of Foreign Flag Carriers.

Technical: Technical Proposal will be evaluated on an Acceptable or Unacceptable basis at the subfactor level. Offeror’s proposals must receive an Acceptable rating under all of the following technical subfactors in order to be considered for award:

Subfactor 1 - Technical Approach: Due to the numerous technical requirements in the PWS and the already known capabilities of the Gulfstream III airframe in meeting the PWS requirements, the evaluation of subfactor-1 Technical Approach, will depend on the type of aircraft proposed.

i. If a Gulfstream III airframe is proposed, to be rated acceptable, the offeror’s proposed technical approach must clearly describe 1) seating for at least 10 passengers, and 2) aircraft can be reconfigured between cargo and passengers within 12 hours of notification.

ii. If an aircraft other than a Gulfstream III is proposed, to be rated acceptable, the offeror’s proposed technical approach must clearly and effectively demonstrates the offeror’s ability to comply with the PWS requirements, specifically requirements identified in Section 1.1 (Description of Services) of the PWS.

Subfactor 2 - Type of Aircraft Chart: To be rated acceptable, the aircraft type chart must be properly filled out.

Subfactor 3 - FAA Certification Documentation: To be rated acceptable, the offeror’s FAA or

CAA Certification Documentation must be current and complete demonstrating their ability to comply with the FAA or CAA requirements of this solicitation. The proposed aircraft must be on the offeror’s OPS Spec at the time of proposal submission.

Subfactor 4 - Aircraft Ownership: To be rated acceptable, the offeror must provide proof they own the aircraft or in the case of a lease agreement, the offeror’s signed agreement for the aircraft must be current, binding upon both parties, and demonstrate their ability to provide aircraft available for the contract period of performance.

Subfactor 5 - Cyber Security: For any offeror-identified NIST standards that will not be implemented, to be rated acceptable, the offeror has explained how the required security control identified in the table at Attachment 7 is not applicable, or how an alternative control or protective measure is used to achieve equivalent protections. The offeror's explanation provides assurance that implementation of their information systems security without a specific control (or controls), or use of an equivalent control should be effective in protecting DoD information from unauthorized disclosure.

The offeror’s Technical Proposal will be assigned a rating of Acceptable or Unacceptable using the rating and descriptions outlined in the table below:

RATING DEFINITION

Acceptable Proposal clearly meets the minimum requirements of the solicitation Unacceptable Proposal does not clearly meet the requirements of the solicitation

Past Performance: To be considered relevant, offeror must demonstrate ability to perform similar services for government or commercial entities equivalent in magnitude of effort and complexities that this solicitation requires. The Offeror must receive an Acceptable rating to receive an award. This rating is based upon past performance information as follows:

RATING DEFINITION

Acceptable Based on the offeror's performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror's performance record is unknown. (See note below.)

Unacceptable Based on the offeror's performance record, the Government has no reasonable expectation that the offeror will be able to successfully perform the required effort.

Note: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a) (2) (iv)). Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, "Unknown" shall be considered "Acceptable.

“Past performance information shall be obtained from any other sources available to the Government, to include, but not limited to, the Past Performance Information Retrieval System (PPIRS), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), or other databases;

interviews with Program Managers, Contracting Officers, and Fee Determining Officials; and the Defense Contract Management Agency.”

Price: The Government will conduct a price analysis to determine whether the proposed prices are fair and reasonable. This determination may be accomplished by one or more of the techniques set forth in FAR 15.404- 1(b)(2). The Contracting Officer will fully document the price evaluation.

i. The total evaluated price for each offeror will be established based on the total overall price for all CLINS.

ii. Adequate price competition is expected utilizing FAR Part 12 procedures; therefore, certified cost or pricing data will not be requested. However, should the Contracting Officer make a determination during the evaluation process that adequate price competition does not exist, other than certified cost or pricing information may be requested for evaluation purposes along with comparing proposed prices to other commercial prices paid or historical data to assist in negotiations and/or the price reasonableness determination.

c. Evaluation Process and Basis of Award. The Government intends to award one (1) Fixed Price IDIQ contract with a Fixed Price – Economic Price Adjustment (FP-EPA) CLIN and a Cost Reimbursables CLIN resulting from this solicitation. As this is a LPTA procedure, tradeoffs will not be permitted for the contract award and proposals will be evaluated for acceptability. First, the Government will evaluate all offeror’s Basic Eligibility (attachment 1 of the solicitation) by determining whether the box was appropriately marked “Yes” by the offeror. All proposals determined to have three “Yes” responses properly marked will proceed to the next step. All proposals to be marked or determined by the Government to have a “No” for any of the three questions of the Basic Eligibility will not proceed forward and will not be eligible for award. Next, the Government will categorize the proposals that meet the basic eligibility for award by Flag preference status. All Category 1 offerors Total Evaluated Price will be ranked from lowest to highest. Next, the Government will evaluate the lowest price Category 1 offeror’s technical approach and Past Performance as acceptable or unacceptable. If the lowest price Category 1 offeror’s technical approach and Past Performance are both acceptable, (1) is deemed responsible IAW FAR Part 9.1, (2) conforms to all required terms and conditions, award will be made to that offeror without further consideration or evaluation of other offerors. In the event the lowest price Category 1 offeror’s proposal is unacceptable, the next lowest-priced Category 1 offeror will be evaluated and the process will continue (in order by price) until the Government reaches a Category 1 offeror that has an acceptable technical and past performance rating, (1) is deemed responsible IAW FAR Part 9.1, (2) conforms to all required terms and conditions. In the event no Category 1 offerors are awardable, then all Category 2 offerors Total Evaluated Price will be ranked from lowest to highest. Next, the Government will evaluate the lowest price Category 2 offeror’s technical approach and Past Performance as acceptable or unacceptable. If the lowest price Category 2 offeror’s technical approach and Past Performance are both acceptable,

(1) is deemed responsible IAW FAR Part 9.1, (2) conforms to all required terms and conditions, award will be made to that offeror without further consideration or evaluation of any other offerors. (i) Taxes are considered delinquent if both of the following criteria apply:

(A) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(B) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(ii) Examples.

(A) The taxpayer has received a statutory notice of deficiency, under I.R.C. Sec. 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. Sec. 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(D) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).
