1SolicitationContract and TechnicalProposal Volume Requirements (Page 52)

Pass/Fail Criteria (Volume II – Volume IV)

The Offeror submits contract award reference(s) for support of AV/VTC Support Services of $8M or more annually. The Government will accept one to two or two combined smaller contracts that meet the annual $8M or more threshold. The contract reference shall include contract/delivery order number, contract type, program name, total contract cost, short description of work performed, reasons why the project is considered relevant by the Offeror, names, email addresses and valid telephone numbers for the Government point of contact (POC).

Question (1): Section D. Past Performance (Volume VI – Page 53) states “Past performance contract references can come from the Offeror or the subcontractor, as long as they served as the Prime Contractor for the past performance reference.” Will the government allow the past performance revenue of the subcontractor to combine with the Prime Offeror’s revenue to reach the $8M or more annual requirement, similarly as referenced in the combined past performance referenced in Section D - Past Performance (Volume IV)?

Question (2): Is the government defining “two combined smaller contracts” to mean “one contract” of the “one to two” contracts award references for the $8M or more annual revenue total?

Question 1. Yes, the Government will allow the past performance revenue of the subcontractor to combine with the Prime Offeror’s revenue to reach the $8M or more annual requirement, as referenced in the combined past performance referenced in Section D - Past Performance (Volume IV) Question 2. Yes, the Government is defining “two combined smaller contracts” to mean “one contract” of the “one to two” contracts award references for the $8M or more annual revenue total
2PWSCLIN 0017 shows a total of 56.528 FTEs for the 11 month base period with total hours of 106,384 (PWS p. 60). These same individual FTE estimates and the total is showing in CLIN 1007 (p.61), CLIN 2007 (. 62), CLIN 3007 (p.64), and CLIN 4007 (p.65).
Please advise as to whether these are the correct FTE and Hours amounts for these CLINs.Yes, the hours and FTE estimates are correct. Please see the revised PWS and estimated workload data.
3GeneralN/AWill the Government consider a one-week extension? Please see the amended solicitation with the revised proposal due date in block 8.
4GeneralN/AWith your recent changes to the pass fail criteria, we are requesting a 2 week extension. Please see response to question 3
5Solicitation HQ0034-18-R-0208, “Section C. PASS/FAIL Criteria (VOLUME II - VOLUME IV) – Sub-paragraph (3) on Page 52 of 108ContractIn the referenced Section, the Solicitation indicates that: “The Offeror submits contract award reference(s) for support of AV/VTC Support Services of $8M or more annually. The Government will accept one or two or two combined smaller contracts that meet the annual $8M or more threshold.”
Will the Government allow the Prime Offeror and its subcontractor(s) to combine their revenue pool to contribute to one or both contract award reference(s) required and have this approach constitute as a Pass score? It is fairly difficult for a HubZone small business to accumulate an annual contract value of $8M or more between just two contracts that are relevant to providing AV/VTC support services. We recommend changing the language to allow subcontractor(s) contract award reference(s) to be combined with that of the Prime so as to contribute to the $8M or more annual contract value. We also recommend allowing for more than two contract award references to meet or exceed the annual $8M threshold. Please see response to question 1
6SolicitationContractParagraph C, Pass/Fail Criteria, Item (2) Employee Compensation Plan

Section 2.1, Compensation Plan, Evaluation of Compensation for Employees, page 56, states "The Offerors shall state the salaries and fringe benefits to be offered to employees working under the proposed contract."

Question: Do the subcontractors also have to submit a proposed compensation plan? All labor categories must be addressed in the compensation plan. Information can either be submitted by the Prime or the subcontractor directly to the Government.
74) b. Factor 2 Past PerformanceContractStep 1 – Recency, last sentence reads “Performance of each reference must be completed within the previous three (3) years of the proposal due date to be considered recent.” This conflicts with Section D: Past Performance (Volume VI) on page 53, which says the contract must have “12 months of past performance completed” instead of total contract completion. Which is correct? To be considered recent the past performance submission must have been completed with the previous three years and have had 12 months of performance completed under that requirement. Requirements completed for less than 12 months are not considered recent.
8Section C. Pass/Fail Criteria, para (3)ContractMust the contract reference(s) provided come from the Prime, or may they come from Subcontractors on the team?Contract references can come from either the Prime or Subcontractor. If references come from a subcontractor, the sub contractor must have served as a Prime on the referenced contract.
9Page 52 of 108ContractIf a contract has a value much greater than $8M per year, but the AV-VTC support service is only a portion of the total contract, will the government accept this, or must the Offeror define how much (dollar value and FTEs) of the total contract is for AV-VTC services?Yes, the Government will accept a contract with AV/VTC as a portion of the total contract. However, the offeror must define how much of the contract is for AV/VTC services.
10A.1.6 Electronic Submission, Page 51 of 108ContractThis is a large proposal effort with a short turnaround time. Proposal efforts this size typically are given at least two weeks for bidder responses. Would the government consider extending the proposal due date by one week to ensure multiple bids are received? Please see response to question 3
11Pricing Template, Tab 3 - Travel Estimate, and Solicitation 1449ContractQuestion: where is the content specifying the trip information found that should be used to create the solicitation travel estimates? Please see amended Pricing Template.
12Pricing Template Tab 1 - Price Schedule Summary, and Solicitation 1449ContractThere are travel CLINS shown on this worksheet with 352 hours (0023, 1013, 2013, 3013, 4013)
Question: Assuming that travel content is provided that details the location, number of people, number of days, etc. (1) Should the total cost of the travel be divided by the number of hours? (2) Will the total be expected to include labor costs, and if so should these labor costs be deducted from the relevant CLIN? For example, if a trip specifies 4 days of work for 2 staff, both staff work normally work under the Helpdesk Specialist (Entry Level) labor category under PWS task ID 5.3. Should the cost of their labor be represented under the travel CLIN, or under the normal Task ID 5.3 FFP CLIN - 0012 for example? Please see amended Pricing Template.
13Pricing Template Tab 1 - Price Schedule Summary, and Solicitation 1449ContractThe T&M CLINs ((0023, 1013, 2013, 3013, 4013) only have hours. It is unclear what the Government is asking bidders to input here.

Question (a): Is it the Government's intent to have bidders sum the labor and non-labor costs by Period of Performance for all Exhibit 5 trips and divide by the number of hours to arrive at some sort of per travel labor hour cost that is inclusive of all travel costs?

Question (b): Is it the Government's intent to have bidders sum only the labor costs by Period of Performance for all Exhibit 5 trips and divide by the number of hours to arrive at some sort of per weighted average travel labor hour cost that is inclusive of labor cost only?

Question (c): Is "Hours" the best unit for the T&M Travel CLINs?

Question (d): If labor costs can be $0.00 due to using current workforce, then only non-labor costs would be present and it is unclear how that would be evaluated and how it relates to the related T&M Travel “Hour” CLIN. Given the answer to Question #14, it should be anticipated that most bidders would have $0.00 for labor cost since travel would always come from the current workforce given the perceived time constraints and ability to perform that would not be present in a new hire as it pertains to travel needs. Would the Government please reconcile how labor costs should be handled for the T&M Travel CLINs as it relates to the answers above and to the previously answered to question #14 “Amend 03 Solicitation Questions July262018” when the labor cost is $0.00 due to using FFP labor?

Question a, b, d) Please see revised Solicitation. Travel will no longer be evaluated at the solicitation phase, but will be evaluated during the award. Question c) Yes, Hours is the best unit for the T&M Hour CLINS.
14SolicitationContractReference 3) EVALUATION FACTORS (c)(third bullet): "Time & Materials (T&M) CLINs: The offerors total evaluated cost for the Time and Material CLINs will be determined based on proposed labor categories, labor rate, hours, specified travel location(s) and estimated days against the government’s provided categories, hours, location(s) by the respected CLINs identified within the solicitation. The sum of these figures will represent the T&M cost of the contract, and will be added into the total evaluated price."

Nowhere does it state that non-labor travel costs are part of the evaluation of the T&M, only as it seems to match up to what the Government has requested by location, hours (missing from Pricing Template Tab-3), and the labor rate. It seems the original intent of the Travel T&M "Hour" CLINs is not well understood and may have been significantly altered from whatever the Government's original intent was.

Question: Can the Government clarify intent of the per Hour T&M Travel CLINs and align all bidders to this intent and how it relates to this evaluation factor? Please see amended Pricing Template.
15AV_VTC_PWSContract / TechnicalThese sections indicate which CLIN travel is billed against. Section 1.6.14 seems to indicate that any travel (within NCR or outside NCR) would be billed to T&M CLIN if outside the normal hours.

Reference 1.6.14.1 "All travel that is performed outside the normal business hours in accordance with the PWS Section 1.6.5 titled “Hours of Operations” shall be charged against the Time and Materials (T&M) CLINs...Travel that occurs under the Firm Fixed Price (FFP) CLINs within the normal business hours shall be charged to the FFP CLINs." This appears to conflict with wording regarding NCR travel in 1.6.14. "Travel within the NCR is not separately priced...Local travel within the NCR shall not be reimbursed" and "All travel within the National Capital Region (NCR) is included in the price of this contract. The contractor shall NOT bill the Government for travel related expenses within the NCR for any CLIN or SUBCLIN under this contract."

Question: Will the Government please confirm that any NCR travel costs (including labor) is included in FFP regardless of hour type (inside or outside normal business hours)?Yes.
16AV_VTC_PWSContract / TechnicalWhen reading and taking together sections 1.6.14 and 1.6.14.1, it appears all travel indicated would always use LH labor. We arrive at this interpretation using the following references:

1.6.14: "Travel within the NCR is not separately priced.Travel shall be addressed as a Time & Materials item. Local travel within the NCR shall not be reimbursed." and "All travel within the National Capital Region (NCR) is included in the price of this contract. The contractor shall NOT bill the Government for travel related expenses within the NCR for any CLIN or SUBCLIN under this contract."

1.6.14.1: "All travel occurring under the Labor Hour (LH) CLINs shall be charged against the T&M CLINs."

Therefore, if all travel within NCR is already included in the FFP and all travel outside of the NCR (as listed in Exhibit 5) is billed as Time & Materials and all travel occurring under the Labor Hour CLINs is to be charged against the T&M CLINs, then consequentially, all outside NCR travel as listed in Exhibit 5 would have to be charged using LH Labor.

Question: Would the Government please confirm how a trip should be charged and show on Tab 3 - Travel Estimates? Please see revised solicitation.
17SolicitationContractWe interpret the instructions for Volume VII to indicate the only item that should be included in Volume VII is the Pricing Template. Is this correct? If not, will the Government please advise what items are required for Volume VII?Please see A.1.7 on page 51.
18Solicitation 2.1, first sentenceContractThe Government will evaluate the Offerors compensation plan on a pass/fail basis to determine whether or not the proposed costs/prices are realistic for the work to be performed, in line with the labor category qualifications, and reflect a clear understanding of contract requirements.Subcontractors can submit cost information directly to the government however, the subcontractor must follow the instructions for submittals listed in the solicitation.
The responders to this solicitation are made up of multiple companies. Each will have a unique set of fringe benefits.
Question: Is the Government requesting a monetary figure encompassing the fringe benefits offered by the Prime and each member of our team, or something else. If something else please provide additional details including the Government's expectations these benefits will be demonstrated for all team members.
19Solicitation 2.1 (a)ContractThe responders to this solicitation are made up of multiple companies. Each company will have a unique cost buildup to reach our rates. Revealing unburdened rates will provide the prime access to proprietary internal information used by team members. The revealing of the component parts of a fully burdened rate is typically only provided by team members directly to the government, via a sealed package.
Question: Will the government please limit the requirement to provide unburdened rates for labor categories to the Prime? No, all requirements listed in the solicitation must be addressed in order to be considered for award.
20Solicitation CLAUSES INCORPORATED BY REFERENCE; page 46, 52.222-43ContractThis clause allows for SCA LCAT rate increases based upon changes in the WD, executable on the anniversary year of a multiple year contract or upon exercising of an option. Offerors are required by this clause, not to include any escalation in their rates when this clause is in effect. Question: As this has a FFP component, is it the Government's intent that bidders follow the clause, not include any increases (all periods at the same rate), and seek equable adjustments on the options OR should this clause be removed and bidders should escalate rates on options (if seeking an increase)?Whether a Offeror wants to provide escalation rates, is a business decision to be made by the Offeror.
21Solicitation CLAUSES INCORPORATED BY REFERENCE; page 46, 52.222-44ContractThis clause allow for SCA LCAT rate increases based upon changes in the WD, executable within 30 days of the change. Offerors are required by this clause, not to include any escalation in their rates when this clause is in effect. Question: As this has a FFP component, is it the Government's intent that bidders follow the clause, not include any increases (all periods at the same rate), and seek equable adjustments whenever the WD has a change OR should this clause be removed and bidders should escalate rates on options (if seeking an increase)? Please see response to question 20.
22Solicitation, CLAUSES INCORPORATED BY REFERENCE; page 46, 52.222-62ContractThis clause requires the accrual of Sick leave of up to 56.00 hours annually for both hourly (SCA) and Salary (Exempt) employees according to the Executive Order (13706):Yes, the clause applies to all contract employees covered by the SCA
(A) Whose wages under such contract are governed by the Service Contract Labor Standards statute ( 41 U.S.C. chapter 67), the Wage Rate Requirements (Construction) statute ( 40 U.S.C. chapter 31, subchapter IV), or the Fair Labor Standards Act ( 29 U.S.C. chapter 8);
(B) Including employees who qualify for an exemption from the Fair Labor Standards Act's minimum wage and overtime provisions
Question: Can the Government please confirm this clause is in effect for this effort?
23PWS Technical Exhibit 3 Workload Data, and Pricing Template Tab 1 - Price Schedule SummaryContractThere are some errors in the workload data. We assume that many of these are simple rounding errors. For example. For CLIN 0001, the first three rows of technical exhibit 3, the government shows 3 quantities of estimated hours (157, 157 and 235). The total of these 3 items is 549 but the total line (row 4) shows a total of 548. There are similar minor issues with CLIN 0006. There are more significant errors with CLIN 5002, with a delta of 1880 hours and 5008 with a delta of 940 hours. In the pricing template CLIN 5008 is shown as 1880 hours, but there the estimated number of hours shown in the technical exhibit shows 940.
Question: Can the government please confirm which numbers are correct in the case of siginificant errors? Please see the updated PWS attached to the amendment.
24PWS Technical Exhibit 3 Workload Data and Technical Exhibit 5ContractThere are a number of labor categories shown in the workload data for which there are no requirements in Technical Exhibit 5. Program Manager, Subject Matter Expert, Quality Assurance Specialist for example are missing from Technical Exhibit 5.
Question: Does this indicate that the contractor can provide a labor category descriptions for these positions? The Quality Assurance, and Subject Matter Expert are listed under Firm Fixed Priced CLINS. There are no qualifications for FFP CLINS. Labor Category descriptions are provided for Key Personnel (Program Manager PWS section 1.6.12) and Labor Hour CLINS. With respect to providing LCAT descriptions for Firm Fixed Price CLINS is a business decision to be made by the Offeror.
25Supplied Wage DeterminationContractQuestion: The WD indicates that we are required to provide Health and Welfare (HW) benefits. Page 7 shows either $4.41/hour, or in the case of EO 13706, $4.13/hour. Which does the government expect to be used on our price buildups?Offerors are to use Health and Welfare (HW) EO $4.13/hour.
26PWSContractQuestion: In a number of places JSP refers to TS/SCI, please confirm that in all cases the requirement is TS clearance and adjudicated SCI eligible.Yes, the requirement is for a TS clearance and adjudicated SCI eligible.
27Solicitation page 80, item (D) (2): “Indirect Costs (Material Handling, Subcontract Administration, etc.. The Government will reimburse the Contractor for indirect costs on a pro-rata basis over the period of contract performance at the following fixed price: $0”ContractIt is typical for an offeror to apply a small Material Handling Fee on ODC purchases. As this is a small business procurement, it is a hardship for a company to absorb the labor to procure the equipement listed on the ODC tab of the pricing file with out a method to recover those costs from the Gov't. Question: Does this clause indicate that the offeror is not allowed to apply any markup above their cost for the ODC items sold to the government?Yes.
28PWS, Technical Exhibit 3, Estimated Workload Data, pages: 65 (row 1), 67 (row 3 of Option Period 2), 70 (row 3 of Option Period 3), 72 (row 3 of Option Period 4), 75 (row 3 of extension FAR 52.217-8)ContractReferenced CLINs pertaining to the QA/ Remedy Manager show estimated FTE of one, but lists estimated hours equivalent to 2 FTEs. Question: Which estimate is correct? Please see amended PWS, the hours have been adjusted.
29Solicitation page 80, item (D) (2): “Indirect Costs (Material Handling, Subcontract Administration, etc..
3052.212-1 INSTRUCTIONS TO OFFEROR, Section C.(3) and 52.212-2 EVALUATION, Section 2.(3)The solicitation states that “The Offeror submits contract award reference(s) for support of AV/VTC Support Services of $8M or more annually. The Government will accept one to two or two combined smaller contracts that meet the annual $8M or more threshold.” 1. Please clarify if $8M or more annually has a time-based constraint (as in within the past 5years). 2. Please clarify that contracts that show an $8M total contract cost will meet this requirement, rather than demonstrating annual billings. 3. Please confirm that “the Offeror” can include contracts awarded to both the prime and subcontractor(s) on a team. 4. Given the relatively small size of HubZone-held contracts, would the Government consider revising this requirement from “two combined smaller contracts” to a comprehensive list that totals to $8M annually?1. 8M or more annually has a time based constraint of 3yrs. 2. No, contracts must show an annual cost of $8M, not a total contract cost of $8M. However the offeror can use more than one contract to reach the $8M 3. Yes, the contractor may provide contracts awarded to both the Prime or subcontractor. 4. The government will not consider revising the language to read as a comprehensive list that totals $8M.
3152.212-1 INSTRUCTIONS TO OFFEROR, p. 48ContractThe solicitation states: “The requirement will be competed as a 100% HUBZone Small Business set-aside.” Can the Government clarify if there are any minimum workshare requirements for the HubZone? A significant amount of workshare tied to the anticipated award value of this contract would essentially ‘graduate’ any HubZone Small Business from their size standard. Please see 52.219-14 with respect to work performed.
3252.212-1 INSTRUCTIONS TO OFFEROR, Section E and PWS Section 5.5 (7)The solicitation states: “The price template contain four tabs entitled (1) Price Schedule, (2) Labor Categories, (3) Travel, and (4) Other Materials & Equipment of which must be completed by the Offeror.” PWS Section 5.5 (7) states: “The cost of hardware is subject to cost at time of procurement.” Please confirm that Offerors should price all equipment in Tab 4 of the Price Template given.Yes, Offerors should price all equipment in Tab 4 of the Price Template given.
3352.212-1 INSTRUCTIONS TO OFFEROR, Section D “Other Direct Cost (ODC)”The Solicitation states: “The Offeror must complete the attached excel spreadsheet for their ODC’s and identify the PWS sections the ODC’s will be supporting.” 1. Will the Government clarify if there is any additional information beyond PWS mapping that must be completed in this section? 2. Can the Government clarify the intent of this mapping? Particularly, will this have1. There is no additional information beyond the PWS for mapping. 2. Mapping is needed for completeness and clarity of offerors proposal.
34SF 1449Would the Government consider changing the NAICS code to 541519, which has a small business size standard of 150 employees or less? No, the Government will not consider changing the NAICS code. The NAICS code determination is based on market research.
3552.212-1 INSTRUCTIONS TO OFFEROR, Section A table and 52.212-1 INSTRUCTIONS TO OFFEROR, Section DWithin the table provided in Section A on p. 49, the Government provides a page limit of 5 pages for Key Personnel Resumes within Volume V. Please clarify if resumes will be considered within the page count of Volume V. If not, can Offerors use those 5 pages elsewhere in Volume V or will the remainder of the page count limitations in Section A remain in effect?Key Personnel Resumes are not included in the page count for Volume V. Offerors cannot use the pages elsewhere. Offerors are to adhere to the page limitations set forth in the Instructions to Offerors. Please see amended solicitation.
3652.212-1 INSTRUCTIONS TO OFFEROR, Section D “Desired”ContractPlease confirm that commitment letters of key personnel are not required within the proposal submission.Commitment letters of key personnel are not required within the proposal submission. However, Commitment letters are desired as stated on page 54 of the amended solicitation under "TECHNICAL APPROACH & CAPABILITY (VOLUME V) "
