The following have been added by full text:

Funds are not presently available for this contract. The Government's obligation under this contract is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise until funds are made available to the Contracting Officer for this contract and until the Contractor receives notice of such availability, to be confirmed in writing by the Contracting Officer.

(End of clause)

252.232-7007 LIMITATION OF GOVERNMENT'S OBLIGATION (MAY 2006)

(a) Contract line item(s) through are incrementally funded. For these item(s), the sum of $ of the total price is presently available for payment and allotted to this contract. An allotment schedule is set forth in paragraph (j) of this clause.

(b) For items(s) identified in paragraph (a) of this clause, the Contractor agrees to perform up to the point at which the total amount payable by the Government, including reimbursement in the event of termination of those item(s) for the Government's convenience, approximates the total amount currently allotted to the contract. The Contractor is not authorized to continue work on those item(s) beyond that point. The Government will not be obligated in any event to reimburse the Contractor in excess of the amount allotted to the contract for those item(s) regardless of anything to the contrary in the clause entitled "TERMINATION FOR THE CONVENIENCE OF THE GOVERNMENT." As used in this clause, the total amount payable by the Government in the event of termination of applicable contract line item(s) for convenience includes costs, profit and estimated termination settlement costs for those item(s).

(c) Notwithstanding the dates specified in the allotment schedule in paragraph (j) of this clause, the Contractor will notify the Contracting Officer in writing at least ninety days prior to the date when, in the Contractor's best judgment, the work will reach the point at which the total amount payable by the Government, including any cost for termination for convenience, will approximate 85 percent of the total amount then allotted to the contract for performance of the applicable item(s). The notification will state (1) the estimated date when that point will be reached and (2) an estimate of additional funding, if any, needed to continue performance of applicable line items up to the next scheduled date for allotment of funds identified in paragraph (j) of this clause, or to a mutually agreed upon substitute date. The notification will also advise the Contracting Officer of the estimated amount of additional funds that will be required for the timely performance of the item(s) funded pursuant to this clause, for subsequent period as may be specified in the allotment schedule in paragraph (j) of this clause, or otherwise agreed to by the parties. If after such notification additional funds are not allotted by the date identified in the Contractor's notification, or by an agreed substitute date, the Contracting Officer will terminate any item(s) for which additional funds have not been allotted, pursuant to the clause of this contract entitled "TERMINATION FOR THE CONVENIENCE OF THE GOVERNMENT".

(d) When additional funds are allotted for continued performance of the contract line item(s) identified in paragraph (a) of this clause, the parties will agree as to the period of contract performance which will be covered by the funds. The provisions of paragraph (b) through (d) of this clause will apply in like manner to the additional allotted funds and agreed substitute date, and the contract will be modified accordingly.

(e) If, solely by reason of failure of the Government to allot additional funds, by the dates indicated below, in amounts sufficient for timely performance of the contract line item(s) identified in paragraph (a) of this clause, the Contractor incurs additional costs or is delayed in the performance of the work under this contract and if additional funds are allotted, an equitable adjustment will be made in the price or prices (including appropriate target, billing, and ceiling prices where applicable) of the item(s), or in the time of delivery, or both. Failure to agree to any such equitable adjustment hereunder will be a dispute concerning a question of fact within the meaning of the clause entitled "disputes."

(f) The Government may at any time prior to termination allot additional funds for the performance of the contract line item(s) identified in paragraph (a) of this clause.

(g) The termination provisions of this clause do not limit the rights of the Government under the clause entitled "DEFAULT." The provisions of this clause are limited to work and allotment of funds for the contract line item(s) set forth in paragraph (a) of this clause. This clause no longer applies once the contract if fully funded except with regard to the rights or obligations of the parties concerning equitable adjustments negotiated under paragraphs (d) or (e) of this clause.

(h) Nothing in this clause affects the right of the Government to this contract pursuant to the clause of this contract entitled "TERMINATION FOR CONVENIENCE OF THE GOVERNMENT."

(i) Nothing in this clause shall be construed as authorization of voluntary services whose acceptance is otherwise prohibited under 31 U.S.C. 1342.

(j) The parties contemplate that the Government will allot funds to this contract in accordance with the following schedule:

On execution of contract $-- (month) (day), (year) $---- (month) (day), (year) $---- (month) (day), (year) $---- NOTE: The Government expects a possible need to incrementally fund the contract resulting from this solicitation, however, sufficient information is not available at this time to complete the fill-in spaces within this clause.

(End of clause)

TRADE-OFF FACTORS

Factor 1: Technical Subfactor A – Preventive Maintenance (PM) Schedule and Procedures

The Government will evaluate Volume I/Section B: Preventive Maintenance (PM) Schedule & Procedures of the offeror’s proposal in accordance with the following criteria:

*Completeness: The PM schedule includes all equipment to be serviced throughout the life of the contract (i.e. base year plus all option years). The PM procedures provides comprehensive description of preventive maintenance procedures for all equipment to be serviced throughout the life of the contract.

*Effectiveness: The degree to which the offeror’s process, resources, and personnel indicates effectiveness in ensuring that the equipment to be serviced will operate at optimal levels with minimal failures.

*Efficiency: The offeror’s proposed schedule, process, and resources to all identified tasks are allocated appropriately for the undertaking and minimizes underutilization of resources.

NOTE: The information provided in attachment J-7 will not be evaluated as a subfactor under FACTOR 1, nor as a factor among the trade-off factors, therefore, it will not be considered in the Government’s source selection decision for contract award. The Government will review the information provided in attachment J-7 for determining the offeror’s responsibility in satisfying the requirement as set forth in FAR 52.219-9 Alt II as a matter of eligibility for contract award.

Factor 2: Past Performance The Government will evaluate the offeror’s quality of performance on its previous/or current, relevant projects by using one or a combination of the following methods:

· Review of information provided in Volume 2/Section B: Past Performance Questionnaire

· Review of information available from Contractor Performance Assessment Reporting Systems (CPARS), Past Performance Information Retrieval System (PPIRS), and other commercial sources

Factor 3: Price

Subfactor A: Firm Fixed Price for Preventive Maintenance:

Price analysis will be performed to determine completeness and the reasonableness of the offeror’s firm-fixed price for Preventive Maintenance. Reasonableness will be based on the proposed price comparison to the Independent Government Estimate (IGE) as well as comparison to other offers. For a price to be reasonable, it must represent a price to the government that a prudent person would pay in the conduct of competitive business. Normally, price reasonableness is established through adequate price competition, but may also be determined through cost and price analysis techniques as described in FAR 15.404. For additional information, see FAR 31.201-3.

Subfactor B: Indefinite Quantity Task Order Coefficients:

Price, in terms of this contract will be the offeror’s coefficients. These coefficients establishes competitive cost adjustments, or multiplers, to the R.S. Means pricing structure or non-prepriced items for various projects to be anticipated under this contract.

Price analysis will be performed to determine the reasonableness of the offeror’s price proposal. For the purpose of performing price analysis the evaluated price will be the calculated price based on the offeror’s coefficients for a project consisting of R.S. Mean items that total $30,000 and non-prepriced items that total $70,000 to be performed during non-standard hours. Calculation will be performed by applying the offeror’s coefficients for the base period and all option periods. The evaluated price will be the sum of prices from the base period and all option periods.

Attachment J-8 provides a sample of how the two evaluated prices will be calculated.

The Government Reasonableness will be based on competition.

3. Evaluation Rating

3.1 Factor 1 Rating Scheme: Factor 1 will be assigned a combined Technical/Risk rating. 3.2 Factor 2 Rating Schemes: The Past Performance Evaluation Panel will assign a relevance rating and a confidence rating based on the offeror’s past performance information..

3.2.1 RELEVANCE RATING: The Government will evaluate the relevance of the offeror’s past performance prior to assessing the offeror’s confidence rating. This rating is a measure of how relevant a recent effort accomplished by the offeror is to the effort to be acquired through the source selection. Each project referenced in Volume II/Section A: References will be assigned one of the following ratings:

Rating
Definition
Very Relevant
Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.
Relevant
Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.
Somewhat Relevant
Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.
Not Relevant
Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

*A project submitted for past performance information must satisfy all of the following criteria in order to be considered “Very Relevant”:

(1) The work being performed under the contract is for maintenance of high-voltage electrical equipment up to 13.8kV

(2) The total contract value is between $5,000,000 to $15,000,000 during a 5-year period or $1,000,000 to $3,000,000 annually.

(3) The offeror is the prime contractor

(4) The effective date of the contract performance is within 60 months from the date of the proposal submission deadline.

A referenced project that is “Not Relevant” will not be evaluated in determining the Government’s confidence rating. Failure to submit a minimum of three “Relevant” past performance references will receive an overall confidence rating of “Unknown Confidence”.

3.2.2 CONFIDENCE RATING: After assigning a relevance rating, the Government will evaluate how well the offeror has performed on relevant past performance by assigning a confidence rating. The following table provides description for each rating.

Confidence Rating
Description
Substantial Confidence
Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.
Satisfactory Confidence
Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort
Limited Confidence
Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort
No Confidence
Based on the offeror’s recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.
Unknown Confidence (Neutral)
No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

4. RELATIVE IMPORTANCE OF THE EVALUATION FACTORS

Factors 1 and 2 are of equal importance. Factors 1 and 2 combined are significantly more important than Factor 3.

- Within Factor 1, subfactors A and B are of equal importance. Subfactors A and B combined are significantly more important than Subfactor C.

- Within Factor 3, subfactor A is signficantly more important than subfactor B.
