ADDENDUM TO FAR 52.212-1 – INSTRUCTION TO OFFERORS – COMMERCIAL ITEMS (JUNE 2008)
FAR 52.212-1 is hereby amended to reflect the changes shown below as to the specific paragraph revised.
Para (a) (on small business size and identification). This does not apply to this solicitation.
Para (b) Submission of Offers. The following amends this paragraph with respect to the information and documents required for submission in response to this solicitation and the procedures for the evaluation and award of contract.
A. GENERAL.
1. OFFERORS SHOULD NOTE THAT:
a. This paragraph re-iterates and emphasizes FAR 52.212-1(g). The Government intends to evaluate proposals and award a contract without discussions. However, the Government reserves the right to conduct discussions in accordance with (IAW) FAR Subpart 15.306(d). Therefore, the offeror's initial proposal should contain the offeror's best terms from a cost or price and technical stand point.
b It is imperative that vendors respond, at minimum, directly to each area specified and to ensure that their offer is submitted on the most favorable terms, since less than their best potential could result in exclusion of the offer from further consideration. Responses which merely repeat the SOW cannot be considered as being responsive to the requirements of the RFP. Assurances of experience, capability or qualifications, without a clear demonstration to support the claim, may adversely influence the evaluation of the offer.
c Vendors are responsible to watch FEDBIZOPPS for postings of amendments, answers to questions, and other instructions / information, if any. Any amendments posted to the solicitation must accompany your offer and be signed.
d. TYPE OF CONTRACT. A firm-fixed, unit-priced requirements-type contract will be awarded under the terms and conditions of this solicitation and vendor’s prices. This contract will be awarded on AN ALL OR NONE BASIS (basic plus option years) for all services within those line items. Award will be pursuant to the evaluation criteria stated in FAR 52.212-2 EVALUATION – COMMERCIAL ITEMS of this document.
e. ANTICIPATED AWARD START DATE: 15 JUNE 2012 for a base period of 12 months and includes four, 12-month options beyond the base year, for a total award period of 60 months.
2. RFP CLOSING DATE. Proposal due date and time is in Block 8, page 1, of this SF1449 solicitation form.
a. DoDEA will ensure personnel are present at the agency to accept proposals. No electronic or fax copies of any proposals will be accepted. No exceptions.
b Non-Responsive. If you do NOT follow these instructions, your offer may be found non-responsive and you will not be considered for award.
3. QUESTIONS.
a. The cut-off date for all questions will be one week after the RFP has been posted, 21 FEBRUARY 2012.
All questions will be in writing, by email, to the point of contact (POC), tracey.wilder@hq.dodea.edu, with the Subject Line “HE1254-12-R-0002 Questions.” Telephone questions WILL NOT be accepted nor responded to.
b. Responses to all questions will be in the form of an amendment to the RFQ which will be posted on FEDBIZOPPS approximately five days after cut-off date for questions.

B. SUBMISSION INSTRUCTIONS.
1. ORGANIZATION.
a. To assure timely and equitable evaluation of proposals, all interested offerors must follow the instructions contained herein. Proposals must be complete, self-sufficient and respond directly to the requirements of this RFP.
Offerors shall assume that the Government has no prior knowledge of their experience, and will base its evaluation on the information presented in the offeror’s proposal.
b. Vendor’s proposal shall be organized in four (4) separate PARTS: TECHNICAL CAPABILITY; PAST PERFORMANCE, PRICE and SMALL BUSINESS SUBCONTRACTING PLAN. Contents for each separate part are cited below.
2. FORMAT.
(a) All vendors must submit quote materials as described below and in the stated quantities for each PART.
Types of binders used are at the discretion of the vendor. The number of quantities for each PART is detailed below under each section for Price, Technical, Past Performance and Subcontracting Plan.
(b). Submission shall be one original plus one additional written copy and one CD/DVD copy. Vendor must ensure that the CD / DVD are labeled properly, readable and at quantities stated. Pricing information WILL BE separate, whether written or by CD / DVD, from the technical information. In addition, all original documents SHALL be HARD copy provided with the CD / DVD. In the case of a conflict between the electronic and the hard copy, the hard copy will be considered the correct version.
(c) Indexing. Each PART shall contain a table of contents to delineate the subparagraphs and tab indexing will be used to identify sections.
(d) Glossary of Abbreviations and Acronyms. Each PART or section shall contain a glossary of all abbreviations and acronyms used, with an explanation for each, if applicable.
(e). If sufficient quantities are not submitted, whether written or by CD / DVD, your proposal will be considered non-responsive and you will not be considered for award.
3. DEVIATIONS will be fully explained; however, inclusion of price in documents other than the PRICE proposed IS NOT an acceptable deviation. Any offer that states, includes or alludes to the proposed prices in the Technical Proposal or in the Past Performance Documentation, is unacceptable and will not be considered for award.
C. COMPOSITION REQUIREMENTS. The following information is to be included in each PART.
PART I – TECHNICAL CAPABILITY. One original plus one additional written copy and one CD/DVD copy of the Technical Capability Statement. Additionally, offerors will submit one copy of supporting courseware materials (if provided in hard-copy or CD/DVD format) or online access to courseware).

The Contractor must address how its submitted materials meet the Statement of Work. The Technical Evaluation Board will stop reviewing the Technical Capability Statement after the 50th page. Vendors must demonstrate capability and experience in the areas of understanding of the Government’s requirement and approach to performing the work as described below. Specifically, offerors shall address the following:
(i) Contract Requirements. Demonstrate familiarity and understanding of SOW requirements. As a minimum, technical approach should explain and address how their proposed materials and software application curriculum meets all the requirements set forth in the SOW.
(ii) Relationships. If offeror proposes to meet the SOW requirements through a relationship (i.e., teaming, partnering, joint venture), include all signed agreements and any certifications.
(iii) Materials. Provide a description of and access to all materials proposed to meet this requirement.
Materials can be provided in hard-copy (textbook, etc.), CD/DVD, or via online access. If material submission will be accomplished via online access, provide specific details about how to access the materials.
(iv) 508 Compliance. Discuss how your coursework meets 508 Compliance.
PART II – PAST PERFORMANCE. One original plus one additional written copy and one CD/DVD copy.

52.212-2 EVALUATION-COMMERCIAL ITEMS (JAN 1999)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered.
The following factors shall be used to evaluate offers: Factor 1: Technical; Factor 2: Past Performance; and Factor 3: Price. When combined Technical and Past Performance are significantly more important than Price; and Technical is more important than Past Performance. The Contracting Officer will exercise the trade-off analysis among the factors, leading to the best value decision.
FACTOR 1 - TECHNICAL CAPABILITY. Vendors will be evaluated on how well they demonstrate their ability to perform the requirement as set forth in the Statement of Work as well as on the general quality of the proposed products and services. Further, emphasis will be placed on the proposed materials’ ease of usage and on how well the proposed solution works in a low bandwidth environment.
Technical Ratings: Technical capability will be evaluated using the following ratings. Only those offers determined to be Acceptable, Good, or Outstanding, as defined above, either initially or as a result of discussions, will be considered for award.
OUTSTANDING (O) – The proposal meets requirements and indicates an exceptional approach and understanding of the requirements. Strengths far outweigh any weaknesses. Risk of unsuccessful performance is very low.
GOOD (G) – The proposal meets requirements and indicates a thorough approach and understanding of the requirements. Proposal contains strengths which outweigh any weaknesses. Risk of unsuccessful performance is low.
ACCEPTABLE (A) – The proposal meets requirements and indicates an adequate approach and understanding of the requirements. Strengths and weaknesses are offsetting or will have little or no impact on contract performance.
Risk of unsuccessful performance is no worse than moderate.
MARGINAL (M) – The proposal fails to meet performance requirements and capability standards in one or more areas. The proposal has minor omissions and demonstrates a misunderstanding of the requirement that may be corrected or resolved through discussions without a complete revision of the entire proposal. The proposal has weaknesses that can potentially cause some disruption of schedule, increase in cost, or degradation of performance even with special contractor emphasis, and close government monitoring.
UNACCEPTABLE (U) – The proposal fails to demonstrate a basic understanding of the requirements and the approach fails to meet performance or capability standards. The proposal has major omissions and inadequate details to assure the evaluators that the offeror has an understanding of the requirements. The proposal presents an unacceptable risk and cannot meet the requirements without major revisions.
FACTOR 2 - PAST PERFORMANCE.
1. Overview. In determining past performance risk, the evaluators may employ the following approaches: (i) reviewing the present and past performance documentation required by Addendum to FAR 52.212- 1 and provided by the offeror as to the relevancy to the solicitation requirements; and (ii) using data independently obtained from other government and commercial sources. In determining risk, judgment will be used in assessing the probability of success, problems on previous efforts, the impact of failure, and the alternatives available to meet the requirements.
2. The purpose will be to identify and review relevant present and past performance, and then make an overall risk assessment of the Offeror's ability to perform this effort. The process will result in an overall risk rating of low, medium, high or neutral. This risk assessment represents the Government evaluation team's judgment of the probability of an Offeror successfully accomplishing the proposed effort based on the Offeror's demonstrated present and past performance.
3. Past performance will take into consideration past efforts similar in type and size to that stated in this solicitation. In other words, in evaluating the proposal, strong emphasis will be placed on the record of past performance for jobs of comparable size and complexity and similar technical requirements. Consideration will be given to the degree to which the offeror has met technical and response objectives on other efforts.
4. Performance Risk Definitions. The following definitions will be used in the evaluation of the degree the offeror will satisfactorily perform the required services based on the past and current performance records.
High Risk (H) - Verification of past performance shows that offeror has consistently not met work schedules and other obligations, has defaulted on at least one contract within the past three years, or has chronically failed to meet contract terms.
Medium Risk (M) - Verification of past performance shows that offeror meets work schedules and specified services most of the time, meets contract terms without failure or resolves issues immediately, and has not been defaulted on any contract within the past three years.
Low Risk (L) - Verification of past performance shows that offeror consistently meets work schedules, provides specified services, meets contract terms without failure, and has not been defaulted on any contract within the past three years.
Neutral / Unknown Performance Risk (N). No record of past performance.
5. The Government may reject a proposal if it is found that any information that has a negative impact on the offeror's past performance record has been deleted, misrepresented, or withheld.
FACTOR 3 - PRICE.
1) Price may be traded off against the increased value of the other factors.
2) Prices will be analyzed in accordance with FAR 15.404-1(b). The proposed prices will be evaluated separately from technical and past performance factors for fairness and reasonableness for all years (base plus options) in terms of consistency with the technical approach.
3) In determining reasonableness of price, evaluation will review prices and take into consideration that proposed prices reflect a clear understanding of work to be performed, consistency with the technical requirement for all years and indicates reasonableness of prices for procedures.
4) If the other factors are rated the same for two or more offeror proposals, price may be the determining factor for the proposal representing the Best Value in accordance with the evaluation criteria contained in this acquisition, and award shall be made to the offeror, subject to a positive responsibility determination.
5) The total evaluated price must be reasonable and any additional expense must be justified by a corresponding value of technical merit or an expectation of greater quality or performance.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
