FOR OFFICIAL USE ONLY - J&A No. 12-13

Justification for Other Than Full and Open Competition (J&A)

ProjecUProgram Name: Common Avionics Architecture System (CAAS) Hardware nenUPEOIOther:

Estimated Contract Cost (including options): $ 45,889,155

Type J&A: (Individual~)

J&A No.

12 - 13

United States Special Operations Command (USSOCOM), , AMSAM-SPK, 401 Lee Blvd., Fort Eustis, VA 23604-5577

This action will result in a new firm fixed price, indefinite delivery, indefinite quantity (IDIQ) contract to procure Common Avionics Architecture System (CAAS) hardware.

The contract will have an initial ordering period of one year with four additional one-year optional ordering periods. The minimum ordering amount is $624,000, with a maximum ordering amount of $45,889,155. The initial delivery order will be issued concurrently with contract award citing FY12 Procurement, Defense-Wide (PROC).

Subsequent orders shall cite funding appropriate for the order, including, but not limited to; Major Force Program PROC, Operation & Maintenance, Defense-Wide (OMO), and Department of Homeland Security, Coast Guard Budget Activity, Acquisition, Construction, and Improvements (USCG Acquisition), Hardware procured under this contract will support aircraft.

The proposed contract will procure hardware components that are part of the Common Avionics Architecture System (CMS) used in multiple series of Army Special Operations Aviation (ARSOA) aircraft and US Coast Guard aircraft. These components include the CAAS MUlti-Function Display (MFD), ControlDisplayUnit (CDU),PowerSupplyModule(PSM).Video ProcessingModule(VPM).DataTransferunit (DTU),and EmergencyControlPanel (bothAC andDC versions). The aircraft include the

Components are being procured to support additional aircraft. aircraft modernization. and aircraft sustainment. The hardware components to be procured under this TAPO contract are common with aircaft and up until recently were purchased under the Aviation and Missile Command (AMCOM). Cargo Program Management Office (PMO) contract. The AMCOM contract is expired and will not be replaced for at least 18 months. Of the total dollar value of this J&A. $30.339.940 is required for ARSOA, and $15,549.215 is required for US Coast Guard. The Coast Guard requirements will be met with the TAPO contract only through FY13, when the AMCOM contract is expected to be replaced. The TAPa contract will remain in-place up to five years from award in order to reduce risk to ARSOA of any further contract gaps. and to avoid a 3% passthrough charged to users of the AMCOM contract.

4. Authority Cited: (FAR 6.303-2(b)(411

~ 10 U.S.C 2304(c)(1), Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements, as implemented by FAR 6.302-1

5. Reason for Authority Cited: (FAR 6.303-2(b)(5» CMS is a fully integrated flight and mission management system for ARSOA rotary wing aircraft that is not platform specific. It integrates multiple communications.

navigation, weapons, and mission sensor subsystems for reduced crew workload, improved operational effectiveness, and safety. CMS is installed in multiple aircraft series.

The proposed source is Rockwell Collins Inc, Government Systems, 400 Collins Road, Cedar Rapids, Iowa 52498. Rockwell Collins is the original equipment manufacturer of the CMS hardware installed on ARSOA aircraft. The initial acquisition of CAAS was conducted on a competitive basis, and Rockwell Collins was the successful offeror.

ARSOA investment in CMS hardware to date exceeds $85.000,000.

The Government is concerned with the inability of more than one source to meet the required delivery schedule. Using the experience of the initial ARSOA qualification of CMS is estimated that at a minimum, it would require 60 months and $20,000,000 (based on the actual cost and schedule for the original CMS hardware development and qualification) for an alternate vendor to become a viable second source for this requirement. Rockwell Collins alone possesses the knowledge and ability to perform the CAAS components purchase effort identified above without these schedule and cost penalties.

6. Efforts/Actions to Increase Competition: (FAR 6.303-2(b)(6})

A synopsis notice was ~ publicized as required by FAR 5.2. in FedBizOpps on 5 March 2012. To date, no other firms have expressed interest either orally or in writing. All sources who express interest will be considered.

a. As the designer and developer of CAAS, Rockwell Collins possesses the requisite tooling, support equipment, proprietary technical drawings and engineering data.

Rockwell Collins leveraged CAAS from a proprietary design for a commercial avionics system, developed at private expense. Any alternate source would be required to obtain the Rockwell Collins proprietary drawings, unique tooling, support and test equipment, and Rockwell Collins proprietary material specifications and material process descriptions. Rockwell Collins is not willing to sell the technical data {see letter dated 03 August 2011). If they were willing to sell their technical data, it would not be practical or cost effective for the Government to obtain the data rights for CMS and likewise to retool, equip and provide additional shop and hangar space for an additional vendor to support either system singularly.

b. Acquisition History: The Government selected Rockwell Collins on a competitive basis for development and production of CAAS in 2002. Since then, the U.S.

Army selected CMS for the programs, the Air Force for use in the , U.S. Marine Corps for the program, and the U.S. Coast Guard for the program. To date, these Government program offices have not identified any other source for CMS.

c. Acquisition Forecast: To ensure that the benefits of re-use and commonality are maximized, hardware provisioning must be managed under a common developer making use of a common Delivery Order process whenever possible or feasible for the near term. To date the CMS hardware has been purchased commercially and is currently commercially available. The majority of the technical data rights are proprietary to Rockwell Collins therefore; the Government does not have sufficient data rights or the ability to obtain these rights to share with other competitors to perform repair and maintenance.

d. Future Competition: The Program Management Office (PMO) has been unsuccessful in identifying new sources for CAAS components and software;

therefore competition for future requirements is highly unlikely. All upcoming CAAS software and hardware requirements will be synopsized on FedBizOpps and any vendors who have identified themselves as being capable of providing the requirement will be given consideration. With new avionics software and hardware advances it is probable that CAAS will become obsolete and if this occurs, future requirements, along with the life cycle support requirement, will be open for com petition.

7. Market Research: _(FAR6.303-2(b)(8))

In accordance with FAR 5.003, the proposed acquisition was synopsized and posted on FedBizOpps. As defined by FAR Part 10, the PMO conducted market research in February 2012 to determine if other sources were capable of satisfying the Governments requirement. Using the key words "CAAS Hardware", "CAAS displays", and "Emergency Control Panel" the PMO staff conducted an online database search of the Thomas Register to identify new sources that may be able to satisfy the requirement with negative results. Additionally, the Technical Industrial Liaison Office (TILO) data base and the SOAL-K IDIQ database were searched on 15 February 2012 with negative results. The market research shows that no other firms are capable of producing eAAS hardware at this time.
