Section SF 1449 - CONTINUATION SHEET
TERMS AND CONDITIONS
BPA TERMS AND CONDITIONS:
The Contractor agrees to the following terms and conditions of the Blanket Purchase Agreement (BPA).
The terms and conditions included in this BPA shall apply to all calls made pursuant to the agreement.
Scope of Blanket Purchase Agreement: This Blanket Purchase Agreement is entered into in order to provide a variety of vessel leases. The agreement will involve up to seven (7) type of vessel leases spread across five potential geographic zones. Zones are defined as follows: Zone A, Northeast Atlantic (Annapolis, Maryland to Bangor, Maine); Zone B, Mid-South Atlantic (Virginia Beach, Virginia to Key West, Florida); Zone C, Gulf Coast (Tampa, Florida to Galveston, Texas); Zone D, West Coast South (San Diego, California to Santa Barbara, California); and Zone E, West Coast North (Monterey, California to Seattle, Washington). Vessel leases shall support the United States Special Operations Command (USSOCOM). All calls placed against this Blanket Purchase Agreement are subject to the terms and conditions as set forth in this Blanket Purchase Agreement.
Vessel Acceptance: Eligibility of vessels shall be determined by the vessel capability paragraphs under the provision at Federal Acquisition Regulation (FAR) 52.212-1, paragraphs (m) and (n) of solicitation H92240-20-T- 0009.
1. Volume of Purchases: The Government’s non-binding estimate of leases on an annual basis for all types of vessels across all types of zones is approximately $730,000 per annum increasing by five (5) percent annually.
2. Obligation of Funds: This Blanket Purchase Agreement does not obligate any funds. Funds will be obligated by placement of calls issued pursuant to FAR 8.405-3
3. BPA Duration: The BPA expires five (5) years after award. Calls may be issued until date of BPA expiration, for a period of performance not to exceed twelve (12) months after the BPA expires. The Government may re-open the BPA solicitation during the five (5) years to refresh the pool of contractors. See paragraph 7(f).
4. Authorized Callers or Placement of Orders: All SOCOM Contracting Officers, Ordering Officers and cardholders may use this Blanket Purchase Agreement in accordance with their delegated purchase authority.
Vendor is not to accept orders from any other source. Oral Calls are authorized.
5. Invoicing: Individual invoices are to be submitted for each call.
6. Period of Performance: The BPA will be established with a five (5) year ordering period during which calls can be issued. Specific dates and location for each vessel lease will be specified at the BPA call level.
7. Supplemental Agreement Term and Conditions and Re-Opener provision:
a. BPA’s will be issued based upon vessel type in accordance with the procedures described under Federal Acquisition Regulation (FAR) 52.212-1. Establishment of a Blanket Purchase Agreement does not commit the Government to enter into calls for leases. The Government anticipates calls will be competed, unless an exemption to competition applies (See FAR 8.405-6(a)(1)(i)).
b. Pricing proposed at the BPA level shall serve as not to exceed ceiling pricing for the life of the BPA.
BPA holders may offer lower pricing at the call level.
c. Either party (Government or Contractor) may cancel this BPA by providing written notice to the other party via the Contracting Officer. The cancellation will take effect thirty (30) days after the other party receives notice of the cancellation. BPA cancellation does not release the contractor from the duty to continue performance on existing issued calls or complete BPA reporting requirements. Ongoing calls continue in accordance with their own period of performance, even if the BPA is cancelled.
d. BPA holders may remove a vessel from a BPA by providing written notice to the Contracting Officer.
The withdrawal of a vessel will take effect thirty (30) days after Contracting Officer written acknowledgement of vessel withdrawal. BPA holder may submit a replacement vessel for consideration to the Contracting Officer at the same time the BPA holder submits a notice of vessel withdrawal. Submission of vessel withdrawal does not release the contractor from the duty to continue performance on existing issued calls or complete BPA reporting requirements. Ongoing calls continue in accordance with their own period of performance, even if the vessel is withdrawn under the BPA.
e. Reopener Provision: The Government reserves the right to refresh the pool of BPA holders, via re-opening of the BPA, every six (6) months. The Government is under no obligation to re-open the BPA to competition. Through re-opening of the BPA, the Government may compete requirements for current or new vessel types. Procedures described under the provision at FAR 52.212-1 of this solicitation shall govern adding of additional BPA holders.
f. Service Contract Act of 1965. Offerors issued a Blanket Purchase Agreement agree to comply with Service Contract Act Wage Determinations. Wage Determinations will be incorporated at the call level and will be based upon the vessel lease location.
8. BPA Call Placement Procedures: At the call level, the Government intends to compete future requirements for leases by vessel type. However, the Government reserves the right to issue unilateral calls. The Government may compete calls for specific vessels by geographic location or may reduce the vessel configuration from the specifications established at the agreement level. Basis for award of a call under a competitive action shall be defined by a request for call quote (RFCQ). RFCQ shall be issued no sooner than thirty days before the vessel lease is required.
BPA Master Dollar Limit: The total value of all BPA calls issued as a result of soliciation H92240-20-T-0009 shall not exceed $3,995,000.00

Paragraph (m) INSTRUCTIONS TO OFFERORS
1. General Instructions to Quoters
1.1 This is an all-electronic solicitation release. No hard copies will be mailed. Amendments to the solicitation will be posted to www.fedbizopps.gov. It is the responsibility of each quoter to review the webpage for notice of amendments, updates, or changes to current information. The exclusive responsibility for the source selection will reside with the Government. Proprietary information submitted in response to this solicitation will be protected from unauthorized disclosure as required by Subsection 27 of the Office of Procurement Policy Act as amended (41 U.S.C. 423) as implemented in the FAR. The quote and corresponding program will be unclassified and treated as Source Selection Sensitive Information.
1.2 All quotes must be complete, self-sufficient, and respond directly to the requirements of the solicitation.
Any commitments made in the quote shall become part of the resultant contract. Any significant inconsistency, if unexplained, raises a fundamental issue of the quoter’s understanding and/or ability to perform under a contract.
This may be a basis for rejection of the quote. In no case shall words like “we will comply with the requirements of the contract,” or equivalent statements, be acceptable to meet the requirements of this request for quote (RFQ). The quote shall not simply rephrase or restate the Government’s requirements, but rather shall provide convincing rationale to address how the Quoter intends to meet the requirements. Use of documentation by reference, and not incorporated into the quote, will not be allowed. Quoters shall comply with stated submission page limitations and shall not exceed the submission limitations by cross referencing other sections of their quotes. Failure to comply with these instructions may result in a quoter’s quote being excluded from further consideration for award. Quoters shall submit with their quotes a list of names and telephone numbers of persons authorized to conduct negotiations.
1.3 The evaluation will consist of an evaluation of Vessel Capability, Past Performance and Price, which are outlined below. After completion of the evaluation, the Government intends to evaluate quotes and award blanket purchase agreements (BPAs) without discussions in accordance with FAR 52.212-1(g). The Quoter’s initial quote should contain the Quoter’s best terms from a price and technical standpoint. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary. Quoters may be asked to clarify certain aspects of their Vessel Capability, Past Performance and Price submissions. Exchanges conducted to resolve minor or clerical errors in any of the quote volumes will not constitute discussions, and the Government reserves the right to award BPAs without granting an opportunity to revise the original quote.;
1.4 Quotes shall not contain classified information
1.5 Quote Format. Format of the quote volumes shall be as follows:
a. Text size shall be no smaller than Microsoft Word, Times New Roman, 10 point, uncompressed font, including in any tables, charts, graphs or figures.
b. Pages shall be single sided, one and one half spaced, with a minimum of one inch margins on all sides.
Pages shall be dated and numbered sequentially by volume. A cover sheet, limited to one page, should be included in each volume, clearly marked as to volume number, title, solicitation number identification, and the quoter's name. The one page cover sheet per volume shall not count against aggregate page limitations.
c. Elaborate format and color representations are not desirable.
d. Electronic copies must be provided via E-mail. Microsoft Office Word processing software and Excel spreadsheet software formats are required.

Offerors shall include the name, address, CAGE code and business size (small or large) of the proposed sub-contracted entity. Offerors that are small businesses will receive credit for the tasking to be performed. Offerors are referred to the table below, which reflects the stated small business objectives of the agency:
Table 1. Small Business Subcontracting Goals
CATEGORY MINIMUM
REQUIREMENT
Small business 21%
Small disadvantaged ** 5% Woman owned** 5% HUBZone** 1% Service Disabled Veteran Owned** 3%
NOTE: Submission of summary statement for the small business participation factor SHALL NOT RELIEVE large businesses of the requirement to submit a formal small business subcontracting plan in accordance with Federal Acquisition Regulation (FAR) 52.219-9 and Defense Federal Acquisition Regulation Supplement (DFARS) 252.219-7003 Alt I. A small business subcontracting plan, complying with the requirements of FAR 52.219-9 and DFARS 252.219-7003 Alt I, will be assessed by the contracting officer prior to issuance of award, and shall be incorporated into any resulting contract.
Submission of a formal small business sub-contracting plan is not required at quote submission but may be requested in writing by the contracting officer prior to an award decision.
2.2 The Government will review Volume 1 for completeness and that the quoter indicated that it is eligible for a Government contract based on the quoter’s responses to the representations, certifications, all contract forms, and other statements required by the solicitation. The quoter shall ensure all Contract Forms, Representations, and Certifications have been completed as required. Incomplete quotes regarding such items may render the quote ineligible for award.
3. VOLUME 2 – FACTOR 1 – Vessel Capability
The Government’s requirement for vessel leases spans five (5) geographic zones and involves leasing of seven (7) different types of vessels. In order to be considered for award of a BPA an offeror, at a minimum, must submit one vessel for consideration in one of the 5 geographic zones. Offerors may submit multiple vessel types in multiple zones. In order to facilitate submission of the vessel capability factor, the Government has created a vessel quote sheet for each type of vessel. Offerors shall submit one vessel quote sheet for each vessel submitted for consideration under this solicitation.
Note (1): Sport Fisher, Sailboat and Trawler type vessels submitted for consideration constructed before 2000 will only be eligible if a Marine Vessel Survey has been conducted by a certified member of the National Association of Marine Surveyors (NAMS) or an accredited member of the Society of Accredited Marine Surveyors (SAMS) within the past two years. An acceptable Marine Survey involves an out of water (hull inspection), sea trail and full visual inspection. If submitting a survey, the offeror shall submit evidence of the surveyor’s credentials as a member of SAMS or NAMS with the survey. An acceptable survey shall demonstrate the vessels compliance with the Governments stated requirements under the respective vessel’s Quote Sheet and the Surveyor shall include a statement relating to compliance of the vessel. Any vessel submitted with an incomplete survey or a survey indicating the vessel is not seaworthy in any manner will result in the vessel being rejected for consideration. In order to facilitate submission of a Marine Vessel Survey, the Government has provided a Marine Survey Template. Offerors submitting a Marine Vessel Survey are reminded to submit proof of the Surveyors credentials and a summary report of full sea trials. Marine Survey shall not be older than twenty-four (24) months from date of solicitation issuance. Submission of a Marine Survey does not relive the offeror of submitting a Quote Sheet for the specific vessel being quoted.
Note (2): The Governments’ award decision shall be based off of the proposed vessel(s) ability to meet the stated requirements listed under the applicable vessel quote sheet and/or the Marine Vessel Survey (if applicable). If a Marine Survey identifies any concerns with specific vessels, the offeror shall provide evidence that the concern has been adequately addressed. The Government will be the sole decision authority on the adequacy of corrective action taken by the offeror to any identified Marine Survey concerns. At the call level, vessel(s) shall be meet all the stated requirements listed under the applicable vessel Performance Work Statement.
4. VOLUME 3: FACTOR 2 - Past Performance. Quoter shall submit at least two (2) but no more than three (3) contract reference that are recent and relevant. Recent is defined as a contract or task order awarded within three (3) years of issuance of this solicitation. If a submitted reference involves a long term contract or agreement, for example a blanket purchase agreement or indefinite-delivery type contract, the reference must be associated with leases that have occurred within the past three years of issuance of this solicitation.
In order to be determined relevant, the submitted contract references must involve one of the 7 types of vessels associated leased within one of the zones identified under this solicitation. Leasing period of vessel shall be no less than four days.
In order to support evaluation of the Past Performance volume for each submitted reference the quoter shall submit one Past Performance Information Sheet (PPIS)(Addenda 15) and one Past Performance Reference Questionnaire (PPQ)(Addenda 16) or Contract Performance Assessment Report (CPAR).
4.1 PPIS: For each submitted reference, the quoter shall submit a Past Performance Information Sheet (PPIS). The PPIS will be used to identify the quoter’s role in performance of past efforts for similar services. Only one reference where the offeror has served as a sub-contractor shall be submitted, the remainder shall be where the offeror served as the Prime contractor. No references from sources the offeror intends to use as sub-contractors shall be submitted.
Quoter shall submit contract references where the quoter performed as the ‘prime’ contractor only.
4.2 PPQ/CPARS: For each submitted contract reference, the quoter shall reference/submit a CPAR, or if there is no associated CPARS for the experience, the quoter shall forward the PPQ to quoter’s contract reference point of contact (POC). Quoters are to request their POCs to submit the completed questionnaire directly to the contracting officer prior to the closing of the solicitation. The Government retains discretion, but is not required, to consider PPQ received after the quote submission due date. At its discretion, the Government may also use the Past Performance Questionnaire to contact sources for additional information. NOTE: Quoter’s shall not submit a PPQ for references where a CPARS is available.
5. VOLUME 4 – FACTOR 3 – Price. The quoter shall submit a price for each vessel under the pricing section of the vessel quote sheet submitted. Pricing shall serve as a not to exceed ceiling price for the life of the BPA. BPA holders may offer lower pricing at the call level.
Paragraph (n) EVALUATION
1. Evaluation. This section outlines the criteria the Government will use in evaluating the quoter’s capabilities and quotes for vessel leasing. The Government will compare each quoter’s capabilities and quote elements against the predetermined evaluation criteria related to the Government’s requirement defined herein. This is a competitive source selection that will be conducted in accordance with (IAW) Federal Acquisition Regulation (FAR) Part 12, FAR Part 13 and Defense Federal Acquisition Regulation Supplement (DFARS) Part 212.
1.1. Prior to evaluating the three evaluation factors, the Government will first review Volume 1 for completeness and that the quoter indicated that it is eligible for a Government contract based on the quoter’s responses to the representations, certifications, all contract forms, and other statements required by the solicitation. The quoter shall ensure all Contract Forms, Representations, and Certifications have been completed as required. The Government will also review the offerors intended use of small business sub-contractors in completing leases. Intended use of small businesses under 21% may result in the offerors quote no longer being considered for award. Incomplete quotes regarding such items may render the quote ineligible for award.
1.2. Below is a summary of the evaluation rating scheme by factor.
Vessel Capability Factor 1 Acceptable/Unacceptable Past Performance Factor 2 Acceptable/Unacceptable
Price Factor 3 (Not Rated) Total Evaluated Price
2. FACTOR 1: Vessel Capability: The Government will evaluate responses provided on the submitted vessel quote sheet to ensure each proposed vessel meets the stated vessel requirements listed on the vessel quote sheet. Vessels proposed that do not meet ALL the stated requirements on the quote sheet will be considered unacceptable and receive an unacceptable rating under Factor 1 and will NOT be further evaluated.
The Government will evaluate Sport Fisher, Sailboat and/or Trawler type vessel constructed before 2000 by evaluating the submitted Marine Vessel Survey and submitted Vessel Quote Sheet. The Government will confirm the survey had been conducted by a certified member of the National Association of Marine Surveyors (NAMS) or an accredited member of the Society of Accredited Marine Surveyors (SAMS) within twenty-four months from solicitation issuance. The Government will ensure the Marine Survey involves an out of water (hull inspection), sea trail and full visual inspection and that the offeror has appropriately addressed any concerns listed under the Marine Survey. The Government will be the sole decision authority on the adequacy of corrective action taken by the offeror to any identified Marine Survey concern. An acceptable survey shall demonstrate the vessels compliance with the Governments stated requirements under applicable vessel quote sheet and includes a Surveyor statement of compliance with the Government’s stated compliance. Any vessel submitted for consideration with an incomplete survey, a survey indicating the vessel is not seaworthy in any manner, or that had not been conducted within the twenty-four month timeframe, or by an individual without the appropriate credentials may result in the vessel being considered unacceptable. The Government will also review the submitted quote sheet to further validate compliance with requirements. Any vessel associated with an unacceptable rating under Factor 1 will not be further evaluated.
3 FACTOR 2: Past Performance: The Government will review the quoters submitted past performance volume. Evaluation will include review of submitted PPIS and associated PPQ/CPARS. The Government will evaluate as follows:
a) The Government will first evaluate submitted contract references to determine if the submitted references are recent.
Any reference considered not recent will not be evaluated further.
b) The Government will review contract references for relevancy. In order to be determined relevant, the submitted contract references must involve at least one of the 7 types of vessels associated leased within at least one of the zones identified under this solicitation. Leasing period of vessel shall be no less than four days. Any reference considered not relevant will not be evaluated further.
c) Finally, for references determined recent and relevant, the Government will review PPQs or CPARS.
Based upon the information contained within the PPQ. CPARS or other information obtained by the Government, the Government will apply the following rating:
Neutral Rating: Quoter’s without a record of relevant past performance or for whom information on past performance is not available, will not be evaluated favorably or unfavorably on past performance and as a result, will receive a “neutral confidence” rating. Quotes receiving a “neutral confidence” rating will remain eligible for award.
4. FACTOR 3: Price. Price will be evaluated in order to determine that the proposed day rate per vessel is fair and reasonable IAW FAR 13.106-3. Submitted pricing volume will be evaluated for completeness and for evidence of unbalanced pricing in accordance with FAR 15.404‑1 (g) (1). The Government reserves the right to use
Past Performance Rating Table
Rating Description Acceptable Based on the quoter’s performance record, the Government has a reasonable expectation that the quoter will successfully perform the required effort, or the quoter’s performance record is unknown
Unacceptable Based on the quoter’s performance record, the Government does not have a reasonable expectation that the quoter will be able to successfully perform the required eff other price analysis techniques and procedures, if deemed necessary, to ensure a fair and reasonable price. The Government is not performing price or cost realism.
5. Basis of Award. The Government will issue BPAs to quotes received from offerors that involve vessel(s) that meet the Governments requirements, are associated with an acceptable or neutral record of past performance, and who’s pricing has been determined fair and reasonable. The Government intends to issue multiple BPAs to the maximum extent possible, but reserves the right to make a single award or no awards.

Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers:
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. (5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.
Oral offers in response to oral solicitations may be withdrawn orally. (g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
