About this file
This is a fully executed six-month contract extension for solid waste hauling services between the City of Sarasota, Florida and Merrell Bros., Inc. The extension allows Merrell Bros., Inc. to continue transporting all municipal solid waste from the City's transfer station to the Sarasota County landfill, as well as providing optional yard waste debris hauling services on an as-needed basis. The original agreement was dated March 29, 2019, with subsequent amendments executed on May 26, 2021 and March 28, 2024. The initial five-year term expired on March 31, 2024, followed by a two-year renewal period expiring on March 31, 2026. The six-month extension runs from April 1, 2026 through October 31, 2026, or until the City secures a new contractor, whichever occurs first. The extension was authorized under RFP #19-16TS and allows the City sufficient time to issue and complete a new solicitation process without service interruption.
Pricing for the extension is based on Exhibit B-2 from the First Extension Agreement, utilizing a per-load fee structure that accounts for both fuel and non-fuel components. The base per-load fee is $292.11 net of fuel, with a fuel portion of $87.80 per load, resulting in a total per-load fee of $454.52. The pricing structure incorporates annual Consumer Price Index (CPI) adjustments for non-fuel portions and fuel-related price adjustments calculated using Producer Price Index (PPI) and Energy Information Administration (EIA) indices. Merrell Bros., Inc. declined to exercise the second two-year renewal option available under the original contract terms, instead mutually agreeing with the City on this shorter six-month extension period. The agreement was executed on April 1, 2026, and is subject to early termination should the City secure a new contractor prior to the October 31, 2026 expiration date.

THIS AGREEMENT FOR SOLID WASTE HAULING SERVICES, made and entered into on {{Dte_es_:signer4:date }} by and between the CITY OF SARASOTA, FLORIDA, a municipal corporation, hereinafter referred to as “CITY,” and MERRELL BROS., INC., a foreign corporation authorized to do business in the State of Florida, hereinafter referred to as “CONTRACTOR," (collectively the “Parties”).
W I T N E S S E T H :
WHEREAS, CITY and CONTRACTOR entered into an Agreement for Solid Waste
Hauling Services dated March 29, 2019, as well as a First Amendment thereof dated May 26, 2021, and a Second Amendment and First Extension to Agreement dated March 28, 2024, hereinafter collectively referred to as the “Agreement,” by which CONTRACTOR provides solid waste hauling services to transport all of CITY’S solid waste from CITY’S transfer station to the Sarasota County landfill and provides optional hauling of yard waste debris, on an as-needed basis pursuant to RFP #19-16TS.
WHEREAS, upon expiration of the initial 5-year term of the Agreement on March 31, 2024, the Agreement was renewed for an additional two years.
WHEREAS, the first renewal of the Agreement between the CITY and CONTRACTOR will expire on March 31, 2026. Although the terms of the Agreement allow for a second two-year renewal, the CONTRACTOR has declined to exercise this option. Instead, the Parties have mutually agreed to a six (6) month extension.
WHEREAS, the Parties desire to enter into this six (6) month extension of Agreement to allow sufficient time for the CITY to issue and complete a new solicitation process without any interruption in solid waste hauling services provided by CONTRACTOR.
WHEREAS, the Parties agree that should CITY secure a new contract prior to the October
31, 2026 expiration of this 6-month extension, CONTRACTOR will be relieved of any further obligation and this Agreement shall be terminated at that time.
WHEREAS, the Parties agree that the pricing in effect for this Six-Month Extension shall be the pricing outlined in the Exhibit B-2 attached to the First Extension of Agreement, a copy of which is attached hereto and incorporated by reference herein.
WHEREAS, the City Manager is authorized to administratively approve and execute this contract extension.
NOW, THEREFORE, IN CONSIDERATION OF THE FOREGOING AND THE
MUTUAL COVENANTS CONTAINED HEREIN, IT IS AGREED AS FOLLOWS:
1. Section 4. Term is hereby modified to extend the term of the Agreement for an additional six (6) months beyond the expiration of the first renewal period, as follows:
Apr 4, 2026
Section 4. Term: The term of the initial Agreement commenced on April 1, 2019 and expired on March 31, 2024. The first two-year renewal of the Agreement commenced on April 1, 2024 and expires on March 31, 2026.
The Agreement provides for one additional two-year renewal upon the mutual agreement of the Parties, but the remaining renewal will not be exercised. This six-month extension of Agreement will commence on April 1, 2026 and shall expire on October 31, 2026, or on the date by which CITY has secured a new CONTRACTOR, whichever is sooner.
2. Notwithstanding the actual date(s) of execution by the Parties, the Effective Date of this Six-Month Extension shall be April 1, 2026.
3. Except as expressly set forth herein, all of the terms, covenants and conditions of the Agreement are hereby ratified and confirmed by CITY and CONTRACTOR and each, by the execution of this Six-Month Extension of Agreement for Solid Waste Hauling Services, hereby signifies their intent to be bound thereby.
IN WITNESS WHEREOF this Six-Month Extension of Agreement for Solid Waste
Hauling Services has been signed and sealed, in duplicate, by the respective parties hereto.
