1.2 CONTRACT TYPE: INDEFINITE DELIVERY / INDEFINITE QUANTITY (ID/IQ) CONTRACT

At the discretion of the Contracting Officer, the Government may use a variety of contract types under this contract for each task order including: Firm Fixed Price (FFP), Time and Materials (T&M), Labor Hour, or a combination thereof.

Each Request For Task Order Proposal (RFTOP) issued under this contract will identify the Government’s determination of task order type.

Specific requirements tailored to meet a particular center program needs will be included in each RFTOP, including specific deliverables and schedules for the deliverables. Each RFTOP shall include the specific Center requirements, performance standards, and a quality assurance plan. The period of performance of each task order will be established upon the issuance the order. Deliverables are to be determined upon the issuance of each task order.

1.3 MINIMUM AND MAXIMUM CONTRACT VALUE

The labor rates and unit prices shall be fixed for the duration of this contract and shall be derived from the IDIQ pricing schedule and effective for the task order period of performance. The unit prices specified in the Task Order shall be fixed for the Task Order Period of Performance and shall not be subject to adjustment, even when the Task Order Period of Performance overlaps the IDIQ Period of Performance. If a task order’s stated period of performance must be extended as a result of delays, the Contractor shall continue to perform at the established labor rates of the Order for the work effort during the extended period. The Pricing Schedule will be developed based on pricing proposed on RFP Attachment 6: FAERS Pricing Sheet. The labor rates in the pricing schedule are fully burdened, inclusive of all direct costs, indirect costs, and profit.

For Firm Fixed Price (FFP) task orders issued under this contract, the applicable unit price for a task order shall be the unit price for the time period in which the services are estimated to be performed, as

FDA-SOL-18-1192468 / Amendment No. 0001 Page 5 of 79 agreed to by the Government and the Contractor at the time the task order is issued. The price (s) specified in the FFP task orders issued under this contract is/are fixed.

1.6 MATERIAL HANDLING

Payment for material handling for ODCs shall be at a fixed percent of __%. Any material handling proposed must be exclusive of any profit and of any costs that would normally be covered by the indirect rates applied to the direct labor rate.

SECTION 2: DELIVERIES OR PERFORMANCE
