Section H - Special Contract Requirements

H-900 OVER AND ABOVE PROCEDURES

Over and Above contract line items for Transient Alert Services (CLIN X004) shall be used only as a last resort in order to meet Government requirements. The contractor shall use on-duty personnel when possible to meet the Government’s requirements.

The CLINs X004 contain an anticipated number of hours based on Government estimations and historical data. The hours are an estimate of the Government’s requirements and do not represent a minimum or maximum number of hours. Failure of the Government to use the estimated labor hours listed in CLINs X004 shall not entitle the contractor to an equitable adjustment in price under the contract.

The Government will, whenever possible, notify the contractor at least one day in advance when services will be required in addition to normal daily activities. Upon notification, the contractor shall develop a proposal that includes the labor categories and number of hours that will be required to meet the Government’s requirements. The contractor shall not begin work until the OSS/CC has approved the contractor’s proposal whenever at least one day notice was provided to the contractor. 78 OSS, Transeint Alert Program Manager notify COR and PCO within 24 hours.

In the event the Government requires the contractor to immediately begin performance, the performance shall not commence unless approved by the OSS/CC or their designee. Designees will be appointed in writing by the OSS/CC and will only have the authority to authorize performance to begin. Designees do not have authority to negotiate on behalf of the OSS/CC. The contractor shall submit its proposal and/or completed work proposal within 24 hours of notification to begin performance to the OSS/CC. 78 OSS, Transeint Alert Program Manager notify COR and PCO within 24 hours.

H-901 PERSONNEL ACCESS

During the life of this contract, the Contractor’s personnel shall have access to Government facilities as required. During all operations on Government premises, the Contractor’s personnel shall comply with the rules and regulations governing the conduct of personnel and the operation of the facility. The Government reserves the right to require Contractor personnel to “sign in” upon entry and “sign out” upon departure from the Government facilities. Certain Government agencies may have security requirements, which necessitate the use of building access passes. No direct charges may be made to this contract for personnel or facility security clearances.

H-902 CONDUCT OF CONTRACTOR PERSONNEL

The Contracting Officer may direct that employees of the Contractor, including employees of a subcontractor at any tier, no longer perform work under this contract on a military installation if the Contracting Officer determines that the employees’ actions would be grounds for removal from the Federal civil service if the employees were civilian employees of the United States or if the employees have been ordered not to re-enter the installation by the commander of that installation. Any delays or increased costs of performance resulting from the Contracting Officer’s direction under this clause shall not be considered to be excusable delay or beyond the control and without the fault or negligence of the Contractor, and shall not be grounds for an equitable adjustment.

H-903 CONTRACTOR IDENTIFICATION

(a) Contractor personnel and their subcontractors must identify themselves as contractors or subcontractors during meetings, telephone conversations, in electronic messages, or correspondence related to this contract.

(b) Contractor-occupied facilities (on AFMC or other Government installations) such as offices, separate rooms, or cubicles must be clearly identified with Contractor supplied signs, name plates or other identification, showing that these are work areas for Contractor or subcontractor personnel.

H-904 GOVERNMENT INSTALLATION CLOSURE

(a) If necessary, the Government (Installation Commander or designee) may decide to close all or part of a Government installation in response to an unforeseen emergency or similar occurrence. Sample emergencies include, but are not limited to, adverse weather (e.g., snow, flood, etc.), an act of God (e.g., tornado, earthquake, etc.), or a base disaster (e.g., natural gas leak, fire, etc.).

(b) The Contractor shall be officially dismissed upon notification of closure. The Contractor shall promptly secure all government furnished property appropriately and evacuate in an expedient, but safe, manner. The Contractor is directed to listen to or watch one of the local radio or television stations for notification of installation closures and delays.

H-905 KEY PERSONNEL CHANGES

The Contractor shall notify the Contracting Officer in advance of any replacement of the Contractor’s Program Manager and Contractor’s Quality Assurance Personnel. The Contractor shall provide all applicable documents showing the replacement individual(s) meets all qualifications for the position, as specified in the PWS.

H-906 LABOR CATEGORY DESCRIPTION AND QUALIFICATIONS

(a) The Contractor shall provide the categories of personnel meeting the minimum requirements listed in the Performance Work Statement (PWS) to perform the functions as described in this solicitation and the resulting contract. The descriptions/requirements listed in the PWS represent the minimum acceptable qualifications for Contractor personnel to perform on this contract.

(b) The Contractor shall do everything possible to insure continuity of effort by using the same personnel throughout the period of the contract. However, if a person leaves the employment of the Contractor before the contract is complete, an individual of comparable qualifications must be chosen to replace that person.

(c) The Contractor’s personnel must have or be able to obtain secret clearances.

H-907 CONTRACT HOLIDAYS

(a) The prices/costs in Section B of the contract shall include holiday observances. Accordingly, the Government shall not be billed for such holidays, except when services are specifically required by the Government and are actually performed on a holiday. Holidays, energy days, furlough days, administrative closure days, etc., in addition to the holidays listed in paragraph (b) below, which may be designated by the Government at any time, shall not be billable unless the assigned Contractor employee actually performs the work on these days, with advance approval by the PCO.

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract.

These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.

52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 30; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least days (60 days unless a different number of days is inserted) before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 166 months..

(a) The use in this solicitation or contract of any Federal Acquisition Regulation (48 CFR Chapter 1) clause with an authorized deviation is indicated by the addition of "(DEVIATION)" after the date of the clause.

(b) The use in this solicitation or contract of any DFARS (48 CFR Chp 2) clause with an authorized deviation is indicated by the addition of "(DEVIATION)" after the name of the regulation.

252.225-7048 EXPORT-CONTROLLED ITEMS (JUNE 2013)

(a) Definition. ``Export-controlled items,'' as used in this clause, means items subject to the Export Administration Regulations (EAR) (15 CFR Parts 730-774) or the International Traffic in Arms Regulations (ITAR) (22 CFR Parts 120-130). The term includes--

(1) ``Defense items,'' defined in the Arms Export Control Act, 22 U.S.C. 2778(j)(4)(A), as defense articles, defense services, and related technical data, and further defined in the ITAR, 22 CFR Part 120; and

(2) ``Items,'' defined in the EAR as ``commodities'', ``software'', and ``technology,'' terms that are also defined in the

EAR, 15 CFR 772.1.

(b) The Contractor shall comply with all applicable laws and regulations regarding export-controlled items, including, but not limited to, the requirement for contractors to register with the Department of State in accordance with the ITAR. The Contractor shall consult with the Department of State regarding any questions relating to compliance with the ITAR and shall consult with the Department of Commerce regarding any questions relating to compliance with the EAR.

(c) The Contractor's responsibility to comply with all applicable laws and regulations regarding export-controlled items exists independent of, and is not established or limited by, the information provided by this clause.

(d) Nothing in the terms of this contract adds, changes, supersedes, or waives any of the requirements of applicable Federal laws, Executive orders, and regulations, including but not limited to—

(1) The Export Administration Act of 1979, as amended (50 U.S.C. App. 2401, et seq.);

(2) The Arms Export Control Act (22 U.S.C. 2751, et seq.);

(3) The International Emergency Economic Powers Act (50 U.S.C. 1701, et seq.);

(4) The Export Administration Regulations (15 CFR Parts 730-774);

(5) The International Traffic in Arms Regulations (22 CFR Parts 120-130); and

(6) Executive Order 13222, as extended.

(e) The Contractor shall include the substance of this clause, including this paragraph (e), in all subcontracts.

252.232-7003 ELECTRONIC SUBMISSION OF PAYMENT REQUESTS AND RECEIVING REPORTS (JUNE 2012)

(a) Definitions. As used in this clause–

(1) Contract financing payment and invoice payment have the meanings given in section 32.001 of the Federal Acquisition Regulation.

(2) Electronic form means any automated system that transmits information electronically from the initiating system to all affected systems. Facsimile, e-mail, and scanned documents are not acceptable electronic forms for submission of payment requests.

However, scanned documents are acceptable when they are part of a submission of a payment request made using Wide Area WorkFlow (WAWF) or another electronic form authorized by the Contracting Officer.

(3) Payment request means any request for contract financing payment or invoice payment submitted by the Contractor under this contract.

(4) Receiving report means the data required by the clause at 252.246-7000, Material Inspection and Receiving Report.

(b) Except as provided in paragraph (c) of this clause, the Contractor shall submit payment requests and receiving reports using WAWF, in one of the following electronic formats that WAWF accepts: Electronic Data Interchange, Secure File Transfer…
