B-1 The government may require continued performance of services at the rates specified in the contract, not to exceed six (6) months, in accordance with FAR 52.217-8, Option to Extend Services. G-3 SUBMISSION OF INVOICES

ALL PAYMENT REQUESTS/COST VOUCHERS SHALL BE PROCESSED ELECTRONICALLY IN WAWF.

Upon submission of proper invoices in WAWF, the government will pay the contractor on a monthly basis for services rendered and accepted, less any deductions provided for in this contract. Payments will be made in accordance with DFARS 252.232-7003 and this clause.

SPECIAL CONTRACT REQUIREMENTS

GOVERNMENT FURNISHED PROPERTY

The list of Government Furnished Property (GFP) is included in attachment II of the PWS, and will be made available to the Contractor by the government for performance of this contract.

In addition to the GFP, the government has established agreements with the host countries and agencies to provide facilities, infrastructure, and other types of support. Each agreement is station specific and is subject to change over the life of the contract. The government and the contractor will negotiate a settlement for any changes to the agreements that impact the contract.

H-2 GOVERNMENT FURNISHED PROPERTY (Vehicles and Other Government Motor Vehicle Conveyances (OGMVC)

The Government Furnished Property (GFP) listed in attachment I, of the PWS is furnished to the Contractor in an “as-is, where-is” condition. The Government makes no warranty regarding the suitability for use of the GFP specified in attachment I. All GFP is furnished to the Contractor in accordance with contract clause 52.245-2 “Government Property Installation Operation Services”.

GOVERNMENT FURNISHED PROPERTY DISPOSAL

For the disposal of any GFP, the contractor shall follow the instructions provided in contract clause 52.245-1 (j) and shall not dispose of any Contractor inventory until authorized to do so by the by the DCMA Plant Clearance Officer (PLCO). After the completion of all the necessary procedures to dispose of any GFP, the contractor shall notify and provide copies all the necessary documentation to the CO.

PROPERTY MANAGEMENT PLAN

At time of award, the contractor shall submit a summary level Property Management Plan (PMP) containing voluntary consensus standard or industry leading practices and standards to be used in the management of Government property, or existing property management plans, methods, practices, or procedures for accounting for property in accordance with FAR 45.201(c) (4). This plan shall be submitted with an electronic copy. The CO will forward the plan to the DCMA Property Administration for review and approval.

WAGE DETERMINATION

IAW FAR 22.1012-1 Service Contract Act Wage Determination number 2005-2587, Revision 9, Date of Revision 07/13/2010 is hereby incorporated and made part of this contract. This wage determination is for Pinedale, Wyoming only. See attachment 2, in Section J.

H-6 Collective Bargaining Agreement The attached Collective Bargaining Agreement, dated 24 June 2009, between the contractor and the International Brotherhood of Electrical Workers, Local 1541, shall apply for the employees at EL-079 Cambridge Bay, Canada, until such time as a new Collective Bargaining Agreement is signed by the contractor and the International Brotherhood of Electrical Workers, Local 154.

OVER-AND-ABOVE WORK PROCEDURES

In accordance with DFARS 252.217-7028, and Para. 1.4 of the PWS, written authorization to proceed on CLINs 0007, 1007, and 2007 must be received from the CO prior to performance, IAW Para 1.4 of the PWS. In the event work is determined to be required, the contractor shall prepare proposals for OVER-AND-ABOVE work items in the format and detail prescribed by the CO. The government and the Contractor will negotiate a settlement for the work. A contract modification will be executed to definitize the OVER-AND-ABOVE work and obligate funds for the effort, and identify the assigned Sub-CLIN.

REIMBURSABLE TRAVEL

(a) The Contractor shall be responsible to get his personnel to and from the sites for routine work.

(b) Travel shall require prior approval by the CO. The Contractor shall be reimbursed for travel expense directly required in the performance of work hereunder as approved by the CO in accordance with the FAR 31.205-46. Travel expense includes costs incidental to temporary duty assignments, such as costs of transportation, lodging, subsistence and/or per diem.

(c) Commercial air travel is authorized for Contractor personnel traveling between the Contractor’s normal operating location and training/meeting locations as directed by the CO. The Contractor shall use economy/discount airfares to the maximum extent possible and is not authorized first class airfare.

(d) Travel expenses submitted for reimbursement shall include a breakdown of, but are not limited to, the following;

TRAVEL AND PER DIEM

(a) Travel and Per Diem under this contract shall be reimbursed in accordance with FAR 31.205-46 and the Joint Travel Regulations. The contractor shall use per diem allowance in lieu of actual subsistence expenses for all persons in travel status both within and outside the continental United States. Per Diem shall be limited to the government JTR per diem schedule. Charges for transportation and car rental shall not exceed those stated in the JTR per diem schedule.

(b) Transportation by private vehicle for off-base travel shall be reimbursed on a mileage basis only, in lieu of the actual expenses of such transportation in accordance with the JTR.

GOVERNMENT-CONTRACTOR RELATIONS

(a) The government and the Contractor understand and agree that the services to be delivered under this contract by the Contractor to the government are non-personal services and the parties recognize and agree that no employer/employee relationship exists or will exist under the contract between the government and the Contractor’s employees. It is therefore in the interest of the government to afford the parties a full and complete understanding of their obligations.

(1 ) Contractor personnel under this contract shall not:

a. Be placed in a position where they are appointed or employed by a federal officer, or are under the supervision, direction or evaluation of a federal officer, military or civilian.

b.

Be placed in a position of command, supervision, administration, or control over Air Force military or civilian personnel, or personnel of other Contractors working in the area, or become part of the government organization.

(2) The services to be performed under the contract do not require the Contractor or their employees to exercise personal judgment and discretion on behalf of the government; rather, the Contractor‘s employees will act and exercise judgment and discretion on behalf of the Contractor.

(3) Rules, regulations, directions and requirements which are issued by the command authorities under the responsibility for good order, administration and security are applicable to all personnel who enter a government facility/installation, or who travel by means of government transportation. This is not to be construed or interpreted to establish any degree of government control which is inconsistent with this contract.

AUTHORIZATION TO ACQUIRE PARTS, MATERIALS, AND SERVICES NOT TO EXCEED

$2,500.

The Contractor is authorized to purchase parts, materials, and services in the performance of this contract for operation, maintenance and support to CLINs 0006, 1006, and 2006 without prior approval of the CO, subject to the following conditions. *The purchase of parts, materials, and services, for any single occurrence, may not exceed $2,500. G&A is authorized for these purchases; however, profit or fee will not be applied. A record of receipts and/or any supporting documentation for all the purchases made under this Special Contract Requirement must be submitted to the contracting office, and Project Officer monthly for record keeping..

*These purchases are for such things as parts, repair and replacement of GFP, excluding vehicles.

NOTE: All purchases exceeding $2,500 require notification to the CO. The Contractor shall not break out or divide a purchase/requirement in order to maximize use of this contract provision for purchase of parts, materials or services not to exceed $2,500. The Contractor is not authorized to exceed the funded amount of the CLIN without a contract modification, which establishes a new estimated amount. All transactions are subject to audit, and documentation shall be available to the government at all reasonable times.

MINOR CONSTRUCTION AT EL 489 PINEDALE, WYOMING, NOT TO EXCEED $2,000.

The contractor shall be allowed to sub-contract work for minor construction repairs at EL 489 Pinedale. Minor repairs shall not exceed $2,000.00. Construction work is defined by FAR 2.1 and it means: “Construction, alteration, or repair (including dredging, excavating, and painting) of buildings, structures, or other real property. For purposes of this definition, the terms “buildings, structures, or other real property” include, but are not limited to, improvements of all types, such as bridges, dams, plants, highways, parkways, streets, subways, tunnels, sewers, mains, power lines, cemeteries, pumping stations, railways, airport facilities, terminals, docks, piers, wharves, ways, lighthouses, buoys, jetties, breakwaters, levees, canals, and channels. Construction does not include the manufacture, production, furnishing, construction, alteration, repair, processing, or assembling of vessels, aircraft, or other kinds of personal property (except that for use in subpart 22.5, see definition at 22.502)”.

MAINTENANCE, REPAIR AND REPLACEMENT OF GOVERNMENT FURNISHED

PROPERTY (GFP) OVER $2,500

In the performance of this contract, the Contractor shall maintain, repair, and replace GFP as directed by the CO.*

The Contractor shall advise the project officer concerning status of GFP that requires maintenance, repair and/or replacement in excess of $2,500 per occurrence. When such requirements to maintain, repair, or replace GFP is identified, a request for proposal will be issued to the Contractor. The Contractor shall prepare proposals in the format and detail prescribed by the CO. As a minimum, proposals must be identified to the contract, be serially numbered, provide information on competition acquired or justification of price fair and reasonable, and specify related changes, if any, to the contract delivery schedule. The proposal shall include a cover letter that includes an endorsement for the CO’s approval or disapproval. This letter must be attached to the related invoice for authorization of payment. Negotiations will be completed prior to commencement of work, unless otherwise authorized by the CO. Failure to agree upon a reasonable price shall be considered a question of fact subject to the “Disputes” clause of the contract.

52.209-8 UPDATES OF INFORMATION REGARDING RESPONSIBILITY MATTERS (APR 2010)

(a) The Contractor shall update the information in the Federal Awardee Performance and Integrity Information System (FAPIIS) on a semi-annual basis, throughout the life of the contract, by entering the required information in the Central Contractor Registration database at http://www.ccr.gov (see 52.204-7).

(b)(1) The Contractor will receive notification when the Government posts new information to the Contractor's record.

(2) The Contractor will have an opportunity to post comments regarding information that has been posted by the Government. The comments will be retained as long as the associated information is retained, i.e., for a total period of 6 years. Contractor comments will remain a part of the record unless the Contractor revises them.

(3) With the exception of the Contractor, only Government personnel and authorized users performing business on behalf of the Government will be able to view the Contractor's record in the system. Public requests for system information will be handled under Freedom of Information Act procedures, including, where appropriate, procedures promulgated under E.O. 12600.

52.215-19 NOTIFICATION OF OWNERSHIP CHANGES (OCT 1997)

(a) The Contractor shall make the following notifications in writing:

(1) When the Contractor becomes aware that a change in its ownership has occurred, or is certain to occur, that could result in changes in the valuation of its capitalized assets in the accounting records, the Contractor shall notify the Administrative Contracting Officer (ACO) within 30 days.

(2) The Contractor shall also notify the ACO within 30 days whenever changes to asset valuations or any other cost changes have occurred or are certain to occur as a result of a change in ownership.

(b) The Contractor shall--

(1) Maintain current, accurate, and complete inventory records of assets and their costs;

(2) Provide the ACO or designated representative ready access to the records upon request;

(3) Ensure that all individual and grouped assets, their capitalized values, accumulated depreciation or amortization, and remaining useful lives are identified accurately before and after each of the Contractor's ownership changes; and

(4) Retain and continue to maintain depreciation and amortization schedules based on the asset records maintained before each Contractor ownership change.

The Contractor shall include the substance of this clause in all subcontracts under this contract that meet the applicability requirement of FAR 15.408(k).

52.215-21 REQUIREMENTS FOR COST OR PRICING DATA OR INFORMATION OTHER THAN COST OR PRICING DATA--MODIFICATIONS (OCT 1997)

(a) Exceptions from cost or pricing data. (1) In lieu of submitting cost or pricing data for modifications under this contract, for price adjustments expected to exceed the threshold set forth at FAR 15.403-4 on the date of the agreement on price or the date of the award, whichever is later, the Contractor may submit a written request for exception by submitting the information described in the following subparagraphs. The Contracting Officer may require additional supporting information, but only to the extent necessary to determine whether an exception should be granted, and whether the price is fair and reasonable--

(i) Identification of the law or regulation establishing the price offered. If the price is controlled under law by periodic rulings, reviews, or similar actions of a governmental body, attach a copy of the controlling document, unless it was previously submitted to the contracting office.

(ii) Information on modifications of contracts or subcontracts for commercial items. (A) If--

(1) The original contract or subcontract was granted an exception from cost or pricing data requirements because the price agreed upon was based on adequate price competition or prices set by law or regulation, or was a contract or subcontract for the acquisition of a commercial item; and

(2) The modification (to the contract or subcontract) is not exempted based on one of these exceptions, then the Contractor may provide information to establish that the modification would not change the contract or subcontract from a contract or subcontract for the acquisition of a commercial item to a contract or subcontract for the acquisition of an item other than a commercial item.

(B) For a commercial item exception, the Contractor shall provide, at a minimum, information on prices at which the same item or similar items have previously been sold that is adequate for evaluating the reasonableness of the price of the modification. Such information may include--

(1) For catalog items, a copy of or identification of the catalog and its date, or the appropriate pages for the offered items, or a statement that the catalog is on file in the buying office to which the proposal is being submitted. Provide a copy or describe current discount policies and price lists (published or unpublished), e.g., wholesale, original equipment manufacturer, or reseller. Also explain the basis of each offered price and its relationship to the established catalog price, including how the proposed price relates to the price of recent sales in quantities similar to the proposed quantities.

(2) For market-priced items, the source and date or period of the market quotation or other basis for market price, the base amount, and applicable discounts. In addition, describe the nature of the market.

(3) For items included on an active Federal Supply Service Multiple Award Schedule contract, proof that an exception has been granted for the schedule item.

(2) The Contractor grants the Contracting Officer or an authorized representative the right to examine, at any time before award, books, records, documents, or other directly pertinent records to verify any request for an exception under this clause, and the reasonableness of price. For items priced using catalog or market prices, or law or regulation , access does not extend to cost or profit information or other data relevant solely to the Contractor's determination of the prices to be offered in the catalog or marketplace.

(b) Requirements for cost or pricing data. If the Contractor is not granted an exception from the requirement to submit cost or pricing data, the following applies:

(1) The Contractor shall submit cost or pricing data and supporting attachments in accordance with Table 15-2 of FAR 15.408.

As soon as practicable after agreement on price, but before award (except for unpriced actions), the Contractor shall submit a Certificate of Current Cost or Pricing Data, as prescribed by FAR 15.406-2.

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.

52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 45 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed three years and six months.

(a) By execution of a contract, the Small Business Administration (SBA) agrees to the following:

(1) To furnish the supplies or services set forth in the contract according to the specifications and the terms and conditions by subcontracting with the Offeror who has been determined an eligible concern pursuant to the provisions of section 8(a) of the Small Business Act, as amended (15 U.S.C. 637(a)).

(2) Except for novation agreements and advance payments, delegates to the AF ISR Agency/A7KRA the responsibility for administering the contract with complete authority to take any action on behalf of the Government under the terms and conditions of the contract; provided, however that the contracting agency shall give advance notice to the SBA before it issues a final notice terminating the right of the subcontractor to proceed with further performance, either in whole or in part, under the contract.

(3) That payments to be made under the contract will be made directly to the subcontractor by the contracting activity.

(4) To notify the AF ISR Agency/A7KRA Contracting Officer immediately upon notification by the subcontractor that the owner or owners upon whom 8(a) eligibility was based plan to relinquish ownership or control of the concern.

(5) That the subcontractor awarded a subcontract hereunder shall have the right of appeal from decisions of the cognizant Contracting Officer under the “Disputes” clause of the subcontract.

The offeror/subcontractor agrees and acknowledges that it will, for and on behalf of the SBA, fulfill and perform all of the requirements of the contract.

(c) The offeror/subcontractor agrees that it will not subcontract the performance of any of the requirements of this subcontract to any lower tier subcontractor without the prior written approval of the SBA and the cognizant Contracting Officer of the AF ISR Agency/A7KRA.

52.219-18 NOTIFICATION OF COMPETITION LIMITED TO ELIGIBLE 8(A) CONCERNS (JUN 2003)

(a) Offers are solicited only from small business concerns expressly certified by the Small Business Administration (SBA) for participation in the SBA's 8(a) Program and which meet the following criteria at the time of submission of offer--

(1) The Offeror is in conformance with the 8(a) support limitation set forth in its approved business plan; and

(2) The Offeror is in conformance with the Business Activity Targets set forth in its approved business plan or any remedial action directed by the SBA.

(b) By submission of its offer, the Offeror represents that it meets all of the criteria set forth in paragraph (a) of this clause.

(c) Any award resulting from this solicitation will be made to the Small Business Administration, which will subcontract performance to the successful 8(a) offeror selected through the evaluation criteria set forth in this solicitation.

(d)(1) Agreement. A small business concern submitting an offer in its own name shall furnish, in performing the contract, only end items manufactured or produced by small business concerns…
