In the execution of certain contract tasks, it is anticipated that assigned contractor personnel will require access to confidential or proprietary business, technical and financial information belonging to the Government or other companies. The information may include but is not limited to pre-decisional budget and acquisition sensitive information, preparation of specifications or work statements, and evaluation services. After receipt thereof, the contractor and affected individuals shall treat such information as confidential and agree not to appropriate such information to its own use or to disclose such information to third parties unless specifically authorized by the contracting officer in writing. The foregoing obligations, however, shall not apply to:

b.1 Information which, at the time of receipt by the contractor, is in the public domain;

b.2 Information which is published after receipt thereof by the contractor or otherwise becomes part of the public domain through no fault of the contractor;

b.3 Information which the contractor can demonstrate was in his possession at the time of receipt thereof and was not acquired directly or indirectly from the Government or other companies;

b.4 Information, which the contractor can demonstrate, was received by it from a third party that did not require the contractor to hold it in confidence.

c. The contractor agrees, if requested by the Government, to sign an agreement identical, in all material respects, to the provisions of this clause, with each company supplying information to the contractor under this contract, and to supply a copy of such agreement to the contracting officer. From time to time upon request of the contracting officer, the contractor shall supply the Government with reports itemizing information received as confidential, proprietary, pre-decisional budget information, or acquisition sensitive information, and setting forth the company or companies from which the contractor received such information.

d. The contractor agrees that upon request by the contracting officer it will execute a contracting officer approved agreement with any party whose facilities or proprietary data it is given access to or is furnished, restricting use and disclosure of the data or the information obtained from the facilities. Upon request by the contracting officer, contractor personnel shall also sign such an agreement.

e. If after award, the contractor discovers an organizational conflict of interest, with respect to this contract, it shall make an immediate and full disclosure in writing to the Contracting Officer. The disclosure shall include identification of the conflict, the manner in which it arose, and a description of the action the Contractor has taken or proposes to take to avoid, eliminate or neutralize the conflict. The Government may, however, terminate the contract.

f. In the event that the Contractor was aware of an organizational conflict of interest prior to award of this contract and did not disclose the conflict to the Contracting Officer or becomes aware of an organizational conflict of interest after award of this contract and does not disclose the conflict of interest within ten (10) working days of becoming aware of such conflict, the Government may terminate the contract and the contractor shall not be entitled to reimbursement of any cost incurred in performing this contract or payment of any fee there under. Further, such costs shall not be allocable or chargeable, directly or indirectly, to any other contract with the Government.

g. The rights and remedies of the Government provided in this clause shall not be exclusive and are in addition to any other rights and remedies of the Government provided by law or under this contract.

h. The Contractor agrees that during performance of the contract and for a period of three (3) years after the completion of performance of this contract, the Contractor, including all divisions thereof, and any affiliate of the Contractor, any joint venture involving the Contractor, any entity into or with which it may subsequently merge or affiliate, or any other successor or assign of the contractor, shall not:

h.1 Supply information or material received from this contract, to any firm participating in or having a known prospective interest in the subject matter areas for which the sensitive information described in paragraph (i) above was initially submitted, nor enter into any contractual relationship which would affect or appear to affect the equity and integrity of its recommendations.

h.2 Furnish to the United States Government, either as a prime contractor or as a subcontractor, any component of any system for which the sensitive information described in paragraph (1) above was initially submitted, that it is not currently obligated to deliver for defense purposes.

i. The offeror shall identify any and all contracts that the proposing Business Unit or other corporate business units hold or that may be perceived as presenting an OCI with respect to receiving award of this contract.

Such contracts must be identified by contract number and Government contracting point of contact. Any related OCI mitigation plan must be provided to the AFDW Contracting Officer

j. The contractor and all of its agents (including officers, managers, employees, consultants, and subcontractors) will fully comply with the Special Terms and Conditions Organizational Conflict of interest (OCI) required for efforts in support of US Air Force activities. Furthermore, the contractor will occupy a highly influential and responsible position and therefore will ensure that all confidential and sensitive information will be fully protected. Such information will include, but not be limited to, all source selection sensitive information, Government plans or strategies, and all proprietary information of other companies either during source selection or during contract performance.

k. When requested by other companies involved in source selection processes or contract performance, the contractor will enter into company-to-company agreements to protect the proprietary rights of those other companies.

l. The contractor understands and appreciates the absolute need to prevent conflicting roles that could or may bias its support to the Secretary of the Air Force Small Business office and its Air Force-wide responsibilities. To ensure that any support provided by the contractor, or its agents, is free of any bias in judgment or objectivity and to preclude the contractor, or its agents, from any unfair competitive advantage in current or future acquisitions, the contractor will implement the following: Organizational Isolation, a Company Wide Policy Implementation, and Non-Disclosure Agreements.

ii. COMPANY WIDE POLICY IMPEMENTATION

a. The contractor’s senior management and officers fully understand and respect the need for the Program Manager to have absolute discretion to ensure that all conflict issues are appropriately addressed to the satisfaction of the Government. Issues arising in this area must be directly elevated to the QAP for the contract or the activity that the contractor is supporting.

b. All of the contractor’s employees, consultants, and subcontractor employees supporting US Air Force organizations and its activities must be briefed and familiar with Organizational Conflict of Interest (“OCI”) issues, policy, sensitivities, and corporate commitments. The contractor must insure that both new and existing personnel are briefed upon contract award and prior to performance of contract requirements, particularly source selection activities. All contractor employees, consultants, and subcontractor employees supporting the US Air Force must receive annual OCI Refresher Training, the same as the annual security refresher training. OCI issues must be given emphasis equal to protecting classified information and the “need to know” philosophy applies to both.

iii. NON DISCLOSURE AGREEMENTS

a. All contractor employees, consultants, and subcontractor employees supporting the U.S. Air Force and its field activities are required to sign an individual Non-Disclosure Agreement (NDA) prior to supporting any Government activity. The NDA covers the protection of proprietary, confidential, programmatic, budgetary and/or source selection sensitive information, as well as the requirement to not transfer that same information to any person or business entity that has not been authorized by appropriate Government personnel. These NDAs provide assurance to the Government that the contractor employees will conform to the conditions and responsibilities in regards to the confidential, proprietary and/or sensitive information to which they are given access. These NDAs will include commitments not to solicit or accept such information from any individual, including Air Force Program Managers and Senior Managers unless such information is required to perform work under this contract with the US Air Force or its field activities.

b. The contractor will establish a process for timely review of all emerging and existing Air Force business opportunities that have a potential OCI with SAF/FM activities. Any OCI conflicts identified by the contractor will be immediately reported to and discussed with the Contracting Officer or appropriate Program Manager; if deemed necessary by the Contracting Officer, then further resolution/mitigation strategies will be implemented by the contractor.

iv. OCI IMPACT

a. When reach back capabilities are used (reach back capability is defined as non-dedicated internal corporate resources to provide short-term support to a specific requirement), the contractor will review potential OCI impacts, propose mitigation as appropriate, brief the individual(s) providing the support on the OCI requirements, and require the personnel providing reach back support to sign the NDA. Similar processes will be applied to any potential subcontractors or consultants who may provide support to US Air Force activities under this Contract.

v. SOURCE SELECTIONS

a. No contractor employee will participate in any source selection evaluation process unless specifically requested and approved by the Source Selection Authority and the Contracting Officer.

b. The Government and the contractor agree that when an employee of the contractor is involved in formal Source Selection Evaluation activities pursuant to this Contract, that in order to preserve objectivity, the contractor will be precluded from award of any contract, subcontract, or task order resulting from that particular source selection for the life of this Contract.

H.5. PERSONAL CONFLICT-OF-INTEREST

a. In addition to the requirements of the special contract requirements clause entitled, “ORGANIZATIONAL CONFLICTS OF INTEREST”, the contractor agrees to immediately notify the Contracting Officer of (1) any actual or potential personal conflict of interest with regard to any of its employees having access to information under this contract or (2) any such conflict involving subcontractor employees or consultants, when the conflict becomes known to the contractor. A personal conflict of interest is defined as a relationship of an employee, subcontractor or teaming employee, or consultant with an entity that may impair the objectivity of the employee, subcontractor or teaming employee, or consultant in performing the contract work.

b. The contractor agrees to insert a similar provision in any subcontract, teaming, or consultant agreement placed under this contract, including the flow-down provision of this paragraph.

H.6. KEY PERSONNEL.

a. The contractor agrees to assign to the contract tasks those persons whose resumes were submitted with its proposal and who are necessary to fulfill the requirements of the contract as “key personnel”. No substitutions may be made except in accordance with the following.

b. The contractor understands that during the first ninety (90) days of the contract performance period, no personnel substitutions will be permitted unless these substitutions are unavoidable because of the incumbent’s sudden illness, death or termination of employment. In any of these events, the contractor shall promptly notify the contracting office and provide the information described in paragraph (c) below. After the initial ninety (90) day period the contractor must submit to the Contracting Officer all proposed substitutions, in writing, at least fifteen (15) days in advance of any proposed substitution and provide the information required by paragraph (c) below.

c. Any request for substitution must include a detailed explanation of the circumstances necessitating the proposed substitution, a resume for the proposed substitute, and any other information requested by the Contracting Officer. Any proposed substitute must have qualifications equal to or superior to the qualifications of the incumbent. The Contracting Officer or the QAP will evaluate such requests and promptly notify the contractor of his/her approval or disapproval thereof.

d. In the event that any of the identified key personnel cease to perform under the contract and the substitute is disapproved, the task order contract may be immediately terminated in accordance with the Termination clause of the contract.

Furthermore, the contractor will be required to have signed NDAs for employees assigned to the effort for the duration of the Task Order.

c. Evaluation of Task Order Proposal(s): A task order will be awarded to the contractor if their offer represents lowest price technically acceptable (LPTA) to the Government. LPTA is the outcome of the acquisition that ensures the Government meets the customer’s needs in the most effective, economical and timely manner . In order to determine if the contractor represents LPTA, the contractor will be evaluated on the following Technical, and Price:

i. Technical Factor -

A. Proposed Personnel – Knowledge of the statutes/regulations/policies governing the work efforts and experience of the proposed personnel in performing similar efforts in a DoD/Air Force environment.

In no case shall the contractor commence work without explicit approval from the Contracting Officer.

H.10 OBLIGATIONS.
