1. DESCRIPTION OF SERVICES The contractor shall provide all management, tools, supplies, equipment, and all labor necessary to operate, maintain and provide periodic and immediate on-site emergency repair service to Uninterruptable Power Supply (UPS) units specified in section 3 (Equipment). Contractor should note UPS units listed in section 3.3 and 3.9 are currently not on-hand and contractor will therefore not be required to perform maintenance or repairs on these until the next fiscal year, FY2016. In addition, the UPS units in sections 3.2 and 3.10 are inoperable pending replacement and repair as needed. Finally, if 18 CS requires a new UPS installation for equipment not specified in section 3, the contractor shall provide a quote to 18 CS for approval. If approved for purchase, the new UPS unit will be installed by the contractor, but any further maintenance will be performed by 18 CS.
1.1. Contractor must be able to provide all services required by the contract, if specialized equipment, technicians, and/or procedures are required to perform services, the government will not pay for per diem, travel, overhead costs, or other costs not included in the fixed contract price agreement.
1.1.1. Contractor shall also provide at a minimum, on-site quarterly Preventive Maintenance Inspections (PMI) to ensure proper operation of the UPS units as specified and listed in section 3 and in accordance with manufacturer specifications. In the event of a change in contractor or if the operation reverts to in-house, the incumbent contractor will provide familiarization training to the government or the follow-on contractor, whichever the case may be.
1.2. BASIC SERVICES Within three weeks of the start of the first performance period of this contract, contractor shall conduct an initial maintenance inspection of all UPS specified and listed in section 3 (Equipment) to determine their current status and perform repairs as necessary to restore all UPS systems to their original manufacturer condition.
1.2.1. After the initial inspection, the Contractor is required to provide 18 CS and 18 OSS an estimated life expectancy of each UPS unit in writing or via email. If the parts to repair an UPS unit are not on-hand, within two weeks, the Contractor will provide 18 CS and 18 OSS a quote with a recommended parts replacement list, including any shipping fees. At that time, the COR will instruct the Contractor which replacement parts to order/replace. Thereafter the contractor shall provide at a minimum, quarterly preventive maintenance inspections to ensure proper operation of the UPS units as specified and listed in section 3 (Equipment) and in accordance with manufacturer specifications during quarterly inspections or at intervals recommended by manufacturer.
1.2.2. Contractor will inspect UPS units for alarm conditions, will perform battery life checks, ensure units are clean, perform corrosion control measures as needed and clean/replace air filters for all UPS units. Contractor is required to document all checks and visits on a maintenance log of which a copy will be provided to COR for record-keeping.
1.3. SPECIAL REQUIREMENTS The contractor shall be qualified and have experience specifically working and troubleshooting UPS units specified and listed in section 3 (Equipment).
1.3.1. In the event any UPS unit becomes inoperable, contractor will troubleshoot and provide a replacement parts list with cost estimates including shipping fees for parts and repair of UPS as needed to 18 CS and 18 OSS.
1.3.2. If 18 CS or 18 OSS is required to purchase a new UPS, has existing UPS systems on hand or initiates an upgrade to replace aging systems, the contractor shall remove the old UPS and install the replacement UPS. The contractor will install in accordance with manufacturer specifications and requirements for optimal operation and warranty terms. Additionally, these assets shall be maintained in accordance with original equipment manufacturer (OEM) specifications and industry standards at levels for which it is designed and engineered for optimum performance, and applicable Department of Defense policies. Contractor will be responsible for disposing of old UPS units in accordance with local laws or regulations.
1.3.3. Furthermore, contractor must be available to install a new UPS unit outside of normal duty hours to minimize disruption to daily operations, which may entail contractor to work during off-duty hours or holidays.
1.3.4. All new UPS systems purchased by the contractor must be pre-approved by 18 CS and 18 OSS to insure specifications meet end-item system requirements and comply with all applicable directives and policies. Contractor will be responsible for disposing of old UPS units in accordance with local laws or regulations.
1.3.5. If and when the contractor is required to remove commercial power or isolate the UPS unit to perform routine maintenance or repair, the contractor must coordinate with customer through the COR three weeks ahead of time in order to obtain prior approval from affected customers.
1.3.6. The UPS units located in buildings 3390, and 3417 are currently inoperable. When parts are available to repair UPS unit in building 3417, contractor is required to install these and maintain in accordance with PWS requirements. Additionally, when 18 OSS procures a replacement UPS for building 3390, contractor is required to maintain in accordance with PWS requirements during and after warranty period per the guidelines and manufacturer recommendations and/or minimum recommended intervals specified in SS-2.
1.4. EMERGENCY SERVICES On occasion, services may be required to support an activation or exercise of contingency plans outside the normal duty hours of 0700-1700. Contractor shall provide immediate emergency repair service 24 hours a day, 7 days a week and weather-permitting, respond within 2 hours from notification. Contractor will be notified by telephone to respond to emergency repair services and in turn will be expected to provide status of UPS and required repair(s) to CORs.
1.4.1. When necessary to restore service, the contractor shall provide on-site support for emergency repair(s). If parts are available and on-hand, the contractor shall troubleshoot, repair, and/or replace components to restore operation of the UPS. If there are no available or on-hand parts, contractor will provide 18 CS and 18 OSS with an estimated part cost to determine if repair of the UPS unit is cost effective to the government.
1.4.2. In the event there are multiple outages of UPS units, contractor is to request priority repair guidance from 18 CS and 18 OSS.
1.4.3. If and when the contractor is required to remove commercial power from a facility UPS unit in order to perform emergency maintenance or repair and the bypass panel will not suffice, the contractor is required to inform the customer and obtain pre-approval to have commercial power removed as well as when it is necessary to remove the UPS from service.
1.5. REIMBURSIBLE PARTS The Government will reimburse the Contractor for the cost of parts or material above $50. For example, if a part cost is $150, the government will reimburse the difference amount of $100 to the Contractor. Parts and materials with a cost of $50 or less that are required in the performance of preventative maintenance shall be furnished by the Contractor at no additional cost to the Government. Costs above $50 including labor shall be furnished by the Contractor on a reimbursable basis with prior approval by the POC.
1.5.1. For costs of $3,000 or more the contractor is required to submit 3 quotes. A detailed cost breakdown shall be submitted to the CO through the POC for approval. If the contractor performs work without prior approval from the POC, it will be at no obligation to the Government.
1.5.2. Shipping charges shall be included in the cost of parts and shall be documented to authorize reimbursement. The Contractor shall furnish invoices to substantiate claims for payment.
1.5.3. The Contractor shall invoice the Government for reimbursement of the material the month following the date accepted by the POC.
1.6. FUTURE EXPANSION Should the Government decide to install facility battery stacks, rectifiers, UPS units, or rack-mountable UPS units, the Contractor shall perform a site survey and provide a recommended parts list to the POC.

4. GENERAL INFORMATION
4.1. SECURITY REQUIREMENTS Security and base access requirements are contained in clause 5352.242-9000 "Contractor Access to Air Force Installations." Contractor employees will be required to obtain and display identification badges. The contractor should anticipate delays in getting commercial vehicles on base and allow time for commercial vehicles to reach their destination by driving designated routes at posted speed limits throughout the base. Procedures for commercial vehicle access to the base are subject to change without prior notice. For installation access to non-Air Force installations, Contractor will follow all rules and procedures of the installation they require access to.
4.1.1. ID Passes, Badges and Vehicle Stickers: The contractor is responsible to obtain such clearances and/or passes as required for his/her employees to enter military installations on Okinawa prior to start of work shift. The contractor shall be responsible for all passes issued to his/her employees under this contract. Applications shall be coordinated through the Contracting Officer or designated representative. At the time of application, Security Forces may conduct a background check on employees. Upon termination of employment, the contractor shall be responsible for returning identification cards and base passes to Security Forces within 24 hours. All vehicles shall have the contractor’s company name displayed in English on both sides and shall be readable to a distance of at least 50 feet away.
4.2. QUALITY CONTROL The Contractor is responsible for management and quality control actions to meet the contract requirement. If the Contractor teams up with sub-contractor(s) for this requirement the sub- contractor(s) has the same responsibility of quality control.
4.2.1. QUALITY ASSURANCE The government will periodically evaluate the contractor's performance by appointing a representative(s) to monitor performance to ensure services are received. The government representative will evaluate the contractor's performance through intermittent on-site inspections of the contractor's quality control program and receipt of complaints from base personnel. The government may inspect each task as completed or increase the number of quality control inspections if deemed appropriate because of repeated failures discovered during quality control inspections or because of repeated customer complaints. Likewise, the government may decrease the number of quality control inspections if merited by performance. The government will also investigate complaints received from various customers located on the installation. The contractor shall be responsible for initially validating customer complaints. However, the government representative shall make final determination of the validity of customer complaint(s) in cases of disagreement with customer(s).
4.2.2. The Contracting Officer Representative (COR) is the authorized government representative(s) who will perform assessments of the contractor's performance. COR positions and responsibilities will be split between the 18 CS and the 18 OSS for FY15. Subsequent to contract award, the identity of the COR(s), with a letter defining their duties and authority will be promptly furnished to the successful bidder.
4.2.3. The COR(s) or alternate(s) will inform the contract manager in person when discrepancies occur and will request corrective action. The COR(s) or alternate(s) will make a notation of the discrepancy on their surveillance checklist with the date and time the discrepancy was noted and will request the contract manager (or authorized representative) to initial the entry on the checklist.
4.2.4. Any matter concerning a change to the scope, prices, terms or conditions of this contract shall be referred to the Contracting Officer and not to the COR(s).
4.2.5. The services to be performed by the contractor during the period of this contract shall at all times and places be subject to review by the Contracting Officer or authorized representative(s).
4.3. PHYSICAL SECURITY The contractor shall be responsible for safeguarding all government property provided for contractor use. At the close of each work period, government facilities, property, and materials shall be secured.
4.4. KEY CONTROL The contractor shall establish and implement methods of ensuring that all keys/key cards issued to the contractor by the government are not lost or misplaced and are not used by unauthorized persons.
4.4.1. The contractor shall immediately report the loss of a key or duplicate key to the contracting officer.
4.4.2. In the event keys, other than master keys, are lost or duplicated, the contractor shall, upon written direction of the contracting officer, rekey or replace the affected lock or locks; however, the
4.4.3. The Government, at its option, may replace the affected lock or locks or perform rekeying. When the replacement of locks or rekeying is performed by the government, the total cost of rekeying or the replacement of the lock or locks shall be deducted from the monthly payment due the contractor. In the event a master key is lost or duplicated, all locks and keys for that system shall be replaced by the government and the total cost deducted from the monthly payment due the contractor.
4.4.4. The contractor shall prohibit the use of keys issued by the government by any persons other than the contractor's employees. The contractor shall prohibit the opening of locked areas by contractor employees to permit entrance of persons other than contractor’s employees engaged in the performance of assigned work in those areas, or personnel authorized entrance by the Contracting Officer.
4.5. LOCK COMBINATIONS The contractor shall establish and implement methods of ensuring that all lock combinations are not revealed to unauthorized persons. The contractor shall ensure that lock combinations are changed when personnel having access to the combinations no longer have a need to know such combinations. These procedures shall be included in the contractor's Quality Control Plan.
4.6. HOURS OF OPERATION Normal Hours of Operation. The contractor shall perform routine PMI services required under this contract during the following hours: 0700-1700. All American Federal Holidays specified in section 4.6.1. are to be recognized by the government as holidays and days off for the contractor and their personnel. Host nation holidays are not recognized under this agreement. The contractor may work, with prior approval of the Contracting Officer and coordination with the COR, extended hours to ensure timely completion of work at no additional cost to the government.
4.6.1. RECOGNIZED HOLIDAYS The contractor is not required to provide routine services on the following days: New Year's Day, Martin Luther King Day, Presidents Day, Memorial Day, Independence Day, Labor Day, Columbus Day, Veterans Day, Thanksgiving Day and Christmas Day. If the holiday falls on Saturday, it is observed on Friday. If the holiday falls on a Sunday, it is observed on Monday; however, Contractor is expected to provide emergency repair services 24 hours a day/seven days a week as described in section 1.3.
4.7. CONSERVATION OF UTILITIES The contractor shall instruct employees in utilities conservation practices. The contractor shall be responsible for operating under conditions which prevent the waste of utilities which include the following:
4.7.1. Lights shall be used only in areas where and when work is actually being performed.
4.7.2. Mechanical equipment controls for heating, ventilation, and air conditioning systems shall not be adjusted by the contractor or by contractor employees unless authorized.
4.7.4. Water faucets or valves shall be turned off after the required use has been accomplished.
4.7.5. Government telephones shall be used only for official government business.
4.8. ENVIRONMENTAL CONTROLS Compliance with Laws and Regulations. The contractor shall be knowledgeable of and comply with all applicable Interstate, Federal, State, and Local laws, regulations, and requirements regarding environmental protection. In the event environmental laws/regulations change during the term of this contract, the contractor is required to comply as such laws come into effect. If there is an increase or decrease in cost as a result of the change, the contractor shall inform the Contracting Officer pursuant to notice requirements and negotiate a modification to the contract.
4.8.1. Notification of Environmental Spills. If the contractor spills or releases any substance contained in 40 CFR 302 into the environment, the contractor or its agent shall immediately report the incident to Kadena AB Fire Dept at 911. The liability for the spill or release of such substances rests solely with the contractor and its agent.
4.8.2. Material Storage and Use. The contractor shall follow manufacturer's guidelines .and professional recommendations for control of humidity, temperature, cleanliness, and materials handling. This includes hazardous materials.
4.9. GOVERNMENT OBSERVATIONS Government personnel, other than contracting officers (COs) and Contracting Officer Representatives (CORs), may from time-to-time, with CO coordination, observe contractor operations. However, these personnel may not interfere with contractor performance or make any changes to the contract.
4.10. SAFETY REQUIREMENTS In performing work under this contract, the contractor shall:
4.10.1. Conform to the safety requirements contained in the contract for all activities related to the accomplishment of the work.
4.10.2. Take such additional immediate precautions as the contracting officer may reasonably require for safety and mishap prevention purposes.
4.10.3. Develop and provide at the start of the orientation period or the start of the first operational performance period (if there is no orientation period) a safety plan for the protection of government facilities and property and to provide a safe work environment for contractor personnel.
4.10.4. Provide protection to government property to prevent damage during the period of time the property is under the control or in possession of the contractor.
4.10.5. Include a clause in all subcontracts to require subcontractors to comply with the safety provisions of this contract as applicable.
4.10.6. Record and report promptly (within one hour) to the Contracting Officer or designated government representative (GR), all available facts relating to each instance of damage to government property or injury to either contractor or government personnel.
4.10.7. In the event of an accident/mishap, take reasonable and prudent action to establish control of the accident/mishap scene, prevent further damage to persons or property, and preserve evidence until released by the accident/mishap investigative authority through the contracting officer.
4.10.8. If the government elects to conduct an investigation of the accident/mishap, the contractor shall cooperate fully and assist government personnel in the conduct of investigation until the investigation is completed.
4.10.9. Include a clause in each applicable subcontract requiring the subcontractor's cooperation and assistance in accident reporting and investigation.
4.11. CONTINUATION OF ESSENTIAL DOD CONTRACTOR SERVICES DURING CRISIS
IAW DODI 3020.37: This requirement is not considered mission essential. However, the contractor will provide familiarization training to 18 CS personnel to ensure continued operations of all systems supported by the UPS listed in this PWS.
4.12. PHASE OUT If there is a change in contractor or if the operation reverts to in-house, the incumbent contractor will provide familiarization, to the government or the follow-on contractor, whichever the case may be. During the phase-out familiarization period, the incumbent will be fully responsible for the operation of maintenance for UPS listed.
4.12.1. The government reserves the right to conduct site visits in all contractor operated facilities in conjunction with the solicitation of offers for the follow-on contract. In the event the follow-on contract is awarded to other than the incumbent, the incumbent contractor will cooperate to the extent required to permit an orderly change over to the successful contractor. With regard to the successor contractor's access to incumbent employees, a recruitment notice may be placed in each facility.
