52.204-10 REPORTING EXECUTIVE COMPENSATION AND FIRST-TIER SUBCONTRACT AWARDS (JUL 2010)
(a) Definitions. As used in this clause:
Executive means officers, managing partners, or any other employees in management positions.
First-tier subcontract means a subcontract awarded directly by a Contractor to furnish supplies or services (including construction) for performance of a prime contract, but excludes supplier agreements with vendors, such as long-term arrangements for materials or supplies that would normally be applied to a Contractor's general and administrative expenses or indirect cost.
Total compensation means the cash and noncash dollar value earned by the executive during the Contractor's preceding fiscal year and includes the following (for more information see 17 CFR 229.402(c)(2)):
(1) Salary and bonus.
(2) Awards of stock, stock options, and stock appreciation rights. Use the dollar amount recognized for financial statement reporting purposes with respect to the fiscal year in accordance with the Statement of Financial Accounting Standards No. 123 (Revised 2004) (FAS 123R), Shared Based Payments.
(3) Earnings for services under non-equity incentive plans. This does not include group life, health, hospitalization or medical reimbursement plans that do not discriminate in favor of executives, and are available generally to all salaried employees.
(4) Change in pension value. This is the change in present value of defined benefit and actuarial pension plans.
(5) Above-market earnings on deferred compensation which is not tax-qualified.
(6) Other compensation, if the aggregate value of all such other compensation (e.g., severance, termination payments, value of life insurance paid on behalf of the employee, perquisites or property) for the executive exceeds $10,000.
(b) Section 2(d)(2) of the Federal Funding Accountability and Transparency Act of 2006 (Pub. L. 109-282), as amended by section 6202 of the Government Funding Transparency Act of 2008 (Pub. L. 110-252), requires the Contractor to report information on subcontract awards. The law requires all reported information be made public, therefore, the Contractor is responsible for notifying its subcontractors that the required information will be made public.
(c)(1) Unless otherwise directed by the contracting officer, by the end of the month following the month of award of a first-tier subcontract with a value of $25,000 or more, (and any modifications to these subcontracts that change previously reported data), the Contractor shall report the following information at http://www.fsrs.gov for each first-tier subcontract. (The Contractor shall follow the instructions at http://www.fsrs.gov to report the data.)
(i) Unique identifier (DUNS Number) for the subcontractor receiving the award and for the subcontractor's parent company, if the subcontractor has a parent company.
(ii) Name of the subcontractor.
(iii) Amount of the subcontract award.
(iv) Date of the subcontract award.
(v) A description of the products or services (including construction) being provided under the subcontract, including the overall purpose and expected outcomes or results of the subcontract.
(vi) Subcontract number (the subcontract number assigned by the Contractor).
(vii) Subcontractor's physical address including street address, city, state, and country. Also include the nine-digit zip code and congressional district.
(viii) Subcontractor's primary performance location including street address, city, state, and country. Also include the nine-digit zip code and congressional district.
(ix) The prime contract number, and order number if applicable.

(xi) Funding agency name and code.
(xii) Government contracting office code.
(xiii) Treasury account symbol (TAS) as reported in FPDS.
(xiv) The applicable North American Industry Classification System code (NAICS).
(2) By the end of the month following the month of a contract award, and annually thereafter, the Contractor shall report the names and total compensation of each of the five most highly compensated executives for the Contractor's preceding completed fiscal year at http://www.ccr.gov, if--
(i) In the Contractor's preceding fiscal year, the Contractor received--
(A) 80 percent or more of its annual gross revenues from Federal contracts (and subcontracts), loans, grants (and subgrants) and cooperative agreements; and
(B) $25,000,000 or more in annual gross revenues from Federal contracts (and subcontracts), loans, grants (and subgrants) and cooperative agreements; and
(ii) The public does not have access to information about the compensation of the executives through periodic reports filed under section 13(a) or 15(d) of the Securities Exchange Act of 1934 (15 U.S.C. 78m(a), 78o(d)) or section 6104 of the Internal Revenue Code of 1986. (To determine if the public has access to the compensation information, see the U.S. Security and Exchange Commission total compensation filings at http://www.sec.gov/answers/execomp.htm.)
(3) Unless otherwise directed by the contracting officer, by the end of the month following the month of a first-tier subcontract with a value of $25,000 or more, and annually thereafter, the Contractor shall report the names and total compensation of each of the five most highly compensated executives for each first-tier subcontractor for the subcontractor's preceding completed fiscal year at http://www.fsrs.gov, if--

(To determine if the public has access to the compensation information, see the U.S. Security and Exchange Commission total compensation filings at http://www.sec.gov/answers/execomp.htm.)
(d)(1) If the Contractor in the previous tax year had gross income, from all sources, under $300,000, the Contractor is exempt from the requirement to report subcontractor awards.
(2) If a subcontractor in the previous tax year had gross income from all sources under $300,000, the Contractor does not need to report awards to that subcontractor.

(a) Offerors are invited to state an opinion on whether the quantity(ies) of supplies on which bids, proposals or quotes are requested in this solicitation is (are) economically advantageous to the Government. _________________________________________________________________________ _________________________________________________________________________ _________________________________________________________________________
Each offeror who believes that acquisitions in different quantities would be more advantageous is invited to recommend an economic purchase quantity. If different quantities are recommended, a total and a unit price must be quoted for applicable items. An economic purchase quantity is that quantity at which a significant price break occurs. If there are significant price breaks at different quantity points, this information is desired as well.

52.209-5 CERTIFICATION REGARDING RESPONSIBILITY MATTERS (DEC 2008)
(a)(1) The Offeror certifies, to the best of its knowledge and belief, that-
(i) The Offeror and/or any of its Principals-
(A) Are ( ) are not ( ) presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;
(B) Have ( ) have not ( ), within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, state, or local) contract or subcontract; violation of Federal or state antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property; and
(C) Are ( ) are not ( ) presently indicted for, or otherwise criminally or civilly charged by a governmental entity with, commission of any of the offenses enumerated in paragraph (a)(1)(i)(B) of this provision.; and
(D) Have [ballot], have not [ballot], within a three-year period preceding this offer, been notified of any delinquent Federal taxes in an amount that exceeds $3,000 for which the liability remains unsatisfied.
(1) Federal taxes are considered delinquent if both of the following criteria apply:
(i) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.
(ii) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.
(2) Examples. (i) The taxpayer has received a statutory notice of deficiency, under I.R.C. Sec. 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(iii) The taxpayer has entered into an installment agreement pursuant to I.R.C. Sec. 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.
(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).
(ii) The Offeror has ( ) has not ( ), within a three-year period preceding this offer, had one or more contracts terminated for default by any Federal agency.
(2) Principal, for the purposes of this certification, means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a subsidiary, division, or business segment; and similar positions).
(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.
(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror's responsibility. Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror nonresponsible.
(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.
(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If it is later determined that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.
(End of provision)
ADDENDUM TO FAR 52.212-1

FAR 52.212-1 Instructions to Offerors -- Commercial Items (Jun 2008)
Addendum to 52.212-1(c), Period for Acceptance of Offers. The paragraph is tailored as follows: “The offeror agrees to hold the prices in its offer firm for 90 calendar days from the date specified for receipt of offers.”
ADDENDA TO 52.212-1 PROPOSAL PREPARATION INSTRUCTIONS

B. The contracting officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the contracting officer will review this determination and if, in the contracting officer's opinion, adequate price competition exists no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists; offerors may be required to submit information to the extent necessary for the contracting officer to determine price reasonableness and completeness.

CLAUSES INCORPORATED BY FULL TEXT
52.212-2 -- Evaluation -- Commercial Items. (Jan 1999)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
Part I – Technical/Management Part II – Past Performance
Part III - Price
Technical/Management will be evaluated on an Acceptable/Unacceptable Basis. Offerors receiving an Unacceptable rating on Technical Management will be eliminated from further considerations. All others will be evaluated using Performance Price Tradeoff (PPT) where Past Performance is significantly more important than Price when being evaluated.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. Offerors are cautioned against submitting an unbalanced offer. The Government will analyze offers to determine whether they are unbalanced with respect to prices. Offers that are determined to be unbalanced may be rejected. The Government will make the determination that an offer is unacceptable if the prices are significantly unbalanced based upon the procedures in FAR 15.404-1(g). Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer, whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
Addendum to 52.212-2
BASIS FOR CONTACT AWARD: This is a competitive selection. Technical/Management will be evaluated on an Acceptable/Unacceptable Basis. Offerors receiving an Unacceptable rating on Technical Management will be eliminated from further consideration. All others will be evaluated using Performance Price Tradeoff (PPT) where Past Performance is significantly more important than Price when being evaluated. By submission of its offer in accordance with the instructions provided in clause 52.212-1, Instructions To Offerors, the offeror accedes to the terms of this solicitation and all such offers shall be treated equally except for their prices and performance records. The evaluation process shall proceed as follows:
A. Initially offers will be evaluated on their Technical/Management Proposal compared to the evaluation criteria and standards. In performing this evaluation, technical evaluators will consider the proposal in the context of the assessment criteria. Offeror’s proposals will not be compared to each other for purpose of assigning evaluation ratings. Each offeror’s proposal will be evaluated against the following criteria:
Factor 1. Quality Control. This area will address the offeror’s management ability based on their Quality Control Approach. The sub-factors will weight equally.
Sub-Factor 1. Quality Control Approach
Offeror will provide a preliminary quality control approach to ensure all services listed on the Service Summary (SS) are performed and inspected in accordance with the standards of the Statement of Work (SOW) section 2.0. The above areas will be considered during proposal evaluation and require submittal of information and evidence from the offeror specifically addressing each factor completely and concisely in the order indicated. They are set forth above and are to be considered equal importance in the technical evaluations. The overall rating assessed for each technical evaluation factor will be Acceptable/Unacceptable. If the proposal receives an unacceptable rating, the proposal will be rendered unacceptable, the Offeror will be excluded from competition, and they will not progress to the next round of evaluations. The Offeror will be notified of their exclusion and will not be allowed to correct any deficiencies.
B. Offers considered Technically Acceptable in the Technical/Management area will progress to the next stage of evaluations. Offers shall be ranked according to total price, including option prices.
(1) Price proposals will be reviewed in terms of mathematical correctness, relevancy, completeness and reasonableness.
(2) Price reasonableness is established through adequate price competition, but may also be determined through cost and price analysis techniques as described in FAR 15.404-1(b).
(3) The pricing evaluation team shall use the following procedures to rank offers:
(i) The service charge for Non-Price Listed (NPL) for one price range shall be multiplied by 12 months to get a yearly service charge. Service charges from the same price range shall be used for each offeror (i.e. service charge from $25,000.01 to $100,000.00 price range from offeror A will be compared to the same price range from offeror B, etc).
(ii) 10 Manufacturer Price Lists (MPL) will be evaluated from each offeror. The manufacturer shall be the same for each offeror (i.e., Oshkosh from offeror A will be compared to Oshkosh from offeror B, etc).
(iii) Apply offeror’s proposed discount % to the associated MPL selected.
(iv) Apply a random sampling of 10 items to each offeror’s adjusted MPL to obtain a bottom line price for those items. The items will be the same for each offeror (i.e., Oshkosh muffler from offeror A will be compared to Oshkosh muffler from offeror B, etc).
(v) This process shall be repeated for each MPL.
(vi) (i) through (v) shall be repeated for each option year.
(vii) The sum of the NPL service charge and the 100 items (10 MPL * 10 Items per MPL) shall be used for ranking purposes, from low to high.
C. Using questionnaires, the contracting officer shall seek relevant performance information on all offerors based on (1) the references provided by the offeror and (2) data independently obtained from other government and commercial sources. Relevant contracts include but are not limited to, those contracts for online parts ordering and/or supply-chain management that are similar to the magnitude and complexity of those services required to be performed under this requirement as provided in the Statement of Work contained in this solicitation. At a minimum, previous efforts must have supported an Internet Based Parts Management System (IPMS) to furnish automotive and related vehicle parts, automotive chemicals, corrosion control materials, upholstery material, and accessories for a fleet of over 5000 vehicles/equipment and a contract minimum value of $50 million. The government reserves the right to seek information on higher priced offerors if none of the lower priced offerors receive a “Substantial Confidence” performance assessment rating. The purpose of the past performance evaluation is to allow the government to assess the offeror’s ability to perform the effort described in the solicitation, based on the offeror’s demonstrated present and past performance. The assessment process will result in an overall performance confidence assessment rating based on the AFFARS Mandatory Procedures 5315.3, Table 3 below.
TABLE 3- PERFORMANCE CONFIDENCE ASSESSMENTS
Rating
Description
Substantial Confidence
Based on the offeror’s performance record, the government has a high expectation that the offeror will successfully perform the required effort.
Satisfactory Confidence
