52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(b) Options. The Government will evaluate offers for award purposes by adding the total price of the Contract Line Item Number (CLIN) for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s). The total price of the proposal for the base period, all possible option periods to be exercised under FAR clause 52.217-9 and any possible extension under FAR clause 52.217-8 for up to six (6) months will be evaluated.
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days of contract expiration.
52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5years and 6 months.
52.222-42 STATEMENT OF EQUIVALENT RATES FOR FEDERAL HIRES (MAY 2014)
In compliance with the Service Contract Labor Standards statute and the regulations of the Secretary of Labor (29 CFR part 4), this clause identifies the classes of service employees expected to be employed under the contract and states the wages and fringe benefits payable to each if they were employed by the contracting agency subject to the provisions of 5 U.S.C. 5341 or 5332.

52.252-3 ALTERATIONS IN SOLICITATION (APR 1984)
Portions of this solicitation are altered; paragraph numbering for each portion is as follows:
Addendum to 52.212-1, Instructions to Offerors—Commercial Items (OCT 2015) FAR provision 52.212-1, is hereby tailored as follows:
(c) Period for acceptance of offers. The Offeror agrees to hold the prices in its offer firm through 31 Mar 17. An award is estimated to be made between 16 Jan and 31 Mar 2017.

(b) Submission of offers. In addition to this paragraph's (1) through (11), the following are added:
(12) Purpose: The purpose of these instructions is to prescribe the format of proposals and describe the approach for the development and presentation of proposal data. They are designed to ensure the submission of information essential to the understanding and comprehensive validation of proposals. Offerors are cautioned to follow the detailed instructions fully and carefully, as the government can make an award based on the initial offers received, without discussion of such offers.
(13) Proposal Format: Each proposal shall be submitted in one (1) volume, but will contain each of the following sections/factors below. Each section/factor, including any sub-factors, shall be clearly tabbed.
Section / Factor 1 – Technical Proposal Section / Factor 2 – Past Performance Information and Section / Factor 3 –Solicitation/Price Proposal
Offerors shall submit one (1) original and five (5) copies of their proposal. Each hard copy shall be separately bound, preferably in loose leaf binders. The proposal page size shall be 8½" x 11", except for fold-outs used for charts, tables or diagrams, which may not exceed 11" x 17". Pages shall be typed with a font pitch size 11, Times New Roman type, with one-inch margins. All required documentation shall be page numbered. Staples and plastic sleeves shall not be used. A cover sheet and index shall be found in each book; the cover sheet shall be clearly marked as to the copy number, RFP identification, the offeror’s name and labeled "Source Selection Sensitive/For Official Use Only". The Technical Proposal section shall not include price or pricing information. To ensure timely and equitable evaluation of proposals, offeror’s must follow the instructions contained herein. Proposals must be complete, self-sufficient, and respond directly to the requirements of this solicitation. Failure to comply with these instructions may result in the offeror’s proposal being rejected. Any commitments made in the proposal shall become a part of the resultant contract.

(15) Electronic Documents. The recordable, virus-free data compact disk (CD) shall contain the entire proposal (all Sections) and located in the original proposal binder. Label the CD with the solicitation number, title, Offeror’s name and marked Source Selection Sensitive/For Official Use Only. Failure to provide an electronic copy as specified may render the proposal nonresponsive. Within the CD, use a separate electronic file for each section, including any associated exhibit, annexes and/or attachments to permit rapid search and location. Files may not be compressed.
Submit electronic proposal documents in a format readable by Microsoft (MS) Office Word 1997-200e or 2007, 2010 or 2013, MS Office Excel 1997-2003, 2007, 2010 or 2013, and MS Office Power Point 1997-2003, 2007, 2010 or 2013, as applicable. In the event of discrepancy(s) between the hard copies and electronic copies of a proposal, the hard copies shall take precedence and be used for evaluation.
(16) The CO may conduct exchanges of source selection information between Government and Offerors. The Government may use email, fax or other carrier to transmit such information to offerors.
(17) Section / Factor 1– Technical Proposal:
(i) The technical proposal shall not make reference to price data. It will be evaluated as acceptable or unacceptable and will consist of three (3) Sub-Factors. ALL factors must be deemed acceptable in order to be technically acceptable.
(ii) Technical Proposal Requirements: The technical proposal will primarily describe the capability of your organization to perform the requirements of the contract, it shall be specific and complete. The proposal shall not merely offer to perform work in accordance with the Performance Work Statement (PWS), but shall outline the actual method proposed as specifically as possible. Non-conformance with the instructions provided may result in an unacceptable technical evaluation.
(iii) The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements but, rather, shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities or experience and will base its evaluation on the information presented in the offeror's proposal.
(iv) The technical proposal shall, at a minimum, contain the information specified below in accordance with the following general outline:
Sub Factor 1. Staffing Plan/Scheduling Methodology. The offeror must include all of the following IAW PWS Para 1.0 – 1.5:
(1) The staffing plan shall provide descriptions of proposed positions for the EMT-Paramedics and EMT- Basics and the skill sets proposed to fulfill the requirements of the solicitation. It shall include Resumes of Knowledge, Skills and Abilities (KSA) of each possible individual. Experience level will not be any less than submitted resume and KSAs.
(2) The plan shall state how the contractor will ensure the appropriate qualifications/skill sets of employees are maintained throughout the life of the contract...e.g. recruitment/hiring plan.
(3) The plan shall include written procedures for notifying all personnel for both daytime and after hour emergencies. The plan shall state how the contractor will ensure there is at least one EMT-P and at least one EMT-B (at a minimum) to work each shift.
(4) The plan shall state the number of personnel and their qualifications that will be allocated to accomplish all tasks/functions as stated within the contract/PWS.
(5) The plan shall include a realistic work schedule presented in a TABLE format that exhibits an understanding of the work required by the PWS.
(6) The plan shall include a contingency plan which shows how the contractor will handle covering shifts when an employee calls in sick.
Sub Factor 2. Certification Requirements: The offeror must submit a description of how certification documentation will be collected and forwarded to the Holloman Contracting Office and the 49 Medical Group’s Credentialing Office IAW PWS Para 4.6.
Sub Factor 3. Health Requirements: The offeror must provide a plan showing how they will meet the health requirements listed in PWS para 4.11.
All Technical proposal sub-factors must be met in order to be deemed technically acceptable. If a proposal is determined “unacceptable,” the Contracting Officer (CO) will promptly notify the offeror that the proposal will not be considered for award and shall indicate, in general terms, the basis for the determination.
(18) Section / Factor 2 – Past Performance:
(i) Past Performance section is limited to a maximum of the three (3) most recent/relevant contracts.
Definitions are listed below:
Recent is defined as within the last three (3) years, (contract must be currently on-going or started no later than October 2013).
Relevant is defined as contract work in the area of Advance Life Support Services as identified in the scope of work of the PWS.
(ii) Contractor's Past Performance shall consist of the following two (2) items:
1. Performance Data (Use Attachment 6, Past Performance Information Sheet (PPIS)): The Offeror should select contracts from previous employers/customers which shows the quality and extent of the Offeror’s performance deemed relevant to the requirements of this solicitation. It is the Offeror’s responsibility to ensure all past performance data submitted is current and correct so that the Government can perform a proper evaluation. Provide no more than three (3) of the most recent and relevant contracts performed for federal agencies and commercial customers.
2. Pertinent Information: Provide any information currently available (letters, metrics, customer surveys, independent surveys, etc.) which demonstrates customer satisfaction with the Offeror’s overall job performance and quality of the Offeror’s completed contract services for the same or similar type of ALS contract, referenced in this solicitation. Make reference to contract numbers in order to easily see if associated with any of the three (3) recent/relevant contracts listed via the PPIS.
The Offeror may provide the amount of time the Offeror has been doing this type of work and a description of the work performed.
(19) Section / Factor 3 – Price Area/Data:
This section of the proposal shall include only the following:
a. The signed Standard Form 1449, Solicitation/Contract, returned in its entirety along with all required fill-in documents; must return Attachments 5 & 6. (Do no return Attachments 1 through 4)
b. Complete all blanks for unit and total prices for Base and Option Years.
c. Any, signed, solicitation amendments thereto.
Addendum to 52.212-2, Evaluation—Commercial Items (OCT 2014) In addition to paragraphs (a) through (c), the following are added:
(d) Basis for Award: This acquisition will utilize the Lowest Price Technically Acceptable (LPTA) technique to make a best value award decision. The application of the LPTA technique in the contract award selection and approval process is as follows:
(i) The Government will review the two lowest priced offers and if both are deemed technically and performance acceptable, award will go to the lowest priced offeror and no further proposals shall be reviewed. If either of the two lowest priced offers are not deemed technically and performance acceptable, the next lowest priced offer shall be reviewed for technical and performance acceptability. If this offer is not deemed acceptable, this process shall continue until two offerors are deemed technically and performance acceptable or until all are reviewed. Note: In accordance with FAR 52.212-1(g), as prescribed in FAR 12.301(b)(1), "The government intends to evaluate proposals and award a contract without discussions with offerors" (except clarifications as described in FAR 15.306(a)). Therefore, each initial offer should contain the offeror’s best terms from a cost or price and technical standpoint. However, the government reserves the right to conduct discussions if later determined by the Contracting Officer (CO) to be necessary. Late submissions will be handled in accordance with FAR 52.212-1(f) "Late Submissions". The clarification information will be incorporated as part of the proposal.
(ii) The lowest priced technically acceptable proposal will be deemed the successful offeror and award shall be made to this offeror, subject to a positive responsibility determination.
(e) Technical Area:
(i) A technical review team composed of key government personnel will use their technical skill, knowledge and experience to thoroughly review the adequacy of proposals. Each proposal will be evaluated by application of the assessment criteria to each sub-factor in the technical proposal. Only those proposals determined technically acceptable will be considered for award. Each Factor will be considered acceptable or unacceptable as defined below:
Acceptable: Proposal meets the minimum requirements of the solicitation.
Unacceptable: Proposal does not meet the minimum requirements of the solicitation
(ii) Offerors must pass all Technical sub-factors in order to be deemed technically acceptable:
(f) Section / Factor 1 – Technical Proposal:

(g) Section / Factor 2– Past Performance:
(i) Past performance will be rated on an "acceptable" or "unacceptable" basis as defined below.
Acceptable: Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance record is unknown.
(See note below.)
Unacceptable: Based on the offeror’s performance record, the Government has no reasonable expectation that the offeror will be able to successfully perform the required effort.
Note: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, "unknown" shall be considered "acceptable."
(ii) There are three aspects to the past performance evaluation.
a. The first is to evaluate whether the offeror’s present/past performance is relevant or not relevant as defined in
Addendum to 52.212-1, Instructions to Offerors—Commercial Items (OCT 2015), Paragraph (18) Section / Factor 2
– Past Performance, subparagraph (i).
b. The second is to evaluate whether the offeror’s present/past performance is recent or not recent as defined in
Addendum to 52.212-1, Instructions to Offerors—Commercial Items (OCT 2015), Paragraph (18) Section / Factor 2
– Past Performance, subparagraph (i).
c. The third is to determine how well the contractor performed on previous contracts as submitted in accordance with Addendum to 52.212-1, Instructions to Offerors—Commercial Items (OCT 2015), Paragraph (18) Section / Factor 2 – Past Performance, subparagraph (ii).
(iii) Offerors present/past performance must be recent, relevant and successful to be deemed acceptable and considered for award.
(iv) The Government reserves the right to use other data than the questionnaires. This may include data gathered from Offeror-provided references/experience/ information sheets, questionnaires and through the use of interviews.
Furthermore, the Government may use data independently obtained from other Government and commercial sources; other customers known to the Government; contractor performance evaluations (e.g., Present/Past Performance Information Retrieval System (PPIRS) information, etc.); interviews with Government customers, and, if applicable, commercial clients; and any other source that may have relevant and useful information.
(h) Section / Factor 3 – Price Area/Data
(i) Price Area – The offeror’s proposal price will be determined by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s). The total price of the proposal for the base period, all possible option periods to be exercised under FAR clause 52.217-9 and any possible extension under FAR clause 52.217-8 for up to six (6) months will be evaluated.
(ii) Price Data – This section of the proposal shall be reviewed to ensure the offeror included the following:
a. The signed Standard Form 1449, Solicitation/Contract, returned in its entirety along with all required fill-in documents.
b. Completed all blanks for unit and total prices for Base and Option Years.
c. Signed and returned, if any, solicitation amendments (SF30) thereto.

252.232-7006 WIDE AREA WORKFLOW PAYMENT INSTRUCTIONS (MAY 2013)
(a) Definitions. As used in this clause--
Department of Defense Activity Address Code (DoDAAC) is a six position code that uniquely identifies a unit, activity, or organization.
Document type means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).
Local processing office (LPO) is the office responsible for payment certification when payment certification is done external to the entitlement system.
(b) Electronic invoicing. The WAWF system is the method to electronically process vendor payment requests and receiving reports, as authorized by DFARS 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.
(c) WAWF access. To access WAWF, the Contractor shall--
(1) Have a designated electronic business point of contact in the System for Award Management at https://www.acquisition.gov; and
(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this Web site.
(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the “Web Based Training” link on the WAWF home page at https://wawf.eb.mil/.
(e) WAWF methods of document submission. Document submissions may be via Web entry, Electronic Data Interchange, or File Transfer Protocol.

252.237-7010 PROHIBITION ON INTERROGATION OF DETAINEES BY CONTRACTOR PERSONNEL (JUN 2013)
(a) Definitions. As used in this clause--
Detainee means any person captured, detained, held, or otherwise under the effective control of DoD personnel (military or civilian) in connection with hostilities. This includes, but is not limited to, enemy prisoners of war, civilian internees, and retained personnel. This does not include DoD personnel or DoD contractor personnel being held for law enforcement purposes.
Interrogation of detainees means a systematic process of formally and officially questioning a detainee for the purpose of obtaining reliable information to satisfy foreign intelligence collection requirements.
(b) Contractor personnel shall not interrogate detainees.
(c) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (c), in all subcontracts, including subcontracts for commercial items, that may require subcontractor personnel to interact with detainees in the course of their duties.
252.237-7023 CONTINUATION OF ESSENTIAL CONTRACTOR SERVICES (OCT 2010)
(a) Definitions. As used in this clause-
(1) Essential contractor service means a service provided by a firm or individual under contract to DoD to support mission-essential functions, such as support of vital systems, including ships owned, leased, or operated in support of military missions or roles at sea; associated support activities, including installation, garrison, and base support services; and similar services provided to foreign military sales customers under the Security Assistance Program. Services are essential if the effectiveness of defense systems or operations has the potential to be seriously impaired by the interruption of these services, as determined by the appropriate functional commander or civilian equivalent.
(2) Mission-essential functions means those organizational activities that must be performed under all circumstances to achieve DoD component missions or responsibilities, as determined by the appropriate functional commander or civilian equivalent. Failure to perform or sustain these functions would significantly affect DoD's ability to provide vital services or exercise authority, direction, and control.
(b) The Government has identified all or a portion of the contractor services performed under this contract as essential contractor services in support of mission-essential functions.
(c)(1) The Mission-Essential Contractor Services Plan submitted by the Contractor, is incorporated in this contract.
(2) The Contractor shall maintain and update its plan as necessary. The Contractor shall provide all plan updates to the Contracting Officer for approval.
(3) As directed by the Contracting Officer, the Contractor shall participate in training events, exercises, and drills associated with Government efforts to test the effectiveness of continuity of operations procedures and practices.
(d)(1) Notwithstanding any other clause of this contract, the Contractor shall be responsible to perform those services identified as essential contractor services during crisis situations (as directed by the Contracting Officer), in accordance with its Mission-Essential Contractor Services Plan.
(2) In the event the Contractor anticipates not being able to perform any of the essential contractor services identified in accordance with paragraph (b) of this clause during a crisis situation, the Contractor shall notify the Contracting Officer or other designated representative as expeditiously as possible and use its best efforts to cooperate with the Government in the Government's efforts to maintain the continuity of operations.
(e) The Government reserves the right in such crisis situations to use Federal employees, military personnel, or contract support from other contractors, or to enter into new contracts for essential contractor services.
