(1) Contract financing payment and invoice payment have the meanings given in section 32.001 of the Federal Acquisition Regulation.
(2) Electronic form means any automated system that transmits information electronically from the initiating system to all affected systems. Facsimile, e-mail, and scanned documents are not acceptable electronic forms for submission of payment requests. However, scanned documents are acceptable when they are part of a submission of a payment request made using Wide Area WorkFlow (WAWF) or another electronic form authorized by the Contracting Officer.
(3) Payment request means any request for contract financing payment or invoice payment submitted by the Contractor under this contract.
(b) Except as provided in paragraph (c) of this clause, the Contractor shall submit payment requests and receiving reports using WAWF, in one of the following electronic formats that WAWF accepts: Electronic Data Interchange, Secure File Transfer Protocol, or World Wide Web input. Information regarding WAWF is available on the Internet at https://wawf.eb.mil/.
(c) The Contractor may submit a payment request and receiving report using other than WAWF only when--
(1) The Contracting Officer authorizes use of another electronic form. With such an authorization, the Contractor and the Contracting Officer shall agree to a plan, which shall include a timeline, specifying when the Contractor will transfer to WAWF;
(2) DoD is unable to receive a payment request or provide acceptance in electronic form;
(3) The Contracting Officer administering the contract for payment has determined, in writing, that electronic submission would be unduly burdensome to the Contractor. In such cases, the Contractor shall include a copy of the Contracting Officer's determination with each request for payment; or
(4) DoD makes payment for commercial transportation services provided under a Government rate tender or a contract for transportation services using a DoD-approved electronic third party payment system or other exempted vendor payment/invoicing system (e.g., PowerTrack, Transportation Financial Management System, and Cargo and Billing System).
(d) The Contractor shall submit any non-electronic payment requests using the method or methods specified in Section G of the contract.
(e) In addition to the requirements of this clause, the Contractor shall meet the requirements of the appropriate payment clauses in this contract when submitting payments requests.
(End of clause)
252.232-7007 LIMITATION OF GOVERNMENT'S OBLIGATION (MAY 2006)
(a) Contract line item(s) 0001 is incrementally funded. For these item(s), the sum of $0.00 of the total price is presently available for payment and allotted to this contract. An allotment schedule is set forth in paragraph (j) of this clause.
(b) For items(s) identified in paragraph (a) of this clause, the Contractor agrees to perform up to the point at which the total amount payable by the Government, including reimbursement in the event of termination of those item(s) for the Government's convenience, approximates the total amount currently allotted to the contract. The Contractor is not authorized to continue work on those item(s) beyond that point. The Government will not be obligated in any event to reimburse the Contractor in excess of the amount allotted to the contract for those item(s) regardless of anything to the contrary in the clause entitled "TERMINATION FOR THE CONVENIENCE OF THE GOVERNMENT." As used in this clause, the total amount payable by the Government in the event of termination of applicable contract line item(s) for convenience includes costs, profit and estimated termination settlement costs for those item(s).
(c) Notwithstanding the dates specified in the allotment schedule in paragraph (j) of this clause, the Contractor will notify the Contracting Officer in writing at least thirty days prior to the date when, in the Contractor's best judgment, the work will reach the point at which the total amount payable by the Government, including any cost for termination for convenience, will approximate 85 percent of the total amount then allotted to the contract for performance of the applicable item(s). The notification will state (1) the estimated date when that point will be reached and (2) an estimate of additional funding, if any, needed to continue performance of applicable line items up to the next scheduled date for allotment of funds identified in paragraph (j) of this clause, or to a mutually agreed upon substitute date. The notification will also advise the Contracting Officer of the estimated amount of additional funds that will be required for the timely performance of the item(s) funded pursuant to this clause, for subsequent period as may be specified in the allotment schedule in paragraph (j) of this clause, or otherwise agreed to by the parties. If after such notification additional funds are not allotted by the date identified in the Contractor's notification, or by an agreed substitute date, the Contracting Officer will terminate any item(s) for which additional funds have not been allotted, pursuant to the clause of this contract entitled "TERMINATION FOR THE CONVENIENCE OF THE GOVERNMENT".
(d) When additional funds are allotted for continued performance of the contract line item(s) identified in paragraph (a) of this clause, the parties will agree as to the period of contract performance which will be covered by the funds. The provisions of paragraph (b) through (d) of this clause will apply in like manner to the additional allotted funds and agreed substitute date, and the contract will be modified accordingly.
(e) If, solely by reason of failure of the Government to allot additional funds, by the dates indicated below, in amounts sufficient for timely performance of the contract line item(s) identified in paragraph (a) of this clause, the Contractor incurs additional costs or is delayed in the performance of the work under this contract and if additional funds are allotted, an equitable adjustment will be made in the price or prices (including appropriate target, billing, and ceiling prices where applicable) of the item(s), or in the time of delivery, or both. Failure to agree to any such equitable adjustment hereunder will be a dispute concerning a question of fact within the meaning of the clause entitled "disputes."
(f) The Government may at any time prior to termination allot additional funds for the performance of the contract line item(s) identified in paragraph (a) of this clause.
(g) The termination provisions of this clause do not limit the rights of the Government under the clause entitled "DEFAULT." The provisions of this clause are limited to work and allotment of funds for the contract line item(s) set forth in paragraph (a) of this clause. This clause no longer applies once the contract if fully funded except with regard to the rights or obligations of the parties concerning equitable adjustments negotiated under paragraphs (d) or (e) of this clause.
(h) Nothing in this clause affects the right of the Government to this contract pursuant to the clause of this contract entitled "TERMINATION FOR CONVENIENCE OF THE GOVERNMENT."
(i) Nothing in this clause shall be construed as authorization of voluntary services whose acceptance is otherwise prohibited under 31 U.S.C. 1342.
(j) The parties contemplate that the Government will allot funds to this contract in accordance with the following schedule:
On execution of contract : 1 Oct 2012 - $TBD
1 Jan 2013 - $TBD
1 Apr 2013 - $TBD
1 Jul 2013 - $TBD
(End of clause)
5352.201-9101 OMBUDSMAN (APR 2010)
(a) An ombudsman has been appointed to hear and facilitate the resolution of concerns from offerors, potential offerors, and others for this acquisition. When requested, the ombudsman will maintain strict confidentiality as to the source of the concern. The existence of the ombudsman does not affect the authority of the program manager, contracting officer, or source selection official. Further, the ombudsman does not participate in the evaluation of proposals, the source selection process, or the adjudication of protests or formal contract disputes. The ombudsman may refer the party to another official who can resolve the concern.
(b) Before consulting with an ombudsman, interested parties must first address their concerns, issues, disagreements, and/or recommendations to the contracting officer for resolution. It is possible that the point of contact may not be available to clear offerors for entrance, which may prohibit submission of hand-carried proposals. Consequently, offerors electing to hand-carry their proposals for submittal just prior to closing time do so at their own risk. Late proposals will be processed in accordance with FAR 52.212-1(f), Late submissions, modifications, revisions, and withdrawals of offers.
2. Mailing of Proposals Notice. Offerors are cautioned that proposals mailed through the US Postal Service are subject to delays as all base mail is processed through the base transfer system and is subject to x-ray prior to delivery to the intended recipient. To preclude such delays, offerors may want to utilize other carrier services (i.e. Fed Ex, UPS, etc.)

ADDENDUM TO FAR 52.212-2
BASIS FOR CONTRACT AWARD:
This requirement will be awarded using Lowest Priced Technically Acceptable source selection procedures IAW FAR 15.101-2. Award will be made on the basis of the lowest evaluated price of proposals meeting or exceeding the acceptability standards for non-cost factors. By submission of its offer in accordance with the instructions provided in clause FAR 52.212-1, Instructions to Offerors, and the addendum thereto, the offeror accedes to the terms of this model contract and all such offers shall be treated equally except for their prices. Failure to meet a requirement may result in an offer being determined technically unacceptable. While the Government will strive for maximum objectivity, the source selection process is by its nature subjective. Therefore, professional judgment is implicit throughout the entire process. The evaluation process shall proceed as follows:
A. CONTRACTOR PROPOSAL.
The following documents will be evaluated for completeness and compliance with the requirements of the RFP. Please refer to the instructions in the Addendum to FAR 52.212-1. Incomplete items may be a basis for rejection:
Part I - Price Proposal
(a) A signed copy of the solicitation /contract award document, SF 1449,
(b) Completed annual estimated quantities spreadsheet for each Fiscal Year
(attached EXHIBITS A-F to SF 1449),
(c) Completed Total Amounts pages 3-7 section SF 1449,
(d) Completed Representations & Certifications (see Addenda to FAR 52.212-1, paragraph (C)(d)),
(e) Acknowledgement of all RFP amendments, if applicable,
(f) Teaming arrangement information/documentation, if applicable.
1. The Price Evaluation assesses each offeror’s proposed price and all options, and evaluates each offeror’s proposal for reasonableness and affordability. An assessment that the proposal is not reasonable or affordable will result in the offer being considered unacceptable for award. The burden of proof for price reasonableness rests with the offeror.
2. Price reasonableness and affordability will be evaluated with the following information:
(a) To determine price reasonableness, the contracting officer will use techniques described in FAR 15.404-1(b) as necessary.
(b) To determine affordability, proposed prices for each period of performance will be compared to the Government budget.
3. Evaluation of options shall not obligate the Government to exercise such options. The Government will evaluate each offeror’s proposed price, including base period and all option periods (and extension of services).
4. Reasonableness: For a price to be reasonable, it must represent a price to the Government that a prudent person would pay in the conduct of competitive business. Normally, price reasonableness is established through price competition. For additional information see FAR 31.201-3.
5. Affordability Assessment. The affordability assessment will consider the total estimated contract price as compared to the projected budget for this program (see paragraph 3(b) in this section). If the offeror’s total estimated contract price exceeds the available budget in any given period or in total, the Government may determine the proposal to be unaffordable and it may be excluded from the competitive range and will be ineligible for contract award.
6. All offers shall be ranked according to price (including any option prices), from highest to lowest. An offeror’s proposed prices will be determined by multiplying the quantities times the proposed unit prices for all contract line items and SubCLINs to confirm the extended amount for each items. Line items and SubCLINs with Government provided figures will also be used to calculate the proposed line item cost. Total for all line items identified in Section B will then be added together to determine an Offeror’s total evaluated price.
Part II - Technical Proposal. The contractor’s technical proposal will be utilized to determine technical acceptability as described in paragraph B below.
B. TECHNICAL ACCEPTABILITY.
The Government’s technical evaluation team shall evaluate the technical proposals on a
Pass/Fail basis, assigning rating of (A) Acceptable or (N) Not acceptable.
1. To be considered technically acceptable, offerors must be rated “acceptable” in all factors in order to be eligible for award. A “not acceptable” rating in any factor or subfactor will result in the overall technical proposal being rated “unacceptable” and the proposal will therefore be ineligible for award. The Government reserves the right to inspect the offerors facility for health and cleanliness standards.
2. The following adjectival ratings and rating definitions will be used to assign a rating for each technical factor and subfactor and an overall rating to each technical proposal.
Subfactor A – Technical Capability Sub-Factor A - Evaluation Standard
Rating
Definition
A (Acceptable)
The offeror has provided evidence of technical capability of available logistic support and equipment to provide laundry and drycleaning services as required and in accordance with the Performance Work Statement (PWS).
N (Not acceptable)
The offeror has failed to provide evidence of technical capability of available logistic support and equipment to provide laundry and drycleaning services as required and in accordance with the Performance Work Statement (PWS).
Subfactor B – Past Performance Sub-Factor B - Evaluation Standard
Rating
Definition
A (Acceptable)
The offeror has provided documentation reflecting satisfactory past performance within the last three (3) years in providing laundry and drycleaning services. An offeror that has no past performance will be rated acceptable.
N (Not acceptable)
A rating of “N” will be assigned if evidence of unacceptable past performance is revealed for which the offeror has no mitigating facts.
3. The Government reserves the right to inspect the apparent awardees’ facility for health and safety concerns in accordance with industry standards.
