52.209-5 CERTIFICATION REGARDING RESPONSIBILITY MATTERS (APR 2010)

(a)(1) The Offeror certifies, to the best of its knowledge and belief, that-

(i) The Offeror and/or any of its Principals-

(A) Are ( ) are not ( ) presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;

(B) Have ( ) have not ( ), within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, State, or local) contract or subcontract; violation of Federal or State antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property (if offeror checks ―have‖, the offeror shall also see 52.209-7, if included in this solicitation); and

(C) Are ( ) are not ( ) presently indicted for, or otherwise criminally or civilly charged by a governmental entity with, commission of any of the offenses enumerated in paragraph (a)(1)(i)(B) of this provision.; and

(D) Have [ballot], have not [ballot], within a three-year period preceding this offer, been notified of any delinquent

Federal taxes in an amount that exceeds $3,000 for which the liability remains unsatisfied.

(1) Federal taxes are considered delinquent if both of the following criteria apply:

(i) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(ii) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(2) Examples. (i) The taxpayer has received a statutory notice of deficiency, under I.R.C. Sec. 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(iii) The taxpayer has entered into an installment agreement pursuant to I.R.C. Sec. 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).

(ii) The Offeror has ( ) has not ( ), within a three-year period preceding this offer, had one or more contracts terminated for default by any Federal agency.

(2) Principal, for the purposes of this certification, means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager;

head of a division or business segment; and similar positions).

(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.

(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror's responsibility. Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror nonresponsible.

(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.

(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If it is later determined that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.

(End of provision)

52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS (FEB 2012)

It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.

Federal contracts and grants with total value greater than $10,000,000 means--

(1) The total value of all current, active contracts and grants, including all priced options; and

(b) The offeror ( ) has ( ) does not have current active Federal contracts and grants with total value greater than

$10,000,000.

(c) If the offeror checked ―has‖ in paragraph (b) of this provision, the offeror represents, by submission of this offer, that the information it has entered in the Federal Awardee Performance and Integrity Information System (FAPIIS) is current, accurate, and complete as of the date of submission of this offer with regard to the following information:

(1) Whether the offeror, and/or any of its principals, has or has not, within the last five years, in connection with the award to or performance by the offeror of a Federal contract or grant, been the subject of a proceeding, at the Federal or State level that resulted in any of the following dispositions:

(i) In a criminal proceeding, a conviction.

(ii) In a civil proceeding, a finding of fault and liability that results in the payment of a monetary fine, penalty, reimbursement, restitution, or damages of $5,000 or more.

(iii) In an administrative proceeding, a finding of fault and liability that results in--

(A) The payment of a monetary fine or penalty of $5,000 or more; or

(B) The payment of a reimbursement, restitution, or damages in excess of $100,000.

(iv) In a criminal, civil, or administrative proceeding, a disposition of the matter by consent or compromise with an acknowledgment of fault by the Contractor if the proceeding could have led to any of the outcomes specified in paragraphs (c)(1)(i), (c)(1)(ii), or (c)(1)(iii) of this provision.

(2) If the offeror has been involved in the last five years in any of the occurrences listed in (c)(1) of this provision, whether the offeror has provided the requested information with regard to each occurrence.

(d) The offeror shall post the information in paragraphs (c)(1)(i) through (c)(1)(iv) of this provision in FAPIIS as required through maintaining an active registration in the Central Contractor Registration database via https://www.acquisition.gov (see 52.204-7).

52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)

(a) The government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(1) PAST PERFORMANCE

(2) PRICE

https://www.acquisition.gov/

Past Performance is approximately equal to Price when being evaluated.

(b) Options. The government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

ADDENDUM TO FAR 52.212-2:

NOTICE TO OFFERORS REGARDING APPLICABILITY OF RANDOLPH-SHEPPARD ACT: This solicitation for Full Food Services is subject to the Randolph-Sheppard Act (20 U.S.C. §107 et seq.). Accordingly, although the solicitation is set aside for Small Business, the Mississippi State Licensing Agency (SLA) will also be permitted to submit a proposal in accordance with 34 CFR § 395.33(b).

BASIS FOR CONTRACT AWARD: This is a competitive selection in which competing offerors’ past performance history will be evaluated on a basis approximately equal to Price. By submission of its offer, in accordance with the instructions provided in clause FAR 52.212-1, Instructions To Offerors, the offeror accedes to the terms of this model contract and all such offers shall be treated equally except for their prices and performance records. The evaluation process shall proceed as follows:

A. Initially, offers shall be ranked according to price, including option prices. An offeror’s proposed prices will be determined by multiplying the quantities identified in the Pricing Schedule by the unit price, to include ―not to exceed‖ CLINS, for each item to confirm the extended amount for each. Copies of the Pricing Schedule will be necessary in order to submit a proposal for each Option Year.

B. Price Factor:

B.1 Price Reasonableness: Price will be evaluated for reasonableness in accordance with one or more of the proposal analysis techniques described under FAR 15.404-1, which includes, but not limited to, price analysis and unbalanced pricing. Adequate price competition per FAR 15.403-1(c)(1)(i) is anticipated to determine price reasonableness; plus, the Contracting Officer has determined that this requirement meets the definition of a commercial item per FAR 2.101; therefore, certified cost or pricing data are not required per FAR 15.403-1(b)(1) and (3). However, if at any time during this competition the Contracting Officer (CO) determines that adequate price competition no longer exists or that price reasonableness cannot be determined, offerors may be required to submit data other than certified cost or pricing data, as appropriate, for the CO to determine price reasonableness.

B.2 Total Evaluated Price (TEP): Prices will be evaluated based on the Total Evaluated Price (TEP), which will be calculated by multiplying the quantities for the Firm Fixed Price (FFP) CLINs X001-X006 for all contract periods identified in the SF1449 Schedule of Supplies/Services by the CLIN’s unit price; the total amounts for FFP CLINs

X001-X006 for the Base Period plus all Option Periods; plus Cost Reimbursable NTE CLINs X007-X008 will then be summed to equal the TEP.

B.3 Option to Extend Services: FAR 52.217-8, Option to Extend Services, is included in the RFP and will be incorporated into the resultant contract; upon exercise, the clause will extend the terms and conditions of the contract period being extended at the rates specified in the contract, the evaluation of which will be considered and included in the initial evaluation of the proposal (to include the base period plus all option periods).

C. Past Performance Factor file:///C:/Users/JeffreyW.Voudren/AppData/Local/Microsoft/Windows/Temporary%20Internet%20Files/Content.Outlook/far/FAR52.000.doc%23b522122 file://Periwinkle/SAF_AQC_ORG/AQCP/5640%20-%20AFFARS/AFAC%20Working%20Folders%20--%20PM/far/FAR31.doc%23b522121

C.1 Performance Confidence Assessment: The CO will seek recent and relevant performance information on all offerors based on (1) the references provided by the offeror, and (2) data independently obtained from other government and commercial sources. The purpose of the past performance evaluation is to assess the degree of confidence the Government has in the offeror’s ability to supply the Full Food Service that meet users’ needs, based on the offeror’s demonstrated record of performance. Past performance regarding predecessor companies, key personnel who have relevant experience, or sub-contractors that will perform major or critical aspects of the requirement will be considered as highly as past performance information for the principal offeror. Offerors with no relevant past or present performance history or the offeror’s performance record is so limited that no confidence assessment rating can be reasonably assigned shall receive the rating ―Unknown Confidence,‖ meaning the rating is treated neither favorably nor unfavorably. The Past Performance factor will receive one of the performance confidence assessments described in DoD Source Selection Procedures, Table 5 – Performance Confidence

Assessments, excerpted below.

C.2 Recency Assessment: An assessment of the past performance information will be made to determine if it is recent. To be recent, the effort must have been completed during the past three years from the date of issuance of this solicitation or is currently being performed with a performance record of at least one year from the date of issuance of this solicitation. Past performance information that fails either of these conditions will not be evaluated.

C.3. Relevancy Assessment: In evaluating past performance, the government reserves the right to give greater consideration to information on those contracts deemed most relevant to the effort described in this solicitation. The

Government will conduct an in-depth evaluation of all current or recent performance information obtained to determine how closely the dining facility services performed under those contracts relate to the scope, magnitude/complexity, and contract environment of the dining facility services requirement. Relevance of an offeror’s past performance will be assessed using a performance relevancy rating of Very Relevant, Relevant, Somewhat Relevant, or Not Relevant as defined below.

TABLE 5 - PERFORMANCE CONFIDENCE ASSESSMENTS

Rating Description

Substantial Confidence Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.

Satisfactory Confidence Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.

Limited Confidence Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.

No Confidence Based on the offeror’s recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.

Unknown Confidence

(Neutral)

No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

In determining relevancy for individual contracts, consideration will be given to the effort, or portion of the effort, being proposed by the offeror, teaming partner, or subcontractor whose contract is being reviewed and evaluated.

C.3.1. Scope. Scope is reflected in the tasks/functions referenced throughout the Full Food services Performance

Work Statement (i.e., dining facility management, cooking and food preparation, serving and replenishing food, etc.)

C.3.2. Magnitude/Complexity. Magnitude is reflected in the size/scale/number of the dining facility services provided, to include the number of customers and meals served.

C.3.3. Contract Environment. Location of contract performance (such as an Air Force installation, a DOD or NASA installation, or another Government or industry site).

D. If the lowest priced evaluated offer is judged to have a ―Substantial Confidence‖ performance rating and the offeror is determined to be responsible, that offer represents the best value for the government and the evaluation process stops at this point. Award shall be made to that offeror without further consideration of any other offers unless the procedure set forth in paragraph G below establish that award to the State

Licensing Agency (SLA) is appropriate.

E. If the lowest priced offeror is not judged to have a ―Substantial Confidence‖ performance assessment, the next lowest priced offeror will be evaluated and the process will continue (in order by price) until an offeror is judged to have a ―Substantial Confidence‖ performance assessment or until all offerors are evaluated. The Source Selection

Authority shall then make an integrated assessment best value award decision. Award shall be made to that offeror unless the procedure set forth in paragraph G below establishes that award to the SLA is appropriate.

F. Offerors are cautioned to submit sufficient information and in the format specified in the proposal preparation instructions to permit a meaningful assessment of past performance. Offerors may be asked to clarify certain aspects of their proposal or respond to adverse past performance information to which the offeror has not previously had an opportunity to respond. Adverse past performance is defined as past performance information that supports a less than satisfactory rating on any evaluation element or any unfavorable comments received from sources without a formal rating system. Communication conducted to resolve minor or clerical errors will not constitute discussions and the CO reserves the right to award a contract without the opportunity for proposal revision.

PAST PERFORMANCE RELEVANCY RATINGS

Rating Definition

Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Somewhat Relevant Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

G. Randolph-Sheppard Act (RSA) - The Randolph-Sheppard Act applies to this acquisition, accordingly the SLA will be allowed to submit a proposal. The RSA’s SLA priority will be addressed as follows:

G.1 After initial evaluations, if the SLA has been evaluated with the highest confidence rating and the lowest price, award will be made to the SLA.

G.2 After initial evaluations and G.1 does not apply, the CO will establish a competitive range (CR) based on the most highly rated proposals. If the SLA is one of the most highly rated proposals and their price is fair and reasonable (F&R), award will be made to SLA.

G.3 After initial evaluations and award not made to SLA under G.1 and G.2, the CO will enter discussions with all offerors in the CR, to include the SLA (even if the SLA is not in the CR), and request Final Proposal Revisions

(FPRs).

G.4 After FPRs (if applicable), the CO will establish a ―Post-FPR‖ CR* based on the most highly rated proposals.

If the SLA is one of the most highly rated proposals and their price is F&R, award will be made to SLA.

* The purpose of the ―Post-FPR‖ CR is to create a range of most highly rated proposals and determine if the SLA priority can be applied. No further discussions or proposal revisions will result after the Post-FPR CR.

G.5 After FPRs (if applicable) and the SLA does not meet requirements of G.4, award will be made IAW paragraph

D&E above.
