52.219-28 POST-AWARD SMALL BUSINESS PROGRAM REREPRESENTATION (APR 2012)
(a) Definitions. As used in this clause--
Long-term contract means a contract of more than five years in duration, including options. However, the term does not include contracts that exceed five years in duration because the period of performance has been extended for a cumulative period not to exceed six months under the clause at 52.217-8, Option to Extend Services, or other appropriate authority.
Small business concern means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR part 121 and the size standard in paragraph (c) of this clause. Such a concern is ``not dominant in its field of operation'' when it does not exercise a controlling or major influence on a national basis in a kind of business activity in which a number of business concerns are primarily engaged. In determining whether dominance exists, consideration shall be given to all appropriate factors, including volume of business, number of employees, financial resources, competitive status or position, ownership or control of materials, processes, patents, license agreements, facilities, sales territory, and nature of business activity.
(b) If the Contractor represented that it was a small business concern prior to award of this contract, the Contractor shall rerepresent its size status according to paragraph (e) of this clause or, if applicable, paragraph (g) of this clause, upon the occurrence of any of the following:
(1) Within 30 days after execution of a novation agreement or within 30 days after modification of the contract to include this clause, if the novation agreement was executed prior to inclusion of this clause in the contract.
(2) Within 30 days after a merger or acquisition that does not require a novation or within 30 days after modification of the contract to include this clause, if the merger or acquisition occurred prior to inclusion of this clause in the contract.
(3) For long-term contracts--
(i) Within 60 to 120 days prior to the end of the fifth year of the contract; and
(ii) Within 60 to 120 days prior to the date specified in the contract for exercising any option thereafter.
(c) The Contractor shall rerepresent its size status in accordance with the size standard in effect at the time of this rerepresentation that corresponds to the North American Industry Classification System (NAICS) code assigned to this contract. The small business size standard corresponding to this NAICS code can be found at http://www.sba.gov/content/table-small-business-size-standards.
(d) The small business size standard for a Contractor providing a product which it does not manufacture itself, for a contract other than a construction or service contract, is 500 employees.
(e) Except as provided in paragraph (g) of this clause, the Contractor shall make the rerepresentation required by paragraph (b) of this clause by validating or updating all its representations in the Online Representations and Certifications Application and its data in the Central Contractor Registration, as necessary, to ensure that they reflect the Contractor's current status. The Contractor shall notify the contracting office in writing within the timeframes specified in paragraph (b) of this clause that the data have been validated or updated, and provide the date of the validation or update.
(f) If the Contractor represented that it was other than a small business concern prior to award of this contract, the Contractor may, but is not required to, take the actions required by paragraphs (e) or (g) of this clause.
(g) If the Contractor does not have representations and certifications in ORCA, or does not have a representation in ORCA for the NAICS code applicable to this contract, the Contractor is required to complete the following rerepresentation and submit it to the contracting office, along with the contract number and the date on which the rerepresentation was completed:

5352.201-9101 OMBUDSMAN (NOV 2012)
(a) An ombudsman has been appointed to hear and facilitate the resolution of concerns from offerors, potential offerors, and others for this acquisition. When requested, the ombudsman will maintain strict confidentiality as to the source of the concern. The existence of the ombudsman does not affect the authority of the program manager, contracting officer, or source selection official. Further, the ombudsman does not participate in the evaluation of proposals, the source selection process, or the adjudication of protests or formal contract disputes. The ombudsman may refer the interested party to another official who can resolve the concern.
(b) Before consulting with an ombudsman, interested parties must first address their concerns, issues, disagreements, and/or recommendations to the contracting officer for resolution. Consulting an ombudsman does not alter or postpone the timelines for any other processes (e.g., agency level bid protests, GAO bid protests, requests for debriefings, employee-employer actions, contests of OMB Circular A-76 competition performance decisions).
(c) If resolution cannot be made by the contracting officer, the interested party may contact the Center/MAJCOM/DRU or AFISRA ombudsmen, AFSPC/A7K, 150 Vandenberg St., Ste 1105, Peterson AFB, CO 80914-4350, 719-554-5300, FAX 719-554-5299, a7k.wf@afspc.af.mil. (d) The ombudsman has no authority to render a decision that binds the agency.

(b)(1) Any bid, modification, or withdrawal received at the Government office designated in the IFB after the exact time specified for receipt of bids is "late" and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late bid would not unduly delay the acquisition.
(i) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of bids and was under the Government's control prior to the time set for receipt of bids.
(2) However, a late modification of an otherwise successful bid that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(c) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the bid wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(d) If an emergency or unanticipated event interrupts normal Government processes so that bids cannot be received at the Government office designated for receipt of bids by the exact time specified in the IFB and urgent Government requirements preclude amendment of the IFB, the time specified for receipt of bids will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(e) Bids maybe withdrawn by written notice received at any time before the exact time set for receipt of bids. A bid may be withdrawn in person by a bidder or its authorized representative if, before the exact time set for receipt of bids, the identity of the person requesting withdrawal is established and the person signs a receipt for the bid.

BASIS FOR AWARD
CONTRACT AWARD—SEALED BIDDING
(a) The Government will evaluate bids in response to this solicitation without discussions and will award a contract to the responsible bidder whose bid, conforming to the solicitation, will be most advantageous to the Government considering only price.
(b) The Government may (1) reject any or all bids, (2) accept other than the lowest bid, and (3) waive informalities of minor irregularities in bid received.
(c) A written award or acceptance of a bid mailed or otherwise furnished to the successful bidder within the time for acceptance specified in the bid shall result in a binding contract without further action by either party.
(d) The Government may reject a bid as nonresponsive if the prices bid are materially unbalanced between line items or sub line items. A bid is materially unbalanced when it is based on prices significantly less than cost for some work and prices which are significantly overstated in relation to cost for other work, and if there is a reasonable doubt that the bid will result in the lowest overall cost to the Government even though it may be the low evaluated bid, or if it is so unbalanced as to be tantamount to allowing an advance payment.
(e) Options. The Government will evaluate bids for award purposes by adding the total price for all options to the total price for the basic requirement period. The price for the option to extend services as authorized by FAR 52.217-8 will not be added to the total value but will be evaluated by multiplying the monthly price of the final annual option by six. The Government may determine that a bid is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(f) The Government may choose to award some, all or none of the unscheduled service contract line items.
BID PREPARATION INSTRUCTIONS
PRE – BID CONFERENCE AND SITE VISIT INSTRUCTIONS
(a) A pre-bid conference and Site Visit will be conducted at Patrick Air Force Base, Shark Center, 805 Harrier St., Building 3655, Pelican Coast Housing, Satellite Beach, FL 32935 on 12 FEBRUARY 2013 beginning at 9:00 AM (local time) for the purpose of answering questions regarding this solicitation. Upon conclusion of the conference a site visit bus tour will be provided.
(b) Submit the names, date of birth, drivers license number and state of issue of all attendees (not to exceed 2 personnel for each Prime Contractor Firm) to sherri.richardson@us.af.mil prior to 7 FEBRUARY 2013, 10:00 AM (local time). This information must be provided in advance in order to ensure access to the military base/conference site and adequate seating for attendees. Since this information is protected under the Privacy Act of 1974, FOUO must be placed in the subject line and the following disclosure statement must be at the beginning of the email:
“The information herein is For Official Use Only (FOUO) which must be protected under the Privacy Act of 1974, as amended. Unauthorized disclosure or misuse of this PERSONAL INFORMATION may result in criminal and/or civil penalties”.
(c) Bidders are requested to submit questions to the point of contact noted above not later than 7 FEBRUARY 2013, 10:00 AM (local time). Information provided at this conference shall not qualify the terms and conditions of the solicitation and specifications. Terms of the solicitation and specifications remain unchanged unless the solicitation is amended in writing. If an amendment is issued, normal procedures relating to the acknowledgment and receipt of solicitation amendments shall apply.
(d) A record of the conference shall be made and furnished to all prospective bidders. The record should include minutes of the meeting, including questions (on a non-attribution basis) and answers.
BID PREPARATION INSTRUCTIONS
1. ONLY ELECTRONIC BID SUBMISSION IS ALLOWED.
2. Bid package shall be completed and electronically submitted via electronic mail (email) to
45conslgcaebids@patrick.af.mil prior to the time set for bid opening in Block No. 8 of the Standard Form 1449. Bid submission by any other manner or to any other email shall NOT be accepted.
3. By submission of its bid, the bidder accedes to all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. Failure to meet a requirement may result in a bid being determined non-responsive. Taking exception to any provision in the solicitation will render the bid non-responsive.
4. The electronic bid package shall include the following separate attachments:
a. Attachment 1: Standard Form 1449, Blocks 12, l7a, and 30a, b, and c complete with all required information, signed and dated. All amendments signed and dated. In doing so, the Bidder accedes to the contract terms and conditions as written in the SOLICITATION, with attachments.
b. Attachment 2: Standard Form 1449 Bid Schedule, Exhibit A-1, Pricing Schedule and Exhibit A-2, Unscheduled Services Pricing Worksheets for all five (5) periods of performance. Insert proposed unit price, extended prices and total amounts in the Pricing Schedule. Round each unit price to two
(2) decimals (digits), so that rounding errors are not generated when unit price is multiplied by estimated quantities. If bid is prepared electronically ensure that the prices are correct not only as displayed on paper but also as programmed in memory. Prior to submission of the bid, bidders are cautioned to insure that the unit price as displayed on paper when multiplied by the "estimated quantity" equals the exact "estimated amount" for each CLIN as displayed on paper. The bids must be submitted for a base period plus four (4) Option Periods. Complete the Bid Total for Each Performance Period and the Total of Bid for all five (5) periods. 5. Limit the electronic bid package size to 5MB; bid packages greater than 5MB run the risk of not transmitting through the server.
6. Electronic Formats:
a. The subject line of the emailed bid package shall include the bid number and bidders name in the following format: FA2521-12-B-0002: BIDDERS (VENDOR) NAME. If you submit a bid under the incorrect solicitation number, your bid will not be considered.
d. Files must be readable using Microsoft Office Word 2010 (or lower) or Adobe PDF (set to minimum of 200 dots per inch).
e. DO NOT submit attachments in .ZIP files. Any bid package, or portion thereof, submitted as a .zip file will be REJECTED.
f. Do not password protect attachments.
g. To avoid rejection of a bid, vendors must make every effort to ensure their electronic submission is virus-free. Submissions, or portions thereof, which the automatic system detects the presence of a virus, or which are otherwise unreadable, will be treated as “unreadable” pursuant to FAR Part 14.406, Receipt of an Unreadable Electronic Bid, and handled accordingly.
h. Do not assume electronic submission will be instantaneous. The file size and number of files to be uploaded will impact the length of time for submission and Government receipt. GENERAL INFORMATION
Bidders must provide full, accurate, and complete information as required by this solicitation and its attachments. The penalty for making false statements in bids is prescribed in 18 U.S.C. 1001.
Any prospective bidder desiring an explanation or interpretation of the solicitation, drawings, specifications, etc., must request it in writing soon enough to allow a reply to reach all prospective bidders before the submission of their bids. 52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (DEC 2012)
ALTERNATE I (APR 2011)
An offeror shall complete only paragraph (b) of this provision if the offeror has completed the annual representations and certifications electronically via https://www.acquisition.gov. If an offeror has not completed the annual representations and certifications electronically at the ORCA website, the offeror shall complete only paragraphs (b) through (i) of this provision.
(a) Definitions. As used in this provision:
"Emerging small business" means a small business concern whose size is no greater than 50 percent of the numerical size standard for the NAICS code designated.
"Forced or indentured child labor" means all work or service-
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
Inverted domestic corporation, as used in this section, means a foreign incorporated entity which is treated as an inverted domestic corporation under 6 U.S.C. 395(b), i.e., a corporation that used to be incorporated in the United https://www.acquisition.gov/

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;

Sensitive technology--
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
Service-disabled veteran-owned small business concern--
