Notice of Change in Law Affecting City of Charlotte Contracts

This Notice is to inform you of changes to North Carolina law that affect your contract(s) with the City of Charlotte.

Change in Law The North Carolina General Assembly passed Session Law 2026-41, effective July 1, 2026. This law eliminates the Office of Historically Underutilized Businesses, repeals minority and gender-based participation requirements for State and local government contracting, and removes the City’s authority to establish or require compliance with any goals for minority and/or women-owned business participation.

This Notice does not request or require changes to your existing contractual relationships with your subcontractors.

Impact on Current Contracts Your current contract with the City may have pre-existing minority business enterprise (MBE) or women business enterprise (WBE) participation goals and contractual provisions tied to enforcement of those goals.

In compliance with Session Law 2026-41, the City of Charlotte has ceased enforcement of these MBE and WBE goals, effective immediately. To the extent that there are other terms in your contract related to MBE or WBE participation, these provisions are now also void and will not be enforced.

All other terms and conditions of your contract remain in effect and will be enforced as appropriate. This Notice does not relieve you or your company of your obligations to comply with all other applicable federal, state, and local laws, contract requirements (including obligations pursuant to subcontracts), licensing requirements, insurance requirements, or performance obligations. All remaining terms which are unrelated to race or gender-conscious participation goals are unchanged by this Notice and remain enforceable.

Disadvantaged or Small Business Enterprise Programs Session Law 2026-41 did not impact race- and gender-neutral enterprise programs. The City’s race- and gender-neutral Disadvantaged or Small Business Enterprise (DBE or SBE) programs remain in effect.

Thank you for your continued partnership and for the important role you play in serving the residents of Charlotte.
