SECTION H - SPECIAL CONTRACT REQUIREMENTS

H.1 ETHICS AND STANDARDS OF CONDUCT

H.1.1 Disclosure of Conflicts of Interest

It is National Highway Traffic Safety Administration policy to make awards to only those Offerors whose objectivity, and that of their affiliates, subsidiaries, consultants, subcontractors and personnel, is not impaired because of any related past, present, or planned interest, financial or otherwise, in organizations regulated by the U.S. Department of Transportation, or in organizations whose interests may be substantially affected by Departmental activities. Based on this policy:

1. The Offeror shall provide a statement in its technical proposal which describes in a concise manner all past, present or currently planned organizational, financial, contractual or other interest(s) with an organization regulated by NHTSA or with an organization whose interest may be substantially affected by NHTSA activities, and which is related to the work under this contract (see definition of conflict of interest below). The interest(s) described shall include those of the Offeror, its affiliates, subsidiaries, consultants, subcontractors and personnel.

2. The Offeror shall describe in detail why it believes, in light of the interest(s) identified in 1.

above, that performance of the proposed contract can be accomplished in an impartial and objective manner.

3. In the absence of any relevant interest identified in 1. above, the Offeror shall submit in its technical proposal a statement certifying that it has no conflict of interest. The Offeror must obtain the same information from potential subcontractors prior to an award of a subcontract.

4. The Contracting Officer will review the statement submitted and may require additional relevant information from the Offeror. All such information, and any other relevant information known to NHTSA will be used to determine whether an award to the Offeror may create a conflict of interest. If such conflict of interest is found to exist, the Contracting Officer may disqualify the Offeror, or determine that it is otherwise in the best interest of the United States to issue an award to the Offeror and include appropriate provisions to mitigate or avoid such conflict in the contract.

5. The refusal to provide a disclosure or certification, or any additional information as required may result in disqualification of the Offeror for award. If a nondisclosure or misrepresentation is discovered after award, the resulting contract may be terminated.

6. If the Contractor discovers a conflict of interest at any time during the course of this contract, it shall make an immediate and full disclosure in writing to the Contracting Officer. This disclosure shall include a full description of the action the Contractor has taken, or proposes to take, to avoid or mitigate such conflict.

Conflict of interest includes, but is not limited to, a Contractor, affiliate, subsidiary, consultant, subcontractor, or personnel of a Contractor that submits a comment or assists others in submitting a comment on any aspect of NHTSA's EIS process or CAFE rulemak.ing; or testifies or assists others in testifying on any aspect of NHTSA's EIS process or CAFE rulemaking.

7. If the Contracting Officer in his/her discretion determines that the Contractor's actual, apparent, or potential conflict of interest remains, or the actions proposed are insufficient to avoid or mitigate the conflict, the Contracting Officer will direct a course of action to the Contractor to avoid, neutralize, or mitigate the conflict of interest. If the parties fail to reach agreement on a course of action, or if having reached such agreement the Contractor fails to strictly adhere to such agreement during the remaining period of contract performance, the Contracting Officer has the discretion to terminate the contract for default. No determination or decision by the Contracting Officer under this clause shall be reviewable under FAR Clause

52.233-1, "Disputes Clause (JUL 2002)," incorporated by reference herein.

8. The Contractor's misrepresentation of facts in connection with a conflict of interest reported or a Contractor's failure to disclose a conflict of interest as required shall be a basis for default termination of this contract.

H.1.2 Access to Sensitive Information

Work under this contract may involve access to sensitive information* which shall not be disclosed by the contractor unless authorized by the contracting officer. To protect sensitive information, the contractor shall provide training to any contractor employee authorized access to sensitive information and, upon request of the Government, provide information as to an individual's suitability to have such authorization. Contractor employees found by the Government to be un-suitable or whose employment is deemed contrary to the public interest or inconsistent with the best interest of national security, may be prevented from performing work under the particular contract when requested by the contracting officer.

The contractor shall ensure that contractor employees are citizens of the United States of America or an alien who has been lawfully admitted for permanent residence or employment (indicated by immigration status) as evidenced by investigations in accordance with DOT Order 1632.20, Personnel Security Management. The contractor shall include the above requirements in any subcontract awarded involving access to Government facilities, sensitive information, and/or resources.

*Sensitive Information is proprietary data or other information that, if subject to unauthorized access, modification, loss or misuse could adversely affect national interest, conduct of Federal programs, or privacy of individuals specified in the Privacy Act, but has not been specifically authorized to be kept secret in the interest of national defense or foreign policy under an Executive Order or Act of Congress.

H.1.3 Standards of Employee Conduct

The Contractor is responsible for maintaining satisfactory standards for employee competency, conduct, and integrity.

Questions From Offerors

1) Could you please tell me what are “The Questions” and what does 'submitted TBD' mean(see pg 2 of

SF1449)?

That was an error. That section was supposed to be for the “Question and Answer” period, where all Offerors allotted a time frame to submit any questions by. “TBD” stands for To be determined and a date should have been defined.

2) I find that the non-disclosure form is included in the package but where would I find the conflict of interest form?

There is no Conflict of Interest Form in the packet. Again, due to an error that section was not included in the original Synopsis/Solicitation. This Amendment includes the requirements for Conflict of Interest (Section H) . All Offerors are required to submit a signed statement of non-Conflict and Interest and include with their quote.

3) I want to know if I can review documents and models in my local office and time frame for this task.

How should I respond to this solicitation formally?

Each Offeror must respond to the Solicitation for consideration for award. Instructions on how to respond to the Solicitation is on Page 2 of the SF 1449.
