a. Licensing

1) CONTRACTOR grants to STATE a perpetual, nonexclusive license to use the software and associated documentation, plus any additional software which shall be added by mutual agreement of the parties during the term of this Contract.

2) The license usage model is based on free and unlimited access to the Drivewyze Agency Portal (DAP). There is no limit to the number or concurrent users, or total employees allowed to use the DAP.

3) The license grant shall be extended to any contractors, subcontractors, outsourcing vendors, consultants and others who have a need to use the software for the benefit of

STATE.

4) There shall be no limit on the number of machines, number of locations, or size of processors on which STATE can operate the software.

b. Software Functionality and Replacement This software licensed by CONTRACTOR to STATE provides the following functionality:

The Drivewyze Agency Portal (DAP) is a browser-based interface provided to law enforcement to both operate and manage the Drivewyze bypass program. The DAP will display all vehicle records including notifications for red light events (vehicle did not qualify for bypass). The DAP is accessible through any internet enabled device with standard web browser applications. When a Drivewyze participating truck is signaled to follow road signs, but does not report to the weigh station and instead continues traveling down the mainline, the Drivewyze back office will notify the law enforcement screening interface in real-time. The screening interface will create a visual and audible alert inside the weigh station so that officers are made aware of an unexpected bypass event. Agency operators will then have the choice to flag the vehicle with an illegal bypass and follow standard interdiction policies.

Regarding the aforementioned software functionality licensed by CONTRACTOR to STATE, CONTRACTOR agrees that:

1) If CONTRACTOR reduces or replaces the functionality contained in the licensed product, and provides this functionality as a separate or renamed product, then STATE shall be entitled to license such software product at no additional license or maintenance fee.
