About this file
This draft solicitation seeks industry input on a future solicitation for commercial trucking services in Japan. The document provides a draft statement of work, pricing template, and evaluation criteria for transportation of goods by general trucking, temperature-controlled trucking, oversized overweight trucking, air-ride trucking, and ISO container trucking. Offerors are asked to provide feedback on the exhibit format, oral presentation requirements, contract line item structure, evaluation approach, and performance work statement deliverables by the specified deadline. No proposals or responses are being solicited at this time; the draft is for planning purposes only.

DFARS Clauses Incorporated by Full Text
252.229-7001 Tax Relief. 2020-04
Basic. As prescribed in 229.402-70(a) and (a)(1), use the following clause:
TAX RELIEF-BASIC (APR 2020)
(a) Prices set forth in this contract are exclusive of all taxes and duties from which the United States Government is exempt by virtue of tax agreements between the United States Government and the Contractor's government. The following taxes or duties have been excluded from the contract price:
NAME OF TAX: ____(Offeror insert) RATE (PERCENTAGE): ____(Offeror insert)
(b) Invoices submitted in accordance with the terms and conditions of this contract shall be exclusive of all taxes or duties for which relief is available. The Contractor's invoice shall list separately the gross price, amount of tax deducted, and net price charged.
(c) When items manufactured to United States Government specifications are being acquired, the Contractor shall identify the materials or components intended to be imported in order to ensure that relief from import duties is obtained. If the Contractor intends to use imported products from inventories on hand, the price of which includes a factor for import duties, the Contractor shall ensure the United States Government's exemption from these taxes. The Contractor may obtain a refund of the import duties from its government or request the duty-free import of an amount of supplies or components corresponding to that used from inventory for this contract.
(End of clause)
Special Contract Requirements
ORDERING
(1) Orders processed under this IDIQ contract will be decentralized meaning designated Ordering Officers will solicit IDIQ holders for local requirements and administer the resulting orders. A list of designated Ordering Officers can be found in Section J.
(2) Orders shall be issued on a Firm-Fixed Price (FFP) basis and will cite an individual order number.
(3) Oral ordering is authorized under this contract and will be confirmed in writing on a bill of lading document or SF1449 Task Order. The Government's obligation for oral orders are contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government may arise until the Contractor receives notice of such availability, to be confirmed in writing by Ordering Officer. The Government will not be obligated to reimburse the contractor for work performed, items delivered, or any costs incurred, nor shall the contractor be obligated to perform, deliver, or otherwise incur costs except as authorized by duly executed orders. The Government may request proposals with no assurance of funding and provides no assurance that orders will be issued. Authorization for Oral Orders under this section supplements FAR 52.216-18, Ordering.
FAIR OPPORTUNITY
(1) Fair Opportunity is required for all orders greater than the micro-purchase threshold.
(2) Fair Opportunity for orders will primarily be based on readily available price pricing, capacity, and utilization information rather than through direct contact of each of the multiple awardees under the contract in accordance with FAR 16.505(b)(ii). However, the Ordering Officer reserves the right to conduct a more formal Fair Opportunity Proposal competition.
(3) Exceptions to Fair Opportunity in accordance with FAR 16.505(b)(2) may apply.
ORDERING PROCEDURES
Services will be procured with the award of orders issued against the basic Indefinite Delivery, Indefinite Quantity Multiple Award contract. There are four procedures for the award of task orders:
(1) Initial Task Orders. Each awardee will receive an initial task order for the contract minimum.
(2) Direct Selection. If the order does not exceed the micro-purchase threshold, the Ordering Officer may select any awardee without providing fair opportunity.
(3) Order Selection based on readily available information. If the order exceeds the micro-purchase threshold, but does not exceed the simplified acquisition threshold, the Ordering Officer will provide fair opportunity for selection for all awardees through consideration of readily available information rather than through contact of each of the awardees under the contract.
(4) Order Selection based on Task Order Competition. If the order exceeds the simplified acquisition threshold or at the Ordering Officer's discretion below the simplified acquisition threshold, each order will be placed on a competitive basis and the Ordering Officer will provide a fair notice of the intent to make a purchase, including a clear description of the supplies to be delivered or the services to be performed and the basis upon which the selection will be made to all contractors offering the required services under the multiple-award contract and afford all contractors responding to the notice a fair opportunity to submit an offer and have that offer fairly considered. Fair notification will be accomplished through the issuance of a Fair Opportunity Proposal Request (FOPR) Letter.
(a) The FOPR Letter will include, at a minimum, the following information:
1) Date
2) Description of services
3) Quantity
4) Delivery Location(s)
5) Delivery Date
6) Response Date
7) Permissibility for oral response to FOPR (oral presentations)

Source selection processes and techniques to achieve best value in accordance with FAR 15.3 are not applicable, including the Tradeoff processes and Lowest price technically acceptable source selection processes as described in FAR 15.101-1/2. The Government will award to the contractor who is deemed most advantageous to the Government based upon consideration of price and readily available non-price value indicators. The Ordering Officer has broad discretion to tailor the procedures of consideration for individual orders to reflect the requirement and other aspects of the execution and contracting environment. Generally, after preliminary consideration of all contractors in the awardee pool, Ordering Officers will identify from the entire awardee pool one contractor that is suitable to the user for the specific requirement, and quickly screen lower priced contractors from the awardee pool based on prescribed value indicators for selection. The following value indicators may be used as selection criteria in addition to price to provide fair opportunity to be considered for each order, if fair opportunity applies:
(i) Contractor Capacity to Perform
(ii) Contract Utilization
Instrs., Conds., and Notices to Offerors
Addenda to FAR 52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (OCT 2015)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code(s) and small business size standard(s) for this acquisition appear elsewhere in the solicitation. However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission, modification, revision, and withdrawal of proposals.
(1) Unless other methods (e.g., electronic commerce or facsimile) are permitted in the solicitation, proposals and modifications to proposals shall be submitted in paper media in sealed envelopes or packages
(i) addressed to the office specified in the solicitation, and (ii) showing the time and date specified for receipt, the solicitation number, and the name and address of the offeror. Offerors using commercial carriers should ensure that the proposal is marked on the outermost wrapper with the information in paragraphs (c)(1)(i) and (c) (1)(ii) of this provision.
(2) The first page of the proposal must show-

(ii) The name, address, and telephone and facsimile numbers of the offeror (and electronic address if available);

(v) Name, title, and signature of person authorized to sign the proposal. Proposals signed by an agent shall be accompanied by evidence of that agent's authority, unless that evidence has been previously furnished to the issuing office.
(3) Submission, modification, revision, and withdrawal of proposals.
(i) Offerors are responsible for submitting proposals, and any modifications or revisions, so as to reach the government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated government office on the date that proposal or revision is due.
(ii)
(A) Any proposal, modification, or revision received at the government office designated in the solicitation after the exact time specified for receipt of offers is "late" and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and-

(3) It is the only proposal received.
(B) However, a late modification of an otherwise successful proposal that makes its terms more favorable to the government, will be considered at any time it is received and may be accepted.
(iii) Acceptable evidence to establish the time of receipt at the government installation includes the time/date stamp of that installation on the proposal wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of government personnel.
(iv) If an emergency or unanticipated event interrupts normal government processes so that proposals cannot be received at the office designated for receipt of proposals by the exact time specified in the solicitation, and urgent government requirements preclude amendment of the solicitation, the time specified for receipt of proposals will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal government processes resume.
(v) Proposals may be withdrawn by written notice received at any time before award. Oral proposals in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile proposals, proposals may be withdrawn via facsimile received at any time before award, subject to the conditions specified in the provision at 52.215-5, Facsimile Proposals. Proposals may be withdrawn in person by an offeror or an authorized representative, if the identity of the person requesting withdrawal is established and the person signs a receipt for the proposal before award.

The government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified.
