About this file

Contract Summary

This is a contract award and supporting documentation for social media marketing campaign services between the University of Nebraska Medical Center (UNMC) and OBI Creative, a marketing and advertising agency. The contract is governed by Nebraska state law and includes a Legal and Policy Compliance Addendum that establishes the university's required terms and conditions. The procurement was approved as a non-competitive professional services purchase under RP-6.2.1.5.b.1)iv, justified by the five-year existing relationship between UNMC's Munroe Meyer Institute and OBI Creative, with the determination that changing vendors would interrupt workflow continuity.

The contract extends the "Learn the Signs" campaign for a twelve-month period from October 1, 2025 through September 30, 2026, with a total contract value of $190,000 billed as a one-time payment upon approval. Services include digital creative assets, media buying, and account management across multiple platforms: Meta Ads ($33,600), Google Paid Search ($16,800), Google Display ($29,400), YouTube ($25,200), Google Performance Max ($56,000), and Reddit Ads testing ($11,000), with an additional $18,000 allocated for creative refresh, stock imagery/video licensing, voiceover renewal rights, Reddit creative development, and account management. OBI Creative's standard terms include a blended hourly rate of $160 per hour for additional services, 15% commission on traditional media, and 30% commission on digital media placements, with payment terms requiring advance payment for traditional media and prepayment for digital media commitments before placement.

OBI CREATIVE MEDIA TERMS & CONDITIONS

1. Client acknowledges for traditional tactics, including linear television, terrestrial radio, out-of-home, print and direct mail, the cancellation date is the regional space/material due date for the respective campaign, after which Client will be liable for cancellation penalties, up to and including the full cost of the relevant media. Client will pay any such penalties unless it notifies OBI Creative in writing of Client’s intent to cancel the relevant media before the cancellation date(s). Client authorizes

OBI Creative to purchase media advertising as Client’s agent, and Client agrees that it will be solely liable to pay for any media advertising authorized by this document unless Client rescinds this authorization in writing before any applicable cancellation dates. Client understands that any entity from whom OBI Creative may purchase advertising on Client’s behalf may verify Client’s creditworthiness as part of the media purchase.

2. Client acknowledges for paid search, paid social, display, video ads, digital audio, CTV, and native tactics, there is a 14-day cancellation, after which Client will be liable for cancellation penalties, up to and including the full cost of the relevant media.

Client will pay any such penalties unless it notifies OBI Creative in writing of Client’s intent to cancel the relevant media before the cancellation date(s).

a. For campaigns running longer than three months, cancellation may not occur before media has been in market for three months. Cancellation notice must be made within 30 days of the approved cancellation date.

b. For campaigns running three months or fewer, cancellation notice must be made within two weeks of the approved campaign end date.

c. For campaigns not specific to an event (i.e., trade show), OBI Creative requires that any digital media campaign be in market for a minimum of 30 days prior to any cancellation.

Cancellation and campaign times are built to ensure enough time to begin tracking results and optimizing spend. OBI Creative cannot guarantee increased activity without an adequate timeline for each media flight.

3. OBI Creative will provide proof of performance for any media placements made for the Client where the actual airing of the advertisement is of valid concern to the Client and/or where the performance of the scheduled advertisement is in question by the Client.

4. The budget allocation is fluid and may shift from channel to channel, tactic to tactic, and month to month based on performance reviews and optimization strategies. Written documentation with client approval will be provided should investment and channel adjustment become necessary.

5. Client acknowledges that media spend allocations are not final and may experience changes due to possible fluctuations in the marketplace and/or actionable data from insights. A new ATB may be created for approval if an individual media spend allocation change exceeds 25% of the overall media spend.

6. OBI Creative will cancel any media that is not performing adequately for the Client with a standard written notice of cancellation as required by the media.

7. Client acknowledges that all associated media commission for traditional media will be paid in full if the client provides a notice of cancellation.

For digital media spends, all associated commission will be paid in full for the complete timeline related to the cancellation periods mentioned in Item 2 of these Terms and Conditions. If the campaign is using the Client’s credit card and the Client chooses to stop placing the media, commission remittance still applies and is required to be paid through the cancellation period.

8. OBI Creative requires that for all digital media placements, purchasing of each media through the various channels will be on the OBI Creative account using its credit card. This ensures security, ownership of spend management and avoids duplicating spends when reporting by channel or tactic. Compliance with process is best managed through a single account and payment method.

If negotiated or otherwise required that the Client use its credit card or account, OBI Creative is not liable for any indirect spends due to multiple users having access to accounts. Further, if the Client requires use of their account, but OBI Creative manages the spend using its credit card, and the Client directly or indirectly buys unallocated media, the Client must pay in full the total media spend within 10 business days.

Asset and Platform Execution:

1. 2025-2026 Proposal

Campaigns performed exceptionally well in 2024-2025, and we would like to keep many of the same tactics active for this year. We were not satisfied with the performance of TikTok, and recommend testing Reddit instead.

We would like to test Reddit as a platform this year. Early milestones and development are key concerns of baby and toddler parents on Reddit, being one of the most mentioned topics on popular parent subreddits like r/beyondthebump and r/toddlers. Reddit saw a 61% YOY increase from 2021-2022 in parents discussing milestones and development. Reddit creative would target audiences like r/Parenting, r/Daddit and r/Mommit, which have a combined 10mm+ membership.

As we get these up and running, the monthly budgets may fluctuate. Please note the total column is the most important, rather than the monthly buckets.

If the goods or services include providing technology services, software, or support, Supplier shall obtain and maintain cyber liability insurance coverage of not less than $10,000,000.00 per occurrence and in the aggregate to cover such liability resulting or arising from acts, errors, or omissions in rendering such

RP-6.2.1.5.a requires small purchase procedures for purchases that equal or exceed the micro-purchase level and competitive proposals or bids for purchases of $250,000 or more. RP-6.2.1.5.b provides certain exceptions. This form must be approved by the Chief Procurement Officer for purchases of $250,000 or more where competitive proposals or bids are not obtained or by the Associate Chief Procurement Officer for small purchases where quotations are not obtained.

Requestor Name Requestor Email Non conflict statement: In accordance with RP-6.2.1.7, by submitting this form you affirm that you have no conflict of interest in the selection of this supplier, nor will you receive personal or financial benefit from this purchase.

Supplier Amount Contract, PR, or Invoice#

RP-6.2.1.5.b.1)iv Procurement by non-competitive proposals is procurement through solicitation of a proposal from only one source and may be used only when one or more of the following circumstances apply:

Select Circumstances for Procurement by Non-Competitive Proposals definitions for relevant capitalized terms are included on the following page

The Purchase of a unique Article or Service that is available only from a single source (without limiting the generality of the foregoing, examples include public utilities; books, periodicals, and other publications; and specially designed business, research, or scientific equipment and software). Unless an Article or Service is necessary for the operation of an existing Article or performance of an existing Service purchased by the University, a specification for a proprietary Article or Service does not justify a Purchase by noncompetitive proposal where there is more than a single source that can provide the Article or Service. See RP-6.2.1.5.b.1)iv.A.I; -6.2.1.5.b.1)iv.C.

The Purchase of an Article or Service that is necessary for the operation of an existing Article or performance of an existing Service purchased by the University. See RP-6.2.1.5.b.1)iv.A.II.

The Purchase is necessary to address an Emergency. See RP-6.2.1.5.b.1)iv.A.III.

The Purchase of Professional Services; provided, however, any contract for Licensed Professional Services, construction management, and design-build services shall be made in accordance with applicable law and Board of Regents policies. See RP-6.2.1.5.b.1)iv.A.IV; -6.2.1.5.b.1)iv.A.VII.

The Purchase is for maintenance or servicing of equipment made from the manufacturer of the equipment or the manufacturer's authorized service agent, where, in the judgment of the Authorized Signatory, such maintenance or service can be most effectively performed by the manufacturer or its authorized service agent.

See RP-6.2.1.5.b.1)iv.A.V.

The Purchase is to be made using federal funding and the federal awarding agency or pass-through entity expressly authorizes non-competitive proposals in response to a written request from the non-federal entity.

See RP-6.2.1.5.b.1)iv.A.VI.

This form must be accompanied by written justification for the non-competitive procurement from the requesting college, school, department, division, office, or other administrative subdivision.

ELECTRONIC RECORD AND SIGNATURE DISCLOSURE

From time to time, NU Contracts+Ariba (we, us or Company) may be required by law to provide to you certain written notices or disclosures. Described below are the terms and conditions for providing to you such notices and disclosures electronically through the DocuSign system.

Please read the information below carefully and thoroughly, and if you can access this information electronically to your satisfaction and agree to this Electronic Record and Signature

Disclosure (ERSD), please confirm your agreement by selecting the check-box next to ‘I agree to use electronic records and signatures’ before clicking ‘CONTINUE’ within the DocuSign system.

Getting paper copies

At any time, you may request from us a paper copy of any record provided or made available electronically to you by us. You will have the ability to download and print documents we send to you through the DocuSign system during and immediately after the signing session and, if you elect to create a DocuSign account, you may access the documents for a limited period of time

(usually 30 days) after such documents are first sent to you. After such time, if you wish for us to send you paper copies of any such documents from our office to you, you will be charged a

$0.00 per-page fee. You may request delivery of such paper copies from us by following the procedure described below.

Withdrawing your consent

If you decide to receive notices and disclosures from us electronically, you may at any time change your mind and tell us that thereafter you want to receive required notices and disclosures only in paper format. How you must inform us of your decision to receive future notices and disclosure in paper format and withdraw your consent to receive notices and disclosures electronically is described below.

Consequences of changing your mind

If you elect to receive required notices and disclosures only in paper format, it will slow the speed at which we can complete certain steps in transactions with you and delivering services to you because we will need first to send the required notices or disclosures to you in paper format, and then wait until we receive back from you your acknowledgment of your receipt of such paper notices or disclosures. Further, you will no longer be able to use the DocuSign system to receive required notices and consents electronically from us or to sign electronically documents from us.

All notices and disclosures will be sent to you electronically
