About this file

This is a Contract Amendment Summary from the Arizona Department of Transportation (ADOT) Procurement, involving Amendment Number Three for Contract CTR059322 with Peoria Ford for New Vehicles Purchases. The amendment modifies an existing contract to update vehicle pricing and availability for various Ford vehicle models for Phase One and Phase Two purchases.

The amendment adds multiple new line items for Ford vehicles with updated percentage discounts off Manufacturer's Suggested Retail Price (MSRP), ranging from 0.5% to 7.05% depending on the specific vehicle model. These include F-150 trucks, Lightning models, F-250-550 trucks, SUVs like Escape and Explorer, Bronco models, Transit vans, E-Transit electric vans, Police Interceptors, and other Ford vehicle categories. The amendment extends the contract's validity date to 08/28/2024 for several line items and reflects changes in pricing due to factors such as reduced dealer incentives, supply chain disruptions, increased manufacturing costs, and market volatility. The changes are supported by documentation showing significant shifts in automotive pricing and market conditions.

PROCUREMENT DETERMINATION

PRICE INCREASE

Cc: File Rev. 04/2020

Sections 1 through 3 MUST be completed Use Attachments as Necessary

1) Name: Tom Kornell

Title: Senior Procurement Officer

Date: August 28, 2024

Contract Number: CTR059322

Contract Description: New Vehicles Purchases

Contractor Name: Peoria Ford

2) Line Item Pricing:

See attached spreadsheet.

3) Provide justification:

Peoria Ford is requesting price increases on all phase one (1) and Phase two (2) vehicles. Recently, all major manufacturers have made changes regarding dealer incentives. These incentives have dropped across all models from 50-98%. As a result of reducing these incentives, it has forced the dealerships to decrease the discount offered to the state for phase 1 vehicles. This was not a foreseeable price change at the time of the contract award.

ADOT Procurement has reviewed and researched the request. It was determined that Procurement IQ reports that passenger vehicle prices have exhibited high volatility during the last three years due to heavy fluctuations in the supply chain and price increases for manufacturing due to inflation and wage increases. Procurement IQ shows pricing continuing to grow annually at 5.1%. Additionally, the overall price level as measured by the Consumer Price Index (CPI) has also increased 18% since January 2021.

ADOT Procurement has determined the increase would be fair and reasonable and in the best interest of the State, based on the information above. Therefore, ADOT grants the increase as listed in the table below.

“Looking back to the beginning of our three year period, automobile prices have both risen sharply and declined somewhat sharply, especially for used vehicles. The price of new vehicles in January 2024 is 19.6% higher than in January 2021. The price of used vehicles has gone through more volatile movements but, in January 2024, are 20.1% higher than in January 2021. The overall price level as measured by the CPI has increased 18% since January 2021. So, overall, car prices have risen relative to the average of all consumer prices, but in the end their increase is only one or two percentage points higher than the average increase in price of other goods and services in the economy. Price Trends for New and Used Cars February 20, 2024.” by Dennis W. Jansen, Somali Ghosh Sinha TEXAS A&M UNIVERSITY Private Enterprise Research Center

Dear Mr. Kornell, Thank you again for taking time from your day yesterday to discuss our request for revision to the discount percentages on our Arizona State Contract CTR059322. Recent industry changes and developments are the basis for this change request.

Below are key reasons supporting this request:

o Significant Reductions in Ford Government Price Concessions (GPC): See attached confirmation from our Ford Rep agreeing to massive cuts to these concessions, which directly affect our ability to discount vehicles to government customers.

o Increased Floor Plan Interest Rates: Higher interest rates have raised borrowing costs for dealerships, squeezing profit margins and affecting cash flow. See attached some available examples of these changes. Rates have increased by over 5% throughout the life of this contract, resulting in something that was a profit center for the dealership moving to a substantial overhead cost.

o Consumer Price Increases: Rising costs do ultimately result in higher vehicle prices for consumers, including government customers, however the adjustments to MSRPs often if not always trail increases in vehicle costs to the dealerships. In our experience, the vehicle manufactures are swift to issue cost increases, but slower to increase customer prices. Since the contract price basis is a discount off MSRP, these practices further squeeze our ability to operate without adjustment to the discount percentages.

Attached is a graph represented the rapid increase of vehicle pricing since this contract started.

Some other well-known key points in the auto industry which affect our operating margins but are slightly harder to show in hard numbers due to manufacture confidentiality are also listed below.

o UAW Strikes (2022-2024): UAW strikes during this period significantly disrupted production schedules, leading to increased costs for automakers. Below are a few articles supporting the known issues caused by the UAW Strike:

- https://www.foxbusiness.com/economy/the-uaw-strike-might-be-over-but-will-consumers-feel-it-later o Global Supply Chain Disruptions: Post-COVID-19 pandemic effects have continued to cause factory closures and component shortages, driving up production costs.

o Rising Raw Material Costs: Fluctuations in the prices of steel, aluminum, lithium, and cobalt have escalated manufacturing expenses.

o Technological Advancements and EV Transition: The shift towards electric vehicles and advanced technologies has increased manufacturing complexities and costs.

o Labor Shortages and Wage Increases: A scarcity of skilled labor and higher wage demands have led to increased production costs.

o Global Economic Factors: Inflation and currency volatility have influenced the cost of imported components, affecting competitiveness.

o High Demand, Low Inventory: The current market dynamic of high consumer demand against low inventory levels has led to higher vehicle prices.

o Impact on Dealership Profitability: The increased cost of holding inventory due to higher interest rates has forced dealerships to rethink pricing strategies.

o Challenges in Inventory Management: Higher interest rates necessitate more efficient inventory turnover to minimize expenses.

o Strained Manufacturer-Dealer Relations: The financial burden from increased financing costs could impact relationships between manufacturers and dealerships.

Considering these challenges, we believe it is essential to adjust the discount percentages to better reflect the current market realities. Such a revision would aid in maintaining the sustainability of our operations and ensuring continued service excellence to our clients. We appreciate your consideration of this request and look forward to discussing it further.

Sincerely, http://l.governmentautosales.com/ls/click?upn=xLdapG7mlD-2B-2Feu5Go9R0mrQNSmtaYCtooKi-2FcOE8-2FfFrE8Tk1AMqLzOYx7N9L4DfQxyoIqqatpw3j9zj-2FoIkHerpH-2FNdSSi55OxyeNyDHdDIE6rIgiTpw2ZfU0M7q3k-2BAA-2BlwAuokceefkmtVWEq7g-3D-3DWFKu_UO4xWQ00rgmdM1eL0S2JkTjde4BJhmSzPg5H3-2BzPb7q95A7j1iIO0NTg5d3Sy1cmhj4WepZex4UsEv6pF4JY1MZjrYMQecEtumMjMz7AXGl1AjE-2F2P9nRF8fY6ufAsPaAM64n4k0CqtncE-2FQ6OobaiUj6F2JtgQDJ-2BfxNa3ZpHsV-2BYFWiztAtHVFA98CPm17rlM8O4Ie0jVLnxkgn8rB-2Fw-3D-3D http://l.governmentautosales.com/ls/click?upn=xLdapG7mlD-2B-2Feu5Go9R0mrnAqlSRC4KUN5jU8hsNJQHFqmHBwnxmDZsbsp-2BWpej2wb-2FEq8-2FtpNXp85bW-2BT8bQSKuj0qVYXR3nxbD0w4tB1g-3DISfw_UO4xWQ00rgmdM1eL0S2JkTjde4BJhmSzPg5H3-2BzPb7q95A7j1iIO0NTg5d3Sy1cmGbytZwhtdu7mVkrQ7uX5uXrp1LuyrO7SwJRvv-2FU1iuk5CHZ9ikmJ4-2FhfvN5vVKfFyQ0tr0bDFYw6ZVMcDrLlrZBMBOwg3pR9o2R3JdHTQLTzpgcOlfiu0AV8V6tI6gv1kuqGVALquIT-2FN9lYuzG8MA-3D-3D http://l.governmentautosales.com/ls/click?upn=xLdapG7mlD-2B-2Feu5Go9R0mpalpx2pG3gY8ahPhY0QlE-2FWVbfOVrK9NNN2shG0ll37ROtTUT49gkrEY0nyJDnXqMwVNwc-2F5VvnrFpp9Xf1au41rY1LoW4RoWqrXO58-2FIx29EJEOZ5j3rNFu-2F2wLrpz8Q-3D-3DQlLl_UO4xWQ00rgmdM1eL0S2JkTjde4BJhmSzPg5H3-2BzPb7q95A7j1iIO0NTg5d3Sy1cmX1EmEJzgnjYR4tPqtoiyZyygWmHOw-2BSWV9qGCbtxK6vAz0wPpa0kDOjgCqPuhBS0dLFjgjF5l-2Bd2KEws70qb4kRNyASb59YOAQ32ywYlRCV8BZWEmKkI07mC2KYhonMUAW4mpgFEDVBtjMc2INBMhQ-3D-3D
