(Select box and indicate date(s) as appropriate):

Services shall commence upon receipt of an executed Task Work Order and shall be completed by the end date identified in the Task Work Order or date of termination, whichever occurs first.

Services shall commence upon written notice from the Department's Contract Manager and shall be completed by or date of termination, whichever occurs first.

Other: See Exhibit "A"

B. RENEWALS (Select appropriate box):

This Agreement may not be renewed.

This Agreement may be renewed for a period that may not exceed three (3) years or the term of the original contract, whichever is longer. Renewals are contingent upon satisfactory performance evaluations by the Department and subject to the availability of funds. Costs for renewal may not be charged. Any renewal or extension must be in writing and is subject to the same terms and conditions set forth in this Agreement and any written amendments signed by the parties.

C. EXTENSIONS. In the event that circumstances arise which make performance by the Vendor impracticable or impossible within the time allowed or which prevent a new contract from being executed, the Department, in its discretion, may grant an extension of this Agreement. Extension of this Agreement must be in writing for a period not to exceed six (6) months and is subject to the same terms and conditions set forth in this Agreement and any written amendments signed by the parties; provided the Department may, in its discretion, grant a proportional increase in the total dollar amount based on the method and rate established herein. There may be only one extension of this Agreement unless the failure to meet the criteria set forth in this Agreement for completion of this Agreement is due to events beyond the control of the Vendor.

It shall be the responsibility of the Vendor to ensure at all times that sufficient time remains in the Project Schedule within which to complete services on the project. In the event there have been delays which would affect the project completion date, the Vendor shall submit a written request to the Department which identifies the reason(s) for the delay and the amount of time related to each reason. The Department shall review the request and make a determination as to granting all or part of the requested extension.

3. COMPENSATION AND PAYMENT

A. Payment shall be made only after receipt and approval of goods and services unless advance payments are authorized by the Chief Financial Officer of the State of Florida under Chapters 215 and 216, Florida Statutes. If the Department determines that the performance of the Vendor is unsatisfactory, the Department shall notify the Vendor of the deficiency to be corrected, which correction shall be made within a time-frame to be specified by the Department. The Vendor shall, within five days after notice from the Department, provide the Department with a corrective action plan describing how the Vendor will address all issues of contract non-performance, unacceptable performance, failure to meet the minimum performance levels, deliverable deficiencies, or contract non-compliance. If the corrective action plan is unacceptable to the Department, the Vendor shall be assessed a non-performance retainage equivalent to 10% of the total invoice amount. The retainage shall be applied to the invoice for the then-current billing period. The retainage shall be withheld until the vendor resolves the deficiency. If the deficiency is subsequently resolved, the Vendor will bill the Department for the retained amount during the next billing period. If the Vendor is unable to resolve the deficiency, the

OGC – 10/23

funds retained will be forfeited at the end of the agreement period.

B. If this Agreement involves units of deliverables, then such units must be received and accepted in writing by the Contract Manager prior to payments.

C. Bills for fees or other compensation for services or expenses shall be submitted in detail sufficient for a proper preaudit and postaudit thereof.

D. The bills for any travel expenses, when authorized by terms of this Agreement and by the Department's Project Manager, shall be submitted on the Department’s Travel Form No. 300-000-06 and will be paid in accordance with Section 112.061, F.S and the most current version of the Disbursement Handbook for Employees and Managers.

E. Vendors providing goods and services to the Department should be aware of the following time frames.

Upon receipt, the Department has five (5) working days to inspect and approve the goods and services, unless otherwise specified herein. The Department has twenty (20) days to deliver a request for payment (voucher) to the Department of Financial Services. The twenty (20) days are measured from the latter of the date the invoice is received or the goods or services are received, inspected and approved.

F. If a payment is not available within forty (40) days, a separate interest penalty as established pursuant to Section 215.422, Florida Statutes, shall be due and payable, in addition to the invoice amount, to the Vendor. Interest penalties of less than one (1) dollar shall not be enforced unless the Vendor requests payment. Invoices which have to be returned to a Vendor because of Vendor preparation errors shall result in a delay in the payment. The invoice payment requirements do not start until a properly completed invoice is provided to the Department.

G. The State of Florida, through the Department of Management Services, has instituted MyFloridaMarketPlace, a statewide eProcurement system. Pursuant to Section 287.057(22), Florida Statutes, all payments shall be assessed a transaction fee of one percent (1%), which the Vendor shall pay to the State. For payments within the State accounting system (FLAIR or its successor), the transaction fee shall, when possible, be automatically deducted from payments to the Vendor. If automatic deduction is not possible, the Vendor shall pay the transaction fee pursuant to Rule 60A-1.031 (2), Florida Administrative Code. By submission of these reports and corresponding payments, Vendor certifies their correctness. All such reports and payments shall be subject to audit by the State or its designee. The Vendor shall receive a credit for any transaction fee paid by the Vendor for the purchase of any item(s) if such item(s) are returned to the Vendor through no fault, act, or omission of the Vendor.

Notwithstanding the foregoing, a transaction fee is non-refundable when an item is rejected or returned, or declined, due to the Vendor's failure to perform or comply with specifications or requirements of the Agreement. Failure to comply with these requirements shall constitute grounds for declaring the Vendor in default and recovering reprocurement costs from the Vendor in addition to all outstanding fees.

VENDORS DELINQUENT IN PAYING TRANSACTION FEES MAY BE EXCLUDED FROM

CONDUCTING FUTURE BUSINESS WITH THE STATE.

H. A vendor ombudsman has been established within the Department of Financial Services. Records of costs incurred shall include the Vendor's general accounting records and the project records, together with supporting documents and records of the Vendor and all subcontractors performing work on the project, and all other records of the Vendor and subcontractors considered necessary by the Department for a proper audit of project costs.

J. The Department, during any fiscal year, shall not expend money, incur any liability, or enter into any contract which, by its terms, involves the expenditure of money in excess of the amounts budgeted as available for expenditure during such fiscal year. Any contract, verbal or written, made in violation of this subsection is null and void, and no money may be paid on such contract. The Department shall require a statement from the comptroller of the Department that funds are available prior to entering into any

OGC – 10/23

such contract or other binding commitment of funds. Nothing herein contained shall prevent the making of contracts for periods exceeding one (1) year, but any contract so made shall be executory only for the value of the services to be rendered or agreed to be paid for in succeeding fiscal years. Accordingly, the Department's performance and obligation to pay under this Agreement is contingent upon an annual appropriation by the Legislature.

K. For any contract for services with a non-profit organization as defined in s. 215.97(2)(m), Florida Statutes, the Vendor shall provide documentation to indicate the amount of state funds:

(1) Allocated to be used during the full term of this Agreement for remuneration to any member of the board of directors or an officer of the Vendor.

Such information will be posted by the Department to the Florida Accountability Contract Tracking System maintained pursuant to s. 215.985, Florida Statutes, and must additionally be posted to the Vendor’s website, if the Vendor is a non-profit organization and maintains a website. The Vendor shall utilize FDOT Form No. 350-090-19, Compensation to Non-Profits Using State Funds, for purposes of documenting the compensation. There may also be additional enhancements that will be performed as task work orders, as described in section 3.3.2. Future Enhancements that can be planned, authorized, performed, and accepted within the term of the CONTRACT.

2. BACKGROUND

FDOT District 5, herein the “DEPARTMENT” has an existing local data warehouse, the SunStore

(https://sunstore.cflsmartroads.com/), where users can search browse, interact with, and download

FDOT D5 ITS data. The SunStore started as a big data management sandbox to test operational use of large real data sets in 2016 and has evolved into the central data storage for all the transportation system management and operations information gathered on the ITS network that D5 is the system of record for public records requests. Having a wide range of technology out on the roads means there will be an endless stream of data to manage. SunStore connects and integrates many data sources, so FDOT can make the information available to planning, operations, universities, research institutions, and businesses to encourage innovation. The SunStore provides CSV and JSON API access to data in the warehouse, and it also provides several custom user interfaces to view and interact with the data.

SunStore consists of 114 data sets, these data sets range from publicly available to district only with permission based upon any license agreements in place concerning the data set. User access control to the data is controlled through the SunStore’s token-based role management system. A list of the 114 data sets can be seen in Table 1 on the following pages. The SunStore provides data set and metadata information for each dataset including but not limited to loading method, loading procedure and ETL processes, original source of data, data update intervals, data time/historic availability, data size, point of contact, contact information, any additional documentation, access constraint, and access policy. The existing SunStore data warehouse is hosted locally at the D5 Regional Traffic Management Center

(RTMC). The SunStore functions on a combination of the following software suites, ESRI Arc-GIS Enterprise

Server, Elastic Stack (logstash, elasticsearch, and kibana), Windows Server OS, MS SQL Server, IIS, Node.js, Power BI, kafka, and Tableau. In addition to the primary data store on premise, the SunStore has a smaller hybrid cloud environment to support faster dashboard results for tools that have been built to utilize the

HERE data set. This environment contains a rolling latest 45 days to support the operation of the RTMC

Map https://sunstore.cflsmartroads.com/rtmc/ and the Travel Time Comparison Tool developed under

TWO 23 of the BEA16 contract and phase 2 enhancement is in progress under TWO 26 BEA16 contract.

The DEPARTMENT has another data warehouse known as the Data Fusion Environment (DFE) that serves as the data hub powering the Regional Integrated Corridor Management Software (R-ICMS) that completed development and went into O&M in 2023. Currently, the DFE functions on a combination of the following software suites; Microsoft Server OS, Ubuntu Server OS, elasticsearch, Kubernetes, MongoDB, Cloudera Essentials, Hadoop HDFS and Kafka services, NGINX, Redis, ESRI software, MS SQL

Server, and HCS7. The R-ICMS is currently being enhanced to become a part of the statewide ATMS software SunGuide and it will no longer need an independent data warehouse once that enhancement is complete. The DEPARTMENT’s overall goal is for the R-ICMS functionality to become a part of SunGuide and for the SunStore to serve as the D5 system of record for any data sets D5 ITS has that are unique and need to maintain for compliance with public record request laws. A review of existing data sets between the R-ICMS DFE and the SunStore was performed. That review found two existing data sets within

MongoDB of the DFE that would need to be migrated between systems. The two data sets, GTFS

Aggregator and GTFS-RT Aggregator, are shown listed at the end of Table 1, previously shown in the document. The migration of these two data sets was recently completed on the existing SunStore and R-https://sunstore.cflsmartroads.com/rtmc/

ICMS O&M contracts in late 2024. This data was transferred from the DFE into a combination of elastic search and cold storage CSV for records retention purposes.

The Existing Architecture of the SunStore is further detailed in Figures 1 – 7 in the following pages.

The SunStore is currently in the process of elastic search version upgrade from ES version 6 to ES version

8. This migration is a stepwise process due to changes between ES 6 and ES 7. Right now, both the existing

ES 6 cluster of 14 servers (5 data nodes) and the new ES 8 cluster of 19 servers (9 data nodes) are active.

Realtime data connections are being set up in the new cluster in parallel to the existing cluster. This is to minimize/prevent data loss during the transition and to allow clear identification of the data set begin and end indexes to be migrated over to the new cluster. Once this migration is complete the network resources for the original ES 6 cluster of 14 servers will be reclaimed by the DEPARTMENT and a small portion of them will be allocated to the creation of an ES 8 test cluster of 3 servers as shown in Figure 8 on the following page.

Since the initial big data lake pilot ideas started in 2016, FDOT D5 has learned a lot about the management and day to day needs of users accessing a large data store. That includes what data sets are frequently accessed by external users. How much data they request at one time and the types of requests that they have. Based upon this the DEPARTMENT will look to modernize the data store to better meet the needs of the user base while maintaining critical system of record functionality to fulfill public records requirements.

The existing BEA16 contract is undergoing an effort to clean up data set access to minimize IT resource needs while meeting the needs of user and public records. The following table shows what data sets are to remain, which will only be in cold storage for records retention requirements, and which are to be removed entirely as they are duplicate of another data set managed by another office of the Department.
