AGREEMENT
In consideration of the mutual covenants in this Agreement, the parties agree that the foregoing recitals are true and correct and are incorporated as part of this Agreement, and the parties further agree as follows:
1. SFRTA shall perform the installation of a wayside impact load detector, (see, exhibit – “A”) work within the DEPARTMENT’S right-of-way along the SFRC, herein referred to as the (“Project”), as more particularly described in Exhibit "A" Project Description and Responsibilities, attached to this Agreement.
2. The total DEPARTMENT funding available for the Project is $889,222.96. The cost of all labor, services, materials, and equipment described in Exhibit “B" Project Budget, furnished by SFRTA and attached and incorporated into this Agreement, in carrying out work to be performed on the Project, and the cost of watchmen or flagging service incurred for the Project in accordance with the terms of this Agreement, shall be billed by SFRTA directly to the DEPARTMENT.
3. The Project shall be performed by SFRTA in accordance with the plans and other Project specifications identified in Exhibit “C” Plans attached and incorporation into this Agreement and in accordance with all applicable standards, including but not limited to the DEPARTMENT’S Standard Plans for Road and Bridge Construction, applicable SFRC Standards, all Federal Railroad Administration (FRA), and American Railway Engineering and Maintenance of Way Association (AREMA) standards and guidelines. No changes shall be made to the Project work by SFRTA except as reviewed and approved by the DEPARTMENT. Such approval must be obtained by SFRTA from the DEPARTMENT in writing prior to SFRTA performing any activities related to the changes.
4. The DEPARTMENT will reimburse SFRTA for the cost of watchmen or flagging service in the carrying out of Project work within or adjacent to the SFRC, or Project work requiring movement of equipment, employees or trucks across the SFRC, or when at times SFRTA and/or the DEPARTMENT agree in writing that such a service is necessary. Reimbursement will be made from the total DEPARTMENT funding available for the Project.
5. It is understood and agreed that the DEPARTMENT shall receive fair and adequate credit against
Project costs for any salvage of materials from the Project work.
6. This Agreement shall commence upon full execution by both parties (“Effective Date”) and continue through 12/31/2026 (“End Date”). If SFRTA does not complete the Project before the End Date, this Agreement will expire unless an extension of the End Date is requested by SFRTA and granted in writing by the DEPARTMENT prior to the expiration of this Agreement. Expiration of this Agreement will be considered termination of the Project. The cost of any Project work performed prior to the Effective Date or after the End Date of this Agreement will not be reimbursed by the DEPARTMENT.
a. ☒ If this box is checked the following provision applies:
Unless terminated earlier, work on the Project shall commence no later than 90 days after the execution of this Agreement. The DEPARTMENT shall have the option to immediately terminate this Agreement should SFRTA fail to meet this timeframe.
7. SFRTA shall notify the DEPARTMENT a minimum of 48 hours before beginning construction within the DEPARTMENT’S right-of-way. SFRTA shall notify the DEPARTMENT should construction be suspended for more than 5 working days.

8. Upon completion of the work, SFRTA shall, within one hundred eighty (180) days, furnish the
DEPARTMENT with three (3) copies of its final and complete billing of all costs incurred in connection with the work performed hereunder, such statement to follow as closely as possible the order of items contained in the estimate attached hereto. The DEPARTMENT shall reimburse SFRTA for the actual costs incurred by SFRTA attributable to the Project up to the DEPARTMENT’S available funding of $889,222.96, and subject to other provisions in this Agreement. The total for labor, overhead, travel expenses, transportation, equipment, material and supplies, handling costs, and other services shall be shown in such a manner as will permit ready comparison with the approved plans and estimates. Material shall be itemized where they represent major components of cost in the relocation following the pattern set out in the approved estimate as closely as possible. Salvage credits from recovered and replaced permanent and recovered temporary materials shall be reported in said bills in relative position with the charge for the replacement or the original charge for temporary use.
The final billing shall show the description and site of the Project; the date on which the first work was performed or, if preliminary engineering or right-of-way items are involved, the date on which the earliest item of billed expenses was incurred; the date on which the last work was performed or the last item of billed expenses was incurred; and the location where the records and accounts billed can be audited. Adequate reference shall be made in the billing to SFRTA’S records, accounts, and other relevant documents. All cost records and accounts shall be subject to audit by a representative of the DEPARTMENT. Upon receipt of invoices, prepared in accordance with the above reimbursement provisions, the DEPARTMENT agrees to reimburse SFRTA in the amount of such allowable actual costs.
9. In accordance with Chapters 215 and 216 Florida Statutes, the following provisions are incorporated in this Agreement:

Interest penalties of less than one (1) dollar will not be enforced unless the Contractor requests payment. Invoices, which have to be returned to a Contractor because of Contractor preparation errors, will result in a delay in the payment. The invoice payment requirements do not start until a properly completed invoice is provided to the DEPARTMENT.
