About this file

This is Amendment No. 4 to Contract No. 505004-O14-BCNMGSRVCS-01, a contract amendment between the State of Wisconsin Department of Administration and AT&T Corp, on behalf of itself and its service providing affiliates. The amendment modifies the existing BadgerNet Managed Network Services Agreement and was executed on May 29, 2020, by the Chief Information Officer/Division Administrator for Wisconsin and on May 13, 2020, by AT&T's Sr Solutions Architect.

The amendment authorizes AT&T to upgrade existing BadgerNet Network Terminal Equipment (NTE) devices from Layer 2 only to Layer 3 functionality, including OSPF routing licenses and implementation across up to 755 sites. The project involves two classes of sites: Class 1 (12-15 high-priority 24/7 sites) requiring scheduled maintenance windows with manual cuts and bridge support, and Class 2 (674-740 medium-priority sites) using automated cuts between 12 AM-6 AM CT without bridge support. The total not-to-exceed project cost is $176,045.18 for a maximum 4-month duration, covering project management, licenses, engineering for automated script development, and resources for both site classes. Additional field technician dispatches, if required, are billed separately at $460 per 4-hour dispatch. The amendment also revises Exhibit 6 pricing schedules, removing the "One-Time Fees for Network Access Up to 1GB" column and renaming another column to "Not to Exceed One-Time Fees for Network Access Up to 10G."

Contract Title: BadgerNet Managed Network Services Agreement

BADGERNET AVAILABILITY PROJECT

AT&T will change existing BadgerNet NTE devices from a Layer 2 only to Layer 3. Included in that change are the equipment licenses for OSPF routing and implementation of Layer 3 routing to all requested sites. End users may elect to not implement Layer 3 routing with AT&T. An example of this is ECB and the UW. AT&T will also provide routing to alternate PE for Cat A & B sites wherever feasible within the existing BadgerNet network architecture.

AT&T has defined feasibility as sites currently implemented that have a path to two PEs rather than one. If a change is made within the core that takes a service provider to two PEs then sites impacted would be considered feasible.

AT&T will coordinate, track, schedule, a script change in the BadgerNet network for AT&T and CenturyLink sites.

AT&T and CenturyLink future sites will be implemented with this design for no additional fee.

The impact for BadgerNet end users is that in an event of a circuit or router failure the NTE will route around the failure so long as an alternate path exists within the service provider network. This proposed plan will not protect against the local access loop or service provider failures between the site and the point in the service providers network where they offer alternate paths. Both AT&T and CenturyLink support multi-point EVCs from the site to the provider edge routers. Sites within these territories will receive full benefit of this change. As your BadgerNet MSP, we will continue to work with all service providers to enable multi-point EVCs. Additional proposals may be required to implement those changes.

Sites not included:

All Category D

All Internet Service Providers on BadgerNet (100% ISP only)

Impact to SLA

When there is a Resiliency/Availability event and traffic is re-routed as requested, the latency, jitter, and packet loss may be impacted. The standard contracted SLA penalty would not apply when or if a Resiliency/Availability incident would occur. Regardless of SLA applicability, AT&T will include such instances (latency, jitter and packet loss) as part of its routine reporting.

State of Wisconsin Responsibilities

The State of Wisconsin Service Delivery Request Coordinators (SDRC) will participate as members of the Project Team and will attend scheduled meetings, participate in Project discussions and actively provide updated information and decisions from the State of WI’s organization. The SDRCs will also be responsible for defining State of Wisconsin requirements and ensuring site readiness for conversion.

Determine prior to the start of the implementation the priority of each site and which sites will be automated or scheduled.

State of WI is responsible for testing their applications the morning after the change has been made and notify AT&T of acceptance or issue.

Client will have responsibility for the oversight of their change management process.

The State of WI will be appropriately staffed to work to this schedule which will include the participation in meetings and the ability to arrange for other relevant business unit personnel to be reasonably available for such meetings.

It is expected that the client provides a technical resource for Class 1 sites that will participate on the test and turn up event daily/weekly cutover calls. This person should have the capability to perform the State of WIs user’s acceptance testing (UAT).

State of Wisconsin will approve the final count in each class to be upgraded.

On a Site by Site basis, the end users will conduct site acceptance testing within 4 business hours of the completed change.

Provide at least three (3) business days’ notice of site cut-over cancellation. Cut-over order cancellation cannot be guaranteed inside of three (3) days Potential delays identified during the duration of the project should be jointly addressed proactively.

Project Schedule

Deviation from this stated schedule may result in revised pricing and must be agreed upon by both parties in writing.

Any timelines or dates provided within this document are estimates only for purposes of resource planning. The State of Wisconsin’s resource availability or other factor beyond AT&T’s control may impact project timelines.

DocuSign Envelope ID: 698353B0-61DD-4DE6-AE84-F4CE5B0382FDDocuSign Envelope ID: C80F8EE0-8838-4BBD-A6F4-1D3691FA095B

It is estimated that the duration of the project will be 4 months. If for any reason the initiation of work occurs later than planned, there is a possibility that the project cannot be completed in the identified timeframe. If the project is delayed, the duration of the project will increase. During this engagement additional information will be learned about the engagement that may cause the time required to complete the engagement to differ. Changes to the Expected Duration will be addressed and agreed upon in writing.

A final Project Plan will be developed during the project planning phase. The project duration was based upon the normal standard interval for cut-over. All work for will be performed over a consecutive time frame excluding holidays, unless otherwise specified.

Project Assumptions:

A block of time is included for the Field Engineers in case we need to dispatch an on-site engineer, the number of dispatches will not exceed 50 and will be charged only if used.

Development of the automated script will be done by the person providing the engineer support for the project Any freeze constraints could impact the project schedule and therefore the duration.

The estimated time required for each automated site is 10 minutes, should this be different due to unknown conditions, it will be addressed via the change order process or a trouble ticket to restore service for corrective configuration changes to enable carrier-level connectivity. Service restoration is first priority.

Once sites are completed the support of these sites will be handed back to MRS for support.

Project schedule is estimated above, if either party do not mutually agree there could be cost impacts that would be handled via the change order process.

The PM’s work effort will be performed during the normal business hours of Monday through Friday, 8am to

5pm CT Delays caused by factors outside of the reasonable control of either party will be addressed in writing.

Any additions or changes to this scope of work or adjustments may necessitate changes in pricing agreed upon and approved in writing.

It is assumed that if project delays occur that would require either party to stop work, the other party will not be held financially responsible for project delays outside of its control.

Project Management Services described in this Statement of Work will be provided within the Continental

United States.

It is assumed that the AT&T resources outlined in this Scope of Work will be remote to the client site.

This proposal does not include any travel.

AT&T PM is the Single Point of Contact to the State of WI PM.

The period of performance as listed below.

Once the project has started, all sites will be done continuously until all sites are complete.

DocuSign Envelope ID: 698353B0-61DD-4DE6-AE84-F4CE5B0382FDDocuSign Envelope ID: C80F8EE0-8838-4BBD-A6F4-1D3691FA095B

Pricing

In the event, that the scope of work changes or AT&T’s Project Management is requested to perform Services outside of Normal Business Hours, AT&T will bill State of WI at a T&M rate of two-hundred fifty dollars ($250.00) per hour per AT&T Project Management for the additional time spent on the change requests. All such out of scope matters will be handled as described above. This would only be necessary for PM work outside of scope is required. PM is not required to attend TTU so pricing provided assumed normal working hours.

Pricing is based on the currently defined scope. Any additions or changes to this scope of work will necessitate changes in pricing.
