I. INTRODUCTION
The Northern Colorado Water Conservancy District and the Municipal Subdistrict, Northern Colorado Water Conservancy District (collectively referred to as “Northern Water”) are requesting proposals from qualified Respondents for On-Call Miscellaneous Concrete Services, on an as-needed basis to support the maintenance, repair, and construction of concrete infrastructure throughout Northern Water service areas.
Northern Water manages a complex network of water delivery infrastructure, including canals, ditches, control structures, access roads, facilities, and related appurtenances that periodically require concrete work to maintain structural integrity, operational functionality, and safety compliance. This solicitation establishes a pool of qualified Respondents capable of responding to routine, urgent, and emergency concrete needs in a timely and professional manner.
II. NORTHERN WATER BACKGROUND
Northern Water is headquartered in Berthoud, Colorado (approximately 40 miles north of Denver) and has more than 195 full-time staff members engaged in the operations, engineering, environmental, financial, and administrative functions of the Northern Colorado Water Conservancy District and the Municipal Subdistrict. Most staff work out of Northern Water’s headquarters in Berthoud with some out of Northern Water’s Willow Creek campus in Granby, Colorado.
II.1 NORTHERN COLORADO WATER CONSERVANCY DISTRICT
The Northern Colorado Water Conservancy District (Northern Water) is a political subdivision and a quasi-municipal corporation of the state of Colorado created by decree of the District Court of Weld County, Colorado, on September 20, 1937, pursuant to the Water Conservancy Act. The Water Conservancy Act empowers Northern Water, or any duly created subdistrict to acquire water; to obtain rights-of-way for certain water works; to contract with the United States or otherwise; to provide for construction of water facilities; to assume contractual or bonded indebtedness; to administer, operate, and maintain physical works; to conserve, control, allocate, and distribute water supplies for supplemental use; and to derive the revenues needed to accomplish its purposes.
As authorized under the Water Conservancy Act, Northern Water has created four water activity enterprises:
• Southern Water Supply Project (SWSP) Water Activity Enterprise
• Pleasant Valley Pipeline (PVP) Water Activity Enterprise
• Northern Integrated Supply Project (NISP) Water Activity Enterprise https://www.northernwater.org/deliver-water/canals-pipelines-and-outlets/southern-water-supply-project https://www.northernwater.org/deliver-water/canals-pipelines-and-outlets/pleasant-valley-pipeline https://www.northernwater.org/deliver-water/plan-for-the-future/northern-integrated-supply-project
• Hydropower Water Activity Enterprise
Northern Water was created to contract with the U.S. Bureau of Reclamation (Reclamation) to build the Colorado-Big Thompson Project (C-BT Project). The C-BT Project provides supplemental water to irrigate more than 615,000 acres of farm and ranch land and nearly 1.1 million people in eight Northeastern Colorado counties. Northern Water also engages in water management and planning activities for the purpose of meeting present and future water supply needs of water users within its boundaries.
The majority of C-BT Project water comes from mountain snowmelt in the upper Colorado River basin west of the Continental Divide. Northern Water delivers on average 210,000 acre-feet of untreated water each year to the South Platte River Basin. The C-BT Project was constructed and is mostly owned by the United States through Reclamation. Northern Water owns the portions of the C-BT Project downstream of Horsetooth Reservoir and Carter Lake. Northern Water and Reclamation jointly operate and maintain the C-BT Project.
II.2 MUNICIPAL SUBDISTRICT
The Municipal Subdistrict, Northern Colorado Water Conservancy District (Subdistrict) is a separate political subdivision and quasi municipal corporation of the State and was created by decree of the District Court of Weld County, Colorado on July 6, 1970. It was organized in 1970 for the principal purpose of developing a water supply for use by six (6) Front Range communities. Today the Subdistrict provides a water supply to 17 public entities.
As authorized under the Water Conservancy Act, the Subdistrict has created two water activity enterprises:
• Windy Gap Project Water Activity Enterprise
• Windy Gap Firming Project Water Activity Enterprise
Today the organization continues on its early mission of collecting water west of the Continental Divide and delivering it to Northeastern Colorado for agricultural, municipal, domestic, industrial, and environmental uses. In addition to the current and future projects driving day-to-day operations, Northern Water also provides regional leadership through water efficiency programs, data collection and delivery, source water protection, and interagency cooperation.

Respondent shall submit a Proposal in one (1) complete electronic PDF file. The Proposal shall not exceed twenty (20) pages, excluding individual resumes and the section concerning Agreement terms.
Individual resumes are limited to two (2) pages each. Failure to adhere to these requirements may render the Proposal non-responsive.
Respondents are encouraged, but not required, to provide one (1) redacted PDF version of their proposal, excluding any information that is not subject to disclosure under the Colorado Open Records Act (“CORA”), or additional information, see Section VI.8, “Confidentiality and Public Disclosure,” on page 11 of this RFP. If a redacted version is submitted, Respondents shall upload both the redacted and unredacted versions through RMEPS. If we do not receive a redacted copy, the Respondent’s original copy will be used to satisfy public records requests.
The Proposals shall follow the format and include a description of the following:
VI.1 QUALIFICATIONS AND EXPERIENCE
Respondents should identify the areas of expertise they can provide to assist Northern Water with any On-Call Miscellaneous Concrete Services request included in the Scope of Services.
This section of the Proposal should describe the Respondent’s overall qualifications and experience relevant to providing On-Call Miscellaneous Concrete Services. Respondents should summarize their expertise, capabilities, and recent experience performing similar work, including the types of projects, environments, and clients served.
Respondents may describe representative projects from the past five (5) years to demonstrate experience;
however, detailed reference information shall be provided only in Section VI.5, Project References.
Information on projects completed by the Respondent that did not actively involve members of the proposed project team should be minimized. Northern Water will check references of any Respondent considered a finalist for this project.
VI.2 PROJECT TEAM
The resumes should emphasize recent experience of the project team and should include the following information:
a. Geographic location of office to which the individual is normally assigned.
b. Proposed responsibility and function on the study team.
c. Estimated percentage of time and duration assigned to this project.
d. Background, relevant experience, and education.
VI.3 PROJECT APPROACH
Demonstrate an understanding of the work and provide an overall summary of what the Respondent determines is necessary to accomplish Northern Water’s goals for Miscellaneous Concrete Services required to support various project needs.
Respondents shall provide a description of how they plan to complete these services (i.e., the proposed approach), including any recommended changes or additions to the Scope of Services. Respondents shall also identify any proposed strategies informed by their unique insights, capabilities, or perspectives. The Project Approach must clearly demonstrate how it meets the goals of the project, including the Respondent’s ability to adhere to project schedules.
VI.4 ANTICIPATED SCHEDULE
Respondents must submit a proposed schedule detailing their availability and expected response times for providing On-Call, as-needed services. Upon execution of a signed Agreement and at the request of Northern Water, the Respondent must be able to provide Miscellaneous Concrete Services on an On-Call basis within mutually agreed-upon timeframes. Project Orders will be assigned as needed.
VI.5 PROJECT REFERENCES
This section shall provide project references for work completed by the Respondent that is similar in size, complexity, and scope to the services described in this RFP. References are intended solely to verify the Respondent’s past performance.

The Fee Schedule shall identify hourly labor rates, equipment rates, and applicable markups proposed for use under this Agreement.
Failure to provide this information will render your proposal as non-responsive.
VI.7 AGREEMENT TERMS
Included with this RFP is a sample Draft Agreement (Attachment F) and a sample Certificate of Insurance that shows the required types of insurance and their limits (Attachment H) that Northern Water intends to use for obtaining the services of the prospective Respondent. VI.8 CONFIDENTIALITY AND PUBLIC DISCLOSURE
Once submitted, the Proposals, any RFP Comments, and any other information, materials, or data provided by Respondents: (1) will become the property of Northern Water; (2) may not be returned to Respondents; and (3) will be subject to the Colorado Open Records Act (Colorado Revised Statutes § 24-72-201 et. seq., hereinafter referred to as “CORA”). Northern Water will disclose all such materials in response to a CORA request unless the Respondent also submits, at the time of the initial Proposal, a redacted version of the materials for disclosure and a page-by-page justification for each redaction pursuant to CORA. In the event of threatened or actual litigation regarding the redactions, the Respondent shall be responsible for the defense of the redactions and any costs or other financial impact to Northern Water relating to the threatened or actual litigation. Northern Water reserves the right to require the Respondent to make a deposit with Northern Water to cover its anticipated costs relating to any dispute regarding the disclosure of the materials, and to disclose the materials if the deposit is not provided.
If a Respondent believes that any portion of its Proposal contains information that it believes is not subject to disclosure under CORA, the Respondent shall:
• Clearly mark all confidential information as such within the Proposal and identify each page and section which has been marked on a summary page following the Executive Summary; and
• Include a statement justifying Respondent’s determination that the identified information is protected and why such information, upon request, should not be disclosed pursuant to CORA.
In the event of a request to Northern Water for the disclosure of documents prepared or provided by the Respondent, Northern Water will promptly advise Respondent of such request in order to give Respondent the opportunity to object to the disclosure of any material it may consider exempt from disclosure. However, Northern Water retains full discretion to disclose any materials it deems necessary in response to a CORA request, including materials marked as confidential by Respondent. Respondent waives any claim against Northern Water based on such disclosure. In the event of the filing of a lawsuit to compel disclosure, Northern Water will tender all such material to the court for judicial determination of the issue, and Respondent agrees it will either:
• Intervene in such lawsuit and oppose disclosure of the materials; or
• Waive any claim of privilege or confidentiality.
If Respondent chooses to intervene in such lawsuit and opposes disclosure of any materials, Respondent agrees to defend, indemnify, save, and hold harmless Northern Water, its officers, agents, and employees, from any claims, damages, expenses, loss, or costs arising out of Respondent’s intervention and/or opposition to disclosure.
VI.9 MODIFICATION OR WITHDRAWAL OR PROPOSALS
Respondents may modify or withdraw previously submitted Proposals at any time prior to the Proposal due date. Requests for modification or withdrawal of a submitted Proposal shall be in writing and shall be signed in the same manner as required for the Proposal. Upon receipt of such a request, the entire Proposal will be returned to the Respondent and not considered unless resubmitted by the due date and time. Respondents may submit an amendment to a previously submitted Proposal through RMEPS at any time prior to the Proposal due date and time. Any such amendment must be submitted electronically via RMEPS.
No Proposal may be withdrawn after the Proposal due date for a period of 150 calendar days thereafter.
Proposals may not be modified after submittal unless requested by Northern Water.
VI.10 CONFLICTS OF INTERESTS

This includes, without limitation, all relationships with excluded parties and any financial interest Respondent may have that relates to the work, including compensation Respondent has received or expects to receive from entities other than Northern Water related to the work.
VI. EVALUATION PROCEDURE
Proposals will be reviewed, evaluated, and scored by a Northern Water Evaluation Committee of three or more personnel. Proposals will be scored according to how well they address each criterion. The rating scale reflects the total available points per criterion, with the maximum points representing an outstanding response. The total scores from all evaluators will be tabulated. Respondents with the highest scores will be invited to participate in interviews (if necessitated). Proposal scores will be compiled by the Procurement Officer.
VII. INTERVIEWS
Interviews may be held at the discretion of Northern Water to assist in the evaluation. Interviews will be separately scored. Format for the interview will be as follows:

VIII. AWARD OF AGREEMENT
Once the Evaluation Committee has completed evaluations and interviews if necessitated, Northern Water shall notify all Respondents of its selection and the identity of the successful Respondent(s).
The successful Respondent(s) shall agree to complete an Agreement with Northern Water within 30 days of Notice of Intent to Award, as well as submit a Certificate of Insurance in compliance with the insurance requirements.
Northern Water anticipates shortlisting approximately three (3) Respondents to provide On-Call Miscellaneous Concrete Services. If a selected Respondent deemed to have offered the best value fails to execute an Agreement with Northern Water, Northern Water reserves the right to select additional Respondent(s) from the remaining highest-ranked proposals for inclusion on the On-Call list. This process shall continue until Agreements are executed with the desired number of responsive, shortlisted Respondents, or until Northern Water elects to reject all Proposals or the Proposal Validity Period expires, whichever occurs first.
Selection for inclusion on the On-Call list does not guarantee any minimum amount of work. Work will be assigned on an as-needed basis through Project Orders, at the sole discretion of Northern Water.
Northern Water makes no guarantee, express or implied, as to the quantity, timing, or value of work to be issued under this Agreement.
IX. RIGHTS OF NORTHERN WATER
Northern Water reserves, holds and may exercise, at its sole discretion, the following rights and options regarding this RFP and selection process in accordance with the provisions of applicable law:
1. To determine whether any proposal received complies, or fails to comply, with the terms of this
RFP.
2. To waive any technical non-conformance with the terms of this RFP.
3. To conduct investigations of any or all the Respondents, as Northern Water deems necessary or convenient, to clarify the information provided as part of the RFP, and to request additional information to support the information included in any proposal.
4. To suspend or terminate any portion of or all the selection process described in this RFP at any time (in its sole discretion). If terminated, Northern Water may commence a new selection process or exercise any other rights provided under applicable law without an obligation to the Respondents.
5. To eliminate from further consideration any Respondent who communicates with Northern Water Board of Directors, or personnel, regarding this RFP other than the sole designated contact person listed herein.
