VII. General Guidelines and Restrictions

A. Qualification of Consultant Firms

California Government Code Section 4525, et seq., requires that the selection of the firm(s) to provide the required services be on the basis of demonstrated competence and the professional qualifications necessary for the satisfactory performance of the services required. The services provided by the firm shall be performed under direction and supervision of a licensed architect, registered engineer, or licensed general contractor.

B. Disabled Veterans Business Enterprises Participation

In accordance with Public Contract Code Section 10115 et seq., it is the policy of the State to involve DVBE in its contracts to the maximum extent feasible. The Consultant shall make every reasonable effort in accordance with Public Contract Code Section 10115 et seq. to include qualified DVBE subconsultants and subcontractors in its work. CDCR reserves the right to periodically monitor the Consultant's progress in achieving the aforementioned goal and inquire of said progress as deemed necessary.

C. Small Business Enterprise Participation Requirement

The State is also committed to supporting SB participation in state contracting and seeks to use SB wherever possible. Therefore, it is requested that consultants actively solicit certified SB for subconsulting opportunities for these services. The successful firm will be asked to list any subconsultants that are California certified SB. The Office of SB and DVBE Services (OSDS) at the Department of General Services can assist in identifying certified SB. The OSDS can be reached by telephone at (916) 375-4940.

In addition to reporting those subconsultants known to be certified SBs, it is requested that firms encourage any subconsultants that the firm intends to use that may be an SB, but are not currently certified as such, to become certified through the OSDS.

The Consultants shall send any SB/DVBE related inquiries to

SBDVBEADVOCATE@CDCR.CA.GOV.

D. Equal Employment Opportunity

CDCR is committed to equal employment opportunity principles and demands such commitment from its consultants. The consultants shall be expected to emphasize nondiscriminatory personnel practices with respect to race, color, ancestry/ethnicity, creed, religion, age, sex, national origin, sexual orientation, physical or mental disability, or political affiliation. All prospective consultants, prime and subconsultants, must agree to and sign the Statement of Compliance, which has been attached to the package as Attachment B.

E. Drug-Free Workplace

The Consultant shall, by signing any future agreement, swears under penalty of perjury under the laws of the state of California, that the Consultant is in compliance with Government Code Section 8355 (a) in matters relating to providing a drug-free workplace.

The Consultant shall:

1. Publish a statement notifying employees that unlawful manufacture, distribution, dispensation, possession, or use of a controlled substance is prohibited, and specify actions to be taken against employees for violations, as required by Government Code Section 8355(1).

2. Establish a Drug-Free Awareness Program, as required by Government Code

Section 8355(2), to inform employees about all of the following:

a. The dangers of drug abuse in the workplace.

b. The person’s or organization’s policy of maintaining a drug-free workplace.

c. Any available counseling, rehabilitation and employee assistance programs.

d. Penalties that may be imposed upon employees for drug abuse violations.

a. Receive a copy of the company’s drug-free policy statement.

b. Shall agree to abide by the terms of the company’s statement as a condition of employment on the agreement.

Failure to comply with these requirements may result in suspension of payments under the Agreement, or termination of the Agreement, or both, and the Consultant may be ineligible for award of any future state contracts if the CDCR determines that any of the following has occurred: (1) the Consultant has made false certification, or

(2) violates the certification by failing to carry out the requirements as noted above.

F. Conflict of Interest

1. The State and the Consultant shall avoid any real or apparent conflict of interest on the part of the Consultant, its employees, or officers and directors of the Consultant firm or any of its subconsultants in performing professional services specified in this Agreement. CDCR reserves the right to determine, in its reasonable discretion, whether any information, assertion or claim received from any source indicates the existence of a real or apparent conflict of interest; and, if a conflict is found to exist, to require the Consultant to submit additional information or a plan for resolving the conflict, subject to CDCR review and prior approval.

2. Conflicts of interest include, but are not limited to:

a. An instance where the Consultant or any of employee, officer, or director of the

Consultant or any subcontractor of the Consultant providing said professional services for a project, has an interest, financial or otherwise, in any other contractor on the project, or whereby the use or disclosure of information obtained by the Consultant while performing services under the contract for the project would allow for private or personal benefit or for any purpose that is contrary to the goals and objective of the contract.

b. An instance where the Consultant or any of its subconsultant’s employees, officers, or directors use their positions for purposes that are, or give the appearance of being, motivated by a desire for private gain for themselves or others, such as those with whom they have family, business or other ties.

3. If either party becomes aware of a known or suspected conflict of interest, the knowledgeable party shall inform the other party, and the Consultant shall be given an opportunity to submit additional information to resolve the conflict. Within 20 days from the date of notification of the conflict, the Consultant shall provide the additional information to CDCR sufficient to enable CDCR to fully evaluate the nature and effects of the potential conflict. If a conflict is determined to exist by the CDCR in its reasonable discretion and cannot be resolved to the satisfaction of the CDCR, the conflict shall be grounds for termination of the contract for good cause under the terms of this Agreement.

G. EXECUTIVE ORDER N-6-22 – RUSSIA SANCTIONS

On March 4, 2022, Governor Gavin Newsom issued Executive Order N-6-22 regarding Economic Sanctions against Russia and Russian entities and individuals. “Economic Sanctions” refers to sanctions imposed by the U.S. government in response to Russia’s actions in Ukraine, as well as any sanctions imposed under state law. By submitting a bid or proposal, the contractor represents that it is not a target of Economic Sanctions. Should the State determine the contractor is a target of Economic Sanctions or is conducting prohibited transactions with sanctioned individuals or entities, that shall be grounds for rejection of the contractor’s SOQ any time prior to contract execution, or, if determined after contract execution, shall be grounds for termination by the State.

H. Prevailing Wage Rates

The Director of the Department of Industrial Relations (DIR) has ascertained general prevailing wage rates in the county in which the work is to be performed. Upon request, the State shall furnish to the Consultant a copy of such prevailing wage rates that the contractor shall post at the job site.

The prevailing wage rates set forth are the minimum that shall be paid by the Consultant.

Nothing contained herein shall be construed as preventing the Consultant from paying more than the minimum prevailing wage rates. No extra compensation will be allowed by the State due to the Consultant’s inability to hire labor at minimum rates.

If it becomes necessary to employ work classifications other than those listed on the Labor Rate Sheet, Appendix E, the Consultant shall notify the CDCR immediately and the CDCR will ascertain the additional prevailing wage rates from the date of initial payment.

The Consultant shall comply with all prevailing wage rate requirements and shall be subject to all restrictions and penalties in accordance with California Labor Code sections 1770-1784.

I. Public Works Contractor Registration Program
