1.0 INTRODUCTION AND BACKGROUND
The Stanislaus County Public Works Department (County) is soliciting Statement of Qualifications (SOQ’s) from contractors to provide on-call materials testing services for various federal and non-federal funded projects. The first step of the RFQ process will establish from this solicitation an approved on-call list of at least three contractors. The successful contractors will be awarded projects based on the second step RFP (Request for Proposal) process. Selected contractors will be sent a project specific RFP solicitation.
Project specific proposals submitted by the contractors shall be evaluated and selected per the requirements provided within the RFP. Through this first step of the solicitation, the three most qualified firms will enter into an on-call master agreement not to exceed the sum of $600,000.00, and the agreement will terminate when the “not to exceed sum” is expended or the agreement expiration date is reached, whichever occurs first. The initial contract amount with each selected contractor shall be limited to a maximum of $199,000.00. The terms of the agreement will be for three years with two possible one-year extensions at the discretion of the County, not to exceed a total of five years.
Material testing on roadwork construction is an integral portion of County Projects. It ensures the contractor is providing quality materials and is meeting the minimum requirements in the project plans and specifications. During the course of constructing Public Works improvement projects, it is necessary for the County’s Construction Administration Division to utilize the services of a materials testing laboratory to achieve or monitor compliance with the specification requirements of the project’s contract.
Additionally, the County’s Design Division may require analysis of existing pavement to aid in the design of future improvement projects and would utilize a materials testing consultant to support County Staff. Work may include, but is not limited to, coring existing pavement sections, R-value testing, and pavement section design recommendations.
If you wish to be considered for this solicitation, submit three (3) sealed hard copies by mail or hand delivered and one (1) electronic copy in PDF format with all required information to:
Stanislaus County
Department of Public Works
Attention: Joe Giulian
The SOQs do not commit the County to award a contract, or to pay for any costs incurred in the preparation or presentation of proposals, or to procure an agreement for services.
Submittals received after the time and date specified will be considered nonresponsive and will be returned to consultant.
Any proposals received prior to the time and date specified may be withdrawn or modified by written request of the Consultant. To be considered, however, the modified submittal must be received prior to the due date.
Unsigned submittals or submittals signed by an individual not authorized to bind the prospective Consultant will be considered nonresponsive and rejected.
This solicitation is not for specific projects, but for specific services. The services are to be rendered for the duration of the contract term. The County does not guarantee a specific number.
The SOQ shall include, at a minimum: billing rates (in a separate, sealed envelope), and a summary of experience and qualification of consultant and supporting staff members.
The Consultant should indicate his/her acceptability of the terms and conditions of the Sample Professional Design Services Master Agreement (Attachment A-1). No changes to the Master Agreement will be considered.
The County reserves the right to accept or reject any or all SOQs received as a result of this request, to negotiate with any qualified consultant, or to modify or cancel in part or in its entirety the RFQ if it is in the best interests of the County to do so.
The prospective consultant is advised that should this RFQ result in recommendation for award of a contract, the contract will not be in force until it is approved and fully executed by the Stanislaus County Board of Supervisors.
All products used or developed in the execution of any contract resulting from this RFQ will remain in the public domain at the completion of the contract.
The costs will be based on the specified rates of compensation. The County shall confer with the consultant to establish the maximum fee, including expenses, for the specific project and to establish the completion date.
For future RFPs, selected Consultants will be asked to submit with their proposal a cost proposal for the specific project or tasks listed in the RFP. Consultants shall follow the procedure and requirements listed in the RFP to submit the cost proposal. Consultant will be required to submit certified payroll records, as required, and pay prevailing wages if required.
Selected Consultants, if required, shall comply with chapter 10.2.3 of the Local Assistance Procedures Manual regarding the A&E Consultant Contract Audit and Review process.
The Consultant shall submit detailed invoices to the County Project Manager on a monthly basis. Billings shall include a spreadsheet style list showing project name, personnel, County Project Manager, mileage reimbursement, work performed, and date performed.
The County shall not reimburse the Consultant for per diem costs, unless approved by the Project Manager. The County shall not reimburse the Consultant for out-of-state travel without prior written approval from the Project Manager.
The County shall not incur costs beyond the funding commitments in the Contract. If the Consultant anticipates that funding for work will be insufficient to complete work, the Consultant shall promptly notify the Project Manager.

4.0 SELECTION PROCEDURE
The selection process will follow Public Works’ procedure for consultant selection, which generally follows Caltrans procedures. Consultants will be scored and ranked based on the qualifications and the quality of the proposal as shown in Attachment A-2 – Exhibit 10-B “Suggested Consultant Evaluation Sheet.” The rankings from each reviewer will be added together to determine the top ranked Consultant.
The County will select the Consultant based on the following procedure:
• Receive and evaluate proposals
• Develop final ranking of consultants
• Notify consultants of the results and begin protest period
• Receive and open Fee Schedule from the top ranked consultants
• Negotiate contracts with top ranked consultants. If an agreement on the scope of services and compensation cannot be reached, negotiations with that particular consultant will be closed, and negotiations with the next-highest ranked consultant not already selected will be opened. The process is repeated at the County’s discretion until the desired number of contracts are successfully negotiated.
The County may choose to negotiate with as many consultants as needed to procure a desired number of on-call consultant contracts. The number of on-call consultant contracts to be awarded is entirely at the discretion of the County and does not guarantee the award of any number of contracts.
Review of the proposals and contract negotiations with the top ranked consultants will be conducted in compliance with the Two-Step (RFQ Followed by RFP) outlined in Chapter 10 of the Caltrans Local Assistance Procedures Manual (LAPM). A formal notice to proceed to the selected consultants will occur immediately following the County Board of Supervisor’s award of the o n - c a l l contracts to the selected consultants.
5.0 PROPOSAL SUBMITTAL INSTRUCTIONS
Only that information specifically requested must be submitted. If a consultant recognizes a more efficient method of accomplishing specific tasks or items, the Consultant's fees must reflect the County's requested work, and the cost increase/savings for the more efficient method must be noted separately.
Price is NOT an evaluation criterion.
The successful firms are required to enter into a Professional Design Services M a s t e r Agreement with Stanislaus County for the work to be performed. A sample Professional Design Services Master Agreement is included with this Request for Qualifications. The Consultant must state in the submitted proposal that the firm has reviewed Attachment A- 1 - “Sample Professional Design Services Master Agreement,” will meet all the terms and conditions if selected by the County for the requested services and be able to sign the agreement as-is with no changes.
If you wish to be considered for this solicitation, please submit all documents containing fees in a separate sealed envelope and three (3) hard copies of the proposal by 4:00 P.M., on the proposal due date as noted on the cover page to:
Joe Giulian Stanislaus County Public Works
In addition to hard copies, Consultant shall also provide an electronic copy of the response in PDF format on a USB flash drive. A copy of this Request for Qualifications is available for viewing on PlanetBids. All questions regarding this RFQ shall be submitted in writing.
Questions must be submitted to Joe Giulian at giulianj@stancounty.com_ and PWbids@stancounty.com. Addendums, if necessary, will be posted on the Planet Bids website.
5.1 PROTEST PROCEDURE
Any protest must be submitted in writing to the County Department of Public Works office (Attention Joe Giulian) before 5:00 p.m. of the tenth (10) day upon ranking of consultants and subsequent notification of said ranking. County will use reasonable efforts to notify all consultants who submitted proposals of their ranking.
The initial protest must contain a complete statement of the basis for the protest.
The protest must refer to the specific portion of the document that forms the basis for the protest.
The protest must include the name, address, and telephone number of the person representing the protesting party.
Only consultants who submitted a proposal will be eligible to protest. Protests from any other consultant will not be considered.
The party filing the protest must concurrently transmit a copy of the initial protest document and any attached documentation to all other parties with a direct financial interest that may be adversely affected by the outcome of the protest. Such parties shall include all other consultants who appear to have a reasonable prospect of receiving an award depending upon the outcome of the protest.
The procedure and time limits set forth in this paragraph are mandatory and are the Consultant’s sole and exclusive remedy in the event of a protest. Consultant’s failure to comply with these procedures shall constitute a waiver of any right to further pursue the protest, including filing a Government Code Claim or legal proceedings. A consultant may not rely on a protest submitted by another consultant but must timely pursue its own protest.
5.2 DISPUTE RESOLUTION PLAN
If an impasse is reached between Stanislaus County and the Consultant, and the Consultant desires to appeal the County’s decision, the following procedure is to be used:

b. A detailed discussion of the items that are in dispute with references to sections in the manuals and policy memos that support the County’s position.
c. The County’s recommendation on the disputed items.
d. All material provided in the Consultant appeal request package. Other information that supports the County’s position such as an overview of the issue, any additional maps, plans, invoices, receipts, draft or executed agreements, pictures, logs, and other material needed to give a full explanation of the disputed issue that was not included in the Consultant’s appeal request package.
3. The Director of Public Works will review the appeal request and within two weeks, will issue one of the three following written responses:
a. If the Director does not find sufficient grounds or merit for the appeal, a decision letter stating the reasons for denying the appeal will be sent to the Consultant.
b. If the Director finds there are sufficient grounds or merit for the appeal and a clear solution is apparent, a decision letter will be sent to the Consultant, describing the reasons for the decision and the resolution details.
c. If the Director finds that sufficient grounds or merit for an appeal are evident but no clear solution is apparent, a decision letter will be sent to the Consultant.
The Director will then hold a meeting with appropriate stakeholders (Consultant and the County representatives). At the meeting, the Consultant and the County representative(s) may be asked to give a brief overview of the appeal and a discussion of the items in dispute. After evaluating all the information provided and after consultation with the necessary and appropriate parties and/or agencies; a final decision will be issued in writing notifying the Consultant of the resolution details.
