1.2. The Village will make monthly progress payments once every thirty (30) day cycle to the Contractor for work satisfactorily performed.
1.3. The Village shall retain from the Contractor, as retainage, five (5) percent of each progress payment. The Contractor shall not hold any retainage from any subcontractor.
1.4. Each monthly progress payment shall fall due on the last day of the month. In order to allow the Village to process each payment properly, at least thirty (30) days before each monthly payment falls due (but not more than once a month), the Contractor shall submit to the Village a request for payment and the following information: weekly certified payroll statements for the Contractor and any subcontractors;
required material certifications; updated shop drawings and project schedules; and updated as-built drawings.

Copies of all invoices shall be available for inspection by the Project Manager.
1.7. All material and completed Work covered by such monthly progress payments shall remain the property of the Contractor who shall be responsible for the care and protection of all materials and work upon which payments have been made. 1.8. Unless otherwise specified in a particular contract pay item, no payment will be made for any item of Work until it is completed in accordance with the Specifications.

If the Village accepts the Project Manager’s recommendation, the Project Manager shall notify the Contractor in writing. Prior to the final acceptance of the Work by the Village, the Work shall be inspected, accepted, and approved by the Project Manager and any Village department(s) or officer(s) who will have jurisdiction over the Work after final acceptance.

Thereafter, the Project Manager will notify Contractor in writing of all particulars in which this inspection reveals that the Work is incomplete or defective. Contractor shall immediately take such measures as are necessary to remedy such deficiencies and then request re-inspection. No payment will be made for non-conforming Work.
3.2. After Contractor has completed all such corrections to the satisfaction of the Project Manager and delivered all required technical and financial documentation as required by the Contract Documents, the Project Manager may, after re-inspection, make a recommendation to the Village that the Work is acceptable. Thereafter, the Contractor may submit its final request for payment in accordance with the procedures for progress payments set forth in Section 1 herein. The Contractor shall provide the Project Manager and/or the Village with any additional data or information that they may reasonably request in order to process the final payment request.
3.3. Upon final completion and acceptance of the Work in accordance with the Contract Documents, the Village shall pay the remainder of the Contract Price (as that term is defined in the Agreement) minus five (5) percent retainage, in accordance with the Project Manager’s recommendations.
3.4. The Village shall retain, for a period of one (1) year from the date of final acceptance of the Work, an amount equal to five (5) percent of the Contract Amount. At the end of the one (1) year period, the Village shall pay the five (5) percent retainage to the Contractor, provided that the Contractor has met all of its obligations to the satisfaction of the Village and the Project Manager.

5. Liquidated Damages
5.1. For each calendar day, or any portion thereof, that any work remains uncompleted after the Completion Date specified in Section 4, liquidated damages in an amount specified in the Agreement from the Completion Date to the final date of completion of the Work will be assessed against the Contractor.
When specified in the Contract Documents, liquidated damages may also be assessed for each calendar day, or any portion thereof, for failure to complete certain portions of work or failure to comply with requirements shown in the Contract Documents.
6. Changes in the Work
6.1. Without invalidating the Agreement, the Village may, at any time or from time to time, order additions, deletions, or revisions to the Work required to be performed by the Contractor under the Agreement.
These changes will be authorized by written Change Orders. The Contractor agrees to perform any of the aforementioned changed Work, along with all other required Work found under the Agreement, without delay and in accordance with good construction practices. Additional work performed by Contractor without authorization of a Change Order will not entitle Contractor to an increase in the Contract Price or an extension of the Contract Term.
6.2. Except for the purpose of affording protection against any emergency endangering life or property, the Contractor shall make no change in the materials used or in the specified manner of construction and/or installing the improvements or supply additional labor, services or materials beyond that actually required for the execution of the Contract except upon written order from the Owner, authorizing the Contractor to proceed with the change. In the event that a change is required in order to protect against an emergency, the Contractor shall provide immediate notification to the Project Manager of such change.
6.3. Changes authorized in writing by the Village may be made without relieving or releasing the Contractor from any of his obligations under the Agreement provisions, and without affecting the validity of the guaranty bonds and without relieving or releasing the surety or sureties of said bonds. All such work shall be executed under the terms of the original Agreement unless it is provided otherwise.
6.4. No claim for an adjustment of the price stated in the Agreement will be valid unless so ordered. All adjustments to the payment provisions under the Agreement will be made in accordance with the following paragraphs.
6.5. If applicable unit prices are contained in the Agreement (established as a result of either a Unit Price Bid or a Supplemental Schedule of Unit Prices), the Owner may order the Contractor to proceed with desired changes in the work, and the value of such changes to be determined by the measured quantities involved at the applicable prices specified in the Contract.
6.6. If the applicable unit prices are not contained in the Agreement, the Village shall request from the Contractor, before ordering the Contractor to proceed with the desired changes, an itemized proposal covering the work involved in the change, after which the procedure shall be as follows:
6.6.1. If the proposal is acceptable, the Village will prepare the Change Order in accordance therewith for acceptance by the Contractor; or
6.6.2. If the proposal is not acceptable, and prompt agreement cannot be reached, the Village may order the Contractor to proceed with the work on a cost-plus basis. A cost-plus basis is defined as the net cost to the Contractor of the work plus an allowance to cover overhead and profit as stipulated below:
6.6.2.1. Net Cost of the work is defined as:

No part of any salary for any employee above the grade of foreman, and having general supervision of the work, will be included in this item.
6.6.2.4. Fringe benefits are defined as all insurances, taxes and other benefits for the employee required by law or by Union Contract. In lieu of an item-by-item tabulation of the actual value of such fringe benefits, all fringe benefits are hereby determined to total an amount of twenty-four (24%) percent of the net cost of labor, and the Contractor, in submitting his bid, agrees that this percentage shall be used regardless of whether actual fringe benefits are more or less than this amount.
6.6.2.5. Net Cost of materials shall be defined as the cost of all materials incorporated in the work including delivery charges, less any allowable cash discounts, as shown by receipted bills.
6.6.2.6. Gross Cost of equipment is defined as the net cost of equipment plus an allowance of ten (10) percent for fuel and lubricants.
6.7. Each Change Order shall include in its final form:
6.7.1. A detailed description of the change in the work.
6.7.2. The Contractor's proposal (if any) or a confirmed copy thereof.
6.7.3. A definite statement as to the resulting change in the price stated in the Agreement and/or time.
6.8. Change Orders shall be in writing. If a Contractor claims that a Change Order was given to him orally, their claim shall be invalid unless such oral change order was given by the Project Manager and confirmed in writing within twenty-four (24) hours after the giving of the alleged Change Order.
6.9. When Change Orders or claims involve a subcontractor, no surcharge will be allowed the Contractor for handling, processing, supervision or coordination.
7. Change to the Contract Price
7.1. The Contract Price constitutes the total compensation (subject to authorized adjustments) payable to the Contractor for performing the Work. All duties, responsibilities, and obligations assigned to or undertaken by the Contractor shall be at their expense without change in the Contract Price.
7.2. The Contract Price may only be changed by a Change Order. Any claim for an increase in the Contract Price shall be based on written notice delivered to the Village within one (1) day of the occurrence of the event giving rise to the claim. Notice of the amount of the claim with supporting data shall be delivered within five (5) days of such occurrence.
8. Change to the Contract Term
8.1. The Contract Term may only be changed by a Change Order. Any claim for an extension of the Contract Term shall be based on written notice delivered to the Village within five (5) days of the occurrence of the event giving rise to the claim. Notice of the extent of the claim with supporting data shall be delivered within ten (10) days of such occurrence.
8.2. The Contract Term may be extended by an amount equal to the time lost due to delays beyond the control of the Contractor if a claim is made therefor as provided in the preceding paragraph. Such delays shall include, but not be limited to: acts or neglect by the Village or other parties performing additional work, or to fires, floods, labor disputes, epidemics, pandemics or acts of God. Whether caused by the Village, Contractor, third-party, or intervening event, the Village and the Contractor shall use reasonable efforts to mitigate such delays to the extent practicable. Any extension of the Contract Term does not affect the validity of the Contract or the liability of the sureties. No extension of the Contract Term will be granted where the delay is attributable to a subcontractor, manufacturer, fabricator, supplier, or distributor or any other party performing services or furnishing material or equipment on behalf of the Contractor unless such party’s delay is attributable to one of the above-enumerated causes.
9. Supervision; Assignment
9.1. The Work under this Contract shall be performed by the Contractor and workers under its immediate supervision.
10. The Contractor shall not assign, transfer, convey, sublet, subcontract, or otherwise dispose of the Contract or the right, title or interest therein, or his power to execute such Contract, to any other person, company, corporation, or entity without the express, previous, written consent of the Village, which may be withheld at the Village’s sole discretion.
11. Release of Liens
11.1. The Contractor agrees that if, at any time before or within twenty (20) days after the whole of the Work has been completed and accepted, any person(s) claiming to have performed any labor or furnished any material toward the performance and completion of this Contract files with the Village any such notice as is described in the Lien Law, or any other act of the Legislature of the State of New York, then, and in every case, the Village shall retain, anything herein to the contrary notwithstanding, from the monies under its control and due or to grow due under this Contract, so much of the money as shall be sufficient to pay over, satisfy and discharge the amount of such notice alleged, or claimed to be due, to the person(s) filing such notice, together with the reasonable costs of any action(s) brought or which might be brought to enforce such claim or lien created by the filing of such notice, the monies so retained by the Village until the lien, thereby created by said action and the filing of such notice, shall be discharged.
12. Default and Termination
12.1. The Village may terminate the Contract pursuant to the terms of the Agreement.
