About this file
This document is a Sole Source Justification for the Naval Sea Systems Command, Naval Surface Warfare Center, Panama City Division (NSWC PCD) to acquire software support and subject matter development services for the PINS software framework from Innovative Professional Solutions (IPS) under the WOSB statute.
The justification states that the PINS project has a subsystem called the Battle Space Profiler (BSP), which utilizes a specialized non-magnetic, low EMI, and shock-approved winch. The original equipment manufacturer no longer supports the winch, and the government requires contractor support to repair a winch received from NAVSUP. IPS is the only source that has the personnel who installed and serviced these winches, and has the in-house knowledge of the winch's inner workings. Developing a technical data package robust enough to facilitate competition would be cost and time prohibitive. Therefore, the contracting officer has determined that awarding to IPS on a sole source basis represents the best value and lowest overall cost to meet the government's needs.

Subj: SOLE SOURCE MEMORANDUM TO ACQUIRE BATTLE SPACE PROFILER
WINCH REPAIR FROM INNOVATIVE PROFESSIONAL SOLUTIONS (IPS)
1. Identification of the agency and the contracting activity, and specific identification of the document as a “Sole Source Justification.”
This is a sole source justification. Contracting activity is the Naval Sea Systems Command, Naval Surface Warfare Center, Panama City Division (NSWC PCD), 110 Vernon Avenue, Panama City, FL 32407-7001.
2. Nature and/or description of the action being approved.
This action will award a firm fixed price purchase order, under the WOSB Statue FAR 19.1506, to Innovative Professional Solutions (IPS) to provide software support and subject matter development services for the PINS software framework.
3. A description of the supplies or services required to meet the agency’s needs (including the estimated value).
The PINS project has a subsystem known as the Battle Space Profiler (BSP). The heart of the system is a special nonmagnetic, low Electro Magnetic Interference (EMI), and 901D shock approved winch for the Avenger MCM ship. The winches were installed over 25+ years ago.
The original equipment manufacturer (OEM) no longer support the winch. Contractor support is required to repair a winch that was received from NAVSUP. The Government's minimum needs have been verified by the certifying technical and requirements personnel. This memo does not authorize acquisition for other requirements.
4. Identification of the justification rationale and, if applicable, a demonstration of the proposed contractor’s unique qualifications to provide the required supply orservice.
10 U.S.C. 2304(c)(1), 10 U.S.C. 2304(d)(1)(B). Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements FAR 6.302-1(a)(2)(iii)(B).
This procurement is sole source for the following reasons. IPS in the only source that has the personnel that installed these winches, serviced them on the ship, and have the knowledge of the inner working of these devices. IPS’s personnel installed and serviced the winches. IPS is the only contractor that has staff that has the in-house resident knowledge of the inner working of the winch. The MCS are scheduled to decommission in the next 5 years. Currently the Government owns the basic interconnect diagrams and requirements of what the winch would do (drop rate and pickup rate) and the specifications of the motor to ensure low EMI. The rest of the technical data was not purchased from the vendor 25 years ago. This items are not sufficient to properly repair the winch. The cost to develop a technical data package (TDP) for this winch to the point where the TDP we could develop a package that would be robust enough to have vendors compete would be costly and timely to complete.Development of a TDP would require the development of detailed technical drawings of the wiring and sub systems. These additional costs and investment of time for a new winch solution meeting the strict requirement environment of a MCM are both cost and time prohibitive. As such, the Government does not expect significant savings through competition and does expects significant and unacceptable delays that will negatively impact this requirement. Therefore, it is in the Governments’ best interest to award on a sole source basis to IPS, Incorporated.
5. A determination by the ordering activity contracting officer that the order represents the best value consistent with FAR 13.106-1(b).
The Contracting Officer has determined that the order represents the best value and results in the lowest overall cost alternative (considering price, special features, administrative costs, etc.) to meet the Government’s needs.
6. A description of the market research conducted among schedule holders and the results or a statement of the reason market research was not conducted.
For the reasons specified in paragraph 4 above, IPS Incorporated is the only source that can meet the Government’s needs. This requirement will be synopsized in the government point of entry site SAM.gov.
7. Any other facts supporting the justification.
None.
8. A statement of the actions, if any, the agency may take to remove or overcome any barriers that led to the restricted consideration before any subsequent acquisition for the supplies or services is made.
As stated in paragraph 4 above, IPS Inc. is the only source that can meet this requirement.
