About this file
Summary
This is a Standard Terms and Conditions attachment for a State of Louisiana Bid Invitation (RFx number 3000026505) establishing an Emergency Contingency Contract for Personal Care Services with the Louisiana Department of Health (LDH). The solicitation establishes Agency Term Emergency Contingency Contract(s) to enable LDH to procure personal care services in the event that an emergency is declared by the Governor of Louisiana. Written inquiries must be submitted by July 30, 2026, with responses due by August 5, 2026. The bid opening date is August 13, 2026, at 10:00 A.M. Central Time. The Office of State Procurement anticipates making multiple awards to different vendors if necessary to ensure adequate delivery and service capacity across the state, as no single vendor is expected to have sufficient inventory to meet all requirements. The initial contract period shall not exceed 12 months, with two optional renewal periods of 12 months each available at the State's discretion and the Contractor's acceptance, for a maximum total contract term of 36 months. All orders must be fulfilled within 72 hours of receipt, and vendors must maintain 24/7 availability during declared emergencies, including weekends and holidays.
Pricing must include all transportation, freight, inside delivery, unpacking, assembly, and debris removal charges, with prices quoted in specified units and remaining firm for the contract period and any renewals. The State reserves the right to increase or decrease quantities at the unit price stated in the bid. Payment will be made on a unit price basis through either the LaCarte Procurement Card for purchases of $5,000 and under or Electronic Funds Transfer (EFT) for other payments. The State will apply FEMA reimbursement rates if established during a declared emergency, accepting the lesser of either the contract price or FEMA rates. Contractors must provide proof of required insurance including Workers Compensation with $1,000,000 employers liability, Commercial General Liability with $1,000,000 per occurrence, and Automobile Liability with $1,000,000 combined single limit, as well as a $25,000 blanket fidelity bond. The contract is non-exclusive and permits the State to enter into similar agreements with other vendors. All bids must be firm for acceptance for a minimum of 60 days, and contractors must maintain detailed records of all purchases and submit usage reports approximately four months prior to contract expiration.

An inquiry period is hereby firmly set for all interested bidders to perform a detailed review of the bid documents and to submit any written inquiries relative thereto. Terms and Conditions:
This solicitation contains all terms and conditions with respect to the commodities herein. Any vendor contracts, forms, terms, or other materials submitted with the bid may cause the bid to be rejected.
Vendor's Forms:
The purchase order is the only binding document to be issued against the contract. Signing of the vendor's forms is not allowed.
Vendor List:
The bidder who signs the bid will be designated as the prime Contractor on any contract resulting from this solicitation. If additional distributor vendors are authorized to receive orders for items contained in said contract, the bidder should submit with the bid, a list of those additional authorized distributors including the complete business address. The prime Contractor will be responsible for the actions of any distributor vendors listed.
Acceptance:
Unless otherwise specified, bids on the contract will be assumed to be firm for acceptance for a minimum of 60 days. If accepted, prices must be firm for the specified contract period.
Prices:
Prices shall be complete, including transportation/freight charges prepaid by the bidder to the destination, inside delivery, unpacking, assembly of all components and removal of all associated debris from premises. Prices should be quoted in the unit (each, box, case, hour, flat, mile, etc.) as specified in this solicitation.
Price Reductions:
Whenever there is a reduction in price, which is lower than the contract price, offered to similarly situated customers contracting for the same period and under the same terms and conditions, said reduction must be presented directly to the Office of State Procurement. No price reduction on a statewide contract may be offered to an Agency unless that reduction is offered to all Agencies.
Payment:
Payment will be made on the basis of unit price as listed in the contract; such price and payment will constitute full compensation for furnishing and delivering the contract commodities. In no case will the State Agency refuse to make partial payments to the Contractor although all items have not been delivered. This payment in no way relieves the Contractor of his responsibility to effect shipment of the balance of the order. Payment will be to the vendor and to the address as shown on the purchase order.
Late Payments:
Interest due by a State Agency for late payments shall be in accordance with La. R.S. 39:1695 at the rates established in La. R.S. 13:4202.
Prohibition Against Advance Payments:
No compensation or payment of any nature shall be made in advance of the delivery of the contract commodities or in advance of services actually performed, unless allowed by law or otherwise stated herein.
Invoices:
Invoices will be submitted by the Contractor to the Using Agency and the invoice shall refer to the delivery ticket number, delivery date, purchase order number, quantity, unit price, and delivery point. A separate invoice for each order delivered and accepted shall be submitted by the Contractor in duplicate directly to the accounting department of the Using Agency. Invoices shall show the amount of any cash discount and shall be submitted on the Contractor's own invoice form.
Contract Revisions:
Requests for revisions to the contract must be addressed to the Office of State Procurement and shall refer to the contract item number with justification of the request. Distributor vendor changes, price reductions and justifiable item deletions may be considered during the contract period. New item additions may be considered only when the Office of State Procurement has determined additions will be of substantial benefit to the State and will justify the time, effort and cost required to make such additions.
The Contractor must immediately notify the Office of State Procurement when any dealer on the contract is terminated, relocated or added. All orders placed with dealers prior to receipt of such notification by the Office of State Procurement must be honored. Revisions will become effective only upon approval by the Office of State Procurement. The bidder should include with their bid a list of all persons, in addition to the signer of the bid, who are authorized to request revisions to the contract.
Contractual Period:
The State of Louisiana intends to award all items for an initial period, not to exceed 12 months. Delays in awarding, beyond the anticipated starting date, may result in a change in the contract period. If the situation occurs, an award may be made for less than 12 months.
Renewals:
At the option of the State of Louisiana and acceptance by the Contractor, the contract may be extended for two additional 12 month periods at the same prices, terms and conditions. Total contract time may not exceed 36 months.
Quantities:
This is an open-ended requirements contract. Quantities shown are based on the previous contract usage or estimates. Where usage is not available, a quantity of one indicates a lack of history on the item. The Contractor must supply at bid prices actual requirements as ordered whether the total of such requirements is more or less than the quantities shown.
Orders:
LDH is to issue contract purchase orders for the items required, as and when needed.
Electronic Vendor Payment Solution:
In an effort to increase efficiencies and effectiveness as well as be strategic in utilizing technology and resources for the State and the Contractor, the State intends to make all payments to Contractors electronically. The LaCarte Procurement Card will be used for purchases of $5,000 and under, and where feasible, over $5,000. Contractors will have a choice of receiving electronic payment for all other payments by selecting the Electronic Funds Transfer (EFT). If you receive an award and do not currently accept the LaCarte card or have not already enrolled in EFT, you will be asked to comply with this request by choosing either the LaCarte Procurement Card and/or EFT. You may indicate your acceptance below.
The LaCarte Procurement Card uses a Visa card platform. Contractors receive payment from State Agencies using the card in the same manner as other Visa card purchases. Contractors cannot process payment transactions through the credit card clearinghouse until the purchased products have been shipped or received or the services performed.
For all Statewide and Agency Term Contracts:
· Under the LaCarte program, purchase orders are not necessary. Purchase Orders must be placed against the net discounted products of the contract. All contract terms and conditions apply to purchases made with LaCarte.
· If a purchase order is not used, the Contractor must keep on file a record of all LaCarte purchases issued against the contract during the contract period. The file must contain the particular item number, quantity, line total and order total. Records of these purchases must be provided to the Office of State Procurement upon request.
EFT payments are sent from the State’s bank directly to the payee’s bank each weekday. The only requirement is that you have an active checking or savings account at a financial institution that can accept Automated Clearing House (ACH) credit files and remittance information electronically. Additional information and an enrollment form is available by contacting the Office of Statewide Reporting & Accounting Policy at doa-osrap-eft@la.gov.
To facilitate this payment process, you will need to complete and return the EFT enrollment form.
If an award is made to your company, please check which option you will accept or indicate if you are already enrolled.

Termination for Non-Appropriation of Funds:
The continuation of the contract is contingent upon the appropriation of funds to fulfill the requirements of the contract by the legislature. If the legislature fails to appropriate sufficient monies to provide for the continuation of a contract or if such appropriation is reduced by the veto of the Governor or by any means provided in the Appropriations Act or Title 39 of the Louisiana Revised Statutes of 1950 to prevent the total appropriations for the year from exceeding revenues for that year or for any other lawful purpose and the effect of such reduction is to provide insufficient monies for the continuation of the contract, the contract shall terminate on the date of the beginning of the first fiscal year for which funds are not appropriated.
Assignment:
The Contractor shall not assign any interest in the contract by assignment, transfer or novation without prior written consent of the State. This provision shall not be construed to prohibit the Contractor from assigning his bank, trust company, or other financial institution any money due or to become due from approved contracts without such prior written consent. Notice of any such assignment or transfer shall be furnished promptly to the State.
Record Retention:
The Contractor shall retain all books, records, and other relevant documents associated with the contract for at least 5 years after final payment.

R.S. 39:1551-1755) and its corresponding rules and regulations and, to the extent applicable, the Information Technology Procurement Code (La. R.S. 39:196-200) and its corresponding rules and regulations.

The Contractor shall purchase and maintain for the duration of the contract insurance against claims for injuries to persons or damages to property which may arise from or in connection with the performance of the work hereunder by the Contractor, its agents, representatives, employees or subcontractors. Purpose of the Bid
The purpose of this solicitation is to establish an Agency Term Emergency Contingency Contract(s) for emergency Personal Care Services for LDH. The contract(s) will permit LDH authorized by law, to purchase in the event that an emergency is declared by the Governor of the State of Louisiana, in accordance with the laws of the State of Louisiana.
Contract lines are subject to all “Standard, Special and Contingency” terms and conditions. In the event that there is a conflict between the above, the order of precedence used in resolution will be as follows:
1. Contingency Terms and Conditions
2. Special Terms and Conditions (if applicable)
3. Standard Terms and Conditions
The Office of State Procurement intends to establish Emergency Contingency Contract(s) with vendors who could supply the State with Personal Care Services for LDH to be delivered within 72 hours to designated locations within the State of Louisiana during Governor-Declared emergency situations.
The State anticipates that no single vendor will have sufficient inventory to meet the requirements of lines set forth in this solicitation. In addition, since no one knows where the next disaster may strike, it is impossible to know which vendors may not be accessible due to damage. Therefore, the State reserves the right to make multiple awards if deemed necessary to respond immediately and effectively with needed services in the event that an emergency is declared by the Governor of the State of Louisiana in accordance with the laws of the State of Louisiana.
Contingency Terms and Conditions
1. Documents: Documents including questionnaire, literature and/or specifications must be submitted upon request; if requested, these documents must be submitted within 5 business days of written request.
2. Inventory: The Contractor shall be required to provide the services outlines in this solicitation within 72 hours after receipt of order (ARO).
3. Contract Alternatives: LDH is authorized by law and is advised to use the contract in times of a declared emergency. LDH should carefully consider other contract alternatives, if time permits to determine the contract method that best serves the needs of the State. The emergency contingency contracts are intended to complement, not replace, existing contracts.
4. FEMA Reimbursement Rate Method: At times of declared emergency, the Federal Emergency Management Agency (FEMA) may approve reimbursement rates for Contractors providing products and services to State and Local governments. In the event FEMA establishes such rates, the State and the Contractor agree to accept the lesser of either the contract price, or FEMA rates which are in effect for the period of the emergency.
5. Multiple Awards: The State reserves the right to make multiple awards on an all-or-none basis. Multiple awards may be in the State’s best interest when awarded to two or more bidders or offerors for similar products, and when needed for adequate delivery, service or availability.
Multiple awards, if made, will be based on a review of such factors as past usage, anticipated usage, the reasonableness of prices, and the need to ensure timely delivery.
6. Invoice Support: In order to facilitate payment of invoices, vendors are to:
· Secure evidence of delivery which should include the printed name and signature of the contact person. Produce, upon request, bills of lading, driver logs, and trip sheets to verify invoices.
· Reference the purchase order number on the invoice; vendors should also include contract numbers and commodity descriptions.
Failure to comply will cause a delay in payment.
7. Usage Reporting Requirements: Successful vendor is to keep a record of all purchase orders issued against the contract during the contract period. Approximately 4 months prior to the end of the contract period, the Contractor is to be prepared to submit to the Office of State Procurement a contract usage report.
The specific usage report content, scope, and format requirements are available on the Office of State Procurement’s website under Vendor Resources/Vendor Forms. In addition, the person’s name who compiled the report and their contact information shall be provided. The Office of State Procurement reserves the right to request copies of any purchase order issued against the contract.
