About this file

This document is a Non-Disclosure Agreement (NDA) template for a State of Maryland solicitation, designed for potential bidders or offerors to protect confidential information during the proposal submission process. The NDA outlines strict confidentiality requirements for any information provided by the state, stipulating that bidders/offerors may only use the confidential information for preparing their bid or technical proposal. Key provisions include limiting access to only necessary employees and agents, returning all confidential materials within five business days of award notification, and potential legal recourse for the state if confidentiality is breached.

The agreement includes provisions for potential damages, indemnification, and legal jurisdiction, with the state reserving the right to seek injunctions or monetary compensation for any unauthorized disclosure. The document is structured as a fillable template, allowing specific solicitation details to be inserted, and requires the signing party to list all employees and agents who will have access to the confidential information. The effective date for this NDA template is July 2024, and it is governed by the laws of the State of Maryland, with the signatory warranting full authorization to bind the offeror to the agreement's terms.
