About this file

This document is a Summary of Questions and Responses related to a Medicaid Data Consulting Services solicitation issued by the South Carolina Department of Health and Human Services (SCDHHS). The solicitation establishes a pool of qualified consultants to provide data analysis, strategy development, and presentation services supporting Medicaid program goals. The contract involves two labor categories: Data Science Consultant and Policy Research Consultant. Work will be awarded through individual Statements of Work (SOWs) developed by SCDHHS after initial pool awards are made, with rolling submission opportunities available during the contract period. Awarded contractors will be placed on a Qualified Consultant List (QCL) from which task orders will be issued based on qualifications, experience, price alignment, and value to SCDHHS. Contractors selected for specific SOWs must maintain a minimum physical presence of three days per week at designated South Carolina locations for the duration of each project. The solicitation is structured as a fixed-price bid with no guarantee that all pooled vendors will receive work assignments.

Pricing is submitted on a unit rate basis for each labor category, with rates not to exceed established maximum unit prices that include travel expenses and exclude taxes. Offerors may propose rates lower than the maximum but cannot add additional labor categories or offer tiered rates for different experience levels. Minority participation is not a scoring factor in the award evaluation. Required proposal submissions include a completed cover page, minority participation certification, certificate of insurance, specified attachments (debarment certification, conflict of interest disclosure, security assessment questionnaire), a response to Section 5.2 qualifications, and the bidding schedule with pricing. The state declined multiple contractor requests to modify terms and conditions, including limitations on liability, mutual confidentiality provisions, audit frequency restrictions, and indemnification language modifications. Business Associate Agreements compliant with HIPAA requirements are mandatory, and contractors must comply with all state and federal requirements within 60 days of notification.

OFFER TO CONTRACT

(JAN 2004)

By submitting Your Bid or Proposal, You are offering to enter into a Contract with the Using Governmental Unit(s).

Without further action by either party, a binding Contract shall result upon final award. Any award issued will be issued to, and the Contract will be formed with, the entity identified as the Offeror on the Cover Page. An Offer may be submitted by only one legal entity;

"joint bids" are not allowed. [02-2A015-1]

Although other sections of the solicitation refer to contract negotiations, this section says a binding Contract shall result upon final award. Will the State please clarify the award process and confirm negotiations will take place?

1) Award will be made to all responsive and responsible Offerors meeting the minimum requirements contained herein.

2) SCDHHS may choose to negotiate responses to individual SOWs as needed.

16 24 7 TERMS AND

CONDITIONS -- A.

GENERAL

The Terms and Conditions do not include a cap on the Contractor’s liability for damages. In accordance with standard commercial practices, many state agencies have negotiated and agreed to commercially reasonable limitation of liability provisions.

The presence of such a cap would benefit the State by encouraging financial responsible and responsive Offerors to contract with the State where they might not otherwise out of concern for the open-ended nature of their liability. In light of the foregoing will the State please amend the solicitation to contain a cap on the Contractor’s liability limiting damages to the amount paid to the Contractor during the twelve month period preceding the date giving rise to the damage, or otherwise clarify a willingness to negotiate something mutually acceptable that addresses the issue?

SCDHHS has determined it is not in the best interest of SCDHHS to make the change requested.

17 24 7 TERMS AND

The solicitation does not contain a mutual exclusion of liability for consequential, incidental indirect, or special damages. The presence of such an exclusion would benefit the State by:

RFP Language Question SCDHHS Response

1. Encouraging financially responsible and responsive Offerors to bid where they might not otherwise out of concern for the open-ended nature of their liability.

2. Receiving lower pricing as an Offeror does not have to “price” their unlimited liability risk into their bid; and

3. Limiting the State’s own liability in so far as the exclusion of damages would be mutual in nature.

In light of the foregoing will the State please either amend the solicitation to contain a mutual exclusion of consequential, incidental indirect, and special damages, or otherwise clarify its willingness to negotiate something mutually acceptable that addresses this issue?
