4. Billing for the Service will begin when the Term begins (as set forth below). Rates may change, but in no case exceed the rates set forth in this Agreement, during the Term. The rates in this Agreement are exclusive of, and Customer will pay, all current or future taxes, regulatory surcharges, recovery fees, shipping charges, and other similar charges specified or allowed by any governmental entity relating to the sale, use or provision of the Services.
5. The Effective Date of this Agreement is the later of the signature dates above. The Term begins (“Term Start Date”) (1) if this Agreement is only for “New Install” as checked above, on the date when the Service is installed and available for use by Customer pursuant to this Agreement, or (2) if this Agreement is for “Renewal” as checked above, on the Effective Date of this Agreement, and this Agreement terminates automatically at the end of the Term based on the number of months selected above. At the end of the Term, the Service will automatically be provided to Customer under the terms and conditions of the User Guide on a month-to-month basis at the then-current rates unless and until execution of a then available term plan for the Service or until AT&T or Customer cancels the Service on 30-day prior written notice.
6. EM will not in any way affect Customer’s local service, or any terms and conditions, including price, which apply to that service. If the local telephone service plan for a line associated with EM includes local or local toll usage charges (on either a per-minute, per-call or block-of-time basis), the applicable charge applies when the VM is accessed for any reason, including, but not limited to, when a caller leaves or attempts to leave a message, retrieving messages, or dialed directly from the line. If it is a block-of-time plan, the call will be considered a local call charged against the plan. In addition, if EM is accessed for any reason from outside the local calling area of the telephone number associated with EM, applicable local toll or long distance charges apply except if the call is one that is forwarded from the customer-designated AT&T Wireless telephone number that is associated with the EM. Airtime charges are not incurred on calls that are automatically forwarded to EM from the associated AT&T Wireless telephone number, however, if a call is originated from the Wireless telephone number (rather than forwarded), airtime charges do apply.
7. Customer is responsible for paying all applicable transport costs including but not limited to Centrex numbers, SMDI, T1, and usage charges.
8. Minimum Commitment/Underutilization Charge. The charges provided under this Agreement are in consideration of customer’s commitment to maintain the following minimum mailboxes, ports and call trees during the Initial Term (“Minimum Commitment”).

Minimum number of ports
Minimum number of call trees
AT&T and Customer Confidential Information Enterprise_Messaging Page 3 of 5 VersionJanuary2017
If at any time during the Term the number of installed Mailboxes/Ports/Call Trees is less than the Minimum Commitment, Customer shall be charged an Under Utilization Charge for that month. The Underutilization Charge will be based upon the following formula:
A. 0 times (Number of 0 below the Minimum Commitment) = Underutilization Charge. The Underutilization Charge is in addition to the applicable charges set for the installed Mailboxes/Ports/Call Trees that are specified as the Minimum Commitment in this Agreement. The Parties agree that the Underutilization Charge set forth here is reasonable.
B. Cutover Date/Acceptance Period (not applicable to Renewals) AT&T estimates that the EM ordered pursuant to this Agreement will be available on (“Cutover Date”). Customer may request adds, moves or changes prior to the Cutover Date. If there is not enough capacity to implement Customer’s order, AT&T will notify Customer and will revise the Cutover Date to reflect the date when additional capacity will be available. If Customer desires to expedite installation, additional charges will apply. Customer has 10 business days to accept the installed EM (“Acceptance Period”). If Customer does not notify AT&T in writing of any deficiencies in the service during this Acceptance Period, the Service is deemed accepted by the Customer. It is the Customer’s sole responsibility to test all aspects of EM during this Acceptance Period. AT&T is not liable for a delay for any reason beyond the Cutover Date of the installation or implementation of EM. AT&T shall delay installation if Customer does not provide required documentation, including, but not limited to, Customer scripts. If the Cutover Date is delayed for any reason, the Acceptance Period will commence on the new Cutover Date.
9. Early Termination.
A. Prior To Cutover (not applicable to Renewals): Customer may terminate this Agreement at any time prior to Cutover upon providing ten (10) days written notice on Customer’s company letterhead to AT&T pursuant to the Notice provisions in the Agreement. If Customer terminates this Agreement prior to the Cutover Date, Customer shall pay an Early Termination Fee equal to the cost of labor, engineering, non-reusable materials, interest, transportation, storage, manufacturer’s cancellation charges and any other costs incurred by AT&T or its subcontractors as a result of Customer’s order.
B. AT&T reserves the right to terminate this Agreement based on Customer’s non-responsiveness or non-readiness to have AT&T install EM or any portion thereof in a reasonable time after Customer orders the Service (not applicable to Renewals). In the event this Agreement is cancelled in accordance with this Section, Customer shall be liable to AT&T for an Early Termination Fee equal to the cost of labor, engineering, non-reusable materials, interest, transportation, storage, manufacturer’s cancellation charges and any other costs incurred by AT&T or its subcontractors as a result of Customer’s order.
C. Post Cutover: Customer may terminate this Agreement at any time after Cutover upon providing thirty (30) days written notice on company letterhead to AT&T pursuant to the Notice provisions of the Agreement. In the event Customer terminates EM after the Cutover and prior to the expiration of the Initial Term, Customer shall be liable for liquidated damages (and not as a penalty) referred to herein as Early Termination Fee. The Early Termination Fee shall be based upon the following formula:
(Minimum Commitment) X (# of Months Remaining in the Initial Term) X 50%
AT&T and Customer Confidential Information Enterprise_Messaging Page 4 of 5 VersionJanuary2017
D. Conversion: The parties Agree that Early Termination Fee as described above will be waived if Customer replaces EM with an AT&T service of comparable technology and functionality, as reasonably determined solely by AT&T, under a term agreement that has an equal to or greater Minimum Commitment under the Agreement and a term that is equal to or greater than the amount of time remaining on the term of this Agreement at the time of the conversion. The replacement AT&T Service may be provided by AT&T Messaging or another AT&T Affiliate.
E. Termination for Non-Payment or Inappropriate Use: AT&T reserves the right to disconnect EM and terminate this Agreement for non-payment and Customer shall be liable for all charges incurred up to the time of termination in addition to an Early Termination Fee specified in this Section. In addition, AT&T reserves the right to disconnect EM and terminate this Agreement at any time with or without notice, if as reasonably determined solely by AT&T, the AT&T EM Service is: (1) being used in an improper manner, including but not limited to, using it for unlawful purposes; or (2) generating excessive usage; or, (3) affects AT&T’s ability to provide reasonable service to other customers; or, (4) being used to interfere with another’s use of the telephone/voice mail system, and in the event this Agreement is terminated for such a reason, Customer shall be liable for the Early Termination Fee set forth in this Section. The Early Termination Fee which applies if this Agreement is terminated pursuant to this Section will be calculated as follows:
(Minimum Commitment) X (# of Months Remaining in Initial the Term) X 50%
10. Training (not applicable to Renewals). AT&T or its representative, will, at no additional charge, provide a Customer Welcome Package and, if requested, provide training to administrator(s) over the phone at no additional charge.
Additional on-site training, if requested, can be provided at a mutually agreed location within the continental United States at a negotiated charge based on location, the number of participants and the desired length of the training. The negotiated charge will cover time, materials and associated travel expense of the trainers for on-site training.
