About this file

This Addendum No. 3 to SEPTA RFP No. 26-00155-ACAC for Compensation Consulting Services addresses questions received from prospective proposers and provides clarifications to the original contract terms. The addendum maintains the original proposal submission deadline of Tuesday, July 28, 2026, by 2:00 PM, and includes 64 questions and answers covering contract terms, insurance requirements, indemnification clauses, data ownership, termination provisions, and deliverables. Key accepted changes include modifications to personnel security measures (SEPTA assumes costs), addition of intellectual property protections for contractor methodologies and pre-existing tools, seat belt and distracted driving provisions limited to SEPTA property only, adjustments to additional insured language for general liability and auto liability policies, reduction of products/completed operations insurance maintenance from 12 years to 3 years subject to commercial availability, and acceptance of a limitation of liability clause capping contractor liability at fees paid (excluding negligence, recklessness, bad faith, intentional misconduct, or unpaid services).

SEPTA denied numerous proposer requests including attempts to modify the 730-day performance period, reduce audit record retention from five years to 18 months, limit SEPTA's audit rights, modify the primary indemnification obligations, add administrative fees, alter governing law and forum selection provisions (Philadelphia jurisdiction), modify warranty requirements, and introduce approval/acceptance timelines for deliverables. The addendum also denied requests to eliminate workers' compensation waiver of subrogation provisions and various product/material warranty standards. Proposers must acknowledge receipt of this addendum by completing and submitting the acknowledgment form with their technical proposals. All inquiries must be directed to Carolyn Cotton, Senior Contract Administrator, at (215) 580-7599 or ccotton@septa.org. The contract requires simultaneous submission of certificates of insurance upon execution and compliance with federal prohibitions on certain telecommunications equipment from covered foreign entities including Huawei, ZTE, Hytera, Hikvision, and Dahua.
