About this file
This is an Invitation for Bid (IFB) issued by Stafford County, Virginia, for the procurement of construction aggregate stone materials on an as-needed basis. The County seeks qualified bidders to establish a term contract for Lot 1 - Stone, which is a rebid of IFB 26103-Construction Aggregate Materials. Bidders must provide pricing for stone materials delivered to various County locations throughout Stafford County and surrounding areas, including water treatment facilities, parks, wastewater treatment facilities, and other municipal sites. The IFB specifies that all materials must conform to the most recent VDOT Road and Bridge Specifications and be sourced from VDOT-approved vendors. Contractor responsibilities include next-business-day delivery during normal business hours (8 a.m. to 4:30 p.m., Monday through Friday), tailgate spreading when requested at no additional charge, and cleanup of spills incidental to delivery. Questions from bidders are due by September 16, 2026, at 2:00 PM; bids must be submitted electronically via eVA by September 22, 2026, at 2:00 PM; and the bid opening is scheduled for September 17, 2026, at 2:15 PM. The contract will be awarded for an initial term of one year with four optional one-year renewal options.
Award will be made to the lowest responsive and responsible bidder based on delivered pricing. Bidders must complete all pricing line items in Attachment A and provide pricing for both delivered and pickup options, though the award determination will be based on delivered pricing. The County reserves the right to negotiate with the apparent low bidder if the bid exceeds available funds and may implement price increases at renewal periods not to exceed the lesser of the Producer Price Index for nonmetallic mineral products (construction sand, gravel, and crushed stone, seasonally adjusted) or three percent. Contractors must obtain comprehensive general liability insurance ($1,000,000 per occurrence, $2,000,000 aggregate), automobile liability insurance ($2,000,000 combined single limit), and workers' compensation insurance before commencing work, with the Stafford County Board of Supervisors named as additional insured. Contract performance is contingent upon appropriation of funds by the Board of Supervisors, and the County retains the right to terminate for convenience or renegotiate pricing downward at any time during the contract term. All bidders are required to submit an IFB coversheet and pricing schedule; additional recommended submittals include reference lists, safety violation certifications, SWaM vendor data forms, State Corporation Commission registration information, and ICT accessibility certifications.

Violation of this implied guarantee shall render void the bids of participating bidders. Any disclosure to or acquisition by a competitive bidder, in advance of the opening of the bids, of the terms or conditions of the bid submitted by another competitor may render the entire proceedings void and may require re-advertising for bids.
8n. COOPERATIVE PURCHASING This procurement is being conducted by the County in accordance with the provisions of Virginia Code § 2.2-4304, as amended. If agreed to by the contractor, other public bodies may utilize this contract, except for (1) contracts for architectural and engineering services; or, (2) construction contracts. If such a benefit has been received or will be received, this fact shall be disclosed with the bid or as soon thereafter as it appears that such a benefit will be received. Otherwise, bid records shall be open to public inspection only after award of the contract.
C. The County reserves the right to impose restrictions over the inspection of procurement transaction records to ensure the security and integrity of the records.

IFB 26103-R Page 15 of 37 whose principal place of business is in the Commonwealth of Virginia
(“Virginia bidder”).
b) In the event that there is no Virginia bidder, or that this does not resolve the tie, preference shall be given to bidders that produce the goods or services in the Commonwealth of Virginia, otherwise the tie shall be decided by lot.
c) Whenever the lowest responsive and responsible bidder is a resident of any other state and such state under its laws allows a resident contractor of that state a preference, a like preference shall be allowed to the lowest responsive and responsible bidder who is a resident of Virginia and is the next lowest bidder. If the lowest responsive and responsible bidder is a resident of any other state and such state under its laws allows a resident contractor of that state a price-matching preference, a like preference shall be allowed to responsive and responsible bidders who are residents of Virginia. If the lowest bidder is a resident contractor of a state with an absolute preference, the bid shall not be considered.
d) Notwithstanding the provisions of subsections (a) and (b), in the case of a tie bid in instances where goods are being offered, and existing price preferences have already been considered, preference shall be given to the bidder whose goods contain the greatest amount of recycled content.

10j. DELIVERY FOB DESTINATION. All goods shall be delivered FOB Destination to the County Using Department, at the time and place specified in the contract documents. (ii) Liability Insurance "Claims Made" basis: If the liability insurance purchased by the contractor has been issued on a "claims made" basis, the contractor must comply with the following additional conditions. The limit of liability and the extensions to be included as described previously in these provisions, remain the same. The contractor must either:
1. Agree to provide certificates of insurance evidencing the above coverage for a period of two years after final payment for the contract. This certificate shall evidence a "retroactive date" no later than the beginning of the contractor's or subcontractor's work under the contract, or

All insurance must be obtained before any work is commenced and kept in effect until its completion. If any of the work is sublet, similar insurance shall be obtained by or on behalf of the subcontractor to cover their operation.
H. Current insurance certificates documenting compliance with these coverage requirements shall be provided to the Procurement Director prior to the award of any contract.
11. BIDDER REMEDIES
11a. APPEAL OF DENIAL OF WITHDRAWAL OF BID. The County Administrator or a designee shall hear appeals of protests to the Director of Finance decision for refusal to allow withdrawal of bids. The County Administrator or a designee shall provide for a hearing, the opportunity to present pertinent information and shall issue a written decision containing findings or facts. The findings of fact shall be final and conclusive and shall not be set aside unless the same are fraudulent or arbitrary or capricious, or so grossly erroneous as to imply bad faith. No determination on an issue of law shall be final if appropriate legal action is instituted in a timely manner. A bidder may not institute legal proceedings until all administrative remedies as set forth herein or as required by the ordinances or resolutions of Stafford County have been exhausted.
11b. APPEAL OF DETERMINATION OF NONRESPONSIBILITY.
A. Any bidder who, despite being the apparent low bidder, is determined not to be a responsible bidder, shall be notified in writing by the Director of Finance of (i) the results of the evaluation, (ii) disclose the factual support for the determination, and (iii) allow the apparent low bidder an opportunity to inspect any documents that relate to the determination, if so requested by the bidder within five business days after receipt of the notice.
B. Within ten business days after receipt of the notice, the bidder may submit rebuttal information challenging the evaluation. The Director of Finance shall issue its written determination of responsibility based on all information in the possession of the County, including any rebuttal information, within five business days of the date the County received the rebuttal information. At the same time, the Director of Finance shall notify, with return receipt requested, the bidder in writing of its determination. The determination of nonresponsibility shall be final unless the bidder appeals the decision within ten days after receipt of the determination.
IFB 26103-R Page 18 of 37
C. If, upon appeal to the County Administrator or his designee, it is determined that the decision of the Director of Finance, was arbitrary or capricious, or otherwise in error and the award for the particular County contract in question has not been made, the sole relief available to the bidder shall be a finding that the bidder is a responsible bidder for the County contract in question.
D. Where the award has been made and performance has begun, the County may declare the contract void upon a finding that this action is in the best interest of the County. Where a contract is declared void, the performing contractor shall be compensated for the cost of performance up to the time of such declaration. In no event shall the performing contractor be entitled to lost profits.
11c. PROTEST OF AWARD OR DECISION TO AWARD.
A. Any bidder may protest the award or decision to award a contract by submitting a protest in writing to the Director of Finance no later than ten (10) calendar days after the award or the announcement of the decision to award, whichever occurs first; provided, however, that no protest shall lie for a claim that the selected bidder is not a responsible bidder. The written protest shall include the basis for the protest and the relief sought. The Director of Finance shall issue a decision in writing within ten (10) calendar days of the receipt of the protest stating the reasons for the action taken. This decision shall be final unless the bidder appeals within ten (10) calendar days of receipt of the written decision.
B. If prior to award it is determined that the decision to award is arbitrary or capricious, then the sole relief shall be a finding to that effect. The Director of Finance shall cancel the proposed award or revise it to comply with the law. If, after an award, it is determined that an award of a contract was arbitrary or capricious, then the sole relief shall be as hereinafter provided. Where the award has been made but performance has not begun, the performance of the contract may be declared void by the County. Where the award has been made and performance bas begun, the Director of Finance may declare the contract void upon a finding that this action is in the best interest of the County. Where a contract is declared void, the performing contractor shall be compensated for the cost of performance at the rate specified in the contract up to the time of such declaration. In no event shall the performing contractor be entitled to lost profits.
C. Pending final determination of a protest or appeal, the validity of a contract awarded and accepted in good faith in accordance with this paragraph shall not be affected by the fact that a protest or appeal has been filed.
D. An award need not be delayed for the period allowed a bidder to protest, but in the event of a timely protest, no further action to award the contract will be taken unless there is a written determination that proceeding without delay is necessary to protect the public interest or unless the bid or offer would expire.
12. CONTRACTUAL TERMS AND CONDITIONS
12a. PAYMENT. Payment shall be made after satisfactory performance that is in accordance with all provisions of the contract, and upon receipt of a properly completed invoice. The County reserves the right to withhold any or all payments or
IFB 26103-R Page 19 of 37 portions thereof for contractor's failure to perform in accordance with the provision of the contract or any subsequent modifications.
12b. PARTIAL PAYMENTS. Unless otherwise specified, partial payments will be made upon acceptance of materials or services so invoiced if in accordance with completion date.
12c. PAYMENT FOR EQUIPMENT AND INSTALLATION. When equipment requires installation (which includes erection, setting up or placing in position, service, or use) and testing, and the installation or testing is delayed, payment may be made based on 50% of the contract price when such equipment is delivered on the site. A further allowance of 25% may be made when the equipment is installed and ready for test. The balance shall be paid after the equipment is tested and found to be satisfactory. If the equipment must be tested, but installation is not required to be made by the contractor or if the equipment must be installed but testing is not required, payment may be made based on 75% at the time of delivery and the balance shall be paid after satisfactory test or installation is completed.
12d. PRICE INCREASES. Price increases may be negotiated only at the time of renewal.
Upon a determination by the County to renew this contract for an additional term, written notification will be given to the contractor. If the County elects to exercise the option to renew the contract for an additional one-year period, the contract price(s) for the additional one year shall not exceed the contract price(s) of the most recent contract term by PPI, Series ID WPS 132101 for nonmetallic mineral products – construction sand, gravel and crushed stone, seasonally adjusted, or 3%, whichever the lesser.
12e. MOST FAVORED NATION. If the contractor makes a general price reduction for any material covered by the IFB to customers generally, an equivalent price reduction shall apply to this contract for the duration of the contract period (or until the price is further reduced). Such price reduction shall be effective at the same time and in the same manner as the reduction in the price to customers generally. For purpose of this provision, a "general price reduction" shall mean any horizontal reduction in the price of an article or service offered (i) to contractor's customers generally, or (ii) in the contractor's price schedule for the class of customers (i.e., wholesalers, jobbers, or retailers), which was used as the basis for bidding on this solicitation. An occasional sale at a lower price, or sale of distressed merchandise at a lower price is not a "general price reduction" under this provision. The contractor shall submit its invoice at such reduced prices indicating on the invoice that the reduction is pursuant to the "Price
Reduction" provision of the contract documents. The contractor will also within ten
(10) days of any general price reduction notify the Procurement Director of such reduction by letter. Failure to do so may result in termination of the contract.
12f. PRICE RENEGOTIATION. The County reserves the right, at any time during the contract term or any extension of the term, to renegotiate with the contractor a reduction in the compensation paid to the contractor that is less than the compensation initially agreed to by the contractor and the County at the time of contract execution/issuance of the purchase order. The County may initiate such negotiations whenever the County determines that it is in the County’s best fiscal interests to do so.
Notwithstanding any other provision of this contract/purchase order to the contrary; the
County may terminate the contract/purchase order immediately and without penalty if the County is unable to renegotiate the compensation with the contractor to an amount which the County determines to be appropriate.
IFB 26103-R Page 20 of 37
12g. CONTRACT EXTENSION. The County has the right to extend any contract(s) awarded as a result of this IFB for up to one hundred eighty (180) days following any term on the contract.
12h. NON-APPROPRIATION OF FUNDS. The obligations of the County to pay compensation due to the contractor pursuant to the contract or any other payment obligations under any contract awarded pursuant to this contract are subject to appropriations by the Stafford County Board of Supervisors to satisfy payment of such obligations. The County’s obligations to make payments during subsequent fiscal years are dependent upon the same action. If such appropriation is not made for any fiscal year, the contract shall terminate effective at the end of the fiscal year for which funds were appropriated and the County will not be obligated to make any payments under the contract beyond the amount appropriated for payment obligations under the contract. The County will provide contractor with written notice of non-appropriation of funds 30 days after action is completed by the Board of Supervisors, but failure to give such notice shall be of no effect and the County shall not be obligated under the contract beyond the date of termination specified in the County’s written notice.
12i. TERMINATION FOR CONVENIENCE. A contract may be terminated in whole or in part by the County in accordance with this clause whenever the Procurement
Director determines that such a termination is in the best interest of the County. Any such termination shall be effected by delivery to the contractor of a Notice of
Termination specifying the extent to which performance shall be terminated and the date upon which termination becomes effective. An equitable adjustment in the contract price shall be made for completed service, but no amount shall be allowed for anticipated profit on unperformed services.
12j. TERMINATION OF CONTRACT FOR CAUSE. If, through any cause, the contractor fails to fulfill in a timely and proper manner its obligations under the contract, or if the contractor violates any of the covenants, agreements, or stipulations of the contract, the County shall have the right to terminate the contract. Any such termination shall be effected by mailing or delivery to the contractor of a Notice of
Termination specifying the extent to which performance shall be terminated and the date upon which termination becomes effective. In such event all finished or unfinished documents, data, studies, surveys, drawings, maps, models, and reports prepared by the contractor under the contract shall, at the option of the County, become its property and the contractor shall be entitled to receive just and equitable compensation for any satisfactory work completed on such documents. Termination of the contract for cause does not relieve the contractor of liability to the County for damages sustained by the County by virtue of any breach of contract by the contractor until such time as the exact amount of damages due to the County from the contractor is determined.
12k. DELIVERY/SERVICE FAILURES.
A. In case any items are defective in material or workmanship or otherwise not in conformity with the requirements of the bid, the County shall have the right either to reject them (with or without instructions as to their disposition) or to require their correction.
B. Items which have been rejected or required to be corrected shall be removed or, if permitted or required by the Procurement Director, corrected in place by and at the
IFB 26103-R Page 21 of 37 expense of the contractor promptly after notice, and shall not thereafter be tendered for acceptance unless the former rejection or requirement of correction is disclosed.
C. If the contractor fails promptly to remove such items which are required to be removed or promptly to replace or correct such items, the County may either (i) by contract amendment or otherwise, replace or correct such items and contractor shall reimburse the County, within a reasonable time specified by the Procurement Director, for any reasonable expense incurred in excess of the contract prices; or terminate the contract for default as provided below.
D. Unless the contractor corrects or replaces such items within the delivery schedule, the Procurement Director may require the delivery of such items at a reduction in price, which is equitable under the circumstances.
