About this file

This document is a Request for Information (RFI)/Sources Sought Notice for NASA's Commercial Low Earth Orbit (LEO) Destination Contract (CLDC). NASA is seeking capability statements from interested parties, including small businesses and minority-owned institutions, to determine competition levels and small business subcontracting goals for developing commercial space station capabilities. The RFI requests detailed information on companies' technical capabilities, schedule plans, risks, potential government-furnished services, business approaches, and organizational conflict of interest (OCI) mitigation strategies.

Key details include NASA's intent to issue a draft Request for Proposal (RFP) in summer 2025 under NAICS code 336414, with a full and open competition available to any capable U.S. provider. Respondents are asked to submit a 15-page capability statement by April 30, 2025, addressing areas such as technical capabilities, operational utilization plans, service life projections, potential risks, and potential collaboration models. The solicitation aims to support NASA's transition from the International Space Station and develop commercial LEO destinations that can support NASA astronauts, international astronauts, and other spaceflight participants on commercially-owned and operated space stations.

CLDC - Request for Information/Sources Sought Notice - Rev 1

This Request for Information (RFI)/Sources Sought notice is composed of three distinct parts:

A. Market Research;

B. Scope of Work; and C. Organizational Conflict of Interest

A. Market Research

NASA/JSC is seeking capability statements from all interested parties, including all socioeconomic categories of Small Businesses and Historically Black Colleges and Universities (HBCU)/Minority Institutions (MI) for the purposes of determining the appropriate level of competition and/or small business subcontracting goals for the CLDC.

The Government reserves the right to consider a Small, 8(a), Women-owned (WOSB), Service-Disabled Veteran (SD-VOSB), Economically Disadvantaged Women-owned Small Business (EDWOSB) or HUBZone business set-aside based on responses received.

Interested firms having the required capabilities necessary to meet all or some of the requirements described herein should submit a capability statement of no more than 15 pages indicating the ability to perform aspects of the effort either as a potential prime contractor or subcontractor.

The capability package should outline:

1. CLD Capabilities

a) Briefly describe your company's overall skills, experience, and capabilities to perform the Scope of Work either as a potential Prime Contractor or Subcontractor (see section B. below).

a) Identify specific Scope of Work disciplines/sections for which your company could provide the stated capability.

b) Provide information on what functions the prime contractor and any subcontractors, joint venture, or partners will be responsible for and their experience in those areas (if known, please provide subcontractor names, unique entity IDs, and work they would perform).

2. Schedule/Utilization Capabilities/Service Life

a) How does your company plan to accomplish Initial Operating Capability

(IOC)/Continuous Crew (CC)/Full Operating Capability (FOC)/FOC+ utilization expectations with respect to Baseline Lab Capability (BLC)? (see Attachment_2 IOC_CC_FOC_Definitions.pdf)

i) Identify areas where NASA’s required capabilities are not achievable or do not align with your company’s CLD evolutionary approach.

ii) Does your company intend to utilize IOC/CC/FOC/FOC+, or does your company intend to use a different phasing where some of the earlier stages are not planned (e.g., immediate to CC and not having an IOC) and if so, what does that plan look like?

CLDC - Request for Information/Sources Sought Notice

iii) Are there additional capabilities planned to be offered to NASA that are not identified in the BLC? Is there anything additional related to the BLC that your company would like NASA to consider?

iv) Are there any additional clarifications requested from NASA related to utilization requirements (other than the detailed sizing information NASA requires for each increment)?

b) Provide an estimated service life of the destination platform.

3. Risks

a) Describe the safety, reliability, programming, schedule, cost, and technical risks your company considers to be drivers from a program execution perspective and potential mitigating actions that may be appropriate for NASA to consider in its planning.

Identify any known supply chain impacts to providing this capability in a timely fashion.

4. Government Furnished Services and Equipment (GFS/GFE)

a) Identify specific types of Government-furnished services NASA could provide to augment industry’s capability to meet CLD requirements and reduce schedule risk.

Example areas of potential Government-furnished services for which NASA has significant technical expertise are:

i) Support for DDT&E and/or delivery of CLD Critical Systems or components for

ECLSS, Exercise, Communication, Food, etc.

b) If the Government provides GFS/GFE, describe how this would affect your company’s plans and business case.

c) Provide feedback on NASA’s plan to provide Crew and Cargo Vehicles during the initial set of CLD missions associated with NASA services.

i) Does your company expect to procure and fly non-NASA crew or cargo missions to the CLD in addition to NASA-provided missions?

ii) Does your company have any issues or concerns with NASA providing Crew and

Cargo Vehicles initially for NASA missions?

5. Business Approach

a) Identify potential future commercialization plans and business cases for the CLD:

i) What is the minimum investment, including development and service missions, from the Government that supports your company’s business case?

ii) What approach(es) does your company recommend that NASA take in the development or acquisition process to avoid creating barriers to commercialization?

iii) Are there activities currently not allowed on ISS today that are required to support your company’s business case?

6. Recommended Proposal Preparation Time

a) Provide a recommendation on the number of total days (not business days) required for your company to develop a detailed proposal.

7. Small Business

a) If this contract is not set-aside for small business concerns, identify any areas in the Scope of Work (see section B. below) that your company believes could be performed by a small business and provide the rationale.

8. Company-Specific Information - Responses must include the following:

a) Company's name, address, website, point of contact information (phone number and email address)

b) Company's Government size standard/type classification (Large, Small, Small Disadvantaged, 8(a), Woman- Owned, Veteran-Owned, Service-Disabled Veteran, HUB Zone business)

c) Number of years in business

d) CAGE code

e) Average annual revenue for the past three years

f) Number of employees

g) Affiliate information: parent company, joint venture partners, and potential teaming partners

h) Whether your company plans to propose as a prime or as a subcontractor

In addition to the information requested above, interested parties may also provide comments on this potential acquisition (i.e., proposed contract approach, scope of work, potential incentive arrangements, evaluation criteria, terms and conditions relevant to the performance or performance metrics.)

The Government will evaluate market information to ascertain potential market capacity to provide services consistent in scope and scale with those described in this notice and otherwise anticipated. The Government also will assess each potential offeror’s past performance with respect to this type of work and experience providing services under a performance-based service acquisition contract.

The Government does not intend to acquire a commercial item using FAR part 12.

B. Scope of Work

NASA seeks to purchase an end-to-end CLD service from the owner/operator that provides safe, reliable, and cost-effective access, occupancy, and usage of CLD. NASA intends to offer a suite of services, such as crew and cargo transportation and critical system equipment, to initially augment an end-to-end CLD service, reduce technical and schedule risk, help ensure mission success, and provide overlap and orderly transition of activities from the ISS.

C. Organizational Conflicts of Interest (OCI)

NASA/JSC is requesting information from industry regarding potential organizational conflicts of interest (OCIs) arising from the CLDC.

The nature of the work anticipated under the CLDC may create the potential for OCI(s) as currently described in FAR subpart 9.5. Each interested party should review FAR subpart 9.5, considering NASA’s anticipation of OCI issues and carefully consider the extent to which an OCI may arise before making the decision to compete for the CLDC.

Specifically, NASA anticipates that the effort under the CLDC will include the following types of tasks which could lead to potential OCI issues. This list is not all inclusive.

• Biased Ground Rules. The Contractor may provide support by preparing specifications or statements of work, which could result in a biased ground rules

OCI.

• Unequal Access to Information. The Contractor may have access to another company’s (e.g. Moon to Mars, Commercial Crew, and Commercial Cargo Program contractors) proprietary, business confidential, or financial data and/or non-public Government sensitive information, which could result in an unequal access to information OCI.

• Impaired Objectivity. The Contractor may be required to perform technical reviews or provide consultation services on its own offers, products, or services (or those of its affiliate(s) or competitor(s)) provided under a different contract(s), which could create an impaired objectivity OCI.

Companies are requested to provide electronic responses (non-page limited) via e-mail to the Contracting Officer listed at the end of this synopsis. Interested parties are requested to address the following questions:

1. What type(s) of OCI issues would your company or potential team identify, if any, should you decide to propose on the CLDC contract?

2. What strategies would your company anticipate proposing to mitigate the OCI issues that you identified (if any)? Please provide strategy details, previous examples/experience with other contracts with NASA and/or other federal agencies.

3. Are there any other types of potential OCI issues with the proposed CLDC contract that are not identified in this RFI?

4. Does your company foresee any OCI issues associated with the CLDC that would prevent your company from submitting a proposal in response to the

CLDC RFP?

NASA will review any responses received regarding potential OCIs and each company’s proposed OCI mitigation strategy. NASA will acknowledge receipt and may respond to each company that submits a mitigation strategy for further understanding. However, NASA’s response is not intended to serve as confirmation that, in fact, all potential OCI have been identified; an OCI will ultimately exist; or that an interested party is capable of successfully eliminating or mitigating an identified OCI. NASA’s response is also not intended to encourage or discourage any interested party from responding to an RFP issued for CLDC in the future. Furthermore, NASA’s response in no way alters or interprets FAR subpart 9.5 as it applies to a final statement of work or a final proposal submission, should a company submit a proposal in response to the CLDC RFP.
