3. Complete Agreement. This Proposal constitutes the complete agreement between Customer and LSS and supersedes any and all prior or contemporaneous negotiations or agreements with respect to the subject matter hereof, and may not be otherwise deemed modified or amended except in a writing signed by the parties hereto. Without limiting the generality of the foregoing, no additional, different or contradictory provisions contained in Customer’s purchase order or other forms shall be construed to amend or otherwise modify the terms of this Proposal, or otherwise accepted in writing by LSS, and such additional, different and contradictory terms are hereby rejected and objected to.

4. Confidential Information. This Proposal represents confidential information of LSS (“Confidential Information”). The Confidential Information will remain the exclusive property of LSS and will only be used by the Customer for the purpose of evaluating the Proposal. 5. Cancellation Policy: Materials will be ordered after purchase ordered issued.

Customer agrees to pay for all materials ordered by LSS in the event of a cancellation. A five percent (5%) cancellation fee for labor will apply if a contract has been signed by customer or a purchase order has been issued for the project by the Customer.

6. Insurance. Price is valid for the current insurance held by LSS; current certificate of insurance with coverage(s) and limits is available to customer upon request. Price excludes LSS providing any bonds.

7. Equipment rental (e.g. High Reach Equipment AND air compressors to operate vacuums). Prices and rates in Section 6 excludes any high reach equipment (e.g. lifts/scaffolding) needed to access surfaces for installation. All pricing is based on work being performed from 6’-8’ ladder. Additional high-reach equipment can be rented at an additional charge.

8. Wage Rates. Price is based on LSS using its standard wage rates on this project. If LSS is required to pay wage rates higher than their standard wage rates, the price will be increased.

9. Sales Tax. Price excludes all federal, state, and local sales tax.

10. Warranty.

(a) LSS warrants that all products installed hereunder shall be free from defects in material and workmanship for 1 year and will conform to the specifications, contained herein. The express warranties made in this Proposal are in lieu of all other warranties and indemnifications, express or implied, including without limitation, warranties of fitness, merchantability, or non-infringement. Nothing in the above shall be construed to imply that this warranty shall apply to work that has been abused, neglected or damaged by others and there are no guarantees associated with this project/proposal. LSS will not be held responsible or liable for any air sampling, surface sampling, or any other sampling method performed after the installation that are viewed, or interpreted as unacceptable by Customer, client, the testing firm, or by any other company, organization, or individual. The following may cause measurements to be less than calculated:

i. If the air temperature is different than specified;

ii. If the air speed is different than specified;

iii. Drain pans not included in the design;

iv. Obstacles, such as pipes between coils and emitters, may decrease readings;

v. Black surfaces VS reflective surfaces of stainless steel;

vi. Allow emitters to warm up at least ten minutes.

(c) No claims for defective products (whether due to latent or patent defects) may be made except in writing, provided claims for patent defects are received by LSS within fifteen (15) days from the date of delivery and claims for latent defects are received by Seller within one year from the date of delivery. In the event that any other default is claimed, notice shall be promptly given to LSS.

On Labor and other costs, customer will pay all invoices net 30 days from date thereof. Projects will be progressed billed monthly.

11. Electrical Power, Water Sources, Disposal. Customer will provide LSS with adequate power sources as well as adequate lighting and water sources needed to perform the work. Customer shall provide LSS means of disposing of waste and water (if applicable) captured during the cleaning process. 12. Fuel Surcharge. A fuel surcharge totaling 3% of the customer’s invoice amount will be added for each 50 cent increment that fuel (gasoline) rises above $4.00 per gallon (monthly average). Fuel pricing information will be obtained from AAA’s fuel gauge report (http://fuelgaugereport.aaa.com) monthly national average price per gallon for the last day of the previous month. For example, if an invoice is for $100.00 and the national monthly average for the last day of the previous month is $4.35/per gallon a 3% surcharge would be added to the invoice creating a new invoice total of $103.00. If the monthly average for the last day of the previous month was $4.76/gallon the new invoice total would be $106.00.

13. Weekend and Holiday Work. For work performed on the weekends and following days: New Year’s Day, Easter, Memorial Day, July 4th, Labor Day, Thanksgiving, Friday after Thanksgiving, Christmas Eve, Christmas Day, will be charged at a higher rate. A LSS representative will provide the customer the price differential for any work performed on these work days.

14. Trip Charges/Minimum Charge. If Project is split up into multiple phases, additional trip charges may apply. Invoice will reflect a minimum charge of $1,850.00 for Labor, in addition to all other charges and equipment rentals + 20%. Please note that if the first day of work is performed on a weekend or a holiday there will also be an additional minimum charge of eight (8) hours of labor for each man on the crew at the applicable hourly rate.
