About this file

This is a Proposed Sole Source Purchase Form submitted by the University of New Mexico Hospital (UNMH) to procure Microsoft PowerShare Hosted Services from Nuance Communications, Inc. UNMH is requesting a comprehensive medical image exchange platform that includes hosted cloud services, implementation services, professional services, software maintenance, technical support, training, and customer success services. The PowerShare platform is a secure, cloud-based solution designed to enable electronic exchange of diagnostic imaging studies, radiology reports, and clinical information among healthcare organizations, imaging centers, physicians, and patients. The procurement encompasses a 36-month initial term subscription supporting approximately 1,500 image-sharing transactions per month (18,000 annually), with options to renew subject to New Mexico Statutes Annotated Section 13-1-150. The requisition was submitted on June 25, 2026, by Andrew Seiger, Manager of Clinical Imaging Systems, and was approved by Jeffrey Gilmore on the same date. Professional implementation services include project management, workflow analysis, integration with existing PowerScribe reporting, Picture Archiving and Communication System (PACS), and Radiology Information System (RIS), Single Sign-On configuration, administrator and end-user training, and post-deployment optimization services.

The total procurement amount is $124,000 for the initial term, comprising $39,600 in annual hosted services fees and $6,000 in professional services. UNMH justifies the sole source procurement based on three primary factors: the proprietary nature of Microsoft PowerShare software, which is exclusively developed, owned, and maintained by Microsoft; compatibility requirements with UNMH's existing Microsoft PowerScribe environment and radiology infrastructure; and the need to replace the expiring LifeImage platform while minimizing operational disruption and implementation costs. UNMH determined that alternative medical image exchange solutions would require substantial interface development, workflow redesign, cybersecurity assessments, and staff retraining, resulting in significantly increased costs and implementation timelines. The proposed procurement is structured to support multiple purchase orders and contract amendments for additional functionality, licensing, and term extensions under a Multi-Term Contract framework. The sole source form will be posted on the UNM Sunshine Portal and the State of New Mexico Procurement website for 30 days prior to purchase, in compliance with New Mexico procurement law.

Due to anticipated market changes, this Sole Source may support multiple purchase orders and multiple contracts/contract addenda for implementation of additional functionality, additional license(s) and support fees, and to extend the Term of an Agreement pursuant to NMSA 1978, Section 13-1-150 (“Multi-Term Contract”)

Why is this purchase needed?

UNMH currently utilizes LifeImage as its enterprise medical image exchange platform. The existing LifeImage solution is approaching the end of its contractual term and, as confirmed by the requesting department, is being sunset by the vendor. As a result, UNMH must implement a replacement solution to ensure continuity of medical image exchange services and avoid disruption to patient care and radiology operations.

Microsoft PowerShare has been selected as the replacement platform because it provides secure cloud-based medical image exchange capabilities that integrate directly with UNMH's existing PowerScribe, PACS, and radiology workflows. The platform enables clinicians to securely exchange imaging studies with outside healthcare organizations, reduce duplicate imaging examinations, minimize unnecessary radiation exposure, accelerate treatment planning, improve collaboration among providers, and enhance patient access to imaging records.

The procurement includes not only the hosted software subscription but also the professional implementation services necessary to transition from the existing LifeImage platform. These services include project management, workflow assessment, technical integration, implementation consulting, administrator and end-user training, customer success services, and post-implementation optimization to ensure successful adoption throughout the organization.

PowerShare also supports UNMH's operational goals by improving efficiency through streamlined image exchange methods, reducing delays associated with obtaining outside imaging studies, and enhancing collaboration between referring providers and UNMH clinicians.

Replacing LifeImage with another vendor would require significant implementation effort, interface development, workflow redesign, additional cybersecurity review, staff retraining, and increased implementation costs. Procuring PowerShare preserves continuity of operations while replacing an end-of-life platform with a vendor-supported solution designed to integrate into UNMH's existing radiology environment.

II. BASIS FOR SOLE SOURCE PROCUREMENT. CHOOSE APPLICABLE BOX(ES) AND

PROVIDE ADDITIONAL INFORMATION, AS REQUESTED:

☒ Proprietary item, technology or service only available from the proposed vendor. (Check box and describe proprietary component)

Microsoft PowerShare is proprietary software developed, owned, hosted, and maintained exclusively by

Microsoft Corporation through its Nuance healthcare business.

Microsoft retains exclusive ownership of the PowerShare software platform, cloud-hosted infrastructure, application architecture, proprietary image exchange technology, workflow engine, integration components, software updates, security framework, and technical support services.

Only Microsoft has access to the proprietary source code, software enhancements, implementation methodology, hosted environment, and platform administration necessary to provide and support the

III. SUPPLEMENTAL DETAILS. PLEASE PROVIDE ADDITIONAL INFORMATION AS REQUESTED BELOW:

Describe in detail the unique capabilities of the proposed vendor’s goods/service and/or personnel performing the work and why this constitutes the only source. Focus on what is unique about the goods/service and why no other vendor could meet your needs.

Microsoft is the developer, owner, and sole provider of the PowerShare Hosted Services platform. PowerShare is specifically designed for healthcare organizations to securely exchange diagnostic imaging studies while integrating directly into radiology workflows.

Unlike generic file-sharing or cloud storage solutions, PowerShare provides a comprehensive healthcare image exchange ecosystem that includes secure cloud hosting, native PowerScribe integration, PACS and RIS integration, implementation consulting, workflow optimization, administrator and clinician training, customer success services, technical support, and ongoing platform maintenance.

The implementation services are unique to Microsoft and include project management, workflow analysis, integration engineering, technical implementation, solution configuration, SSO configuration, testing, customer success advisory services, outreach planning, and post-deployment optimization. These services are specifically designed to ensure successful implementation and long-term adoption of the PowerShare platform.

The platform improves operational efficiency by eliminating manual image exchange processes, reducing duplicate imaging studies, accelerating treatment planning, improving physician collaboration, and providing patients with improved access to their medical imaging records.

Because Microsoft owns the underlying software architecture, hosted cloud environment, proprietary implementation methodology, and integration framework, no other vendor can provide the same combination of software, implementation services, technical expertise, customer success services, and long-term platform support.

Describe the due diligence made to locate other possible sources including communications with other universities, communications with similar providers, web searches, yellow page searches, review of advertisements and trade publications, etc.

UNMH evaluated the need to replace its existing LifeImage image exchange platform due to the expiration of the current contractual relationship and the vendor's decision to sunset the product.

As part of its evaluation, UNMH considered the operational, technical, and integration requirements necessary for a replacement solution. While other medical image exchange products exist in the marketplace, UNMH determined that Microsoft PowerShare is the solution that best meets the organization's operational and technical requirements because of its native integration with the existing Microsoft PowerScribe environment, comprehensive implementation methodology, customer success services, and enterprise healthcare imaging capabilities.

Alternative solutions would require substantial interface development, workflow redesign, cybersecurity assessments, implementation consulting, testing, and retraining of clinical and technical staff, resulting in increased costs, longer implementation timelines, and greater operational risk.

Based on this evaluation, UNMH determined that Microsoft PowerShare is the only solution that satisfies the organization's current operational, technical, and integration requirements for replacing the existing LifeImage platform.

List the other vendors who were contacted. Please describe the specs/qualifications/criteria that the other vendors were unable to satisfy.

UNMH evaluated whether alternative medical image exchange solutions could satisfy the organization's operational and technical requirements for replacing the existing LifeImage platform.

Although other vendors offer medical image exchange technologies, UNMH determined that they do not provide the same combination of native integration with Microsoft PowerScribe, implementation methodology, hosted cloud services, workflow consulting, customer success services, technical implementation support, and long-term platform maintenance required for this deployment.

Selection of another platform would require significant interface development, workflow redesign, implementation services, cybersecurity review, testing, staff retraining, and ongoing maintenance of custom integrations.

Accordingly, UNMH determined that Microsoft, through its Nuance healthcare business, is the only vendor capable of providing the specific PowerShare solution and associated implementation and support services that meet UNMH's current operational and technical requirements.
