About this file
This is a Confidentiality and Non-Disclosure Agreement form issued by the County of Sacramento for a public works construction project numbered 4724 at the B.T. Collins Youth Detention Facility involving replacement of obsolete HVAC controllers. The document serves as a secured bid document information request form that requires bidders to complete organizational and contact information fields and execute the confidentiality agreement prior to viewing project plans and specifications. Bidders must submit the completed form to Keyst@Saccounty.gov and RSVP to the pre-bid meeting through OpenGov Procurement. Failure to sign the confidentiality and non-disclosure agreement will result in a contractor being deemed non-responsive if a bid is submitted. The project requires furnishing all necessary labor, materials, equipment, and incidental work to complete HVAC controller replacement in strict conformance with specifications and applicable regulations, with actual quantities subject to variation at the County's discretion.
The agreement establishes that all project plans and specifications constitute confidential secured information that may only be viewed within a County-designated secure facility for the limited purpose of preparing a sealed bid submission. Contractors must implement the highest degree of care and security measures to ensure confidential information is not copied, photographed, scanned, sketched, transcribed, reproduced, digitized, or removed from the secure facility in any form. Access is restricted to authorized contractor personnel with legitimate need-to-know, and disclosure is permitted only to the contractor's attorneys and employees necessary to perform bid preparation. Contractors must immediately notify the County of any breach or suspected breach. The agreement provides that injunctive relief and indemnification are available remedies for breach, and all information is disclosed on an "as is" basis without warranties. The agreement is governed by California law and administered through Sacramento County Superior Court.
