B.2 PERFORMANCE WORK STATEMENT

ON-SITE DOCUMENT SHREDDING

1.0 GENERAL:

The contractor shall furnish on-site commercial secured collection and destruction of confidential documents and patient privacy information for the following locations of the VA Gulf Coast Veterans Health Care System (VAGCVHCS): (1) Biloxi Division, 400 Veterans Avenue, Biloxi, MS 39531; (2) Mobile Outpatient Clinic, 4444 Demetropolis Road, Mobile, AL 36619; (3) Joint Ambulatory Care Center, 790 Veterans Way, Pensacola, FL 32507 (4) Eglin Outpatient Clinic, 100 Veterans Way, Eglin AFB, FL 32542; (5) Panama City Beach VA Clinic, 2600 Veterans Way, Panama City Beach, FL 3240; and, (6) Panama City Beach VA Clinic West, 140 Richard Jackson Blvd. Panama City Beach, FL 32407.

The contractor shall be required to provide all personnel, supervision, and other services necessary to perform the work required by the contract. Normal business hours are 8:00 a.m. to 4:30 p.m., Monday through Friday. The Contractor shall perform to the standards expressed in the contract. All shredding shall take place at Government facilities or grounds and shall be witnessed by a VA employee authorized to witness destruction sensitive VA material.

The contractor is responsible for maintaining liability insurance for the duration of the contract and for following all pertinent Federal and state regulations regarding transportation and destruction of classified medical documentation.

The contractor will ensure that access to Personally Identifiable Information (PII) and Protected Health Information (PHI) is limited to authorized personnel only and kept in strict confidentiality. In accordance with provisions of the Privacy Act and HIPAA, criminal penalties may result for knowingly and willfully disclosing information of this type.

2.0 PERSONNEL:

The selection, assignment, reassignment, transfer, supervision, management and control of employees in performance of this work statement will be the responsibility and prerogative of the contractor. However, the contractor shall comply with the general intent and specific policies set forth in the performance work statement concerning conduct of employees as references herein. When the Government directs, the contractor shall remove from performance on the contract any person who is identified as a potential threat to the health, safety, security, general well-being, or operation mission of the activity and its population.

The contract employee is subject to the provisions of Public Law 93-579, Privacy Act of 1974, Health Insurance Portability and Accountability Act of 1996 (HIPAA), all other applicable Federal and VA confidentiality and security laws and regulations and Joint Commission Standards.

In compliance with Joint Commission requirements, the contractor will be required to ensure the competency of the employees that work in behalf of this contract. Annual assessment will be conducted by the contractor and submitted accordingly on request.

The contractor shall not employ any person who is an employee of the United States Government if the employment of that person would create a conflict of interest.

The contractor shall assign a Project Manager for the purpose of coordination, oversight, and management of this contract. Contractor personnel shall present a neat appearance and be easily recognized while working. They will be neat, clean, well-groomed and in appropriate uniform with company logo and shall wear name badge while on site.

Contract employee will provide a manned phone number Monday through Friday 8:00 a.m. to 4:30 p.m. (excluding holidays), answering questions and meeting the customer’s needs.

3.0 SAFETY AND FIRE PREVENTION:

The VAGCVHCS Safety Officer is responsible for the enforcement of all safety regulations as they apply to the safety of VA and contractor employees, visitors, and patients. Violations will be submitted to the contractor for immediate corrective action. If corrective action is not instituted promptly, a copy of the COR’s report will be forwarded to the Department of Labor.

In the performance of this contract, the Contractor shall take such safety precautions as necessary to protect the lives and health of occupants of the building. The Contractor shall comply with the Federal, State, and local safety and fire regulations and codes. Contract employees are not allowed to smoke on facility grounds. Contractor is responsible for providing all applicable training and protective equipment to protect contractor’s employees from any hazards, including blood borne pathogens that may be encountered in the performance of this contract.

4.0 SPECIFIC TASKS BY CONTRACTOR:

Shredding service is to be provided on site. Consoles are to be emptied and new bags installed in each console by contractor personnel upon servicing. Contractor will go to locations of consoles, remove materials from the locked containers and transfer from locked transport containers then to contractor’s truck where materials are then immediately shredded into unrecognizable bits. Contractor will remove material secured in the locked containers only. The collection of material outside the locked containers is prohibited.

Contractor will practice reasonable safeguards while collecting console materials containing PHI/PII ensuring the bins while opened/unlocked are not left unattended. Should the Contractor be approached by an individual(s) requesting entry into the container and/or the container bags, the Contractor will advise those individuals that entry or retrieving documentation is not authorized and they must contact the Privacy Officer. The Contractor’s truck/equipment shall be locked and secured during the collection process of console material and/or while unattended.

Contractor’s truck/equipment shall produce unreadable material. Shredder will be of such capacity that limited quantities of incidentals such as paper clips, staples, rubber bands, CDs, patient plastic armbands and other types of paper can be shredded. Contractor shall maintain shredding truck/equipment and surrounding area free of debris, oil and fluids during the shredding process. Only authorized contractor staff allowed in the shredding truck/equipment and within the surrounding area during the destruction process. The Contractor will immediately advise the Privacy Officer and/or VA Police of unauthorized individuals attempting to enter the shredding truck/equipment or surrounding area during the destruction process. Shredding area should be kept clean and organized to prevent the possibility of losing un-shredded documents. Please annotate method of final destruction on bid.

Contractor shall provide secure lockable containers (consoles) to collect and store materials to be shredded until such time that the shredding of the materials occurs. The consoles are to be provided, maintained and replaced at no charge to the VA. Contractor will provide console keys to the COR for issuance to VA employees and will maintain a current list of key assignments. Consoles will be installed in specific locations by contractor. Changes in location of any console will be by agreement of both contractor and COR and will be done by contractor.

During the course of the contract, quantities and location of collection consoles may have to be adjusted to facilitate new construction or department moves. The Contractor and VAGCVHCS will work jointly to keep a current list of room locations and console numbers. The Contractor will notify the COR on a weekly basis of console locations not accessible or serviced due to locked doors. All CBOC’s will provide a current listing to COR to ensure accuracy of location and console numbers. Contractor shall be prepared to conduct bulk shredding once an appointment is coordinated and scheduled by the COR.

Contractor shall provide a written schedule of the days and times of anticipated performance at each facility listed. Contractor is required to perform shredding/pick-up on day agreeable to both VA Facility and the Contractor. Any changes to the schedule shall be approved in advance of the contractor visiting the facilities.

A Certificate of Destruction must be provided to the COR or designee upon the completion of service each time shredding is done. The Certificate of Destruction must document the approximate weight of the material destroyed and that all destroyed material is rendered “UNREADABLE AND UN-RECONSTRUCTABLE” with assurance to the most extent possible, that shredded materials are to be recycled. The contractor shall provide a chain of custody letter showing each step of the recycle process and final disposition of destroyed materials. Contractor must provide master List of the locations of the locked consoles. Quarterly the COR must be presented with a sample of the shredded material. The COR requires an annual poundage calculation of shredded material and maintains the right to inspect the shredding process on the truck.

The contractor is required to be NAID certified and demonstrates that it satisfies the “Minimum Standards for Information Destruction” as described in VA Directive 6371, Appendix A. The vendor’s on-site destruction process constitutes final destruction as defined by VA Directive 6371.

Contractor must be insured and bonded for destruction of VA material. Contractor will provide environmental certificate on a yearly basis. Contractor should be GSA certified.

Contractor must provide documentation of a contingency plan in the event of equipment failure or unexpected events. The contingency plan shall be presentable upon request of the government.

5.0 LOCATIONS:

6.0 PERFORMANCE REQUIREMENTS SUMMARY:

The Performance Requirements Summary identifies the performance criteria, measurement, standards, and calculations for reporting purposes applicable to equipment and services provided under this contract. In the event the contractor fails to meet the performance standard set for criteria, the contractor shall include in its report a brief explanation as to why the standard was not met and any corrective action taken to remedy the situation.

7. DEFINITIONS:

Contractor on-site personnel response: The contractor’s on-site person response time is based on the time it takes the on-site person to respond to a call or notification from an end user of an equipment issue either by phone, email, or in person. For the purposes of this definition a “response” includes; at a working minimum acknowledgement of the call and an estimate of when the on-site person can resolve or begin working on the equipment issue in question.

Service Response time: The time the Service Technician takes to respond on-site (or by phone if on site response is not required) to the contractor on-site person or government-initiated service request.

Downtime: Downtime shall mean the number of hours in any calendar month during which an item of equipment covered by this contract is inoperative for its intended use(s) during the month and such inoperability is not due to customer (end user) misuse, fire, or using the equipment in a manner other than its intended use.

Downtime Calculation: Downtime is calculated from the point in time when the contractor receives the service request for inoperative equipment covered by this contract until such time as the equipment is operating per the contractor/manufacture specifications. Downtime includes machine repair time and response time when the equipment is inoperative for its intended use(s). Downtime excludes preventative maintenance, equipment move time, time consumed in service rendered due to user misuse.

Target Response Time: A standard response time for a product or service.

Contracted Period of Coverage Hours: Shall mean 8:00 am to 4:30 pm Central Standard Time, Monday through Friday except Federal holidays.

8. IDENTIFICATION BADGES:

Within five working days of contract award, the contractor will provide the names of personnel (including subcontractors if applicable) that will be working under this contract. The contractor shall complete the Contractor’s ID Badge Worksheet (see Attachment 11). The Contracting Officer will forward the worksheet to VA Police Service. Prior to commencement of work, contractor personnel shall obtain a photo identification (ID) badge to include the company name from the VA Police Service (Ext 228-523-5546) at Bldg. 53, Room 2A129, at the Biloxi, MS facility. Fingerprints are not required; however, two forms of identification will be needed in order to receive badge; one of these shall be a driver’s license. Badges will be worn at all times while on the premises of the VAGCVHCS and other facilities covered under this contract. Badges will be placed in a visible location, above the waist, clipped to the front of wearing apparel with photo and name clearly visible. Identification badges will be turned in to the Contracting Officer’s Technical Representative (COR) when the contract has expired. The COTR will then forward the badges to the VA Police Service within five working days of contract expiration.

9. OPERATIONS:

Hours of operations are 8:00 am to 4:30 pm Monday – Friday, excluding weekends and Federal Holidays, and any other day specifically declared by the President of the United States to be a Federal Holiday. The ten (10) Federal Holidays observed by the Federal Government for this requirement are:

When a Federal holiday falls on a Sunday, the following Monday shall be observed as a Federal holiday. When a Federal holiday falls on a Saturday, the proceeding Friday is observed as a Federal holiday by U.S. Government agencies. Also included, would be any other day, specifically declared by the President of the United States of America to be a Federal Holiday.

10. UNTIMELY SERVICES:

In the event that services are not furnished within the scheduled time frames specified in this Performance Work Statement, the VA reserves the right to obtain the services from another source and charge the contractor with the cost to perform the work plus any excess costs which may result.

11. PRIVACY INFORMATION:

The contractor’s on-site supervisor will secure (in a sealed envelope) and relinquish any documentation found anywhere on the VA grounds that contains sensitive patient and/or employee information (i.e. privacy information) within 60 minutes of finding such documentation to Ms. Melanie Lane, VA Gulf Coast Veterans Health Care System Privacy Officer, Bldg. 2, Room No. 1A110C, Phone: (228) 523-5526. If Ms. Lane is not available, please relinquish any documentation found to the Police Services (Bldg. 17).

12. PRIVACY TRAINING:

Mandatory VA provided Privacy Training will be completed by all contract employees before any on-site work begins under the contract. Approximately one (1) hour of Privacy Training will be provided for all employees who, along with their supervisor, will be required to review and sign the training documents. These training documents must then be forwarded to the Contracting Officer prior to the on-site work beginning. Any new contractor employee(s) hired after the contract becomes effective must complete the mandatory VA provided Privacy Training prior to starting work. Privacy Act Training is an annual requirement. “The C&A requirements do not apply” and “A Security Accreditation Package is not required”.

13. TB TESTING:

All Contractor personnel providing on-site services at VAGCHCS are required to have an annual TB test accomplished with copies of the results provided to the COTR and to the Contracting Officer. If the contractor’s employees have not had a TB Test accomplished within the past calendar year, they must have one accomplished prior to starting work on the contract. If the contractor’s employees have had a TB test accomplished within the past calendar year, the contractor will be required to provide a copy of the test results to the COTR and to the Contracting Officer. New conversions to a positive PPD or new symptoms related to TB, if previously a positive PPD, must be reported to the VAGCVHCS Occupational Health Department within 10 working days. New hires (i.e., employees hired after the contract start date) shall provide certification of TB Testing before starting work at the VAGCVHCS.

For the purposes of the award of this Contract, the Government intends to evaluate the option to extend services under FAR 52.217-8 as follows:

The evaluation will consider the possibility that the option can be exercised at any time and can be exercised in increments of one to six months, but not for more than a total of six months during the life of the contract. The evaluation will assume that the prices for any option exercised under FAR 52.217-8 will be at the same rates as those in effect under the contract at the time the option is exercised. The evaluation will therefore assume that the addition of the price or prices of any possible extension or extensions under FAR 52.217-8 to the total price of all proposals relative to each other, and will not affect the ranking of proposals based on price, unless, after reviewing the proposals, the Government determines that there is a basis for finding otherwise. C.1 ADDENDUM to FAR 52.212-4 CONTRACT TERMS AND CONDITIONS—COMMERCIAL ITEMS Clauses that are incorporated by reference (by Citation Number, Title, and Date), have the same force and effect as if they were given in full text. C.2 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.

C.3 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years.

C.4 52.228-5 INSURANCE—WORK ON A GOVERNMENT INSTALLATION (JAN 1997)

(a) The Contractor shall, at its own expense, provide and maintain during the entire performance of this contract, at least the kinds and minimum amounts of insurance required in the Schedule or elsewhere in the contract.

(b) Before commencing work under this contract, the Contractor shall notify the Contracting Officer in writing that the required insurance has been obtained. The policies evidencing required insurance shall contain an endorsement to the effect that any cancellation or any material change adversely affecting the Government's interest shall not be effective—

(1) For such period as the laws of the State in which this contract is to be performed prescribe; or

(2) Until 30 days after the insurer or the Contractor gives written notice to the Contracting Officer, whichever period is longer.

(c) The Contractor shall insert the substance of this clause, including this paragraph (c), in subcontracts under this contract that require work on a Government installation and shall require subcontractors to provide and maintain the insurance required in the Schedule or elsewhere in the contract. The Contractor shall maintain a copy of all subcontractors' proofs of required insurance and shall make copies available to the Contracting Officer upon request.

C.5 SUPPLEMENTAL INSURANCE REQUIREMENTS

In accordance with FAR 28.307-2 and FAR 52.228-5, the following minimum coverage shall apply to this contract:

(a) Workers' compensation and employer’s liability: Contractors are required to comply with applicable Federal and State workers' compensation and occupational disease statutes. If occupational diseases are not compensable under those statutes, they shall be covered under the employer's liability section of the insurance policy, except when contract operations are so commingled with a Contractor's commercial operations that it would not be practical to require this coverage. Employer's liability coverage of at least $100,000 is required, except in States with exclusive or monopolistic funds that do not permit workers' compensation to be written by private carriers.

(b) General Liability: $500,000.00 per occurrences.

(c) Automobile liability: $200,000.00 per person; $500,000.00 per occurrence and $20,000.00 property damage.

(d) The successful bidder must present to the Contracting Officer, prior to award, evidence of general liability insurance without any exclusionary clauses for asbestos that would void the general liability coverage.

C.6 52.232-19 AVAILABILITY OF FUNDS FOR THE NEXT FISCAL YEAR (APR 1984)

Funds are not presently available for performance under this contract beyond September 30, 2021. The Government's obligation for performance of this contract beyond that date is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise for performance under this contract beyond September 30, 2021, until funds are made available to the Contracting Officer for performance and until the Contractor receives notice of availability, to be confirmed in writing by the Contracting Officer.

(End of Clause) C.8 VAAR 852.219-74 LIMITATIONS ON SUBCONTRACTING—MONITORING AND COMPLIANCE (JUL 2018)

(a) This solicitation includes VAAR 852.219-10 VA Notice of Total Service- Disabled Veteran-Owned Small Business Set-Aside.

(b) Accordingly, any contract resulting from this solicitation is subject to the limitation on subcontracting requirements in 13 CFR 125.6, or the limitations on subcontracting requirements in the FAR clause, as applicable. The Contractor is advised that in performing contract administration functions, the Contracting Officer may use the services of a support contractor(s) retained by VA to assist in assessing the Contractor's compliance with the limitations on subcontracting or percentage of work performance requirements specified in the clause. To that end, the support contractor(s) may require access to Contractor's offices where the Contractor's business records or other proprietary data are retained and to review such business records regarding the Contractor's compliance with this requirement.

(c) All support contractors conducting this review on behalf of VA will be required to sign an “Information Protection and Non-Disclosure and Disclosure of Conflicts of Interest Agreement” to ensure the Contractor's business records or other proprietary data reviewed or obtained in the course of assisting the Contracting Officer in assessing the Contractor for compliance are protected to ensure information or data is not improperly disclosed or other impropriety occurs.

(d) Furthermore, if VA determines any services the support contractor(s) will perform in assessing compliance are advisory and assistance services as defined in FAR 2.101, Definitions, the support contractor(s) must also enter into an agreement with the Contractor to protect proprietary information as required by FAR 9.505-4, Obtaining access to proprietary information, paragraph (b). The Contractor is required to cooperate fully and make available any records as may be required to enable the Contracting Officer to assess the Contractor's compliance with the limitations on subcontracting or percentage of work performance requirement.

C.9 VAAR 852.228-71 INDEMNIFICATION AND INSURANCE (MAR 2018)

(a) Indemnification. The contractor expressly agrees to indemnify and save the Government, its officers, agents, servants, and employees harmless from and against any and all claims, loss, damage, injury, and liability, however caused, resulting from, arising out of, or in any way connected with the performance of work under this agreement. Further, it is agreed that any negligence or alleged negligence of the Government, its officers, agents, servants, and employees, shall not be a bar to a claim for indemnification unless the act or omission of the Government, its officers, agents, servants, and employees is the sole, competent, and producing cause of such claims, loss, damage, injury, and liability. At the option of the contractor, and subject to the approval by the contracting officer of the sources, insurance coverage may be employed as guaranty of indemnification.

(b) Insurance. Satisfactory insurance coverage is a condition precedent to award of a contract. In general, a successful bidder must present satisfactory evidence of full compliance with State and local requirements, or those below stipulated, whichever are the greater. More specifically, workers' compensation and employer's liability coverage will conform to applicable State law requirements for the service contemplated, whereas general liability and aircraft liability of comprehensive type shall, in the absence of higher statutory minimums, be required in the amounts per aircraft used of not less than $200,000 per person and $500,000 per occurrence for bodily injury and $200,000 per occurrence for property damage. Coverage for passenger liability bodily injury shall be at least $200,000 multiplied by the number of seats or passengers, whichever is greater. State-approved sources of insurance coverage ordinarily will be deemed acceptable to the Department of Veterans Affairs installation, subject to timely certifications by such sources of the types and limits of the coverages afforded by the sources to the bidder.

C.10 VAAR 852.237-75 KEY PERSONNEL (OCT 2019)

The key personnel specified in this contract are considered to be essential to work performance. At least 30 days prior to the Contractor voluntarily diverting any of the specified individuals to other programs or contracts the Contractor shall notify the Contracting Officer and shall submit a justification for the diversion or replacement and a request to replace the individual. The request must identify the proposed replacement and provide an explanation of how the replacement’s skills, experience, and credentials meet or exceed the requirements of the contract. If the employee of the Contractor is terminated for cause or separates from the contractor voluntarily with less than thirty days notice, the Contractor shall provide the maximum notice practicable under the circumstances. The Contractor shall not divert, replace, or announce any such change to key personnel without the written consent of the Contracting Officer. The contract will be modified to add or delete key personnel as necessary to reflect the agreement of the parties.
