B.4 GRAY MARKET PREVENTION

(a) Gray market items are Original Equipment Manufacturers (OEM) goods sold through unauthorized channels in direct competition with authorized distributors. This procurement is for new OEM medical supplies, medical equipment and/or services contracts for maintenance of medical equipment (i.e. replacement parts) for VA Medical Centers. No remanufactures or gray market items will be acceptable.

(b) Vendor shall be an OEM, authorized dealer, authorized distributor, or authorized reseller for the proposed medical supplies, medical equipment, and/or services contracts for maintenance of medical equipment (i.e. replacement parts), verified by an authorization letter or other documents from the OEM, such that the OEM’s warranty and service are provided and maintained by the OEM. All software licensing, warranty and service associated with the medical supplies, medical equipment, and/or services contracts for maintenance of medical equipment shall be in accordance with the OEM terms and conditions.

(c) The delivery of gray market items to the VA in the fulfillment of an order/award constitutes a breach of contract. Accordingly, the VA reserves the right enforce any of its contractual remedies. This includes termination of the contract or, solely at the VA’s election, allowing the Vendor to replace, at no cost to the Government, any remanufactured or gray market item(s) delivered to a VA medical facility upon discovery of such items."

SECTION C - CONTRACT CLAUSES

ADDENDUM to FAR 52.212-4 CONTRACT TERMS AND CONDITIONS—COMMERCIAL ITEMS Clauses that are incorporated by reference (by Citation Number, Title, and Date), have the same force and effect as if they were given in full text. Upon request, the Contracting Officer will make their full text available.

The following clauses are incorporated into 52.212-4 as an addendum to this contract:

C.1 VAAR 852.232-72 ELECTRONIC SUBMISSION OF PAYMENT REQUESTS (NOV 2018)

(a) Definitions. As used in this clause—

(1) Contract financing payment has the meaning given in FAR 32.001;

(2) Designated agency office means the office designated by the purchase order, agreement, or contract to first receive and review invoices. This office can be contractually designated as the receiving entity. This office may be different from the office issuing the payment;

(3) Electronic form means an automated system transmitting information electronically according to the accepted electronic data transmission methods and formats identified in paragraph (c) of this clause. Facsimile, email, and scanned documents are not acceptable electronic forms for submission of payment requests;

(4) Invoice payment has the meaning given in FAR 32.001; and

(5) Payment request means any request for contract financing payment or invoice payment submitted by the contractor under this contract.

(b) Electronic payment requests. Except as provided in paragraph (e) of this clause, the contractor shall submit payment requests in electronic form. Purchases paid with a Government-wide commercial purchase card are considered to be an electronic transaction for purposes of this rule, and therefore no additional electronic invoice submission is required.

(c) Data transmission. A contractor must ensure that the data transmission method and format are through one of the following:

(1) VA’s Electronic Invoice Presentment and Payment System at the current website address provided in the contract.

(2) Any system that conforms to the X12 electronic data interchange (EDI) formats established by the Accredited Standards Center (ASC) and chartered by the American National Standards Institute (ANSI).

(d) Invoice requirements. Invoices shall comply with FAR 32.905.

(e) Exceptions. If, based on one of the circumstances in this paragraph (e), the Contracting Officer directs that payment requests be made by mail, the Contractor shall submit payment requests by mail through the United States Postal Service to the designated agency office. Submission of payment requests by mail may be required for—

(1) Awards made to foreign vendors for work performed outside the United States;

(2) Classified contracts or purchases when electronic submission and processing of payment requests could compromise the safeguarding of classified or privacy information;

(3) Contracts awarded by contracting officers in the conduct of emergency operations, such as responses to national emergencies;

(4) Solicitations or contracts in which the designated agency office is a VA entity other than the VA Financial Services Center in Austin, Texas; or

(5) Solicitations or contracts in which the VA designated agency office does not have electronic invoicing capability as described above.

Material shall be packed for shipment in such a manner that will insure acceptance by common carriers and safe delivery at destination. Containers and closures shall comply with regulations of carriers as applicable to the mode of transportation.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

52.212-1 ADDENDUM, QUOTE PREPARATION INSTRUCTIONS

A. Introduction The Department of Veterans Affairs (VA), Veterans Health Administration (VHA), Program Contracting Activity – Central (PCAC) is issuing this Request for Quotation (RFQ) to solicit vendors for the purpose of entering into a contract. This acquisition is being conducted in accordance with the procedures in Federal Acquisition Regulations (FAR) Parts 12 and 13. The Government will award a Firm Fixed Price (FFP) Purchase Order (PO).

The Offeror’s quote shall consist of three (3) parts; Technical, Price, and Signed Offer and Other Required Submissions. Late submissions may not be accepted. Any modifications or revisions of a quote received after the date and time specified for receipt of quotes is “late” and may not be considered. Acceptance of late quotes is strictly at the discretion of the Contracting Officer.

The page limit does not include price sheet or past performance. All of the proposal files may be compressed (zipped) into one (1) file entitled “proposal.zip” using WinZip version 6.2 or later version or the proposal files may be submitted individually. All offers must list your DUNS number, CAGE code, and Federal TIN with Company name, POC, and phone number. If you need to obtain or renew a DUNS number or CAGE code, please visit https://www.sam.gov. Lack of registration in the SAM database will make an Offeror ineligible for award.

SUPPLIES: The Offeror shall provide a complete description of the product(s) that satisfy the minimum requirements specified in the Statement of Work (SOW). As stated in section “Evaluation of Offers,” the Offeror shall provide an electronic copy of the cut sheets/manufacturer’s specifications for all items quoted if not quoting the brand name in brand name or equal requirements. These cut sheets/manufacturer’s specifications shall contain adequate specifications for the Government to determine the product meets the specifications identified in the SOW. Not providing this information may render the quote technically unacceptable and, thus, ineligible for award.

The pricing volume shall consist of the following:

The offeror shall complete the pricing schedule located in Section B of the solicitation or provide a price quote that adequately identifies the make and model of the item, unit price, and total for each and all CLINs identified in the SOW/pricing schedule. Failure to provide the make and model of the item, unit price, and total amount for each CLIN may render the offer unacceptable. The unit price shall be rounded to the penny to avoid rounding errors.

Failure to comply with the instructions may render the quote unacceptable.

· SIGNED OFFER AND OTHER REQUIRED SUBMISSIONS

1) Quote Summary/Cover Sheet including:

· Offeror’s name

· Offeror’s technical lead contact information;

2) Authorized Distributor Letter: The Offeror shall include a copy of the authorization from the manufacturer that provides acknowledgement the Offeror is an authorized distributor/dealer of the equipment or products if the Offeror is not the Original Equipment Manufacturer (OEM).

3) Copy of signed SF 1449 and any SF 30 Solicitation Amendments.

4) If the Offeror is proposing deviations or exceptions, or otherwise makes assumptions or adds new terms, conditions or clauses regarding this Statement of Work, the Offeror must explicitly state them. In the event of a conflict between the Statement of Work and the Offeror’s quote, the Statement of Work shall take precedence unless the Government explicitly agrees with the deviation, exception, assumption, term, condition or clause in the resulting order document. The Offeror is cautioned that deviations, exceptions, assumptions or new terms, conditions, or clauses may result in a determination of quote unacceptability, may preclude award to a contractor if award is made without discussions, or may otherwise affect a contractor’s competitive standing.

SUBMISSION OF OFFERS

(a) Submission of Offers/Quotations

(1) Offers/Quotations shall be received on or before the date and time specified in Block 8 of the SF-1449. Offers/Quotations received after the due date and time may not be considered.

(2) The Offeror’s quote shall be submitted electronically by the date and time indicated in the solicitation via email to the Contract Specialist Ronald.shelko@va.gov and the Contracting Officer Michelle Rhodes at Michelle.Rhodes@va.gov.

(3) WARNING: Please do not wait until the last minute to submit your quote! Late quotes may not be accepted for evaluation. To avoid submission of late quotes, we recommend the transmission of your quote files 24 hours prior to the required due date and time. Please be advised that timeliness is determined by the date and time an Offeror’s quote is received by the Government; not when an Offeror attempted transmission. Offerors are encouraged to review and ensure that sufficient bandwidth is available on their end of the transmission.

(b) Period for Acceptance of Offers The Offeror agrees to hold the prices in its Offer/Quotation firm for no less than 180 calendar days from the date specified for receipt of Offers/Quotations.

A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(b) Evaluation Approach Evaluation of offerors will be made on an LPTA basis. The following factors will be used to evaluate offers: 1) Technical (meets salient characteristics/specifications detailed in the SOW including delivery and warranty information) and 2) Price All Offerors are advised that, in the interest of efficiency, the Government reserves the right to conduct the evaluation in the most effective manner. Specifically, the Government may first evaluate the total proposed price of all Offerors. Thereafter, the Government will evaluate the technical quotation of the lowest priced Offeror only. If the lowest priced Offeror’s technical quotation is determined to be rated as Acceptable, the Government may make award to that Offeror without further evaluation of the remaining Offerors’ technical quotations. If the lowest priced Offeror’s technical quotation is determined to be rated as Unacceptable, then the Government may evaluate the next lowest priced technical quotation, and so forth and so on, until the Government reaches the lowest priced technical quotation that is determined to be rated as Acceptable. However, the Government reserves the right to evaluate all Offerors’ technical quotations should it desire to conduct discussions, or otherwise determine it to be in the Government’s best interest.

1. Technical.

SUPPLIES: Meets specifications/salient characteristics listed in SOW. This factor will be determined through Government evaluation of the quoted equipment against the Governments minimum requirement as identified in the SOW. The Offeror shall provide an electronic copy of the cut sheets/manufacturer’s specifications for all items quoted unless quoting the brand name. The quote shall indicate if the item is the brand name or an equivalent. These cut sheets/manufacturer’s specifications shall contain adequate specifications for the Government to determine the product meets the specifications identified in the SOW. Not providing this information will render the quote technically unacceptable and, thus, ineligible for award.

GRAY MARKET PREVENTION:

(a) Gray market items are Original Equipment Manufacturers (OEM) goods sold through unauthorized channels in direct competition with authorized distributors. This procurement is for new OEM medical supplies, medical equipment and/or services contracts for maintenance of medical equipment (i.e. replacement parts) for VA Medical Centers. No remanufactures or gray market items will be acceptable.

(b) Vendor shall be an OEM, authorized dealer, authorized distributor, or authorized reseller for the proposed medical supplies, medical equipment, and/or services contracts for maintenance of medical equipment (i.e. replacement parts), verified by an authorization letter or other documents from the OEM, such that the OEM’s warranty and service are provided and maintained by the OEM. All software licensing, warranty and service associated with the medical supplies, medical equipment, and/or services contracts for maintenance of medical equipment shall be in accordance with the OEM terms and conditions.

(c) The delivery of gray market items to the VA in the fulfillment of an order/award constitutes a breach of contract. Accordingly, the VA reserves the right enforce any of its contractual remedies. This includes termination of the contract or, solely at the VA’s election, allowing the Vendor to replace, at no cost to the Government, any remanufactured or gray market item(s) delivered to a VA medical facility upon discovery of such items.

2. Price.

Total evaluated price will be determined by multiplying the quantities identified for each CLIN quoted by the proposed unit price for each Contract Line Item Number (CLIN). The extended amounts for each CLIN will then be added together to determine the total evaluated price.

The Government will review the price schedule for completion and accuracy, as well as the fairness and reasonableness of the quoted prices. The Government is not required to identify the relative weight of the evaluation factors, hold discussions, or use other FAR 15 procedures.
