About this file

This is a Bond Purchase Agreement form executed by the Department of Airports of the City of Los Angeles for the issuance of Senior Revenue and Refunding Revenue Bonds through Los Angeles International Airport. The agreement establishes the framework for underwriters to purchase two series of bonds: Series A (Private Activity/AMT) in the amount of $[A Par Amount] and Series B (Governmental Purpose/Non-AMT) in the amount of $[B Par Amount]. The bonds are issued pursuant to the Master Trust Indenture dated April 1, 1995, and a supplemental indenture to be dated as of the specified closing date. The Series bonds are fully registered securities in denominations of $5,000 and integral multiples thereof, with maturities, interest rates, and redemption provisions specified in Schedule I. The bonds are secured by and payable from Net Pledged Revenues on parity with existing Senior Bonds. The underwriters agree to make a public offering at prices not exceeding initial offering prices or yields not lower than those specified in the Official Statement, with flexibility to offer bonds to dealers and others at lower prices or higher yields as deemed necessary. The Department has authorized use of all transaction documents, including resolutions, the indenture, continuing disclosure certificate, escrow agreement, and official statements in connection with the public offering and sale.

The purchase price for the bonds, including any original issue premium and underwriter discount, is specified in Schedule II. The Department bears expenses for preparation and printing of official statements and bonds, fees for Bond Counsel, Disclosure Counsel, the Los Angeles City Attorney, trustee fees, municipal advisor fees, independent auditor and airport consultant fees, verification agent fees, and any bond rating fees. The underwriters pay for advertising expenses and their own counsel fees from the underwriter discount component. The agreement includes representations and warranties from the Department regarding its legal authority, compliance with applicable laws, absence of material defaults, and accuracy of disclosure documents. The underwriters may terminate the agreement if material adverse changes occur affecting the Department's financial condition, if federal or state tax legislation affects bond marketability, if credit ratings are downgraded, or if the Official Statement contains material misstatements. The agreement is governed by California law with venue in Los Angeles County, and the closing is scheduled for [Closing Date] at 8:00 a.m. Los Angeles time, at which point the bonds will be delivered through the Depository Trust Company's Fast Automated Securities Transfer Program to accounts designated by the underwriters.

(c) The Series 20[__]AB Senior Bonds shall be secured by and shall be payable from Net Pledged Revenues and other security provided in the Granting Clause of the Senior Indenture on a parity with the Department’s Existing Senior Bonds.

(d) The Series 20[__]AB Senior Bonds are being issued to [_________].

3. Offering. It shall be a condition to the Department’s obligations to sell and deliver the Series 20[__]AB Senior Bonds to the Underwriters, and a condition to the Underwriters’ obligations to purchase, accept delivery of and pay for the Series 20[__]AB Senior Bonds, that the entire aggregate principal amount of each Series of the Series 20[__]AB Senior Bonds referred to in Paragraph 1 of this Purchase Agreement shall be issued, sold and delivered by the Department and purchased, accepted and paid for by the Underwriters at the Closing (defined below).

The Underwriters agree to make a public offering of all the Series 20[__]AB Senior Bonds, at prices not in excess of the initial public offering prices or at yields not lower than the yields set forth on the inside cover pages of the Official Statement; provided that the Underwriters reserve the right from time to time as the Underwriters, in their sole discretion, deem necessary or desirable, to offer and sell the Series 20[__]AB Senior Bonds to certain dealers (including dealers depositing the Series 20[__]AB Senior Bonds into investment trusts) and others at prices lower than the initial offering prices or at yields higher than the initial yields set forth on the inside cover pages of the Official Statement. The Department has authorized the use by the Underwriters, in connection with the public offering and sale of the Series 20[__]AB Senior Bonds, of the Resolutions, the Senior Indenture, the Continuing Disclosure Certificate (defined below), the Escrow Agreement (defined below) and this Purchase Agreement and any supplements or amendments thereto (collectively, the “Series 20[__]AB Senior Bonds Documents”), and the Preliminary Official Statement (defined below) and the Official Statement and the information contained in each of such documents (including the appendices thereto).

4. Establishment of Issue Price.

(a) The Representative, on behalf of the Underwriters, agrees to assist the Department in establishing the issue price of the Series 20[__]AB Senior Bonds and shall execute and deliver to the Department at Closing an “issue price” or similar certificate, together with the supporting pricing wires or equivalent communications, substantially in the form attached hereto as Appendix D, with such modifications as may be appropriate or necessary, in the reasonable judgment of the Representative, the Department and Kutak Rock LLP, Bond Counsel to the Department (“Bond Counsel”), to accurately reflect, as applicable, the sales price or prices or the initial offering price or prices to the public of the Series 20[__]AB Senior Bonds.

(b) [Except for the Hold-the-Price Maturities described in subsection (c) below and Schedule I attached hereto,] the Department will treat the first price at which 10% of each maturity of the Series 20[__]AB Senior Bonds (the “10% test”) is sold to the public as the issue price of that maturity (if different interest rates apply within a maturity, each separate CUSIP number within that maturity will be subject to the 10% test). [Schedule I attached hereto sets forth the maturities of the Series 20[__]AB Senior Bonds for which the 10% test has been satisfied as of the date of this Purchase Agreement (the “10% Test Maturities”) and the prices at which the Underwriters have sold such 10% Test Maturities to the public.

(c) With respect to the maturities of the Series 20[__]AB Senior Bonds that are not 10% Test Maturities, as described in Schedule I attached hereto, if any (the “Hold-the-Price Maturities”), the Representative confirms that the Underwriters have offered such maturities of the Series 20[__]AB Senior Bonds to the public on or before the date of this Purchase Agreement at the offering price or prices (the “initial offering price”), or at the corresponding yield or yields, set forth in Schedule I attached hereto. The Department and the Representative, on behalf of the Underwriters, agree that the restrictions set forth in the next sentence shall apply to the Hold-the- Price Maturities, which will allow the Department to treat the initial offering price to the public of each such maturity as of the sale date as the issue price of that maturity (the “hold-the-offering-price rule”). So long as the hold-the-offering-price rule remains applicable to any maturity of the Hold-the-Price Maturities, the Underwriters will neither offer nor sell such maturity of the Hold-the-Price Maturities to any person at a price that is higher than the initial offering price to the public during the period starting on the sale date and ending on the earlier of the following:

(i) the close of the fifth (5th) business day after the sale date; or

(ii) the date on which the Underwriters have sold at least 10% of that maturity of the Hold-the-Price Maturities to the public at a price that is no higher than the initial offering price to the public.

The Representative shall advise the Department promptly after the close of the fifth (5th) business day after the sale date whether it has sold 10% of that maturity of the Hold-the-Price Maturities to the public at a price that is no higher than the initial offering price to the public.

(d) The Representative confirms that:

(i) any agreement among underwriters, any selling group agreement and each third-party distribution agreement (to which the Representative is a party) relating to the initial sale of the Series 20[__]AB Senior Bonds to the public, together with the related pricing wires, contains or will contain language obligating each underwriter, each dealer who is a member of the selling group and each broker-dealer that is a party to such third-party distribution agreement, as applicable:

(A)(i) to report the prices at which it sells to the public the unsold Series 20[__]AB Senior Bonds of each maturity allocated to it, whether or not the Closing Date has occurred, until either all Series 20[__]AB Senior Bonds of that maturity allocated to it have been sold or it is notified by the Representative that the 10% test has been satisfied as to the Series 20[__]AB Senior Bonds of that maturity, provided that, the reporting obligation after the Closing Date may be at reasonable periodic intervals or otherwise upon request of the Representative, and

(ii) to comply with the hold-the-offering-price rule, if applicable, if and for so long as directed by the Representative and as set forth in the related pricing wires,

(B) to promptly notify the Representative of any sales of Series 20[__]AB Senior Bonds that, to its knowledge, are made to a purchaser who is a related party to an underwriter participating in the initial sale of the Series 20[__]AB Senior Bonds to the public (each such term being used as defined below), and

(C) to acknowledge that, unless otherwise advised by the underwriter, dealer or broker-dealer, the Representative shall assume that each order submitted by the underwriter, dealer or broker-dealer is a sale to the public.

(ii) any agreement among underwriters or selling group agreement relating to the initial sale of the Series 20[__]AB Senior Bonds to the public, together with the related pricing wires, contains or will contain language obligating each underwriter or dealer that is a party to a third-party distribution agreement to be employed in connection with the initial sale of the Series 20[__]AB Senior Bonds to the public to require each broker-dealer that is a party to such third-party distribution agreement to: (A) report the prices at which it sells to the public the unsold Series 20[__]AB Senior Bonds of each maturity allocated to it, whether or not the Closing Date has occurred, until either all Series 20[__]AB Senior Bonds of that maturity allocated to it have been sold or it is notified by the Representative or such underwriter or dealer that the 10% test has been satisfied as to the Series 20[__]AB Senior Bonds of that maturity, provided that, the reporting obligation after the Closing Date may be at reasonable periodic intervals or otherwise upon request of the Representative or such underwriter or dealer, and (B) comply with the hold-the-offering-price rule, if applicable, if and for so long as directed by the Representative or the underwriter or the dealer and as set forth in the related pricing wires.

(e) The Department acknowledges that, in making the representations set forth in this subsection, the Representative will rely on: (i) the agreement of each underwriter to comply with the requirements for establishing the issue price of the Series 20[__]AB Senior Bonds, including, but not limited to, its agreement to comply with the hold-the-offering-price rule, if applicable to the Series 20[__]AB Senior Bonds, as set forth in an agreement among underwriters and the related pricing wires, (ii) in the event a selling group has been created in connection with the initial sale of the Series 20[__]AB Senior Bonds to the public, the agreement of each dealer who is a member of the selling group to comply with the requirements for establishing issue price of the Series 20[__]AB Senior Bonds, including, but not limited to, its agreement to comply with the hold-the-offering-price rule, if applicable to the Series 20[__]AB Senior Bonds, as set forth in a selling group agreement and the related pricing wires, and (iii) in the event that an underwriter or dealer who is a member of the selling group is a party to a third-party distribution agreement that was employed in connection with the initial sale of the Series 20[__]AB Senior Bonds to the public, the agreement of each broker-dealer that is a party to such agreement to comply with the requirements for establishing the issue price of the Series 20[__]AB Senior Bonds, including, but not limited to, its agreement to comply with the hold-the-offering-price rule, if applicable to the Series 20[__]AB Senior Bonds, as set forth in the third-party distribution agreement and the related pricing wires. The Department further acknowledges that each underwriter shall be solely liable for its failure to comply with its agreement to adhere to the requirements for establishing issue price of the Series 20[__]AB Senior Bonds, including, but not limited to, its agreement to comply with the hold-the-offering-price rule, if applicable to the Series 20[__]AB Senior Bonds, and that no underwriter shall be liable for the failure of any other underwriter, or of any dealer who is a member of a selling group, or of any broker-dealer that is a party to a third-party distribution agreement, to comply with its corresponding agreement to comply with the requirements for establishing the issue price of the Series 20[__]AB Senior Bonds, including, but not limited to, its agreement to comply with the hold-the-offering-price rule, if applicable to the Series 20[__]AB Senior Bonds.

(f) The Underwriters acknowledge that sales of any Series 20[__]AB Senior Bonds to any person that is a related party to an underwriter participating in the initial sale of the Series 20[__]AB Senior Bonds to the public (each such term being used as defined below) shall not constitute sales to the public for purposes of this section. Further, for purposes of this section:

(i) “public” means any person other than an underwriter or a related party,

(ii) “underwriter” means: (A) any person that agrees pursuant to a written contract with the Department (or with the lead underwriter to form an underwriting syndicate) to participate in the initial sale of the Series 20[__]AB Senior Bonds to the public; and

(iii) a purchaser of any of the Series 20[__]AB Senior Bonds is a “related party” to an underwriter if the underwriter and the purchaser are subject, directly or indirectly, to:

(iv) “sale date” means the date of execution of this Purchase Agreement by all parties.

5. Use of Preliminary Official Statement and Official Statement; and Consent of Airport Consultant.

(a) The Department hereby “deems final” and ratifies and approves the distribution by the Underwriters of the Department’s Preliminary Official Statement with respect to the Series 20[__]AB Senior Bonds, dated [POS DATE] (including the appendices thereto, any documents incorporated therein by reference and any supplements or amendments thereto as of the date hereof, the “Preliminary Official Statement”), in connection with the public offering of the Series 20[__]AB Senior Bonds by the Underwriters. (p) any certificate signed by any official of the Department and delivered to the Underwriters shall be deemed to be a representation and warranty by the Department hereunder to the Underwriters (and not as a representation of such official in his or her individual capacity) as to the statements made therein;

(q) the Department shall deliver to the Underwriters on the Closing Date a duly authorized and executed Continuing Disclosure Certificate (the “Continuing Disclosure Certificate”) in substantially the form attached to the Preliminary Official Statement as Appendix G;

(r) the Department has not defaulted in the payment of principal of or interest on any of its debt obligations (provided that “debt obligations” shall not include any industrial development bonds or private activity bonds the Department may have issued on behalf of any other person and as to which the Department has no direct or indirect financial responsibility); and
