About this file
This is a Sole Source Justification Form submitted by the Illinois State Toll Highway Authority for a three-year maintenance and support contract with Unisys Corporation. The Illinois Tollway seeks to establish a new sole economically feasible source contract beginning August 28, 2026, and ending August 27, 2029, with no renewal options. The procurement supports critical mainframe applications including MAR (Monetary Access Resources) for human resources and payroll, ODV (Over-Dimensional Vehicle) for truck permits, and SUN for fleet management. Required services include DS1 Restore maintenance and support, MCP Developer Studio Software subscription, MCP SW Bronze subscription, Enterprise Output Manager subscription, AB Suite Developer subscription, DS1 Library and Tape Manager maintenance and support, AB Suite 8 to 9 upgrade, and Windows feasibility assessment. The justification notes that AB Suite version 8 will no longer be supported and requires upgrade to version 9 in the third quarter of 2027.
The estimated contract value is $863,993 for the three-year term, comprising $662,780 for annual maintenance and support, $122,669 for professional IT services, and $78,544 as a 10% contingency fee. A three-year multi-year agreement provides approximately $242,000 in savings (28%) compared to three separate one-year contracts totaling $1,106,420. The procurement is funded through toll revenue rather than state-appropriated funds. The Illinois Tollway has maintained continuous Unisys mainframe contracts since 1980, with documented purchase history spanning multiple contracts valued at over $11 million. The sole source determination is justified because the proprietary Unisys MCP operating system and AB Suite development platform are exclusively licensed, maintained, and supported only by Unisys, with no third-party vendor capable of providing authorized maintenance, support, or migration services. The contract extends through 2029 to accommodate system deprecation activities and financial record retention requirements until planned migrations to SAP SuccessFactors and IDOT systems are completed.

Sole Source Justification Form - Part I Section I - General Information
Department/Bureau/Section: Information Technology
Need Identified Date: 05/29/2026 Supply/Service Need By Date: 08/28/2026
Project Title: Unisys System Maintenance and Support
Vendor: Unisys Corporation
Provide a description of the supplies or services required:
The Illinois Tollway wishes to establish a new sole economically feasible sole source contract with Unisys Corporation to maintain and support our current mainframe software. This software is used to develop and maintain the Tollway’s mainframe applications such as ODV and MAR. MAR (Monetary Access Resources) is used for Human Resources and Payroll applications.
ODV (Over-Dimensional Vehicle) is used for truck permits.
If the Unisys system is not maintained and supported, the Tollway would risk the integrity of these business-critical applications. Failure of these business-essential financial systems would have a critical impact on the Tollway's ability to operate. At a minimum, the Tollway would not be able to support payroll and issue new truck permits. The Tollway would also be in violation of the Tollway Trust Indenture Act. Maintenance of the system is also imperative to fulfill record retention requirements.
Value: Estimated Value of Initial Term, this Change Order or Amendment: 863,993
Will this Sole Source amend a Professional or Artistic Services contract? Yes No
*Sole Source may not be used for amendments for Professional or Artistic Services if the amendment would increase the value by more than 5% of the initial award or extend the term by more than 60 days.
Type: New Sole Economically Feasible Source
Section II - Proposed Term
One-Time Purchase Term Contract
Estimated Contract Begin Date: 08/28/2026
Estimated Contract End Date: 08/27/2029
Number of Potential Renewals: 0
Length of Each Renewal in Months: 0
Total Value of All Renewals: 0
If a Term Contract, does the term, including renewals, exceed 12 months? Yes No
If yes, provide a detailed justification including any economic benefit received for agreeing to a multi-year term:
For a 36-month agreement, the cost would be in an amount not to exceed $863,993.00.
If the Tollway entered into three separate one-year contracts, the total would be approximately $1,106,420.00.
If, however, the Tollway enters into an agreement for all three years (as is being requested), the Tollway would receive a savings of over $242,000, or approximately 28%. This is an ongoing need of the Tollway.

Section VI - Business Rationale
Version 7.01 Page 3 of 6
Bulletin Reference Number 26-557THA-INFOT-B-52934
Requesting Agency/University Illinois State Toll Highway Authority
1. Provide a detailed explanation of the need for the supplies or services:
This request is for Unisys to maintain and support our current mainframe software. This software is used to develop and maintain the Tollway’s mainframe applications such as ODV, MAR, and SUN. SUN is used for the Tollway’s work orders/fleet applications. MAR (Monetary Access Resources) is used for Human Resources and Payroll applications. ODV (Over-Dimensional Vehicle) is used for truck permits.
The proprietary Unisys system, hardware, and software runs the Tollway’s in-house, business-critical applications, including Payroll, Human Resources, and Fleet Management at the Tollway's Central Administration Building (specifically Payroll Management, Personnel Administration, Benefits Management, Fleet and Roadway Maintenance, Snow Reports, Pre-SAP Financial and Procurement information, and Over-Dimensional Vehicle permits.) These applications are essential to the Tollway's operations.
The estimated costs for this three-year term are:
$662,780.00 - Annual Maintenance and Support for three years $122,669.00 - Professional IT Services needed for three years $785,449.00 - total M&S and Services for three years total $ 78,544.00 - 10% contingency fee
$863,993.00 - TOTAL FOR THIS REQUEST
The contingency costs will accommodate anticipated expenses throughout the term of the contract to include professional services associated with integration with SAP SuccessFactors and Sailpoint, as well support for system deprecation activities for record retention.
2. Provide a list and describe in detail the specifications required to satisfy the need:
The Unisys request includes the following services:
1) DS1 Restore maintenance and support
2) MCP Developer Studio Software subscription, maintenance and support
3) MCP SW Bronze subscription, maintenance and support
4) Enterprise Output Manager subscription, maintenance and support
5) AB Suite Developer subscription
6) DS1 Library and Tape Manager maintenance and support
7) AB Suite 8 to 9 upgrade
8) Windows feasibility assessment
3. Provide detail explaining the justification selected in Section IV to explain why the requested supplies or services are the only ones available that can satisfy the agency or university requirements?
Unisys is the sole provider of licensing, maintenance, support, and upgrade services for the proprietary MCP operating system and AB Suite development environment on which the Tollway's business-critical applications were developed and continue to operate.
The Tollway relies on Unisys for software licensing, vendor support, software updates, technical assistance, and issue resolution for the MAR and ODV applications. Because these technologies are proprietary to Unisys, no other vendor can provide authorized software maintenance, product support, access to software updates, or the professional services necessary to upgrade from AB Suite 8 to AB Suite 9. Procuring these services directly from Unisys is the only means of maintaining a fully supported operating environment.
4. What are the unique features of the supplies or services that are not available in any other product or by any other vendor? Provide specific quantifiable factors/qualifications:
The Unisys MCP operating system and AB Suite development platform are proprietary technologies owned and supported exclusively by Unisys and are uniquely designed to support the Tollway's existing mainframe applications. These technologies provide the development, compilation, deployment, and runtime services required for the MAR and ODV applications and are fully integrated with the Tollway's current Unisys infrastructure. Unisys is the only vendor that can provide software updates, technical support, product enhancements, and migration services from AB Suite 8 to AB Suite 9, as no third-party vendor has access to the proprietary software, source code, engineering resources, or technical expertise necessary to support these products.
5. Has the Agency or University considered alternative supplies or services to satisfy their need? Yes No
Version 7.01 Page 4 of 6
Bulletin Reference Number 26-557THA-INFOT-B-52934
Requesting Agency/University Illinois State Toll Highway Authority
5a. If no, why weren't alternatives evaluated?
Alternatives were not evaluated because the Tollway's business-critical applications are built on proprietary Unisys technologies that can only be licensed, maintained, and supported by Unisys. The primary purpose of this procurement is to maintain access to vendor support services, software licensing, product updates, and issue resolution capabilities that are only available through Unisys.
Replacing the existing platform would require a substantial redevelopment and migration effort for multiple critical applications and would not be cost-effective given the Tollway's ongoing initiative to migrate Human Resources, Payroll, and related business functions from the MAR application to SAP SuccessFactors. Until that migration is fully completed, the Tollway must continue to maintain and support the existing Unisys environment to ensure uninterrupted operation of these critical business processes. Maintaining vendor support and upgrading from AB Suite 8 to AB Suite 9 is the most practical and financially responsible approach for sustaining operations during this transition period.
6. Are there resellers or distributors?
Yes No N/A
7. What efforts were made to get the best possible price (i.e. did the agency/university negotiate) and how did you determine the price for this purchase is considered fair and reasonable?
Quotes for various time frames and options were evaluated for compatibility with the Tollway's IT budget. In this case, the AB Suite upgrade (anticipated to occur in the third quarter of 2027) with the three-year maintenance option was deemed the most appropriate.
We will have to upgrade the AB Suite from 8 to 9, as version 8 will no longer be supported. This will occur in the third quarter of 2027.
Tollway staff, knowledgeable in Unisys pricing, have participated in negotiations with Unisys with the goal of obtaining the best possible price for the requested services. Based upon these negotiations, the Tollway is confident that it has received the possible price.
The reason for the significant price increase from the current three-year contract (23-0037 expiring 08/27/2026) to the new three-year contract request is as follows: 1) price increases for licensing costs and maintenance and support services, 2) approximately $122,669.00 of professional services to a) support AB Suite v8 to v9 upgrade efforts (as v8 will no longer be supported) and b) support Microsoft conversion feasibility study, and 3) 10% contingency to cover unanticipated services over the next three years as we migrate to SuccessFactors and IDOT's ODV application.
8. Will this purchase obligate the State to this vendor for future purchases such as maintenance, licensing or continuing need?
Yes No
8a. If yes, please provide details regarding future obligations and/or needs:
We will need to maintain this system until we have successfully migrated to an ERP System. The migration of MAR to SuccessFactors is projected to occur the first or second quarter of 2027. The migration of ODV to IDOT is anticipated to be the latter part of 2027.
We will need to maintain the multi-year contract because the system contains financial records that must be kept in accordance with our data retention schedule. Extending coverage through 2029 will accommodate both system depreciation and data retention requirements. Additionally, because the system stores employee financial records, we must ensure it remains fully supported until our retention schedules are met.
9. What will be the financial or other impact to the State if this sole source is not approved and a competitive bid is required?
If this sole source procurement is not approved and a competitive bid is required, the Tollway risks losing access to critical Unisys software licensing, maintenance, and support services for its proprietary MCP and AB Suite environment. Because no other vendor can provide these services, delays in securing support could impact mission-critical applications, including the MAR and ODV applications.
Such disruptions could affect payroll processing, human resources operations, and the issuance of over-dimensional vehicle permits, resulting in operational delays, service interruptions, and potential revenue impacts. Additionally, a competitive procurement would delay access to required support and upgrade services without identifying a viable alternative source.
10. Is there any additional information you would like to add to justify this sole source?
N/A

The Tollway has in-house applications that were written to run on the proprietary Unisys system since 1980.
Q1Answer: This request is for Unisys to maintain and support our current mainframe software.
Q2Answer: The Unisys request includes the following services:
1) DS1 Restore maintenance and support
2) MCP Developer Studio Software subscription, maintenance and support
3) MCP SW Bronze subscription, maintenance and support
4) Enterprise Output Manager subscription, maintenance and support
5) AB Suite Developer subscription
6) DS1 Library and Tape Manager maintenance and support
7) AB Suite 8 to 9 upgrade
8) Windows feasibility assessment Q3Answer: Unisys is the sole provider of licensing, maintenance, support, and upgrade services for the proprietary MCP operating system and AB Suite development environment on which the Tollway's business-critical applications were developed and continue to operate.
Q4Answer: The Unisys MCP operating system and AB Suite development platform are proprietary technologies owned and supported exclusively by Unisys and are uniquely designed to support the Tollway's existing mainframe applications.

Q5aAnswer: Alternatives were not evaluated because the Tollway's business-critical applications are built on proprietary Unisys technologies that can only be licensed, maintained, and supported by Unisys.

Q7Answer: Quotes for various time frames and options were evaluated for compatibility with the Tollway's IT budget.

Q8aAnswer: We will need to maintain this system until we have successfully migrated to an ERP System.
Q9Answer: If this sole source procurement is not approved and a competitive bid is required, the Tollway risks losing access to critical Unisys software licensing, maintenance, and support services for its proprietary MCP and AB Suite environment.
