About this file

This is a Contract Change Notice (No. 4) to an Indefinite Delivery/Indefinite Quantity (IDIQ) master agreement (Contract No. MA240000001403) between the State of Michigan, Department of Technology, Management and Budget (DTMB), and Ricoh USA Inc. The contract is a statewide procurement vehicle extended to MiDEAL members, including local units of government, school districts, universities, community colleges, and nonprofit hospitals. The primary change documented updates the contractor's representative contact from Ricky Haitaian to Brooke Krause, effective May 1, 2026, with no modification to contract value, terms, conditions, specifications, or pricing.

The underlying master contract, effective November 1, 2024 through October 31, 2029, with three one-year renewal options, covers the procurement of printers, toners, and inkjet supplies and equipment. The contract includes both toner printer solutions (Ricoh PRO 8420 models) and inkjet printer solutions (Z75 B2+ model) with associated maintenance, software, training, and consumables. The estimated aggregate contract value is $6,875,000, with payment terms of NET 45 days via Electronic Funds Transfer. Pricing is firm and fixed for the contract term, with usage/click charges remaining constant across all base and option years. The contractor must pay a one percent administrative fee on all payments and submit quarterly purchasing activity reports. The contract includes service level agreements requiring 100 percent compliance for timely deliveries, with penalties of 5 to 10 percent of invoice totals for non-compliance, and extensive warranty, maintenance, training, and technical support requirements throughout the equipment's useful life.

Revision to Standard Contract Terms

The following sections have been amended to include revisions, which have been highlighted.

This amendment to the Standard Contract Terms is effective 3/25/2025 via Contract Change Notice No. 2.

Assignment. Contractor may not assign this Contract to any other party without the prior approval of the State. Upon notice to Contractor, the State, in its sole discretion, may assign in whole or in part, its rights or responsibilities under this Contract to any other party. The State will allow Contractors to assign the payment stream, but not its obligations under the Delivery Order (DO) for leases.

Acceptance. Service and Deliverables are subject to inspection and testing by the State in accordance with the Statement of Work and any applicable Delivery Order (DO). The State will accept the device after it has been delivered to the site, setup and installed and operational with the reporting of any damages or errors. After the acceptance the Contractor is still responsible for repairs or replacement in accordance with the lease agreement and Contract terms (included but not limited to Schedule A – Statement of Work, section 1.12.1.b “Replacement of Devices”).

Termination for Cause. (a)The State may terminate this Contract for cause, in whole or in part, if Contractor, as determined by the State: (i) endangers the security of any State location, data, or personnel; (ii) becomes insolvent, petitions for bankruptcy court proceedings, or has an involuntary bankruptcy proceeding filed against it by any creditor; (iii) engages in any conduct that may expose the State to liability; (iv) breaches any of its material duties or obligations under this Contract; or (v) fails to cure a breach within thirty (30) calendar days. Any reference to specific breaches being material breaches within this Contract will not be construed to mean that other breaches are not material.

(b) If the State terminates this Contract under this Section, the State will issue a termination notice specifying whether Contractor must: (i) cease performance immediately, or (ii) continue to perform in accordance with Section 26, Transition Responsibilities. If it is later determined that Contractor was not in breach of the Contract, the termination will be deemed to have been a Termination for Convenience, effective as of the same date, and the rights and obligations of the parties will be limited to those provided in Section 25, Termination for Convenience.

The State will only pay for amounts due to Contractor for Services and Deliverables accepted by the State on or before the date of termination, subject to the State’s right to set off any amounts owed by the Contractor for the State’s reasonable costs in terminating this Contract. The Contractor must pay all reasonable costs incurred by the State in terminating this Contract for cause, including administrative costs, attorneys’ fees, court costs, transition costs, and any costs the State incurs to procure the Services and Deliverables from other sources.

In the event the Contract is terminated for Cause prior to meeting the State’s lease obligations for the full term, the State will not pay termination charges assessed by the Contractor.

Version 2025-1 Page 2

Termination for Convenience. The State may immediately terminate this Contract in whole or in part without penalty and for any reason with (15) days prior written notice (except in the case of non-appropriation or negative appropriation), including but not limited to, appropriation or budget shortfalls. The termination notice will specify whether Contractor must: (a) cease performance of the Services immediately, or (b) continue to perform the Services in accordance with Section 26, Transition Responsibilities. If the State terminates this Contract for convenience, the State will pay all reasonable costs, as determined by the State, for State approved Transition Responsibilities.

Except in the case of termination for non-appropriation or negative appropriation, in the event the Contract is Terminated for Convenience prior to meeting the State’s lease obligations for the full term, the State will pay termination charges assessed by the Contractor, which will be no greater than the remaining stream of lease payments.

Transition Responsibilities. Upon termination or expiration of this Contract for any reason, Contractor must, for a period of time specified by the State (not to exceed 180 calendar days), provide all reasonable transition assistance requested by the State, to allow for the expired or terminated portion of the Services to continue without interruption or adverse effect, and to facilitate the orderly transfer of such Services to the State or its designees. Such transition assistance may include, but is not limited to: (a) continuing to perform the Services at the established Contract rates; (b) taking all reasonable and necessary measures to transition performance of the Services to the State or the State’s designee; (c) taking all necessary and appropriate steps, or such other action as the State may direct, to preserve, maintain, protect, or return to the State all materials, data, property, and confidential information provided directly or indirectly to Contractor by any entity, agent, vendor, or employee of the State; (d) transferring title in and delivering to the State, at the State’s discretion, all completed or partially completed deliverables prepared under this Contract as of the Contract termination date; and (e) preparing an accurate accounting from which the State and Contractor may reconcile all outstanding accounts (collectively, “Transition Responsibilities”). This Contract will automatically be extended through the end of the transition period.

Return of State Property. Upon termination or expiration of this Contract for any reason, Contractor must take all necessary and appropriate steps, or such other action as the State may direct, to preserve, maintain, protect, or return to the State all materials, data, property, and confidential information provided directly or indirectly to the Contractor by any entity, agent, vendor, or employee of the State.

Indemnification. Contractor must defend, indemnify and hold the State, its departments, divisions, agencies, offices, commissions, officers, and employees harmless, without limitation, from and against any and all actions, claims, losses, liabilities, damages, costs, attorney fees, and expenses (including those required to establish the right to indemnification), arising out of or relating to: (a) any breach by Contractor (or any of Contractor’s employees, agents, subcontractors, or by anyone else for whose acts any of them may be liable) of any of the promises, agreements, representations, warranties, or insurance requirements contained in

Version 2025-1 Page 3 this Contract related to the provision of Deliverables or Services under this Contract; (b) any infringement, misappropriation, or other violation of any intellectual property of any third party by Contractor-branded equipment or software that is necessary for the reasonable and proper operation or use of any Deliverable, and Contractor is unable to transfer indemnification obligations of the software publisher or OEM; or; (c) any bodily injury, death, or damage to real or tangible personal property occurring to the extent of the negligence or more culpable conduct of Contractor (or any of Contractor’s employees, agents, subcontractors, or by anyone else for whose acts any of them may be liable).

The State will notify Contractor in writing if indemnification is sought; however, failure to do so will not relieve Contractor, except to the extent that Contractor is materially prejudiced.

Contractor must, to the satisfaction of the State, demonstrate its financial ability to carry out these obligations.

The State is entitled to: (i) regular updates on proceeding status; (ii) participate in the defense of the proceeding; (iii) employ its own counsel. Contractor will not, without the State’s prior written consent (not to be unreasonably withheld), settle, compromise, or consent to the entry of any judgment in or otherwise seek to terminate any claim, action, or proceeding. To the extent that any State employee, official, or law may be involved or challenged, the State may, at its own expense, control the defense of that portion of the claim.

Any litigation activity on behalf of the State, or any of its subdivisions under this Section, must be coordinated with the Department of Attorney General. An attorney designated to represent the State may not do so until approved by the Michigan Attorney General and appointed as a Special Assistant Attorney General.
