Professional Services and Consulting Agreement Template – Indianapolis Public Schools

This document is a Professional Services and Consulting Agreement template established by the Board of School Commissioners of the City of Indianapolis (IPS) for engaging qualified consultants to provide professional services and consulting support. The agreement outlines the standard terms and conditions under which IPS will contract with external service providers. The scope of services, deliverables, and specific project details are to be detailed in Exhibit 1, which is referenced but not populated in this template version dated July 2026. The contract commencement and termination dates are to be specified at execution, with the agreement allowing for termination by IPS for convenience upon thirty days' written notice or for cause, including material breach, insolvency, or lack of funding appropriation.

The compensation structure is flexible and to be negotiated, with payment made on an hourly rate or alternative basis as agreed, up to a specified total not-to-exceed amount that includes all labor, expenses, and travel costs. Invoices are submitted monthly or at other agreed intervals and are paid within thirty days of receipt and approval by IPS. The consultant is classified as an independent contractor and must maintain comprehensive general liability insurance with minimum coverage of $3,000,000. The agreement requires compliance with Indiana law, including E-Verify certification, criminal background clearance for personnel with student contact, non-debarment certification, and adherence to IPS's Minority Business Enterprise, Women Business Enterprise, and Veteran Business Enterprise policies. All work product and deliverables become the exclusive property of IPS, with the consultant retaining no intellectual property rights. The consultant is responsible for all compliance costs, including background checks and insurance, and must notify IPS of any relationship disclosures or changes in contract status during the performance period.
