The Contractor agrees to immediately notify the CO in writing in the event that the Contractor determines or has reason to suspect a breach of this requirement.

(b) The Contractor agrees that it will not disclose any information described in Subsection (a) to any persons or individual unless prior written approval is obtained from the CO. The Contractor agrees to insert the substance of this clause in any consultant agreement or subcontract hereunder. All contractor employees (including subcontractors) must submit the non-disclosure form at Attachment 5 prior to performing work under this requirement. These forms must be submitted to the COR.

3.15 Limited Use of Data

Performance of this effort may require the Contractor to access and use data and information proprietary to a Government agency or Government Contractor, which is of such a nature that its dissemination or use, other than in performance of this effort, would be adverse to the interests of the Government and others.

Contractor and Contractor personnel shall not divulge or release data or information developed or obtained in performance of this effort, until made public by the Government, except to authorized Government personnel or upon written approval of the CO. The Contractor shall not use, disclose, or reproduce proprietary data that bears a restrictive legend, other than as required in the performance of this effort. Nothing herein shall preclude the use of any data independently acquired by the Contractor without such limitations or prohibit an agreement at no cost to the Government between the Contractor and the data owner, which provides for greater rights to the Contractor.

3.16 Duplication of Effort

The Contractor hereby certifies that costs for work to be performed under this agreement and any subcontracts hereunder are not duplicative of any costs charged against any other Government contract, subcontract, or other Government source. The Contractor agrees to advise the CO, in writing, of any other Government contract or subcontract it has performed or is performing which involves work directly related to the purpose of this agreement. The Contractor also certifies and agrees that any and all work performed under this agreement shall be directly and exclusively for the use and benefit of the Government, and not incidental to any other work, pursuit, research, or purpose of the Contractor, whose responsibility it will be to account for it accordingly.

3.17 Non-Payment for Unauthorized Work

No payments will be made for any unauthorized supplies and/or services, or for any unauthorized changes to the work specified herein. This includes any services performed by the Contractor of their own volition or at the request of an individual other than a duly appointed CO. Only a duly appointed CO is authorized to change the terms and conditions of the Agreement or any subsequent BPA order.

3.18 Harmless from Liability

The Contractor shall hold and save the Government, its officers, agents, and employees harmless from liability of any nature or kind, including costs and expenses to which they may be subject, for or on account of any or all suits or damages of any character whatsoever resulting from injuries or damages sustained by any person or persons or property by virtue of performance of this contract, arising or resulting in whole or in part from the fault, negligence, wrongful act or wrongful omission of the Contractor, or any subcontractor, their employees, and agents.

3.19 Supervision of Contractor Personnel

Personnel assigned to render services under this contract shall be at all times under the direction and control of the Contractor. Notwithstanding any other provisions of this contract, the Contractor shall at all times be responsible for the supervision of its employees in the performance of the services required under this contract.

3.20 Standards of Conduct

The contractor will be responsible for maintaining satisfactory standards of employee competency, conduct, appearance, and integrity. The contractor is also responsible for ensuring that its employees and those of its subcontractor(s) do not disturb papers on desks, open desk drawers or cabinets, use government telephones, except as authorized, or otherwise jeopardize the security and the privacy of government employees, its clientele, and the contents and property of the federal building(s) in which the work is performed. Each employee or supervisor of the contractor is expected to adhere to standards of behavior that reflect credit on themselves, their employer, and the federal government.

The contractor will be responsible for taking such disciplinary action, including suspension without pay or removal from the worksite, with respect to its employees, as may be necessary to enforce those standards.

Where applicable, the requirements of this clause must be expressly incorporated into subcontract(s) and must be applicable to all subcontractor employees who may perform recurring services or work at the federal building and grounds of this contract and subsequent task orders.

The Government retains the right to permanently remove any employee of the contractor from performing duties assigned under this contract and subsequent task orders at the federal building should the employee's performance so warrant. The Government will request the contractor to immediately remove any employee of the contractor from the federal building/work-site should it be determined by the CO that the individual employee of the contractor is "unsuitable" for security reasons or for otherwise being found to be unfit for performing the assigned duty at a federal building. The following areas (not all-inclusive) are considered justification for requesting the contractor to immediately remove an employee from a federal building/work site:

• Neglect of assigned duty and refusing to render assistance or cooperate in upholding the integrity of the security programs at the worksite;

• Falsification or unlawful concealment, removal, mutilation, or destruction of any official documents or records, or concealment of material facts by willful omissions from official documents or records;

• Disorderly conduct, use of abusive or offensive language, quarreling, intimidation by words or actions, or fighting; participation in disruptive activities which interfere with the normal and efficient operations of the Government;

• Theft, vandalism, immoral conduct, or any other criminal actions;

• Selling, consuming, or being under the influence of intoxicants, drugs, or controlled substances which produce similar effects;

• Improper use of official authority or credentials, as a supervisor or employee of the contractor;

• Violation of agency and contractor security procedures and regulations; and

• Violation of the rules and regulations governing federal public buildings and grounds, set forth in 41

CFR Subpart 101-20.3 Conduct on Federal Property.

Following a recommendation from an agency program official or security officer, the CO will make all determinations regarding the removal of any employee of the contractor from and denial/termination of clearance and access to the federal building worksite for non-performance, misconduct, or failure to abide by all laws and regulations. The CO will verbally inform the contractor about the employee, followed by a written confirmation or determination. Specific reasons for the removal of an employee will be provided to the contractor in writing. In the event of a dispute, the CO will make a final determination.

Upon a determination of the Government that an employee of the contractor be removed from or denied access to a federal building worksite, the employee's clearance and access to the federal building must be immediately revoked or otherwise terminated.

Furthermore, if applicable, the building pass and/or other access device(s) previously given to the employee must be immediately surrendered, returned, or delivered to the security officer of the federal building.

SECTION 4 - EVALUATION

4.1 Basis for Award

The Government will make award to the responsible offeror whose offer conforms to the solicitation and is most advantageous to the Government. For this solicitation, technical quality is significantly more important than price. This acquisition will utilize the Tradeoff approach for the award decision per FAR part 13. Quotes will be evaluated based on the following technical evaluation factors, in accordance with the order of importance assigned to each. As quotes become more equal in their technical merit, their price will become more important. These evaluation factors are in lieu of FAR 52.212-2 Evaluation- Commercial Items (Oct 2014). Quotes that simply restate the Statement of Work or are non-conforming to these RFQ instructions may result in a negative evaluation.

4.2 Price Evaluation

The Contractor is expected to quote a fair and reasonable price. An evaluation of each Contractor’s price quote will be made to determine if it is reasonable for the work to be performed, reflects a clear understanding of the requirements, and is consistent with the proposed technical solution. Contractors are placed on notice that any quotes which are impractical in terms of technical approach may be deemed reflective of an inherent lack of technical competency or indicative of failure to comprehend the complexity of the requirements and may be grounds for the rejection of the submission.

Each price quote will be assessed to identify potential risk. Price risk refers to any aspect of a Contractor’s quote which could have significant negative price consequences for the Government. Where risk is assessed it may be described in qualitative terms or used as a best-value discriminator.

The government reserves the right to conduct a price realism analysis to determine whether the quoted labor rates are realistic for the work to be performed and allow for recruitment and maintenance of a skilled workforce. If the government decides to conduct a price realism analysis, additional information from the quoter may be necessary.”

The government will also be utilizing the results from the sample statements of work as part of the price evaluation. The sample BPA Order quote will be evaluated to determine if it's fair and reasonable. The quoted price will be evaluated separately. The Sample Scenarios will be evaluated and determination made on the alignment of prices quoated in the Pricing Spreadsheet (Attachment 1).

4.3 Technical Evaluation

The Government will make award to the responsible offeror whose offer conforms to the solicitation and is most advantageous to the Government. For this solicitation, technical quality is significantly more important than price. This acquisition will utilize the Tradeoff approach for the award decision. Quotes will be evaluated based on the following technical evaluation factors, in accordance with the relative order of importance assigned to each. As quotes become more equal in their technical merit, their price will become more important.

The order of importance of technical factors is in descending order as follows. All subfactors under each primary factor are considered equal.

A. Overall quality: A technical quote that clearly demonstrates an understanding and experience of the Statement of Work (SOW), and federal laws and regulations in performing workplace misconduct investigations. This includes:

• Technical volume that clearly shows step by step of how each of the 3 samples in section 1.7 would be completed, including the proposed methods, techniques and questions for completing the task. Each sample must include one set of sample interview questions that would be used in the investigative interview with one witness or subject in the sample case.

• Comprehensive plan explaining the execution of quality control during the implementation of the BPA and all BPA orders.

B. Staffing Plan:

• Submit six resumes of investigators that will be used to support the requirement. Each resume meets the minimum qualifications specified in the PWS. They must possess the necessary skill sets, training, knowledge, and experience to successfully carry out workplace misconduct investigations as described in the statement of work. **If your experience is mainly in EEO investigations, please describe how your staff will make the adjustment to conduct federal non-EEO misconduct investigations.

• A list of proposed current staff listed by location, a plan to fill states not currently covered, and a capability of handling every state inside of the United States. A clear demonstration of the ability to travel outside of the United States.

• Explain how additional investigators will be obtained in case of a surge of investigations.

• Include resumes of proposed Key Personnel showing that they possess the necessary skill sets to successfully perform the tasks and other activities identified for their respective positions.

C. Management plan:

• Including the management structure of their team, how they will manage any subcontractors or team members, along with how they will respond and complete each assigned investigation and report.

4.4 Past Performance Evaluation

Responses from references will be evaluated, along with any other information obtained by the contracting office, to evaluate the Offeror’s past performance. The Government may also consider information obtained through other sources, including Past Performance Information Retrieval System (PPIRS). Past performance information, as described in Section 1.9, will be utilized to determine the quality of the Offeror’s past performance as it relates to the probability of success of the required effort. An Offeror with no record of past performance will be assigned a neutral rating of “N/A.”
