12444323Q0041 Questions and Answers 27APR2023

1. I noticed that the preliminary title commitments are to be delivered by January 1, 2024. Is this date solid or can that be done prior to January 1, 2024?

Can be done prior to 1/1/24.

2. Please advise share the sale price for all 5 properties for me to provide a more accurate Price Proposal.

Sale price is to be determined after appraisal, which is ongoing.

3. Is there an estimated value for each property to be acquired? We will need an amount to calculate title insurance because it is based on purchase price. For the exchanges, we will need the estimated requested insured value.

Preliminary Title Commitment Proposed policy amount can be listed at “to be determined” – will provide appraisal numbers when completed/reviewed.

Final Title Policy Proposed policy amount will be adjusted to appraised/purchase value.

4. Regarding the exchanges, can you please describe in more detail the basis of the exchange, such as a land-for-land exchange? Also, if you could provide the exchange proposal, that would also be helpful in preparing a quote.

Land for land exchange – with the possibility of up to 25% cash equalization.

5. In reviewing the attachments, I did not see the deed for the SPNHF Harts Location from Verlene Hamilton. Could you please provide a copy of that deed?

We do not have a copy of the deed. The recording information is provided in the statement of work.

6. Do you have an ETA on completion or suggestion(s) on how to move forward with numbers without the sale price?

- Preliminary Title Commitment - Proposed policy amount can be listed at “to be determined” – will provide appraisal numbers when completed/reviewed. Final Title Policy - Proposed policy amount will be adjusted to appraised/purchase value -IF “To be determined” cannot be listed the current assessed value can be used.

Appraisals will be completed on average about 6 months after the preliminary title work.

7. There are five deeds attached to the solicitation. However, Attachment 3 is a deed from Dartmouth College to Marshfield, Inc. for property in Coos County NH - Not the SPNHF Harts location deed. The correct deed needs to be provided.

Attachment 10 - WarrantyDeed_Hamilton_04062011_Harts_Location will be posted to SAM.gov.

8. What are the acquisition values or final title policy values for each parcel so that proper quotes can be developed?

Preliminary Title Commitment - Proposed policy amount can be listed at “to be determined” – will provide appraisal numbers when completed/reviewed. Final Title Policy - Proposed policy amount will be adjusted to appraised/purchase value -IF “To be determined” cannot be listed the current assessed value can be used.

9. The excel spread sheet provided for quoting shows a base year plus four option years yet the period of performance in the synopsis shows a period of performance of 6/01/23 through 2/01/25.

0. What is the correct period of performance? 6/01/23 through 2/01/25

0. Why is there a base year plus four years of options? Is this a mistake? There are no options, it is just the base. The optional years can be ignored.

10. The excel spread sheet provided for quoting shows pricing for only “title commitment” and “closing”. Typically, with contracts of this nature the schedule would require pricing for search/title commitment; update title commitment; issue closing protection letter; closing fee; recording fee; and final title policy premium and each parcel to be acquired by the government via purchase of exchange would have its own separate pricing sheet. This allows for payments to be made to the contractor as the work is performed and delivered. Can your spread sheet be modified to reflect this structure?

Contractors have just billed as a lump sum and on their own submitted invoices for the individual items as needed. You can break down the categories provided to include the individually priced items as sub items if you choose.

11. The solicitation states that a title commitment has already been prepared for the Mt. Washington Railway Co. lands. Does the government expect the contractor to use the previously issued title commitment? If so, who is the insurance underwriter for the title commitment?

No – however it can be provided for reference.

12. The Statement of Work does not address mineral rights. Typically, the government only requires identification of severance of mineral rights. If a mineral rights search is required, then a title company or attorney cannot do that work and must procure the services of a landman. These services are always outside of the initial contract and landmen are paid on a per hour basis. Please confirm that only identification of severance of mineral rights is required.

Correct – identification of severance of mineral rights only – if identified a modification to include the additional labor for remedy, if possible, will be issued.

13. The Statement of Work does not address corrective action in the event the government wants certain exceptions cleared from the title commitment prior to closing. Typically, a seller is responsible for clearing title. Please confirm that the title company is not responsible for clearing title exceptions.

Correct – the seller will be responsible for clearing title and if not required a modification will be issued to the current contract for the title company to assist.

14. The Statement of Work does not address timeframes for accomplishing tasks other than the title commitments need to be delivered by 1/01/24. Please advise the timeframes that are required for the following other tasks once authorized: updating a title commitment, issuing a closing protection letter, performing the closing, days to record the deeds, issuance of final title policies, delivery of final closing packages.

The government will notify the title company/agent >30 days prior to any requirement listed above.

15. The statement of work mentions a previous title commitment. Could you please provide that document for review?

Attachment 11 - 1_title commitment-jahdraft1-11-18-19 and Attachment 12 - 4_Plan_Proposed_Interchange will be posted to SAM.gov today for review.

16. Could you please provide incumbent pricing from the previous attorney or previous similar projects?

This is a new contract; we do not release the government estimate.

17. As a follow up can you tell us which underwriter your former contractor used to issue the previous commitment (Fidelity, Stewart, Old Republic, etc.) and when it was issued?

Title commitment is being posted to the solicitation on SAM.gov - Attachment 13 - 1_title commitment-jahdraft1-11-18-19.

18. While in the process of preparing our proposal a question has come up: What is the search period for this work?

The search period is identified in the DOJ ALTA Title standards (Section 3.3).

19. Is it possible for a one-week extension to be issued for proposals for this solicitation?

The bid due date will not be extended at this time as the contract is somewhat time sensitive.

20. It is not clear to me if the land swaps will include insurance and if so, what endorsements may be required.

The non-federal land included in the land exchange will require title insurance for the value of the land. (Same insurance / process as an acquisition)
