Failure to comply with applicable federal, state, or local requirements may constitute a material breach of the Contract and may result in contract termination, withholding of payment, assessment of damages, or other remedies available to the Agency.

3.9.1 HUD Maintenance Wage Rate Determination (MWRD)

Where applicable, the Contractor shall comply with the HUD Maintenance Wage Rate Determination

(MWRD) included in this IFB as Attachment S, or such other HUD Maintenance Wage Rate

Determination as may be issued or incorporated by the Agency during the Contract term.

The Contractor shall pay all covered employees no less than the applicable wage rates and fringe benefits established by the HUD Maintenance Wage Rate Determination for maintenance work performed under this Contract.

Submission of a Bid constitutes the Bidder's acknowledgment that it has reviewed the applicable HUD

Maintenance Wage Rate Determination and agrees to comply with all applicable labor standards and wage requirements.

Certified payroll reports are not required for work performed solely under the HUD Maintenance Wage

Rate Determination unless specifically required by HUD, applicable law, or requested by the Agency.

The Contractor shall maintain complete payroll records and other documentation necessary to demonstrate compliance with the applicable wage determination and shall make such records available for inspection by the Agency, HUD, or other authorized governmental representatives upon request.

Order.

The request shall include sufficient supporting documentation, including the applicable wage determination, payroll information, fringe benefit calculations, and any additional cost information reasonably requested by the Agency.

Approval of any equitable adjustment shall be at the sole discretion of the Agency and shall apply only to the specific Purchase Order, Work Order, or Task Order for which the adjustment is approved.

Approval of an equitable adjustment shall not modify the Contract unit prices, evaluated pricing, Attachment R – Supplemental Unit Rate Schedule, or any pricing applicable to future work unless otherwise authorized by written Contract amendment.

3.10 Performance Standards

The Contractor shall perform all services in accordance with the requirements of this IFB, the Contract, applicable NFPA standards, manufacturer recommendations, and all applicable federal, state, and local regulations.

• Written notice of non-performance;

• Rejection of deficient work;

• Requirement to promptly correct deficient work at no additional cost to the Agency;

• Withholding of payment for unacceptable or incomplete services;

• Procurement of replacement services from another contractor where permitted by the

Agency and shall be delivered within five (5) business days following completion of the inspection or service.

The Contractor shall maintain complete inspection and maintenance records for the duration of the

Contract and shall provide copies upon request.

3.12 DEFICIENCY REPORTING AND REPAIR RECOMMENDATIONS

Whenever the Contractor identifies a deficiency, impairment, damaged component, code violation, or condition that may adversely affect the operation or reliability of any fire protection system, the

Contractor shall immediately notify the Agency.

For deficiencies that present an imminent threat to life safety or materially reduce the effectiveness of a fire protection system, verbal notification shall be provided immediately, followed by written documentation no later than the next business day.

The Contractor shall provide a written deficiency report identifying:

The Agency may require services beyond the routine inspection, testing, and maintenance requirements identified in this IFB.

Such services may include, but are not limited to:

Unless emergency conditions require immediate action to protect life or property, the Contractor shall submit a written estimate for Agency approval prior to performing additional work.

Pricing for additional services shall be based upon the unit prices, labor rates, equipment rates, and material markups contained in Attachment R – Supplemental Unit Rate Schedule, unless otherwise approved in writing by the Agency.

3.14.1 Prior Agency Authorization

Except where immediate action is necessary to eliminate an imminent threat to life, public safety, or

Agency property, the Contractor shall not perform any work outside the authorized Scope of Services without prior written authorization from the Agency's Contracting Officer or designated representative.

3.15.1 Advance Payments and Time-and-Materials Documentation

The Agency shall not pay deposits, retainers, advance payments, or other prepayments as a condition of

Contract award or performance.

SECTION IV – BID SUBMISSION REQUIREMENTS

This Section establishes the requirements governing the preparation, organization, and submission of

Bids in response to this Invitation for Bids (IFB).

4.1 Two-Phase Bid Submission Process

The Agency shall utilize a two-phase bid submission process to facilitate the evaluation of bidder responsiveness and responsibility.

4.1.1 Phase I – Initial Bid Submission

All Bidders shall submit the documentation and information identified for Phase I on or before the date and time established in this Invitation for Bids (IFB).

Following the public bid opening, the Agency may request the documentation identified under Phase II from the apparent low responsive Bidder or from such additional Bidders as the Agency determines necessary to complete its evaluation.

Submission of Phase II documentation shall not be construed as an award of Contract or as a commitment by the Agency to award a Contract.

4.1.2 Phase II – Responsibility Documentation

Replace your current Section 4.1.2 with the following. This incorporates the "Phase II Responsibility

Submission Requirements," allowing you to delete that separate section entirely.

4.1.2 Phase II – Responsibility Documentation

Upon written request from the Agency, the apparent low responsive Bidder shall submit the required responsibility documentation identified in Section 4.3 within ten (10) calendar days unless the Agency approves a written extension.

Phase II documentation shall be used solely to determine the Bidder's responsibility, including, but not limited to:

• Financial capacity;

• Technical qualifications;

• Experience;

• Integrity;

• Past performance;

27 | P a g e

• Available personnel and equipment; and

• Overall ability to successfully perform the Contract.

Phase II documentation should be submitted in a binder or other format that permits pages to be easily removed for evaluation and returned without damage, such as a three-ring binder or spiral-bound notebook.

Prior to Contract award, the Agency reserves the right to verify any information submitted, request additional documentation or clarification, conduct reference checks, verify licenses, certifications, insurance, financial information, equipment, facilities, personnel qualifications, and otherwise investigate the qualifications and responsibility of the apparent low responsive Bidder.

Failure to submit the requested documentation or cooperate with the Agency's responsibility review within the required time may result in the Bidder being determined non-responsible, and the Agency may proceed to the next lowest responsive Bidder.

Nothing contained herein obligates the Agency to request Phase II documentation from a Bidder whose

Bid has been determined to be non-responsive.

4.2 Bid Organization and Tab Requirements

To facilitate an efficient and uniform evaluation, each Bid shall be organized using the tab sequence identified in this IFB.

Each Bidder shall:

1. Submit all required documentation in the prescribed tab order.

2. Separate each section using clearly labeled index dividers.

3. Label each tab exactly as identified within this IFB.

4. Leave all required tabs in place. When no information is required under a tab, insert a page marked "Not Applicable."

5. Ensure that the Bid contains no qualifications, conditions, or exceptions that conflict with the requirements of this IFB or any issued Addenda.

Failure to follow the required organization may hinder the Agency's evaluation; however, the Agency reserves the right to waive minor formatting deficiencies that do not affect the responsiveness of the

Bid.

4.2.1 General Bid Submission Requirements

The following requirements apply to all Bid submissions:

1. All required tabs shall remain in the sequence prescribed by this IFB. If no information is required under a particular tab, the Bidder shall insert a page stating "Not Applicable" or "This

Tab Intentionally Left Blank." Required tabs shall not be removed or renumbered.

28 | P a g e

2. All required documents shall be complete, legible, and executed by an individual authorized to legally bind the Bidder, where applicable.

3. Bidders are responsible for ensuring that all required documentation is submitted in accordance with this IFB prior to the applicable submission deadline.

4. The Agency reserves the right to waive minor formatting deficiencies that do not affect the responsiveness of the Bid, where permitted by applicable procurement requirements.

Bidders shall utilize only the forms, certifications, and attachments furnished by the Agency. Except as expressly authorized by this IFB or an issued Addendum, Bidders shall not modify Agency forms, alter pricing schedules, attach conditions to their Bid, submit alternate pricing, or otherwise qualify or limit their Bid. Unauthorized alterations, qualifications, or conditions may result in the Bid being determined non-responsive.

4.2.2 Bid Packaging and Delivery

Each Bidder shall submit the required Phase I hard-copy Bid documents in one (1) sealed envelope or package.

The exterior of the sealed package shall clearly identify:

• IFB Number;

• IFB Title;

• Bidder's legal business name; and

• Bidder's return address.

The Phase I hard-copy Bid shall include:

• One (1) original paper copy clearly marked "ORIGINAL";

• All required forms, certifications, and attachments identified in this IFB;

• Documents organized and tabbed in the order specified by the Agency; and

• Documents submitted unfolded in a sealed envelope or package.

The Bidder is solely responsible for ensuring timely delivery of its Bid.

Late Bid submissions, regardless of the reason for the delay, shall not be accepted and, whenever practical, shall be returned unopened.

4.2.3 Communications During the Procurement

The Agency's Contracting Officer shall serve as the sole point of contact for this procurement.

All questions, requests for interpretation, requests for clarification, and other communications concerning this Invitation for Bids (IFB) shall be submitted exclusively through the Question and Answer feature of the Agency's eProcurement Marketplace.

29 | P a g e

Except as otherwise authorized by this IFB, Bidders shall not contact any Agency employee, officer, department, evaluation committee member, Board member, consultant, or other representative regarding this procurement.

Unauthorized communications may result in the Bid being determined non-responsive or such other action as permitted by applicable procurement requirements.

4.2.4 Addenda

The Agency reserves the right to amend, modify, clarify, or otherwise revise this Invitation for Bids (IFB) at any time prior to the Bid submission deadline by issuing one or more written Addenda through the

Agency's eProcurement Marketplace.

Only written Addenda issued by the Agency shall modify or interpret the requirements of this IFB. Oral statements, explanations, interpretations, or representations made by Agency personnel shall not modify the requirements of this IFB and shall not be relied upon by any Bidder.

Each Bidder is solely responsible for monitoring the Agency's eProcurement Marketplace for the issuance of Addenda and shall acknowledge receipt of all Addenda as required by this IFB.

Failure to acknowledge receipt of any Addendum, when required, may result in the Bid being determined non-responsive.

No interpretation, clarification, or response to a Bidder's question shall be binding unless incorporated into a written Addendum issued by the Agency.

4.3 Phase I – Required Bid Documents

The following documents shall be submitted by each Bidder as part of the Phase I Initial Bid Submission.

All required documents shall be enclosed within one (1) sealed envelope and received by the Agency no later than the date and time established for bid submission. Failure to submit any required document may result in the Bid being determined non-responsive.
